Funding for th e STAMP Impleme ntation aspects of th e study shall be provided through a Conyestiun Mitig ation and Air Quality (CMAQ) grant (Grant) :ram the Federal Highway Admin istration (FHWA) through th e Federal Tran sit Administration (FTA) and ad ministered by RTD . II is antic:pated th at lhe Gra nt ava ilable to RTD br the study will be One-H tndred and Twenty Th ousand Do llms {$120,000). In no eve nt ~hall RTD be rosponsible for paym e nt of funds fur lhe Study in any a mount greater t11a11 that receivec through th e Grant. If the amount of G rant funds re ceived by RTD is less th an One-Hundred and Twenty Thousa nd Dollars ($120,0 00), the City may, at its discretion, (i) pay additional local match funds ; (ii) reduce the sr:ope of v.. ,rk fnr th P. Study; or (iii) te rminate the Study and this Agreement az se t forth below. Sco pe of Work . ThP. sr.ope of work (Scope) and co st for the Study are shown in Exlji,t>it:~. No changes to the Scope shall be m ade without p rior written cigreernent be tween the City and RTD . 5. Consultant. The City sha ll iss ue a Request for Proposals to enga ge one or more co nsdtants (Consulta,l ) to conduct h e Study. RTD a nd the City sha ll each bP. D. Compliance wi th RTD requested changes shall :,e a co,dition of rec e ipt of Grant funding through RTD for the Study . 6. !::?,eview . The City shall manage all work pertormed by any Consultant for the Study. RTD sha ll have the opportunity to review and comment upon all documents, drawings, exhibits, etc., produced by the Consultant as part of the Study, including prelimir.ary drafts. RTD shall withhold payment of the last ten percent ( 10 %) of the Grant funding until it has had an opportunity to provide comments on the final draft of the Study, prior to adoption by the City . Any property or inforr.iation provided by RTD for the Study remains the property of RTD and shall be returned to RTD Jpun Go111p le tion of the Study. RTD shall be entitled to mceive copies of all rep orts, drawings, data, and other material produced or col lected by the Consultant at no additional cost. 7. Meetings . RTD shall have the right to att en r1 and sha ll re ce ive notice of all meetings with the Consultant not less than forty-ei ght (48) hours in advance . RTD shall not give direction to the Consultant but shall coordinate all comments through the City. 8. Reporting Requirements . RTD sha ll be responsible for all Grant reporting for the Study. The City shall be responsible for providing data to support the calculation of air quality benefits derived from the Study which is req uired as part of the federal CMAQ process . The methodology for this data collection will be provided by RTD . 9 . Invoi ce s. Such invoices sh2 '1 include the Consultant's invoice and other available ba ckground informc1lio11 reya rding th a work be ing invoi ced . RTD shall rrny for ac tual Consultant work only at a ratio equal to the Grant amount divided by the total pro ject budget, such that the Federal Grant share and Local Maleh share are d rawn down consistently throughout the proj ect. Prior to the use of staff time by the City to meet the loca l match reqlliremenls r:ont ained here in , RTD shall review and approve the methodology for ca lcu lation of such use. RTD shall pay all approved invoi :es within thirty (30) days of rece ipt. If RTD disputes any invoice or portion thereof it sh.ill provide writte n notice o f th e dispute . RTD shall not be liab le for any fina ncial :ontribution to the Study fu nded pursua nt to this IGA other th an as set forth he rein, unless previo usly authorized in writing. No officer, member or employee ol RTD or the City, no members of the respective govArning bodies of RTD or the City, and no other public officia ls or employees of RTD or the City during his or her te nure, or for one year thereafte r, shall have any personal interest , dir ;ct or indirect, in any soli c itation for services made pursuant to th is Agreemen: or th e prot;eeds ti ,e ··euf. 13. T e rmination· SusnAns ,on of Wor~. T n is contra ct may be te rm inatea for any of the following re.'.1$On s: a. Funds not /\vailable. In the event that Grant funds required for funding of this Ay1ee111ent are not made available, this Agreement shall terminate unlo,;s t,c City e lects to pay additional local match funds or reduce th e scu pe uf th e Study as set forth above. Whether or not available Grant fund s and C ity local match funds am sufficient to pay for Study costs, RT D is under no obligation io provide any funding for the Study. b Termination for Mutual Convenience. The parties may terminate this Agree1ne11t c1rnJ terminate the Study if both parties a~ree in writing that the continuation ai the Study would not produce beneficial results commensurnle with the further expenditure of funds. c Termination of Co ntragt for Cause. If through any ca use, either party should fall to fu lfil l in ;i timely and proper manner its obligations ,mrle r thi s Agreement, or v iolate any of th e covenants , ag r,:c,crnents, or stipulations of th:s Agreement, the othe r pa~ty has the r igh t lu tenninate this Ay,eem ent by giving 30 days' written notic e of such termination. d. The City and RTD acknowledge th at the Study wil l be partially federally funded. This Agreement represents the entire agreement b etween th e RTD ,inr:l tne C i.y and may be amended only in writing , signed by the partie~. 17.Disputes. Di5put en sh .:i ll initia ll y be resolved by the Party Liaisons c1efined as : (i) first, RT D's Assistant General Manage r for Planning and Development and the City's Director of Community Development, and (ii) se:ond, RT D's General Manager and the City Manager if the Party Liaisons set forth in subsection (i). above are unable to resolve the dispute. If none of the Party Liaisons are able to resolve the dispute , they shall agree to 3n impartial mediator to resolve ti1e dlsµute. 18. Notices . Definition of TOD While TOD can have many physi cal forms , it generally in c ludes the following design principles : • More compact and dense development within a 5-to 10-minute walk around transit fadlities compa red to existing development patterns in the same area; • A m ix of uses-either horizontal or vertical-usually including residential , reta il, and cffice employment; • High-quality, pedestrian-oriented urban design and streetscapes . By focusing compact development Ftround transit stations , TOD capitalizes on the value of public infrastructure investments and promotes sustainability. These development synergies promote increased transit ridership and an integrated station environr:it:!nl with more passenger amenities. In addition lo increased ridership and more fl/lssenger amen ities, TOD is also a successful tool for promoting local economic development, helping cr.;nmunities plan for sustainable growth, and increasing the overall quality of life in a reyion . Basis for TOD Policy TOD 's ability to increase transit usage while achieving valuable a~cillory benefits for the re gion me.:ins tha t it plays a cr ucia l role in tulfilling RTD's organi z,itional mission: "To meet our constituents' present and future public transit needs by offering safe , clean , rel iable, co urteous , acce ssit .. and cost-effective service throughout the district." RTD's mission is to provide trans it service, and RTD recognizes that other publ ic agenc ies and priv ate <Jeveluµer~ a re resµonsible for th e reg io n's built environm ent . Since th ere is no one-size -fi ts-all approach to TOD , RTD has identified four key goals to besl c1cl ,i e ve suc Gess : 1 . Promoting multi-sector, cross-jurisd ictior,al partnerships; 2. Enco uraging livable comm unities and sustainable deve lopment that support the transit system; 3. Ensuring a hierarchy of multimodal access; and 4. Prote ct ing and enhancing RTD's transit assets . 2.5 Goals and Strategies Goal 1: RTD will foster relationships with local jurisdictions, regional agencies, private developers, local residents and businesses, and other stakeholders to support transit station area planning and TOD implementation.
