BETWEEN THE C ITY OF ENGLEWOOD, COLORADO AND Tl-IE BOARD OF COUNTY
COMM ISSIONERS OF THE COUNTY OF ARAPAHOE, STAT!: OF COLORADO.
WHEREAS, in 2003, Arapahoe Co unty voters approved a ten year, quarter-of-a-penny sales
and use tax to pa y lor preservanon of open space; protect land s; preserve water quality; and to
provide, maintain and improve neighborhood parks. sport fields , pi cnic fa cili ties and trail s; and
WHEREAS, tl1c City of En glewood has received annual sharebacf· funds generated by the tax
si nce 2004 ; and;
WHEREAS , in 2005. the Cour.ty set aside a portion of the tax revenue s to fund competit ive
grant projects ; and
WHEREAS. the City of Englewood ts eligible to apply for up to two grants per year and since
2005 Englewood has rece ived eleven grant s totaling S 1,907, IQ0 ; and

of2012 support ·ai'ahoe County Open Space Grant application fo, the Playground
Renovation at the ~o,u,west Greenbelt : and
WHEREAS , the City of Engl ewoorl has heen a warned an Open Space Gram of $156,600 for
the Playground Renovation at Northwest Greenbelt; and
WHEREAS th e total project costs are estimated at S2i0,300. which will be paid by this grant
award and $113,700 budgeted from shareback fonds in th e Ci ty 's 20 12 Open Spa,:e Fund ; and
WHEREAS, there ere no federal funds being used for the renovatio n oftJ1e playground
at Northwest Greenbelt ; and
WHEREAS, the pa ssage of this Ord ina nce authorizes 1ltc acceptance of th e Arapahoe Coun!y

NOW, THEREFORE , the County and the Grantee agree as follows :

1. .Amount of•Grnnt. The County hereby awards Grantee ao am.0unt not to exceed
S1S6,600 ("Grant Funds") for the Grant Project from the Arapahlle County Open
Space.Fund.
2. Use of Grant Funjs . The Grantee agrees that it shall only use the Grant Funds for
the Grant Project , as described in fahibit A.
J . Time For Use of Grant Funds. The Gr1111tee agrees that the Grant Funds will be

Funds, the Grantee will use any interest earned on the Grant Fund s only for the
Grant Project as set forth in its o.;,provec grant applicallon.
5. Administra tior. of Grant Pro ie ct. The Grantee sh :?.11 be resp onsibl e fo r the direct
supervis ion and adn inist ratio n of th e Grant Project. Th -? Count y shall no: be
liable ur respon sible for any cost overruns on the Grant Proje ct. \Jor shall the
County hu ve any dut y or obligation to prov ide nny edditional funding for the
Grant Project if the Grant Project cannot he completed with the Grant Funds
awa :dcd by the County lo the Grn11t ce.

County as a eo utrih utor to the Gram Project in all publications, new s relea ses and
other puhlicity iss ued by the Grantee related to lhe project and agrees to allow th e
County to do the same. If any events arc pl11nned in regard to the Grant Project ,
th e Co unty shall be acknowledged as a contribute,, in th e invitat io n to such events .
Grnntcc shall co· pcrat.e with fae Co unty in preparing p,bli c infonnation piece s,
provicing photo, of the Grant Project from time 10 time , ancl providing access to
the Grant Pr0jcct for publi city purp os es.
8. Req ui red Sign nl Projcct_Si le . Grante e agrees to erect and permanently maintain at
le as t on e sign in a p11blicly visibl e area in re.c:oenition of tlu : grant from the
Arnpnh oc Co u!1ty Open Spnce Program. The location , fonn, design , and wording
of such sil,'11 shall be approved by the County. Such sign shall be en:clcd pri or tu
lhe completion of the Gran! Project or it s public opening, which ever is earlier.
9. Report Requirements . On or before ,lanuary 31, 2013 the Grantee B!a,'l'Ces w
provide the Co unty with an init ial Grant Project status report that describes :he
amount of progress in completing the Grant Proj~-ct, Gra~t Project mile stones, anci
the use of the Grant l"unds lo d-1tc . Upon completion of lhe Grant Proj ect, the
Grantee also agrees to submit ,o tnc County a final report, including a cover letter
and a final spreadsheet comparing the originul budget to actual expenses that
certifies what 1he Grnnt Funds have been used for and that the Grant Funds have
been used in accordance with the Open Space Resolution. The final report shall
als o includ~ a detailed project summary along with high rosolulion photograph s uf
the various stages of the Grnnt Project deve lopment and its completion. The
Grantee further agrees to provide the County with an electronic copy of the fmal
report, including separate high reso lut ion dib~tal photographs. 11,e final rep o,•
shall be submiucd within three (3 ) months of project completion unless a longe r
period of time has been agreed to by the County in writing. The County shall he
allowed to use information and photographs from reports in publica1ions, public
inform ation updat es , and on the County's web site .
10 . Fa ilure to Submit Required Re-pons . Up · n wriiten nm ic c from the Co unty 's Open
Space Grants Admin istrator, infonr.mg ,he Gra ntee that it has fai led to submit any
requ ired status report and /or final report, the Grantee shall submit such rep orts to
the Coun ty through the Coun:y's Open Space Grants Admin istrat or with in thirt y
(30) days, and, if il fai ls to do so, the Grantee shail be deemed to be in violation
this Agreement. The Grantee shall be ineli gible for any future Grant Funds . until
and unle ss such reports have been submilled to the County .
11 . Re::ord Keeping Requirements . The .Grantee shall maintain a complete set of
books and records documenting its use of the Grant Funds and its supervision
and administra '.ion of the Grant Proj ect. The County or any of its .duly authorized
repre sen tatives shall have re asonable access to any books, documer,ts , papers , and
rec.o rd s o f the Gra ntee whi ch are pertinent to the Grant Pr oiect for the purpose of
mak in g an audit , examination, or excerpts . The Gr antee shall keep all book s,
documents , papers, and reco rd s, which are pertinent to the grant Project, for a
minimum ot three years. Grantee agrees .to report to the Coun:y .any unexpended
Grant Fund s and co nsult with .the County co ncerning prope r accounting fo r
uncxpenden Grant Funds prior to c_o_mfl~ti_on of the Grant Project final report .
. 12.· . · Re imburscmcnt ,qf Grant Funds ,. The ·Grantee -understands .and .agrees that if any
portion of the Grant Funds are not used in accordance with its approv ed Grant
Applica tion and/or this .Agreement, the ,County may requi re the Grantee to
reimburse th e C:ounty in the amount of such Grant Fun ds that are not used for :he
Grant Project or that are not used in accordance with th is Agreement.

13. Remedies . The rights and ;remedies ·of.the County as set forth .in this Agreement
sha ll _not be exclusive and are in addition to any other rights or remedies provided

. any term or provision -of this Agreement she..\ not operat e or -be construed as a
waiv~T of any subsequent.breach -by .either:P.arty .

Project, once it has been approved by. the County, may not be ·changed without the
County's prior approval. Changes .must be requested in writing and may not
begin until an amendment tu this Agreement has been approved by the County .

16 . Tronsfcr of Interest jn Gront ·l'roject . The Grlllltcc understands .nnd agrees that no
land or interests acquired with the Grant Funds as part of the Grant Project may
be sold, leased , traded, or otherwise conveyed, nor may an exclusive license or
pi:,-mit un sa iu lamf ur i,i(er~ls-bc givJii;' ivithout prior uppruvul 'of th e Gruntcc 's
governing body after conducting a public hearing. The Grantee further agree; if
such sale, lease, trade or conveyance is made or an exclusive license or interest
ha.; been given , the proceeds shall be ,deposited in an open space fund to be used
for purposes co nsist ent with -th e 0pen Space Re so luti on.
17. l).se Restrict ions 0 11 Acquired Land s. In oruc r tu ensure lite long-term protection
of lands for parks and open space purposes, consistent with the Open Space
Resolution, unle ss otherw is e notified in writing by the County . Grantee agrees to
pla ce use-restrictions on any real property acqui red with the Grant Funds, in the
fn"TT1 of ii con serva tion easeme nl or H dee d rest ri ction ("u."e-re stri cri on
docume nt'·), as dete1111ined by the Cou nt y, by exe:uting and rec ord ing such cse-
res tri ction document. Pri or to the exe:ution and recording of any use-restricti on
J oc urnent. an d pri or to th e disbursement of an y Grant Fu nd s for purp o~es of the
acq ui sit ion of rea l property , the Grantee must fir st ob tain written approval as to
the frnm and content of the ui:;c-r:..:stricti on document, and the manner and timin g

20 . No Third Party l:lencfici ari_§. Nothing in this Agreement shall give or al lo w an~
claim or rig:it o f actio n whatsoever by an y third party , i1ducli11 g, hut not limit ed
to, any agents or contrn ctors of tlw G :-;rntee.

remain effective ; provided , however, the Parties shall forthwith enter into gullll

22 . Written Am c.,dmcnt Rr.oui red . This Ab'Tecment ma y be amenried, modified . or
changed, in whole or in part, only by written agreement duly authorized and
executed by the County and the Grantee .
23 . Venue . Venue for the trial uf •ny action ari sing out of any dispute he reunde r sha ll
be in Arapahoe County District Court, pursuant to the appropriate rules o f civi l
procedu re.

26 . Exte nt of Agree ment. This Agreement co nstitute s th e entire agreement of the
Pa rties he reto. Th e Pa:ties agrc,; that thl:re hav e been no representations made ·
regardin g the subject m.at.t~r')lereof other than those, if any, cpntainecl herein , tb,t
thi s Agreement con,tituies the entire agree ment of the Parties with r~spect tb ·ihe
subje ct matter hereof, and further agree that the various promises and covenan ts
c.o nta inerl herein are mllhtally agreeci up on an cl are in co nsideration of o~e
another.
27. Countemarts . Trais Agreement may be executed in multiple coun te rparts , each of
whicl, will be deemed to be an ori ginal and all of which taken to gether will
cons titute one and the sa me agreement.
28. Jnconioration of Exhib its . Unless otherwise stated in this Agreement, a~y
exh ibits, appli cat ions, -resolut ions, or other documents refereqced in this
Agreement shall be ·incorporated by reference into this Agreement for · all
purposes .
29. Section Headings . The headings for any section of thi s Agreement are only for the
conv enience and reference of the Parties and are not intended in any way to
define, limi t or des cribe the scope or intent o f this Agreement.
30 . Disbur~!,.IJ)!m,t of Grant Funds . For land acquisition projects, the Grant Funds arc
to be made available to the Grantee by the County at th e time of real estate
cl osi ng , subject to the provi sion. of Section 17 . For all other types c>fprojects, the
Grant Funds shall be tran sferred soon after the execution of this Aer eem ent. The
pre ferred method used by the CClunl)• for transfer of the Grant Funds is by ACH
Authori za ti on. Grantee agrees to thts method .

this project : The 2008 Englewood Parks Master Plan mentions repeatedly the need to upgrade the
daled playground equipment throughout C:nglewood's park system. In 2008, per master plan
recommendations , Englewood updated two adjacent playgrounds in conjunction with improvements
that were made lo a picnic shelter and restroom at Belleview Park . In continuing lhe Park Master
Plar 1ecommendations, the playgruund renovation al Northwest Greenbelt would con stitute our
second endeavor and comrni1men1 into improving 1he quality of playgrounds In Engl ewood . To date ,
we ha ve ex pended $5,953 from Open Space Shareback Funds In the planning and dHslgn elernenls
for lhe olayground ronovalion at Northwest Greenbell . ·-3 Describe efforts made, dates and ou1comes of required pre-submittal meetings with the

the community and enhance the quality of life for the neighborhood by creating a new gathering
place or focal point for a community that currently has very little in the way of recreational
opportunities.

Northwest Greenbelt• The Northwest Greonboll/West Harvard Gulch Trail originates In the City of
Denver at Federal Boulevard, and follows the Harvard Gulch alignment where it enters the City of
Englewood at Zuni Street. The City of Englewood and Urban Drainage and Flood Control are
currently working together to extend t"e trail from Raritan Street to the east to connect with
The South Platte River Trail. An exlstl g outdate d playground sits at the intersection of Vasser and
T ejcn Streets within the greenbelt . T he playground serves the northwest section of Englewood .
Amenities within the playground are inadequate and outdated in serving the needs of the community.
New playground equipment would greatly enhance the conditions for play from children in the
neighborhood and would be an asset in attracting children and adults into the greenbelt via the trail
connection from the Platte River to Federal Boulevard .
3 Describe the steps taken to date to make this project ready for lmptementatlon, and how, If
funded your agency will complete the project within one to two years after the receipt of
funds: Playground design and cost estimates have been developed. Englewo 'd City Council
supports moving fo,ward with this project by allocating Shareback Funds for the project and passing
a r eso lution . Upon successful award of this grant, the playground renovation will be bid out for
construction . Staff anticipates that bidding, bid award and construction will take no longer than 6

Englewood Schools is a small urban school district located just south of Denver. Our stakeholders take
great pride in the community illld th e facilities within our city. As we work to renew spaces throughout
Englewood fo r educational purposes, we also consider parks and recreation space as our ex tended
learnin g facilities. Our schools in the area near the northwest greenbelt face many challenges in terms of
socioeconomic status and availability ofresourccs. Part of our mission is to ensure we connect our
students and families to services that improve their quality of lite . The northwest greenbelt playgrow1d is
an area will be a wonderfu l gathering place for our students and families when ii is updated with safe,
engaging equipment in an inviting environment.

Northwest Greenbelt I write this letter in support of the Playground Renovation .
The Northwest Greenbelt is truly our only green space in the r ,rth area of Englewood . It has
become a necessity in our community. Unfortunately, this area has not had any updates in
many years and the playground equipment is very old and o~1dated , This grant will allow the
City of Englewood the first opportunity in many years to develop a new playground in a
deserving neighborhood with many kids . I know there is great amount of interest and
excitement in the community abc,ut this project.
