OF ENGLEWOOD AND J)ENVER URBAN GARDENS FOR THE LEAS E, DEVELOPM ENT
AND MANAGEMENT or A COM MUNITY GARDEN AT THE ENGLEWOOD DEPOT
PROPERTY LOCATED AT 607 WEST DARTMOUTH AVENUE.
WHEREAS, the Englewood City Council supported the Engl ewood Co mmunity Garden with
the passa ge of Reso lut ion No. 64, Series of2009; and
WHEREAS, m 2009 th e Englewood Cultural Arts Commiss ion recogni zed the need for a
community ga rden and a "Garden Committee" was fonned with representatives from the Cultural
Arts Co mmi ss ion , the Parks and Recreatio n Commi ss ion and Keep Englewood Beautiful; and
WHEREAS, the "Garden Committee" recommended to the Cultura l Arts Commiss ion that a
community ga rden project move forward with an admini strative steeri ng committee 10 oversee the
planning, fund raising and co nstru ctio n of the Englewood Co mmunit y Garden; and
WHEREAS , the City of Englewood ow ns the Englewood Depot prope rt y, loca ted at ~07 West
Dartmouth Avenue , which was chosen fo r the Englewood Co mmunit y Garden ; and
WHEREAS, the City detennined that it was in the Cit y's best interest to fonn a partnership with
Denver Urban Garden s (DUG) in developing the comm unit y g,1 :<lcn beca use of their extensive
experti se in planning and operatin g nearly 100 co mmunity garden 'i through out Denver, Lakewood 1
Aurora , Co mmerce C it y, Arvada , Golden and Sheridan; and
\VH ERE AS , the pa ssage of th is Ordinance authorizes th e ''Cl-v perativc Agree ment '' to lea se and
mana ge the Englewood Co mmunity Garden to be loca ted m the f:ng lewood Depot propert y loca ted

co rporatio n of the Stat e of Colorado (th e "Ci ty"), and DENVER URBAN GARDENS, a non-
profit co rpora tion, duly organ ized und er th e la ws of the Stat e of Co lorado, and havin g a place
of bu sin ess located at 3377 BLAKE Street, Unit 11 3, Denver, Colorado 80 205 ("DUG"), and
jointly referr ed to as th e "Parti es".

WHEREAS , the City owns ce rtain land at the Englewood Depot Property, 607 W.
Dartmouth Avenue; and
WHEREAS, DUG, as part of its program for deve lopin g and man ag ing community
ga rd ens, desire s to coordinat e th e deve lopment of a co mmunity ga rd en at th e Eng lewood
Depot property ; and
WHEREAS, the Ch arter of the Cit y authori zes cooperative agreements such as thi s
ente red into oy the Ci ty thr oug h its Departm ent of Parks and Recreation for deve lopment of
park and recreati ona l facilities, program s and activities; and
WHEREAS, the City , by and through its Director of Parh ~nd Rccr,'ation, find s and
de term in es that, con sidering the size and loca tion of the park, it s environment s, den sit y of
adjacen1 pop ula tion and their public need s, it is proper and legitimate that a porti on of th e
Englewood Depot property be se t asid e and use d fa t a community ga rd en, so long as th e
prop erty remains av ailab le to all City residents and oth er member s of th e public, subj ec t only
to reaso nabl e res tr ictio ns for sa fety as to access and use.

The Premi ses are acce pt ed by DUG "as is, wh ere is" with no warrant ies or representat ions by

2. TERM OF AGREEME T: Th e term fthi s Coopera ti ve Agree ment shall

3. OBLIGATION OF DUG :
A. J)U G agrees to be res po~sibl e for deve lopin g snd manag in g th e ga rd en
area. Th e C:ty will co llect fee s fo r the individu al ga rde n plot s. The se ~ee s will be use d to pay
for wat er a nd to make im pro ve ment s lo the garden ared. DUG may also a;,pl y for gr ant s,
donation s and volunt ee rs to develop th e gard en area. Th e communi ty ga rd e,, will be limited to
th e are a ,nd organized acco '.din g to th e layout de picted on Ex hibit B (Garden Des ign) whi ch
is attac hed hereto and in co rp orated herein by reference. The Cit y will maintain t~e Englewood
De pot pro p e rty out sid e of th e Prem ises. An y c hanges to the ga rd en des ign mu st b~ a ppro ve d
by th e Dir ec tor of Park s and Recreati on or hi s designee .
B. DUG , in partne rship with th e Cit y, shall be responsible fo r sell in ~. and
enforc in g gui de lin es, rul es , standa rds, and prac ti ces for controllin g th e publi c's acce ss, u~s and
activ iti es in and on th e Premi ses for co mmunit y garde n purp ose s, all in acco rda nce with thi .,
oop cra tiv e Agree ment . DUG shall obt ain a wa iver and relea se from each membe r o f the
pu blic who e lects to parti cipate in gardenin g and relat ed activiti es on the Premises. Said

and perso ns agai nst whom claim s by th e parti c ip atin g members of th e pu blic are be in g waived

E. DUG will be so lel y res ponsible for providi ng and pay in g for all
improv ements. DUG wil l coordin ate with th e Cit y to provide and maintain all se rvices for th e
com munity ga rd en and assoc iated activitie s. The City will pa y fo r water and other utiliti es .
DU G shall full y and promptly pay fo r all other expenses of every ki nd whatsoever of or in
co nn ec ti on with th e use, opera ti on, and maintena nce of the Premi ses and a ll activit ies
conduc ted th ereo n, and City shall have no responsib1li1y of any ki nd th erefore.
F. DUG shall con stru ct an d maintai n in a safe manne r a sturdy perim eter
fe nce around th e garden area. Fence mate ri als must be app ro ved by the Park Representative .
DUG shail be re spo nsible for sec urin g th e si te in acco rd ance wi th DUG practices.
G. Vehi cle access to the site -.ill be limit ed to delivery of bu lk material s or
delivery of equipm en t to prepare the site, with such deliver ies bei ng made from the alley .
There wii l be no regu lar vehicle access to garden sites for day-to -day garden care . Vehicle
• ac es, will be coordinated , in advru ,c e, throu gh the Park s Represe nt ative.

H. DUG shall maintain all ex istin g improveme nt s and future imp rove ments
on th e Premises in good ord er and re pair , includin g fences, al i,~ ow n expense, and sh ,ee p
the area fr ee of rubbi sh, trash and debri s, and shall be respo nsib le fo r da m age to ti Prem ises
and th e immedi ately surroundi ng park ca used by mi suse by its officers, employees, age nt s or
invitees. All reaso nabl e and prudent measure s necessary shall be take n to ass ure that air and/or
water ero sio n of so il are co ntain ed and miti ga ted. At th e encl of eac l!-grow in g seaso n, DU G
shall arrange for dead or dying vege tati on to be removed or trim med back, as appr print e, an
all gardening tool s and ga rden mate ri als to be removed from th e Premi ses or stored in an
enclosed and sec ured garden shed on the Pren,ises . All trash, debris, and wa ste mu st be
co ntnin eri zcd and regularly remove d from th e Premi se s by th e Purks Divis ic>n.
I. DUG shall have the rig ht to pin ce and use on th e Premi ses equip ment ,
fixtur es, ga rd en shed, nnd other it ems necessary fo r th e operatio n of II co mmuni ty garde n.
Imp rovements , alt eratio ns, or in sta lbtiuns res ultin g in majo r change to th e Premi ses shall be
subj ec t to the approval of th e Dire ctor of Park s and Recreat ion. Im prove ments, alt eration s,
and in stall atio ns of a permanent nature on th e Pre mi ses shall not be remo ved by DUG at th e
term inat ion of thi s Coo pera ti ve Agreeme nt. Eq uipment and pro pert y pla ced by DU G at it s
exp ense in , on, or abo ut ~h e Premises, in cludin g fi xtu res tempo raril y affi xed to th e rea lty but
wh ich may be rc,n ove d with out damage, shall remai n th e prop ert y of DUG , and DUG sha ll
ha ve th e right to remove all such eq uip men t, prope rt y. and te mporary fix tures and shall so
promptly remove al th e termin at ion of th e Coo perat ive Ag ree ment.
J. No non-orga ni c pes ti cid es , herbicid es, or oth er chemi cals int e.nded to
kill or co ntro l in sec ts, ve rmin, weeds, or un wa nt ed vegeta tio n and no chemi ca l fertili ze rs shall
be bro ught to, kepi , or use d at th e co mmuni ty gard en. DUG sha ll be respo nsibl e for stri ctly
enforcing thi s prohibition . Org ani c pes ti cid es, herbi cid es, and ferti lizers shall be utilized and
applied spari ngl y and in acco rdanc e with good gardening pra cti ces and manufacturer 's
directions and shall be stored in leak-proof co nta iners or off-site . The Park Represe ntative
shall have th e auth ority to spec ify or lim it th e use of any organic pe sticides, heroicid es, or
fertili ze rs.
K. Any water con se rv ation re stri cti ons or requirem ent s impo sed by th e City
sha ll be strictly app li ed and enforce d by DUG on the Premi ses.
L. Park s and Rec reat ion shall have a ri ght of acc ess at any tim e to in spect
th e Premi ses.

ge nera l liabi li ty , hired and non-o wned au to li ability, Workers' Co mpensa ti on, property
coverage, and direc tors and officers liab il ity to the ex tent and in th e amount s spec ifi ed

B. Th e scope of auth or ity DUG may exercise shull be expr ess ly delegated,
assig ned, or allowed und er, or necessarily impli ed in , thi s Agreemen t. DUG shall have no
auth orit y to avoid , modi fy, or waive any appli cab le Ci ty ordi nances or reg ul atory req uirem ents
enacte d or adop ted und er th e City's poli ce or taxin g powe rs.
This Coope rati ve Ag reeme nt shall not be co nstrued to grant DUG the
ri ght or powe r to bind, or to impose liubilit y upon , th e City through any co nt racts or
agree ments DUG may mak e, unl ess ex pre ss ly prov ided here in or un less th e pr ior, writ ten
approva l of th e Direc tor is obta ined and th e co nt rac t or agreement is in accordance with all

D G's use of th e Premises. DUG shall have no claim on acco unt of any s uch int erfere nce
again st the Ci ty or any officer, age nt, emplo yee or co nt rac tor thereof.
F. DUG mu st co mply with all Feder JI, Sta te, and loca l laws, regu lations,
and ot her requi remen ts relating to occupational safety and health , the han dlin g and storage o f
haza rd ous mater ials, and the proper ge nerati on, han dlin g, accumu lati on, treatment, storage ,
disp osal, and tran sportation uf haza rdou s waste s. DU G will not acco mplish any treatme nt,
storage, or disposal of haza rdo us was te unle ss DUG is in possession of a va lid permi t issued to
it under the Resource Conse rvation and Recovery Act , as amend ed.
G. DUG mu st mai ntain and make avai lab le to the City all record s,
in specti on logs, and manife sts that trac t th e ge nerat ion, handling, storage , tr eatme nt and
disposal of hazardous ,.aste, as we ll as all other record s required by app li cable laws and

complian ce with Federal, State and local laws , regulation s, and other requ iremen ts re lati ng to
th e ge nera tion, handlin g. sto,age, treat ment an d dispo sa l of hazardo us waste, as well as to th e

J. DU G shall not, under any circumstance s, use , own , possess or allow the
presence o f any nuclear or radi oactive material at the Premise s.
K. DU G acknowledges that lead -based paint or as besto s may be present in
and on facilities , equipmen t, c•r land within the Premises. The City or other auth orized entities
may conduct surveys to determine the existence and extent of any possible lead-based paint or
& -~stos. DUG will be notified if the City determines there is lead -base paint or as bestos on
the Premises. Prior to beginning any al teration or modilicatior , DUG must test any paint or
potential asbes to s material which wou ld be disturbed unless a conc lusive determinstion has
been made that lead-based paint or asbest os is not present. DUG is required to handle all lead -
based paint or asbe stos material in accordance with all applica bl e Federal, State , and local laws
and regulations .
20. SUCCF..SSORS IN INTERF..ST : Each and every one of the benefits and
burdens of this Cooperative Agreement shall be bind'ng upon and inure to the benefit of the
• parties hereto and upon the assigns or successors in interest of the parties hereto .

21 . AMF..NDMENTS : No amendments lo this Cooperative Agreement may be
made except in writin g, agreed to by all parties to this Cooperative Agreement, and approved
and executed in th e sa me manner as this Cooperati ve Agreement.
22. ASSI GNMENT : Th e City and DUG acknowledge and agree that this
Cooperative Agre em ent and th e ri ghts and obligations thereunder shall not be assigned or
otherwise transferred to another party .
23. VENUF.. AND GOVERNING LAW :
A. The Ch arter and Revi sed Muni cipal Code of th e City ofEn glewoo d, as
th e same may be amended from time to tim e, are express ly incorporated , as if fu!l y set out in
thi s Coo pera tiv e Agree ment , by this refe re nce.
B. This Cooperativ e Agreement and th e rights and dutie s of the parti es
hercuud er shall be interp re ted in acco rdanc e with th e _Jaws of th e State of Colora1 lo , the Charter
and ord \nan ces of th e City and th e rul es and regu lation s of the City 's Director o( Parks and
Recreation .
C. Venue for any and a ll le ga l actions ari~ing hereunder shall lie in the

MAIN CROSSING THE CITY OF ENGLEWOOD'S RIGHT-OF -WAY FOR THE CITY DITCH
BETWEEN THE CITY OF CHERRY HJLLS VILLAGE AND THE CITY OF ENGLEWOOD,
COLORADO.
WHEREAS, there is an existing ten inch (JO'') sanitury sewer main crossing the City Ditch
Right-of-Way which does not appear in any of the City's record'.l but may be subject of a license
from the Denver Water Bl rd dated May 1961; and
WHEREAS, the passage of this Ordinance will clarify the parties rights and locate the cxi,ting
ten inch (10'') sanitmy sewer main which crosses the City of Englewood's City Ditch rJght-of-
Way on the Cit; ·s records; and
WHEREAS, the City of Cherry Hills Village asswnes full and strict liability for any and all
damages of every nature to persons or property caused by or in connection with the crossing
Cherry Hill• Village sewer main; and
WHEREAS, the City reserves the right to make full use of the property in the operation of the
City Ditch; and
WHEREAS, the City retains all rights to operate, maintain, install, repair, remove or relocate
any of the City's facilities located within the City's Right-of-Way ; and
WHEREAS, the Englewood Water and Sewer Board reviewed and recommended City Council
approval of th e License-City Ditch Crossing Agreeme nt at their January 12, 2010 meeting ;
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCD., OF THE CITY OF

WHHREAS, there is an existing ten inch (IO') sanitary sewer main crossing the City Ditch
Right-of-Way. This main does not appear in any of the City's records but it may be the subject
of a licen se from th e Denver Wa ler Board dated May %1. The parties wish to clnrify the rights
of the current owners with respect to this sanitary sewc..1 main. Except for the emergency
maintenance situations where Licensee may proceed to pcrfonn the emergency maintenance and
provide notice to tl1e City's Director of Utilities as soo n as is reasonably practical.
WfrNESSETH: Th e City without any warranty of its title or interest whatsoever, hereby
authorizes Licensee, its successo r, assigns, lo in stall, operate, maintain, repair and replace an
existing ten inch (10") sanitary sewer main over the City's right-of-way for the City Ditch,
described as a parcel of land situated in the Soutl1wesl ¼ of the Noni,,vesl of Section two
Township 5 South Range 68 West of the sixth P.M., County of Arapahoe, Stale of Colorado .

I. Any constructio n contemplated or performed under this License shall comply with and
co nfonn lo standard s formu lated by th e Direct or of Utilities oftl1e City.
2. The Licensee shall notify the City's Director of Utilities at least tluee (3) days prior to l11c
time of commencement of the construction of, or any repairs made ta, Licensee's ten inch
(IO") sanitary sewer main so that the City may, in its discretion, impcct such operat ions.
Except for the emergency muintcmmcc sit uations where Licensee may proceed to pcrfonn

4. The City sliall have the right to maintain, install, repair, remove or relocate the City Ditch
or any 01 !,er of its facilities or installations within the City's right-of-way, al any time and
in such manner as the City deems necessary or convenient. The City reserves the exclusive
right t•J control all ease ments and installations. In the event the san i Lary sewer main should
interfere with any future use of the City's right-o f-w ay by the City, th e Licen see shall,
upon req uest and at its sole expense, relocat e, rearrange, or remove its installations so as
not to interfere with any such use.
5. Any repair or replacemeol of any City installation made necessary, Ln lhe opinion of U1e
City's Director of Ul1i:!ies because of the construction or maintenan ce of the sanitary
sewe r main or other appurtenant installation thereof, shall be made al the so le expense of
lhe Licensee .
6. The stipulation and conditions of this License sha ll be incorporated into contract
specifications if the construction herein authorized is to be done on a contract bas is.
7. The ri ghts and privileges granted in lhis License shall be subj eel lo prior agreements,
licenses and/or gra nts, recorded or unrecorded, and it shall be the Licensee's so le
responsibility to determine the existence of said documents or conflicting uses or
mstallalions.
8. The Licensee shall contact and fully coopera te with the City's personnel and the
construction shall be completed without mlcrfcrence with any lawful, usual or ordinary
flow of water through the Cit) Ditch. Licensee shall ass ume all risks inci dent to U1e
possible presence of such waters, or of storm waters, or of surface waters in the City Ditch.
9. Al l trenches or holes wiUtin th e City's rights-of-wa y sha ll be backfilled and tamped lo the
origi nal ground line in layera not to exceed six (6) inches loose measure to a compacti on of
ninety percent (90%) Standard Procto r Maximum Density.
I 0. Licensee, by accep tance of this License , expressly assumes full and strict li abi lity for any
nnd all damages of every nature to persons or pro perty caused by water from th e ditch
leaki ng through the ditch banks or pipeline at the point or points where the Licensee
performs any work in conneclion with the crossing provided by t.h.i s License. The Li censee
ass umes nll responsib ility for muintenancc of the instal lation.
11 . To the extent allowed by law, Licensee shaU indemnify and save harmless the City, its
officers and employees, against any and nll claims, damages, actions or causes of uction
un d expenses to which il or they may be subjected by reason of sn id sanitary sewer main
being within nnd across and under the premises of the City or by reason of any work done
or omission made by Li censee, its agents or emplo yees, in con nccli on with the
cons LJu ction, rep lu ccmcnt, mnintcmmce or repair of sa id instnllution; without waiving nny
of the immuniti es protections and defenses afforded Li censee under the Co lorado
Govcnuncntnl lnununity Act.
12. lt is expressly agreed that in case of Licensee's breach of any of the wititin promises, th e
City may, at its option, have specific performance U1ercof, or sue for damages resulting
from such breach.

13 . Upon abnr.<1onmcnt of any right or privilege herein granted, the right of Licensee to that
extent shall tenninotc, but its obli gotion to indemnify ond sove honnless the City, its
officers and employees, shall ryot tcnninatc in any event.
14 . Licensee is co ntemplating conveying Licensee's Facility to the Cherry Hills Village
Sanitation District. If such occurs, Licensee shall have the ri ght lo ossign this License
Agreement to sai d D1Strict upon thirty (30) days advance notice to the City on 01e express
cond ition that the District assumes ond agrees to fully perform all of Li censee's o~ligotions
hereunder. Upon such assignment, Licensee ,hall be fu ll y relieved of any and all
obligatio ns or lia bili ti es under this License Agreement.
In granting the above authorizati on, th e Ci ty reserves the right to moke full use of the property
involved as mny be necessary or co nvcnieut in the operation of the water works plant and system
under the control of the City .

In Jul y 2008, th e Fe deral government passed th e Housing and Econ omi c Re covery Act (HERA ).
HERA app ropri ated $3.92 billion nati ona ll y for th e Neighb0rhood Stabiliza ti on Program (NS Pl ) to
support th e acqu isiti on, reha b ilita ti on , or demo lition of fo reclosed and abandoned properties. Th e
Colorado Depa rtment L 1 Loe I Affairs through the Colora do Division of Housing (CDO H) received
a total $37.9 million in NS~ f nds.
In March 2009, the Community Deve lopmen t Depa rtm ent submitt ed an applica ti on to CDOH fo r
NSPl funding for Proje ct Rebuild. Project Rebuild was award ed $1 ,253,379 by th e Sta te Housing
Boa rd in Jul y 2009 to purchase, rehab ilitate, and se ll ten fo reclose d si ngle-fa mily pr oper ti es in •
eligi bl e ce ns us tracts loca ted through out th e City of Engl ewoo d. In Sept emb er 2009, Coun cil
approve d ent erin g into an int ergove rnm ent al agreemen t w ith th e State fo r NS Pl fun din g and in
O ctober 2009, Co un cil ap prove d purchasi ng ten unid entifi ed si ngle-fa mil y vaca nt fo reclo sed
proper ties to fulfil l th e NS Pl contrac t.

NS Pl fu nding with th e balan ce fr om the City as th e deve loper. It wa s propose d that at least six

The l o ng Term Two Enhanced Surface Water Trea tm ent Rul e was adopted by Congress o n January
5, 2006. In this rule, the En vironmen tal Prot ec tio n Age ncy required th at wa ter systems meet
addi ti onal cryp l osporidium (crypl o) removal requirements. Cryplo is a chl o rin e-res is tan t pa th ogen .
Th e sys tem mu st be o perational by O c to b er 1, 2013. Th e propose d UV sys tem w ill excee d th e
minimum requirem ents of the L T2ESWTR mandate.

esti mates. Th e proposal includes a 3-yea r, 4-month lime line wi th an 8-m onth pi lot l est, and 13
months o f co nstruction with additional inspec ti o ns du ring critical pe ri ods. Con stru c li o n is expected
to take 13 mo nths, with th e pil o t tes t beginning April, 20 1 O and will ru n th rough April, 201 1. CDM
is kn owledgeable and th e mos t qualifi ed rega rding th e process. Th ey have compl eted seve ral o th er
UV sys tems througho ut th e Uni ted Stales. CDM is also familiar with th e All en Waler Tr ea tm ent
Plant , having cons ulted on oth er wa ter treatment plant projects. CDM will be co ntr acted to design •
modifica tions to the old cleaiwell, th e cleaiw~II roof, th e UV s)'stem, th e ,~ac tor sys tem and th e
new power suppl y.
DM will also investigate the 'easibility of providing a 2-m illl on ga ll on per day softe nin g sys tem to
be used in th e future for low river fl ow si tu ations. It is not an tici pated th at th is softening sys tem will
be built at this time.

1100 Denver, Colorado 80202 , a 11/(l!"S G.c.l. .. r<itcorporation ("Consultant"), and The City of
Englewood , Colorado , a mun icipal corpora tion organiz ed under th e laws of the state of Co lorado
("City'').
City desires th at Consultan t provide certain consulting services as desc ribed in Exhibit A, and /or
relat ed services as described herein, and Consultant desires to pe rform such services on bohalf of
City on th e terms and condi tions set forth herein .
In consideration of the foregoing and the terms hereinafter set forth and oth er good and val uabl e
consideration , the receipt and suf fi ciency of which are hereby acknowledged , the parties hereto ,

methods, prices , financial and accounting data ,

delivered by Consultant, pursua nt to the
provision c i !he Services .
2. Statements of Work . During the term
hereof and subject to the term s and conditions
co nldined herein , C,:msu ll ant agrees to
provid e, on an as requ este d basis , th e
co nsulting servicef,, systems int egration
se rvi ces , data conversio n se rvi ces , training
servic es , a1d relat ed services (th e "Servic es")
as furth er desc rib ed in Exhibit A (th e
"Statement of Work") for City , and in such
additional Statements of Work as may be
exec ut ed by eac h of th e pa rti es l1 ere to fr om
tim e to tim e pursuant to thi s Agree ment. Each
Statement of Work shall spec ify th e sco pe of
work , spec if ica ti ons, basis of ~ompensation
and payment sch edule, es tim ated length of
tim e required to co mpl ete eRc h St ateme nt of
Wor k , in cl uding th e es tim ated slmVfi nish
dates, and oth er relevant inform ation and shall
inc or porate all term s and condi ti ons co nt ain ed
in this Agree ment
3. Performance of Services .
(a) Performanc, ·. Con s 11a nt shall
perform the Servi ces nece ssary to compl ete all
se rvi ces ou lf ined in E,hibit A in a tim ely and
professional manner co nsis ten t with the
speci fications, if any , set forth in th e Statement
of Work , and in accord ance with industry
standards . Cons ultant agrees to utilize its
pro fess io nal eng inee ring ex pertise and
creative talent s in comp leting th e proj ects
outlined in th e Statement of Work .
(b) Delays . Consu lt ant agrees to
notify City promptly of any factor, occurre nce,
or event coming to its att ention tha t may aff ec t
Consultant's ability to meet th e requ iremen ts of
the Ag reement , or that is likely to occa sion any
material delay in compl etion of th e proje cts
co ntemplat ed by this Agr eement or any
Sta tement of Work . Suc h notice shall be given
in the eve nt of dny lo ss or reass ignm ent of key
employe es, th rea t of str;ke , or major equipm ent
failure. Time is expressly made of the essence
with respect to e3ch and every term and
provision of this Agreemen t.
(c) Discrepancies . If anything
nece ssary for th e clear understanding of th e
Servi ces has bee n omitted from th e Agreem ent
specifications or it appears that various
ins tru ctio ns are in co nflict, Vend or shall sec ure
wr itten instructio ns fr om City's project director
before proc ee ding with th e pertorm ance of th e
Servic es affected by such omi ssions or
discrepancies.
4. Invoices and Payment. Unl ess
oth erwise provid ed in a Statement of Work,
City sha ll pay th e amou nt s agreed to in a
Statement of Work within thirty (30) days
following th e acceptance by Cit y of th e work
ca ll ed for in a Statement of Work by City .
Acce ptan ce proce dures sha ll be outlined in th e
Statement of Work . If City dispu tes all or any
porti on of an invo ice for charges , th en City
shall pay th e und isputed portion of the invoice
by th e du e date an d sha ll provide th e foll owing
notifica tio n wit h respec t to th e di sput ed portion
of th e invoi ce. City shall nc tify Consultant as
soon as possib le of th P. spec ifi c amount
disputed and sha ll provide reasonab le de tail as
to th e ba sis for th e di~put e. Th e pa rti es sha ll
then att empt to reso lve the disputed portion of
such invoic e as soon as possible . Upon
reso luti on of the disputed portion , C,ty shall
pay to Co nsultant th e reso lved amount.
5. Taxes . City is not sub jec t to
ta xat ion. No federal or oth er ta xes (exci se, •
luxury, transportation, sales, etc.) sha ll be
included in qu oted prices. City sha ll not be
obligated to pay or reimburse Co nsultan t for
any taxes attribut abl e to th e sa le of any
Servi ces which are imposed on or meas ured
by net or gross inco me, ca pital , net worth ,
franchis e, privilege , any othe r tax es, or
assessme nts, nor any of th e foregoing
imposed on or payable by Consultant . Up on
written notificat io n by City and subs equ ent
verifi ca tion by Consultant, Consultant shall
reimburs e or credit , as app li cable, City in a
timely manner , for any anri all taxes
erron eous ly paid by City . City shall provide
Consultant with , and Consultant shall accep t in
good fa ith, resale , direct pay, or oth er
exe mption ce rtifi cates, as applicable.
6. Out of Pocket Expenses. Consultan t
shall be reimbursed only for expenses which
are exp ress ly provided for in a Statem ent of
Work or which have b ee n approved in advan ce
in writing by City , provide d Consultant has
furnish ed such docum entation for aut horized
ex penses as City may reaso nably requ es t.
7. Audits . Consultant shall provid e such
emp loyee s and independent auditors and
inspectors as Ci ty may des ignat e wi th
rea sonable access to all si tes from which
Servic es are pert orm ed for the pu rposes of
perto rmi ng audits or inspec tions of
Consu lt ant's op era ti ons and compliance wit h
this Agree ment. Con sultant shall provid e such
auditors and inspectors any reasonab le
assis tance th at th ey may requ ire. Such audi ts
sha ll be co nd ucted in suc l1 a way so th at th e
Services or services to any ot her cust.:i mer of
Consu lt an t are not imp ac ted adversely .
8. Term and Termination, Th e te,m of
thi s Agre ement shall co mm ence on th e
Effective Date and sha ll co ntinue unl es s thi s
Agree ment is termin ated as provided in thi s
Section 8.
(a) Convenience . Ci ty may, without

ca use and without penal ty , terminate the •
prov isio n of Serv ices under any or all
Statements of Work upon thirty (30) days prior
written notic e. Up on such term inat ion , City

~hall , upon receipt of an invoice from
Consultan t, pay Consultant for Services
actually rendered pri or to the eff ec tive dat e of
such termination . Ch arges will be base d on
tim e ex pend ed for all incomple te tas ks as
listed in th e applicable Stat ement of Work , and
all comp leted tasks wi ll be charg ed as
ind ica ted in the applica bl e Statement of Work .
(b) No Outstanding Statements of
Work . Eith er party may term ina te th is
Agree men t by prov iding th e other party with at
least th irty (30) days prior writt en notice of
termination if there are no ou tsta ndi ng
Sta temen ts of Work .
(c) Material Breach . If either pa rty
materially defa ults in the performance of any
term of a Sta tement of Work or this Agree ment
wit h respect to a speci fic Statement of Work
and does no t substantially cure such default
with in th irty (30) days after receivi ng written
notice of such de faul t, then the non -defau lting
party may termina te this Agree me nt or any or
all ou tstandi ng Sta tements of Work by
providing ten (10) days prior writt en no tic e of
termi nation to the de '.a ult ing party .
(d) Bankruptcy or Insolv ency. Ei ther
party may terminate this Agreem ent eff ec tive
upon written notice stating its intention to
terminate in th e even t th e ot her party : (1)
mak es a general assignment of all or
subst an tially all of its assets for the bene fit of
its credi tors ; (2) app lies for , conse nts to , or
acquiesces in th e appointment of a rece iver,
trust ee, custodian , or liquid ator for its bus iness
or all or substantially all of its assets; (3) files,
or conse nt s to or ac qu iesces in, a petit io n
~eeking relief or reorganizal1o n und er any
bankrupt cy or insolvency laws; or (4) fil es a
petiti on seeki ng re lief or reorgani za ti on und er
any bankrup tcy or inso lvency laws is filed
agains t that oth er party and is not dismiss ed
within sixty (60) days alter 11 was fil ed.
(o) TABOR . Th e pa rt ies understand
and ack now ledg e that eac h party is subject to
Article X, § 20 of the Colorado Constitu tia .,
("TABO R"). The partie s do not intend to
viola te th e term s and requirements of TABOR
by the exec ut ion of this Agreem en t. It is
un derstood and agreed th at th is Agree ment
does not create a multi-fisca l year direct or
indirect debt or obli gation within th e meaning of
TABOR and , notwithstanding anythi ng in this
Agreeme nt to the co ntrary , all payment
obliga tions of City are exp ress ly dependent
and condi ti oned upo n the continuing
avai lability of funds beyond th e term of Citv•~
cur ren t fisca l period end ing upon 1:1e nex t
succeedi ng Oe ce mb er 31. Finan cia l
ob ligations of City payabl e aft er th e current
fiscal year are con ting ent upon funds for that
purpose be ing approp riated , budge ted , and

appropriate such fu nds, this Agree ment shall

(f) Return of Property. Upon
termination of thi s Agree ment , both parties
agree to return to the other all prop erty
(inc luding any Confidential Information , as
defined in Section 11) of th e oth er party that it
may have in its poss ession or con trol.
9. City Obligations . Ci ty wi ll provi de
tim ely access to Ci ty perso nn el, sys tems and
information required for Consu ltant to perform
its obligations here un der. City shall provid e to
Co nsultant's employees pe rforming its
obliga tion s hereunder at City 's premis es ,
wi thout charg e, a reaso nabl e work
environment in com plianc e with all applicable
laws and regulations , inc luding office spa ce ,
furniture, telephone servi ce, and reprodu ctio n,
com pu ter, fa cs imi le, sec retar ial and other
neces sary equipm ent , supp lies, and se rvi ces.
With respec t to all th ird party hardwa re or
so ftware operated by or on IJ!!~al f of City, City
shall , at no ex pense to Cons ·Jlt an t, obtai n all
co ns ents, license s and sublicenses necessa ry
for Cons ult an t to perform und er th e Statements
of Work and shall pay any lees or oth er cos ts
as socia tec, wi th ob tain in g such consen ts,
li ce nses an d subli ce ns es .

11. Confidential Information .
(a) Obligations . Ea ch party hereto
may receive fr om the other party in formati on
whi ch relates to th e oth er party 's busin ess ,
resea rch , developm ent , trade secrets or
business affairs ("Confid ent ial Information").
Subje ct to th e provisions and excep tions set
forth in th e Co lora do Op en Rec ord s Act, CRS
Se ction 24-72-10 1 et. se q., ea ch party shall
protect all Conf idential Informa tion of th e oth er
party with the sa me degree of care as it us es

(b) Know-How. For th e avoid ance of
dou bt neith er Ci ty nor Con sultant shall be
pr evented from making use of know-how and
prin ci ples lea rn ed or ex perie nce gained of a
non-prc prie tary and non-co nf ide ntial nature.
(c) Remedies . Eac h of th e parti es
hereto agree that if any of them , th eir offic ers ,
empl oyees or anyon e obt ainin g acce ss to th e
Co nfidenti al Information of th e oth er party by,
th rough or und er them , br ea ch es any provis ion
th is Section 11, the non-b reaching part y
shall be ent itl ed to an accoun tin g and
repayment of all profit s, co mpens ati on,
comm issio ns, remuneratio ns and benefits
whic h th e br eac hing party, its office rs or
empl oyee s direct ly o r ind irec tly rea li ze or may
rea lize as a res ult of or grow ing out of, or in
conn ecti on with any such breac h. In additi on
to, and not in limi tat ion of the foregoing , in th e
even t of any brea ch of th is Sec ti on 11 , t11 e
pa rti es agree that the no n-breaching pa rty wi ll
suff er irreparable harm and tha t th e total
amoun t of mon etary da mages for any su ch
inj ury to the non-breachi ng party ari sing fr om a
vi ol atio n of th is Sec ti o n 11 would be imp ossibl e
to ca lculate and wo uld th erefore be an

Th e provisions of this Section 11 sha ll survive

12. Proj ect Managers . Each oarty shall
designate one of its employees to be its
Project Man age r under each Statement of
Work , who shall act for that party on all matt ers
under the Stat ement of Work . Each party shall
notify th e other in writing of any rep lacement of
a Project Mar.age r. Th e Proj ec t Managers for
each Stater,1ent of Work shall meet as often as
either on~ requests to review the status of th e
Sta teme nt of Work .
13. Warranties .
(a) Au thority. Consultant repr esents
and warrants that: (1) Consu lt ant has the full
corporate righ t, power and authority to enter
in to this Agreeme nt and to pe rl orm the ac ts
required of it hereunder; (2) the exec ution of
this Agreement by Consult an t, and the
perlormanc e by Consultant of its obligations
and duties hereunder, do not , i d wi ll not
violate ar.y agreement to which Consultant is a
party or by which it is otherwise bound und er
any appl icable law, rule or regulation; (3) whe n
executed and de livered by Consul tant t~,i~
Ag reement will constitute th e lega l, vali d and
bind ing obligation of such party, enforceable
agai nst such party in accordan ce wi th its
terms ; and (4) Cons ult ant acknowledges tha t
City makes no representations , wa rr an ti es or
agreements rela ted to th e subj ec t matt er
hereof th at are not express ly provided for in
this Agre ement
(b) Servic e Warr anty . Consu lt ant
war rant s that its employees and consultants
sha ll hav e sufficient sk ill , knowledg e, and
training to perlorm Se rv ices and th at th e
Services shal l be perlormed in a prof essio nal
and workmanlike manne r.
(c) Personnel. Unless a sp ec ific
number of emp loyees is se t forth in th e
Statement of Work, Consultant warran ts it wi ll
provide sufficient em pl oyees to comple te th e
Se rvices ordered wi thin th e applicable tim e
fram es establish ed pursuant to this Agr eeme nt
or as se t forth in th e State ment of Work ..
Should City reasonab ly deter min e t11at
part ic ul ar person nel provided by Consulta nt
are not sa ti sfac tory or are requested by City to
be replaced for good ca us e shown, Consu ltant
shall , within five (5) working days of receipt of
such reques t from City, provide a substitute
employee of sufficie nt skill , knowledge , and
training to perform th e applicable Services.
Consultant shall require empl oyees providing
Services at a City lo cation to comply with
applicable Ci ty sec urity and safety regulations
and policies .
(d) Compens ation and Ben efits .
Consu ltant sha ll provide for and pay the
compensa tion of employees and sh~II pay all
taxes, con tributions, and benefits (s uch as, b1,t
not limited to, workers ' compensation benefits )
which an employer is required to pay relatl ny
to the em ployme nt of emp lo yees. City shall not
be li able to Consultant or to any employee for
Consu lt ant's failure to perlorm its
com pensation, benefit, or tax obligations
Consultant sha ll indemnify, defend and hold
Ci ty harml ess from and against all such taxes ,
co ntributions and benefits and will co mply with
all assoc iated governmental regula tions ,
inc lL.ding th e filing of all necessary reports and
returns .
14 . Indemnification .
(a) Consult ant Ind emnifi cation .
Consultant sha ll indemnify , defend and hold
harmless Cit y, its directors , office rs,
employees, and age nts and th e successors
and permi tt ed assigns of any of th e foregoi ng
(the "Ci ty lndemnitees") lrom and against all
losses , clai ms , obliga ti ons, dema nds ,
assessments, fines and penalties (whether civil
or crimina l), li abili ti es , expe nse s and cos ts
(in cluding reaso nable fees &, 1d disbursements
of legal counse l and accoun tan ts), bodily and
oth er personal injuri es, damag e to tangible
property , and other damages , of any kind or
nature, suffered or incurred by a Ci ty
ln demnitee to th e ex tent directly or indirectly
arising l ro rn or relate d to: (1) any act , error or
omission by Con sultant or its representatives
in th e perlormance of Consultant 's obligations
under tl1ls Agree ment , or (2) any mat erial
br eac h in a repre senta tion , warranty , covenant
or ob li ga tion of Consu lt ant con tain ed in th is
Agreeme nt.
(b) Infringem ent. Consultant will
inde mnify , defend , and hold City harmless from
all lndemnifiable Lo sses aris ing from any third
party claims that any Work Product or
methodology supplied by Consultant infringes
or misappropriates any Int ell ec tual Property
rights of any third party ; provid ed. however,
that the foregoing indemniflcatior. obligation
sha ll not apply to any alleged infringement or
misappropriation based on : (1) use of .'he
Work Product in combination with products or
services not provided by Consultant to th e
exten t that such in fr ingement or
mis appropriation would hav e been avo id ed if
such other products or services had no! oee n
used ; (2) an y mod ifica tion or enhancem ent to
the Work Product made by City or :,nyone
oth er than Consultant or its sub-consultant s, or
(3) use of the Work Product other than as
permitted under this Agreement.
(c) Indemnification Procedures .
Notwithstanding anyth ing else contained In this
Agrdement , no obliga tion to indemnify which is
se t forth in this Section 14 sha ll apply unl ens
th e pa rt y clai ming ind emnification notifies the
other party as soon as practicable to avoid any
pr ejud ice in th e claim, suit or proceeding of any
matt ers In respect of which th e indemnity may
apply and of which th e notifying pMv has
knowledge and gives the other party the
opportunity to cont ro l the response th erdl0 and
the defense thereof; provided , however, that
the party claiming ind em nifica ti on shall have
th e right to participate in any lega l proceeding,
to contest and defend a cla im for
Indemnification invo lving a third party and to be
represen ted by its ov:n attorneys, all at such
pa rty 's cost and expe nse ; prov ide d fu rt her,
however, tha t no se ttl ement or compromis e of
an asse rl ed th ird -party clai m oth er than th e

(d) Immunity. City . its offi ce rs, and its
employees , are re ly ing on , and do not waive or
intend le waive by any provision of this
Agreeme nt , the mon etary limitations or any
other righ ts , immunities, and protection s
provided by the Col ora do Gwernmental
Immunity Act, C.R.S. ~4-10-101 et se q., as
fro m time to time amended , or otherwise
availabl e to Ci ty , its officers, or its empl oyees .
15 . Insurance.
(a) Requirements . Consultant agrees
to kee p in full forc e and eff ec t and mai ntain at
its sole cost and expense th e foll owing policies
of insurance during th e term of this .\greement :
(1) The Consultant shall comply
with th e Workers ' Compe nsation Act of
Colorado and sha ll provide compensation
insurance to protect the City from and against
any and all Wo rkers ' Compensation claims
arising from performa nce of th e work under
this co ntract. Work ers ' Compensation
insurance must cover obligations imposed by
applicable laws for any employee engaged in
the performance of work under this con tra ct , as
well as the Employers ' Liability within the
minimum statutory limits .
(2) Commerc ia l General Liability
Insurance and au to liability insurance

providing coveragR. for bodily injury and

(b) Approved Companies. All such
in surance shall be procured with such
insurance companies of good sta nd ing ,
permitted 10 do bu sine ss in the co untry, state
or territory where th e Servic es are being
performed .

16 . Rights In Work Product.
(a) Genera lly. Exc ept as specifically
agreed to the contrary in any Statement of
Work, all Intell ec tual Property Rights in and to
th e Work Product produced or provided by
Consultant und er any Statem ent of Work shall
remain the prop erty of Co nsult an :. With
res pec t to th e Work Product , Consultant
unc onditionally and irrevocably grants to City
during th e term of such Intellectual Pro~erty
Ri gh ts , a non -exc lus ive , irr evocab le , perpetual ,
wor ldwide, full y paid and royalty -fr ee license ,
to reprod uce , crea te de rivative works of ,
dis tribu te, publicly perform and publicly display
by all mea ns now known or later deve lop ed ,
suc h Int ell ec tu al prop erty Rights .
(b) Know-How . Notwithstanding
an ything to the con trary herein, each party and
its res pective personnel and co nsultan ts shall
be fr ee to use and employ its an d th eir gen eral
skil ls , kn ow -ho w, and expe rti se, and to us e,
disclose, and emp loy any generaliz ed id eas,
conce pt s, know-how, met hods, tec hniques , or
ski lls gai ned or le arn ed during the cou rse of
any assig nment , so long as it or th ey acquire
and app ly such inf orm atio n wi thout disclosure
of any Conf idential Inform ation of th e other
party.
17. Relationship of Parties . Consu ltan t is
, ac ting only as an ind ependen t co nsult ant ar. ·•
does not undertake, l>y thi s Agree ment, a1y
• Statemen t of Work or otherwise, to perform
any ob liga tion of Ci ty , whether reg ul atory or
con trac tu al , or to assume any res pon sib ility for
City's busine,ss or operations . Ne ith er party

implication , as on agent of th e oth er, except as
ex press ly authorized in a Sta tement of Work .

19. Applicable Law. Consultant shall
comply wi th all app li cabl e laws in perfo rming

which reference is not made in the applicab le
Stat ement of Work . This Agreement shall be
cons trued in acco rd ance with the laws of the
State of Colorado . Any ac tion or proceeding
brought to int erpret or en force the provisions of
this Agreement sha ll be brought before the
stat e or federa l court situated in Arapaho e
County , Colorado and each party her eto
co ns ents to jurisdiction and ven ue before suc h
courts.
20 . Scope of Agreement. II th e scop e of
any provisions of this Agree men t is too broad
in any res pect what soe ver t() permi t
enf orc ement to its fu ll es t exten t, then su ch
prov ision shall be enforced to the maxim um
extent pe •:nitted by law, and th e parties hereto
consen t to and agree th at suc h sco pe may be
judicially modifi ed according ly and th at th e
viho le of su ch provision of t11i s Agree ment sha ll
not th ereby fa il, bu t th at the scope of such
provi sio n shall be curtailed on ly to th e ext ent
necessa ry to co nf orm to law .
21. Additional Work. Aft er recei pt of a
St ateme nt of Wo rk , City , wi th Consu lt ant's
co nsen t, may requec;t Con su lt ant to und ert ake
additio nal work wi th respect to such Statement
of Work . In such event , City and Co nsull ant
sl1a ll exec ut e an ad dendum to t~e Sta tement
of Work speci fying such additional work anct
th e comp ensa tion to be paid to Consultant for
suc h addi ti onal work.
22. Sub-consultants . Consul tant ma y not
sub co ntra ct any of the Serv ices to be prov id ed
hereunde r with ou t the prior writt en co ns ent of
City . In th e event of any perm itt ed
subcontracting, the ag re eme nt wi th suc h th ird
party shall provide that , with respect to the
su bcontracted work, such •11b -c onsu11ant shall
be subject to all of the obligations of
Consultant specified in this Agreement.
23. Notices. Any notice provided pursuant
tc this Agre eme nt shall be in writing to th e
part ies at the addresses set forth below and
shall be dee med giver. (1) if by hand delivery,
upon receipt th ereof, (2) three (3) days after
deposit in th e Un ited States mails, postage
prepaid, certified mail, return receipt requested
or (3) one (1) day after deposit with a
nationally-recognized uvernight co urier,
specifying overnight priority delivery . Either
party may change its address for purposes of
this Agreement at an~· time by giving written
notice of such change to the other party
hereto .
24 . Assignment. This Agreement may not
be assigned by Consultant without the prior
written consent of City . Except for th e
prohibition of an assignment contained in th e
prec eding sen tence, this Agreement shall be
binding upon and inure to the ben efit of the
heirs, successors and assigns ol th e parties
hereto.
25. Third Party Benellclaries . Thi s
Agre ement is entered into solely for the benefit
of th e parties hereto and shall not co nf er any
rights upon any person or entity not a party to
th is Agreement.
26. Headings. The section headings in
this Agreement are sole ly fer con ,ani ence and
shall not be considered in its interpretation .
The recitals set forth on the first page ol this
Agree ment are incorporated into the body of
this Agr eemen t. Th e exhibi ts ref erred to
throu ghout this Agree ment a11d any Statement
of Work prepared In co;1formance with thi s
Agreement are incorporated into th is
Agr eement.
27 . Waiver. The fa il ure of eit her party at
any time to require performance by th e other
party of any provision of thi s Agreement shall
not effect in any way th e full right to req uire
such performance at any sub r aquent time; nor
shall the waiver by either party of a br eac h ol
any provision ol this Agreem ent be taken or
held to be a waiver of th e provision itself. •
28. Force Majeure. If performance by
Consultant of any service or obligation under
thi s Agrn am ent is prevented, restricted ,
delayed or interfered with by reason of lab or
disputes, strikes, acts of God, floods , lightning,
severe weath er, shortages of materials ,
rationing , utility or communications failures ,
earth quakes, war, revolution , civil commoti nn,
acts of public enemies, blockade , em baroo or
any law, order, proclamation , regula tion,
ordinance , demand or req uirement having
lega l effect of any governmental or judic ial
authority or representative of any such
government, or any other act whether similar
or dissimilar to those referred to in this clause,
which are beyond the reasonable control of
Consultant , then Consultant shall be excused
from such performance to the extent of such
prevention, restriction, delay or interference. If
th e period of such delay exceeds thirty (30)
days, City may , without liability, terminate the
~ffecled Statement of Work(s) upon written
notice to Consultant.

30. Permits. Consultant shall at its own
expense sec ure any and all licenses, permits
or certificates that may be required by any
fede ral , state or local statute , ordinance or
regulation for th e performance of the Services
under the Agreement. Consultant shall also
comply with th e provisions of all Appli cab le
Laws in performin(I the Services under the
Agreemen:. At its own expense and at no cos t
to City , Cons ultant shall make any chan ge,
alteration or , nod iii cation that may be
necessary to com ply with any Applicable Laws
that Consultant fai led to comply with at th e
time of performance of the Services .
Notwithstanding the fo rogci ng , Consultant shall
be en titl ed to additiona l compen sation if , after
the effective date of this Agreem en t, there is a
change to any Applicable Law which requ ires a
chang e or modification to tr.a Servi ces .

concerning medical marijuana dispensing and growing; and
WHEREAS, staff will need suffi cient tim e to review and coordin ate th e provis ions rel ating to
medica l marijuana di spensi ng and growing in the Code; and
WHEREAS, Cit y Co un cil deems it necess ary to coo rdin ate th e rev iew of th e Unifi ed
Deve lopment Code and find s it app ro pri ate to prohibit the es tabli shment of new medical

FAIR HOUSING FORUM: RIGHTS, RESPONSIBILITIES AND RESC-'JRCES
April Is Fair Housing Month , a time to celebrate the progress made in providing housing
opportunities to every citizen of th is nation , regardless of race, gender , color , nationality ,
religion, family status, or disability. It Is also a time to acknowledge the fair housing
challenges that still remain , and collectively commit to finding vi able solutions to those
challenges .
Illegal housing discrimination can take many fonns, some quite subtle : realtoni showing
apartments or homes only in certain neighborhoods, advertising housing only to
preferred groups of people , denials of property insurance , discriminatory property
appraisals , or refusals to make reasonable accommodation for persons with dlsabillties .
V\/hether people are trying to rent, buy , sell , or finance a home or apartment , as a tenant ,
homeowner, or land :ard , they need to know the rights and protections provided by the
Federal Fair Housing Act.
Reports across the country Indicate that low-Income people , senioni and the disabled ,
seeking to purchase , refinan ce, or secure a reverse mortgage, are often targets for
predatory lenders or loan fraud . Predatory lenders take advantage of borrowers with a
variety of abus ive practices , such as charg ing excessive interest rates or loan fees .
Douglas and Arapahoe Counties are collaborating to raise awareness of this critical
issue and to help educate our citizens of their rights and responsibilities through a Fair
Housh1g Forum .
Speakers include representatives from the Colorado Civil Rights Division , BBC research
and Consulting , Hopkin s, Tschetter & Sulzer , Community Housing Services , and both
the local and national HUD offices of Fair Hous ing and Equal Opportunity . HUD Region
8 Director Rick Garci a will introduce Deputy Assistan t Secretary of Fair Housing , Bryan
Greene , who trave' d all the way from Washington , D.C. to address the forum during the
plenary luncheo n.
