What is it?
A large, continuous survey

In 2008, th e Ce nsus Bureau released its fir st 3-ycar es tim ates based on ACS
data collected from 2005 throu gh 2007. These 3-yca r es ti mates arc avail ab le
an nuall y fo r geogra phi c areas with a popul ation of20,000 or more.
For areas with a populati on less than 20 ,000 , 5-year es ti mates wil! be
avai lable . The first 5-ycar estimates, based on ACS data co ll ected fro m 2005

on criminal victimization . The Census Bureau conduc ts the NCVS for the U.S . Bureau of Justice

National Health Interview Survey (HIS) -The Nation al Health In terview Surv ey obtains Information

further extended as specified elsewhere herein .

Th e State, at its sole di scret ion upon written noti ce to Gran tee as provided in §16, may unil aterall y extend
the 1erm of this Grant for a period not to exceed two month s if th e Parties arc negot iat ing n repla ce ment
Grant (and not merel y seeking a term ex tension) at or near 1he end of nny initial term or any extension

B.Payment

Any advance payment allowed uncler this Grant or in Exhibit B shall comply with State Fiscal Rules
and be made in accordance with the provisions of this Grant or such Exhibit Grantee shall initiate any
payment requests by submitting ,1voicc,; !J the State in the form and manner SCI for1h and approved by
the State.

The State shall not pay interest on Gff..-'ltee invoices .
UI. AvaDable Funds-ConUnaency-Termlnntlon
The State is prohibited by law from making fiscal commitments beyond the term of the State's current
fiscal Y=• Therefore, Grantee's compensation is contingent upon the continuing availability of State
appropriations as provided in the Colorado Special Provisions, set forth below, If fed,raJ funds are
used with this Grant in w~ole or in part, the State's performance her"1nder is contingent upon the
continuing availability of such funds . Payments pW1Uant to this Grant shall be made only from
available funds encumbered for this Grant and the State's liability for such paymenlS shall be limited
to the amount remaining of such encumbered funds. lf State or federal funds are not fully
appropriated. or otherwise become unavailable for this Grant, the State may terminate it in whole or to
the extent of funding reduction, without further liability, aft:,r providing notice to Grantee in
accordance with 116.
Iv. Erroneo111 Payments
Al the State's sole discretion, payments made to Grantee in error for any reason, including, but not
limited to overpayments or improper payments , and unexpended or excess funds received by Grant ee,
may be recovered from Grantee by deduction from subsequent payments under this Grant or other
Grants , 'IJ'ants or agr,e1DC11•s between the State and Grantee or by other appropriate methods and
collected as a deb' t a';•t• i,'<J,te. Such funds shall not be paid to any party other than the State.
C. U1e of Funds
Grant Fund s shall be u ;'II }1 for e'iigible costs identified herein and/or in Exhibit B.
D, Malchln& Funds
Grantee shall provide matching funds as provided in Exhibit B.
8. Ri.."'t')RTING • NOTIFICATION
RepOIU, Evaluations , and Reviews required under this §8 shall be in accordance with the procedures of and
insuch form , prescribed by the State and .'n acr.ordance with 119, if applicable.
A. Performance, Proeress, Personne~ and funds
Grantee shall submit a report to the State upon expiration or sooner termination of this Grant, containi ng an
Evaluation and Review of Grantee's f""'ormancc' and tl1e final status of Grantee's obligations hereunder.
In addition, Grantee shall com?IY w\th all reporting requirements, if any , set forth in Exhibit B.
B. Litigation Reporting
Within 10 days after being served with any pl 0'1 ding in a legal action filed with a court or administrative
agency , related to this Grant or which may affect Grantee 's ability to perform its obligations hereunder ,
Grantee shall notify the State of such action and deliver copies of such pleadings to the State's principal
representative as identified herein. If the State's principal representative is not then serving, such notice and
copies shall be delivered to the Executive Director of the Depal".mcnt of Local Affairs .
C. Noncompliance
Grantee's failure to provide reports and notify the State in a timely manner in accordan r.e with this §8 may
result in the delay of payment oi funds and/or termination as provided under this Gram.
D. Subcrants
Copies of any and all subgrantt •.ntcred into by Grantee to perform its obligations her"1nder shall be
submitted to the State or its principal representative upon request by the State. Any and all sabgrants
entered into by Grantee related to its performance hereunder shall comply with all npplicable federal and
state laws and shall provide that such subgrants be governed by the ltw, of the S~te of Colorado .

D. Disclosure -Liability

permitted by law. indemnify, save , and hold harml ess the State, its employees and agents , againSI any and
all clai ms , damages , liability and coun awards including costs, expenses , and att orney fees and related
costs, in curred as a resu lt of any act or omiss ion by Grantee, or it s employees , agent s, Sub-grantees, or
assig nees pursuant to this §10.
11. CONFLICTS OF INTEREST
Grantee shall not engage in any bu sines s or perso nal activities or prac ti ces or maintain any re.., onships which
conflict in any way with th e full perfor mance of Grantee's obligati ons hereu nder . Grantee ac knowl edges that
with respect to this Grant. even th e appearance of a confli ct of interest is harmful to th e State 's imerestfi . Absent
th e Smte's prior written approval, Grant ee shall refrain from an y practices, acti viti es or relationships th at
reasonably appear to be in confli ct with the full performance of Grantee 's obliga tion s to the State hereunder . If
a conflict or appearance exists, or if Grantee is uncenain whether a confli ct or the appeara nce of a conflict of

Grant ee shall perform its obliga ti ons hereunder in accordan ce with th e high es t standa rds of ca re . skill and

13. INSURANCE
Grantee and it s Sub -gra nt ees shall obrnin and maintain in suran ce as specified in thi s section at all times durin g

A. Grantee
I. Public Entitles
If Grantee is a "public en tit y" within the meaning of the Colorado Governmental Immunity Act , CRS
§24-10-IOI, et se<J., as amended (the "GIA"), then Grantee shall maintain at all time s during the term
of this Grant such liability ins uran ce, by co mmercial poHcy or self-insurance, as is necessary to meet
its liabilities under the GIA. Grantee shall show proof of such insurance satisfactory to the State, if
reques ted by the State . Gramee shall require ea ch grant with sub-grantees that are publi c ent ities,
providing Goods or Services hereunder. to in clude th e insura nce requirements necessary to meet Sub -
grun tce's liabilities under th e GIA.
ii. Non-Public Entities
lf Gran tee is not a "public entity '' within the mea ning of the GIA , Grantee shall obtain a 1d maintain
during the term 1 ·' this Grant insurar,ce coverage and policies meeting 1he same requiremen ts set forth

14. BREACH
A. Defined
In addition to any breaches specified in other sections of thi s Grant , the failure of ei ther Pany to perform
any of its material obligations hereund er in whole or in part or in a timely or sa tisfa ctory manner,
constitutes a bieach. The institution of proceedings und er any bankrup tcy, insolvency, reo!'g,ani:zation or
similar law, by or against Gramec, or the appointment of a receiver or si milar officer for Gran1ee or any of
its propen y, which is not vacated or fully stayed within 20 days after the instituti on or occ urrence thereof,
shall also crnstitute n brea ch .
B. Notice and Cure Period
In the event of a breach, notice of such shall be given in writing by th e aggrie ved Pany to the other Pan y in
the manner provided in §16 . If such breach is not cured within 30 da ys of rec eipt of written notice, or if a
cu re cannot be co mpleted within 30 days, or if cure of the breach has not begun withi n 30 days and pu rsued
with due diligence, th e State may exercise any of the remedi es set forth in §15 . Notwithstanding anything
to the contrary herein, the State, in its sole di screti on, need not provide advance noti ce or a cure period and
may immediately terminate this Grant in whole or in pan if reasonab ly necessary to preserve public safety
or 10 prevent immediate public crisis .
15. REMEDIES
If Grantee is in brea ch under any provi sion of thi s Grant, provided that a breach is not necessary under §15(8),
the State shall have all of the remedi es listed in thi s §15 in add ition to all other remedies set forth in oth er
sections of thi s Grant following the noti ce and cure period set forth in §14(8). The State may exercise any or all
of the remedies available 10 it, in its sole di scret ion , concu rrentl y or consecutiv ely . lf the form of financial
assistance is a loon, as specified in the tnb le on page 1 of thi ~ Gra nt , and in th e event of a termination of this
Grant , such termination shall not extinguish Grantee's obligation s und er the Promissory Note and the Deed of
Tru st.
A. Te rmination for Cause and/or Breach
If Grantee fails to perform any of its obligations hereu nder with such diligence as is required to ensure it s
completion in accordance with the provisions of thi s Grant and in a timely manner , the State r, ay notify
Grantee of such non-performance in accorda nce with the provi sions herein . If Grantee thereafter fails to
promptly cure such non-performance wiLhin Lh e cu re peri od , lhe State, at it s op tion, may terminate thb
entire Grant or such part of :his Grant ns 10 which there ha s been delay or a failure to properly perform.
Exercise by th e Stat e of thi s right shall not be deemed a breach of its ob li ga ti on s here under . Grantee shall
continu e performance of th is Grant to the ex tent not termina1e( 'f any .
1. Obligations and Rights
To the extent specified in any termination notice, Grantee shall not in cur further ob li ga ti ons or render
furth er performan ce hereunder past the effective da te of suc h notice , and shall terminate outstandin g
orders and sub -grant s/co ntracts wi1h third parti es. How ever . Grantee shall complete and deliver 10 1h e
State all Work. Services and Goods not cancelled by the ter minati on notice and may in cur ob li ga tio ns
as are necess ary to do so within thi s Gram's ter ms. At the sole discretion of the State , Grant ee shall
assign to the Sta ie all of Grantee's right , title, and interest und er such terminated orders or sub -
grants/contra cts. Upo n 1erminati on, Grantee shall take tim ely , rea sonable and neces sary ac tion to
protect and pres er ve property in th e possession of Grant ee in which the State has an int erest. All
material s owned by th e State in th e pos session of Grantee shall be immediately returned to th e State .
All Work Prod uct , at the optio n of th e State, shall be deli vered by Grantee to the Stat e and she ll
become th e State's propeny .
ii . Payments
The State shall reimburse Grantee only fo r accepted performance up to the dftl e of terminat ion. lf,
after termination by the State, it is determined that Grantee was not in breach or that Grantee's a t1on
or inaction was excu sable , such termination shall be treated as a termination in th e public interes t and

th e rights and obligations of th e Parties sha ll be the sa me as if thi s Grant had been terminated in the

Iii. Damages and Withholding
Notw ith stand ing any other remedia l action by the Sta te, Grantee also sha ll remain li ab le to the State
fo r any damages sustai ned by the State by virtue of any breach under this Gram by Grantee and th e
State may withhold any pa yment to Grantee for th e purpose of mi tiga tin g th e State's damages , until
s uch time as th e exact amount of da ma ges du e to the State fr om Grantee is deter min ed. Th e Sta ie may
withhold any amou nt that may be due to Grantee as the State deems necessary to protect th e State,
incl ud ing loss a.~ a resu lt of ou tsuu,din g liens or claims of fo rmer li en holders, or to reimb urse th e
State for th e excess costs in curred in procuring si milar goods or serv ices. Gra ntee shall be liabl e for
excess costs incurred by th e Sta te in procuri,1g fro m th ird parties repla ce ment Work, Services or
sub stitute Goods as cover.
B. Early Termination In the Public Interest
The State is enterin g into this Gran t for the pu rpose of carry in g out the public policy of the Stat e of
Colorado, as determined by its Governor, General Assembl y, and/or Courts . lf thi s Grant ceases to further
th e public policy of lh e State, the State, in its sole discretion, may terminate thi s Grant in whole or in part .
Exerc ise by th e State of this rig ht shall not constit ute a brea ch of the State's obligations hereund er. Thi s
subsection shall not appl y to a tennin ation of thi s Grant by th e State for cause or breach by Grantee, which
shall be governed by §lS(A) or as otherwise spec ifi ca ll y pro vided for herein .
I. Method and Conten t
Th e State shall notify Gra ntee of such termination in accordance with §16 . Th e notice shall spec ify
the effective date of th e terminatio·.1 and wh eth er it affects all or a port ion of thi s Gram .
ii . Obligations and Rlghts
Upon rece ipt of a ter mination notice, Grantee shall be s ubj ec t to and co mply with the same ob li ga ti ons
and rights set forth in §IS(A)(I).
iii. Payments
If thi s Gra e, is terminat ed by th e Stllte purs uant to th is § 15(8). Grantee shnll be pa id an amount whi ch
bears t~ ime rati o to th e total reimbursement under this Grant as the Servi ces sati sfa ctoril y

Additiona ll y. if thi s Grant is les s than 60 % co mplet ed, the State may rei mbu rse Grantee for a portion
of actual out•of.pocket expe nses (not otherwise reimbursed under th.i s Gra nt) incurred by Grantee
wh ich are direct ly attributable to the un co mpl eted ponion of Grantee's obligations hereund er:
provided that the sum of any and all reimburseme nt shall not exceed th e maximum amount payable to
Grantee hereunder .

v. Intellectual Property
If Grantee infringes on a patent , co pyright, trademark, trade secret or ot her intell ect ual property right
while performin g its obligations und er thi s Grant, Grantee sha ll, at the State's option {a) obtain for th e
State or Grantee the right to use s uch products and serv ices; {b) replace any Goods, Serv ices, or ot her
produ ct in vo lved with non-infringing products or modify th em so that they become non -infrin gi ng; or,
{c) if nei th er of the foregoing alternatives are reasonab ly availab le, remove any infringing Goods,
Services, or products and refund the price paid therefore to the State .

Grantee agrees to be governed, and to abide, by th e provisions of CRS §24-102-21)5 , §24-102-206, §24-103-601,
§24-103.5-101 and §24-105-102 co ncerni ng the monitoring of vendor performan ce on stme Gra nts and inc lusion
of Grant performance information in a sta tewide Conlract Management Sys tem . Gra ntee's performance shal l be
subject tv Eva lu ation and Review in accord'lrn,,e with the terms and co ndition s of th is Grant, State law. including
CRS §24-103.5-10 1. and Stat e Fiscal Rules, Pol icies and Guidance . Evaluation and Rev iew of Grantee's
performnnce shall be pan of the normal Grant administration process and Grantee's performa nce will be
sys tematica ll y recorded in th e statewide Contract Manag ement Sys tem. Areas of Eva lu ation and Review shall
inc lu de, but shall not be limited to qual ity, cost and timeliness. Collection of information relevant to th e
performa nce of Grant ee 's obligations under this Grant sha ll be determined by th e spec ifi c requirements of suc h
obligations and sha ll includ e facto rs tailored to match th e requirement s of Grantee 's obligat ions . Such
performa nce informatio n shall be entered int o Lhe statewide Contract Management Sy tern at interval s
estab lished herei n and a fina l Evaluati on, Rev iew and Rating shall be rendered wi thin 30 days of th e end of th e
Grant term. Grant ee shall be notified fo ll owin g each performance Eval uation and Review , and shall address or
correct any identified problem in a timel y manner and maintain work progres s. Should th e final performance
Eva luation and Review determine that Grantee demonstra ted a gross fail ure to meet th e performance measures
established hereunder , the Executive Dir ector of the Colora do Depa nm ent of Perso nn el and Administration
(Executive Director), upon request by the Departme nt of Ll"'a l Affairs , and sho win g of good cause, may debar
Grantee and prohibit Grantee from bidding on future Grant s. Grant ee may co nt es l the fin al Eva luatio n, Review
and Rati ng by : (a) filing reb utt al sta teme nt s, which may res ult in eith,r removal or correction of th e eval uation
(CRS §24-105-102(6)), or (b) undrr CRS §24-105-102(6), exercisi ng th e de barment protes1 and appea l rights
provided in CRS §§24-109-106, 107. 20 1 or 202, wh ich may result in the reversnl of the debarment and
re instateme nt of Gra nt ee, by th e Execu1ive Director, upon a show ing of good cause .

WHEREAS, staff will n.orA suffici ent time to review and coordinate the provisions relating to
medical marijuana dispensing and gl'Owing uses. in the Code; and
WHEREAS , City Council deems it necessary to coordinate the review of the Unified
Development code and fmds it appropriate to prohibit the establishment of new medical marijuana
dispensing and growing uses in the City until the review by the staff and City Council; and
WHEREAS , the moratorium passed August 17, 2009 and extended until October 19, 2010 stops
the establishment of new bu sinesses ; and
WHEREAS , those uses already in business would not be affected ; and
WHEREAS, in order for the City 10 comply with equal protection issues, the moratorium or
temporary suspensiou must apply to all 1.0ne districts unless specific exemptions cm be
legitimately set forth due to a finding that a particular 1.0ne district should be excluded ; and
WHEREAS, the revisions to the Unified Development Code and the updating of the uses
allowed in all 1.000 districts will help protect the public health, safety snd welfare by preserving a
safe, healthy, and sound environment within the City; and
WHEREAS, the citizens of Englewood and the City Council have detennined that further
revisions to the Unified Development Code are necessary to promote, coordinate, and implement a
high quality plan to produce well balanced 1.0ning in the City; and
WHEREAS, the current li sting of uses is not meeting the above criteria; and
WH!'.R 1:,'.5, the Colorado State Legislature has decided to also address this issue by the
passage of House Bill 1284 of the 2010 Session and the City Council finds that the revi sions to the
City's Unified Development Code must be coordinated with the requirements of the Colorado
Statut es as well as the Constitution; and

necessary to implement the revisions to the Unified Development Code consistent with the State
Statutes;
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
ENGLEWOOD , COLORADO , TI-IATAN EXISTING TEMPORARY SUSPENSION OR
MORA TORJUM ON THE ESTABLISHMENT OF NEW MARJJUANA DISPENSING AND
GROWING USES UNTIL JULY I, 2011.
Section I. By reason of the fact that the Englewood Unified Development Code does not
adequately define or limit medical marijuana di spensing and growing uses and for the immedi ate
preservation of the publ ic property, health, peace and safety.
Section 2. Said moratorium or temporary suspension shall be for any medical marijuana
dispensing and growing uses within the Ci ty of Englewood not in operation by August 17, 2009.
Section 3. The City Counci l directs City staff to develop approp:iate recommendations to
Co uncil , within the moratorium period , to be consistent wit h this Ordinance and to provide f < &n
updating of the Unified Development Code relati ng to medical marijuana dispensing and
growing uses .
Section 4. The City Cow1cil finds the provisions of thi s Ordinance are temporary in natw·e
and are intended to be rep laced by subseq uent legislative enactm ent so that the moratorium 01
temporary suspensi on as specified in this ordinance shall termi nate on July I, 2011 .

WHEREAS . the :~uth Broadway Englewood Busi ness Improvement District is a special
assessment district de signed to improve the economic vi tali 1y and overall comme rcial appeal of
the South Broadway corridor in the City of Englewood , Coiora do and to pro vide programs to
businesses and commercial propenies that will ir1clude di :.1rict marke1ing, promoiions, enhanced
safely and maintenance; and
WHEREAS , the South Broadwa y Eng lewood Bu sin ess Improvement District (SBEBID) is
managed by a Board of Direc tors consisti ng of seven members, all of whom shall be South
Broadway Englewood Business improvement Distric 1 voting members and rate payers, who serve
for a three (3) year term; and

A RESOLUTION OF THE CITY OF ENGLEWOOD , COLORADO SUPPORTING THE
DENVER REGIONAL COUNCIL OF GOVERNMENTS ' COMPREHENSIVE JOINT
APPLICATIO N TO THE U.S. DEPARTMENT OF HOUSING AND URBAN
DEVELOPMENT'S SUSTAINABLE COMMUNITIES REG IONAL PLANNING GRANT
PROGRAM .
WHEREAS, on Jun e 16, 2009 , the U.S. Dcparunenl of Hous ing and Urban Develop ment
(HUD), the U.S. Dcpanment ofTransportation (DOT), and the U.S. Environmental Protec tion
Agency (EPA) announced the Partnership for Sustainab le Communiti es (The Partnership) to
reshape the Federal government 's role in helping ac hi eve economica ll y prosperous , healthy,
environmentally sustaina ble and opportunity-rich co mmunities; and
WHEREAS, the Partnership seeks to foster such communit ies consistent with the fo ll owing
Livability Principles:
1. Pro,ide more transportation chokes. Develop safe, reliable and eco nomic
tranSportation choices to decrCP.se house hold transportation costs , reduce our
nation's dependence on foreign oil , improve air quality, reduce greenhouse gas
emissions , and promote pu blk health .
2. Promote equitabl e, affordable housing . Expand locati on-an d energy-efficient
housing choices fo r people of all ages, incomes, races and ethnicities to increase
mob ility, and lowe r the co mbined cost of housing and trans porta tion .
3. Enhance economic competitiveness . Improve economic competiti veness through
relia bl e and timel y access to em ployment centers , educational 0ppo rtunities,
services, and other ba sic needs by workers as we ll as expand ed bu si ness access to
market s.
4. Support existing communitie s. Target funding toward existing communities
through such strategics as transit-oriented , mixed-use development and land
recyc ling -to increase communi ty revitalization, impro ve the effi ciency of publi c
works investments , and safeguard rural land scapes .
5. Coordinate policies and leven~e in vestment . Align polici es and funding to
remove barriers to co ll aboration, leverage funding , and increase th e acco untab ility
and effectivericiC f All levc1s of gove rnment to plan for future growth , including
making smart energy cho ices such as loca ll y generated renewable energy.
6. Value communities and neighborhoods . Enhance the unique characteristics of
all communi ti es by investing in healthy, safe, and wa lkabl e neighborhoods -rural ,
urban c,· suburban ; and
WHEREAS , the Denver Regiona l Counc il of Governments' Board of Directors adopted a
resolution affmning its su 11-;,ort fo :· th e Partnership and agreeing lo t.llegrale the Livability
Principl es into ongoing futur e Metro Vi sion discussions; an d

WHEREAS, thi s new Partnership recognizes the need to support metropolitan scale. multi-
jurisdicti onal solutions in meeting these Livability Principles; and
WHEREAS, the U.S. Department of Housing and Urban De velopment (HUD) recently
arm ounced that it will award S l 00 million in grant s as pan of th e Sustainable Communities
Regio nal Planning Grant program ; and
WHEREAS , the Denver Regional Council ofGovemmems , the Metro Mayors Ca ucus. the
Metro Area Count y Co mmi ssioners and the Colorado Tomorrow Alliance have facilitated a
region~wide discussion with a wide range of stakeholders over lhc past three months to develop a
regional proposal under this grant program : and
WHEREAS , as an outcome of th ese di sc uss ion s, the Den ver Regional Council of
Governments is now fina li zing a grant application focused on I) refining Metro Vision to atte nd
to the Livability Princip les and 2) providing financial support to advance th e successful
implementati on of the Livability Principles at the loca l level: and
WHEk£AS. the City of Englewood is a strong, cornmiued member of the Denver Regiona l
Council of Govemments and is duly proud of the region ·s long history of collaborative action on
mauers of reg ional co ncern for the collective beuenncn1 of the region as a whole .
NOW . THEREFORE . BE IT RESOLVED BY THE Cm' COUNC IL OF THE CITY OF
