TRUST FUND FOR THE DIJNCJ\N PARK PLANNING GRANT .
WHEREAS , the City of Englewood authorizes the Intergovernmental i\grec:ment with Great
Outdoors Colorado for the Duncan Park Planning Grant; and
WHEREAS , the City of Englewood has received a grant from Great Outdoors Colorado to
fund the development of a site-specifi c park plan fo r Duncan Park redevelopment; and
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
EN GLEWOOD , COLORADO, THAT:
Section I . The Englewood Cit y Council hereby authorizes the Mayor to sign the grant agreem•:nt
with Greal Outdoors Colorado.
Section 2. Tac Englewood City Council hereby authorizes tne expenditw-e of funds as necessary
to meet the terms and obligations of the gram agreement and applicat ion.

CONTEXT OF AGREEMENT:
A. The Srate Board of th e Grcnl Outdoors Colorad o Tru st Fund (refemd lo herein as
"GOCO" 01 the "Board ") is a political subdivision of rhc State of Colorado, created by A11icle
XXVII of the Colorado Constillllion , adopted at the November 1992 Gene ral Election, whi :h
a11ic:c appropri ares a portion oflhe net proceeds of lh : Co lorado Lollery to the Board and dircclS

5. Grantee ~!forts. Grantee shall complete the Project in a timely fashion, in a good and
workmanlike minner, an<! consistent with this Agreement and GOCO's approvals related lu the
Project.
6. Co111plc1ion Dale . Grantee shall complete the Project and submit its Final Report no later
than June 8, 2012 (the '·Completion Date") which is eighteen months after the Board's
approval of the Project. Grantee may reque st an extension of !he Completion Date in compliance
with GOCO's Overdue Grants Policy, which is attached as Exhihir r. ("Overdue Grants Policy").
If Grantee determines with reasonable probability that the Project will no! or cannot be
completed by the Co:npletion Date or any extended completion date, Grnn1ec will promptly so
advise the Board, and cooperate in good fai th lo seek a resolu tion before any further funds are
advanced.
7. Mat:hin&,Funfil . Grantee shall obta in the matching cash und in-kind conu·ibutions for the
Project as reflec ted in the Budget and as rC<luired by GOCO policy, and shall provide such
evidence of the same a.s COCO may require in its discretion from time•lO •lime.
8. Disbursement of ~unds .
a. Advance Payment : lf Grantee opts to receive a portion of the Grant funds prior to
beginning work un the Prujccl (a11 "Advance Payment"), Grantee shall provide GOCO with n
copy of the fully -executed contract or contracts under which a substantial porti on of the Project
will be completed and/or invoices, receipts or other documemation evidencing initial expenses .
Such contract or contracts shall show the work and the cos! of the work to be completed . GOr.O
may , in its discretion, request additional documentation :~ support making an Advance Payment.
An Advance Payment shall not exceed 75% of the funds contracted and/or expended for 1he
Project or 50% of the Grant, whichever is less. An Advance Payment shall be considered a loan
until the Project is complete and Final Paymen t (as defined below) has been made . lfGrantee
opts to receive an Advance Peymcnt, ii muy 1101 receive a Progress Payment (as defined below).
b. Progress Payment: If Grantee has opted to forego an Advance Payment and has opted to
receive a portion of the Grant funds after starting but prior 10 completing work on tt.e Project (a
"Progress Pa yment "). Grantee shall prov id, GOCO with a progress repor1 detailing expenditures
and progress made IO da1, ("Progress Report"). The l'rogrcss Repon must be subm 1t1ed using
GOCO's Pro grr ss Rr por l form (available at www .gnco.org or hy contacting GOCO). GO CO
may , in its discretion , re~uesl additional documentation 10 suppon making a Progress Payment.
A Progress Payment shall not exceed 75% of the funds expended 10 date for the Project or 50%

c . Final Payment : Once •.he Project is complete, Grantee shall submit a final report 10
GOCO detailing !he oecompEshments of and expenditures related to the Proj ect (!he "Final
Report"). The Project is "cor.iplele " when all the tasks and final products eontemplated in the
Projec t Application have been completed . The Final Keport mu s! be submitted using GO CO's
Final Report form (svailah!e al www .poco .org or by contacting GOCO). GOCO may, in its

12. Compliance with Regulatory Requirements and Federal and Stale Mandates. The
Grantee hereby assumes responsibility for compliance with nil regulatory requirements in all
.ippliciblc areas, including but not limited lo nondiscrimination, worker snfety, loc::1\ l:thn r
preferences, prefcn·ed vendor programs, equal cmplo)ment opportunity, use of competitive
bidding, and other similar requirements. To the extent permiued by law, the Grantee will
indemnify the Board from any liabili 1y or any failure to comply with any such applic able
requirements.

13 . Nondiscrimination . During the performance of this agreement, the Gran1ee and its
contractors shall not unlawfully discriminate against any employee or applicant for employment
because o i race , n.:ligion 1 1.,;olor 1 nati onal origin, ancestry, physical handicap, medical conditi on,
marital status, age, or sex . The Grantee and its contrartors shall emure that the evaluation and
trea1ment of their employees and applicants for cmpl )'!Tlenl are free of such discrimination.
14 . Publicity _and Project lnfonnation .
a. Grnn1ee shall acknowledBe Bonr<l f\in <l ing in all pllblicity issued by it co~cerning the
Project.
b Granle c shall cooperate with the Board in preparing public information pieces.

Project.

disseminate information about the Proje ct, Grantee shall acknowledge Board funding on its

e. If Grantee uses the Gram to create, publish, or update any wrinen material or uses such
wrinen material to disseminate mfonnation about the Project, Grantee shall acknowledge Board
funding in the written rnr1tP.ria1
f. If any events are planned in relationship 10 or as pan of the Projec1 , Grantee shall
a:knowlcdge the Board as a contributor 10 the even1 and shall notify the Board at lea st thirty (30)
days prior to 1he event.
15 . Liability.
a. Grantee shall be rcS ?Onsiblc for, and :o the exlent pennitted by law (including any
constitu1 ional or statutory limiiation s on the abili1y of a governmental en1ity to prov ide
indemnification), indemnify, defend and hold harn1less the Board , its officers , agents and
employees fiom any and ali liabili1 ics , claims, demands , damages or costs (including reasonabl e
legal fees) resulting from, grow ,ng out of, or in any way connected with or incident to Grantee 's
performance of this Agreement. Grantee hereby waives any and all righlS to any type of express
or implied indemni1y or right of contribu1ion from the State of ,;olora<lo, 1he Board, its members.

b. Anything else in this Agreement to the contrary notwi,hs1anding , no tenn or condition of
this Agreement shall be construed or interpreted as a waiver, either express or i:nplied, of any of
the immuni1ies , rights, benefits or protection provided 10 rhe Board under the Colorado

liovcmmental Immunity Act ("COIA") as amended or as may be amended in the fllture
(including, without limitation, any amendments to such statute, or under any similar statute
which is subsequently enacted). This provision may apply 10 Grantee if Grnl\lec qualilics for
protect io n under the Colorndo Governmental Immunity Act, C.R.S §24-1 Q. J 01 et seq . The

a. In the::: c::veut that Granter.: breaches any of the tcmts, covenants, representations, or
conditions of this Agreement, the Board may elect to enforce any and all remedies available at
law or in equity, including witr.out limitation , any of the following :
i. Prior to payment of Grant:
A. Withdraw the Grant and tenninate this Agreement; and,
B. Deny Grantee eligibility for participation in future Board grants, loans or
projects.
ii. Arter ~ayment (partial or full) of Grant:
A. Deny Grantee eligibility for participation in future Board grants, loans or
projects ;
B. Seek specific performance of Grantee's obligations uncer this Agreement;
C. Receive reimbursement in full cf disburs ~men t made under the Grant.
b. The foregoing remedies are cumulative and may be exercised independently or in
combination and are not exclusive to one another or to any other remedies available at law or in
equity. In the event GOCO must pursue any remedy hereunder and is the substantially
prevailing party, GOCO shall be awarded its costs and rea so nable legal fees, including costs of
collection.
19. Good Faith. There is an obligation of good faith on the pan of both parties, including the
obligation to make timely communication of info rmation which may reasonably be believed to
be mate1ial to the other part y.
20. Assignment. Grantee may not assign its rights under this Agree1r.ent without the consent
of the Board, which consent shall be in the discretion of the Board . Any assignment shall
require, at a minimum, thal th e assignee is eligible to receive grants from the Board :md ;tSSUmes
Grantee's ongoing obligations under this Agreement
21. Applicable Law . This /\greement shall be gov erned by the law s of the State of Colorado
and venue for any disput e hereunder shall lie exclusively in the State Co urts of the City and
County of Den ver .
22 . No Joint Venture. Nothing in this Agreement shall be construed <o creutc a joint venture,
partnership, employer/employee or other relationship between the pat1ies hereto other than
independent contracting panies. Except as pertnitted under the remedies provisions hereunder,
neither pa11y shall have the express or implied right to act for , on behalf of, or in the name of the
other pal1y.

23 . Scverabilitv. lfnn1 provision of this Agreement, or the npplicution thereof, is fou:id to

hereunder shall survive the funding of the Grant and the completion of the Project.

29 . Waivg. The failure of either pm1y to enforce a term hereof shall not be deemed a waiver

agninst whom the waiver i~ sought to be enforced.
30 . Entire Agreement. Except as exp ressly provided herein, this Ag reement constilmcs the
entire agree:ncnt of the patties. No oral understanding or agreement not incorporated in this
/\g··ccmcnt shall be binding upon the patties . No changes to this /\grecmcnt shall be valid unless
made as an am endment to thi s contract, approved by the l3oard, und :;igncd by the pa11ies .

RECOMMENDED ACTION
Staff re commen ds that Ccuncil adopt a bill {or an ordi11ance authorizing an Intergove rnmental
Agreement between the City of Englewood and Great Outdoors Colorado (GOCO) for the
acceptance of grant funding for the develo pment of a site-specific park plan for Duncan Park
redeve lopme nt.
BACKGROUND, ANALYSIS, AND ALTERN ATIVES IDENTIFIED
The purchase of th e Duncan P,,rk property frnm Englewood Schools was completed in 2010. On
August 16, 2010 Council approved Resolution No. 75, Seri es of 2010 supporting the City's GOCO
grant application for Duncan Park redevelopment. The City was successful in receiving the
requested $75,000 grant. The grant will be u5ed to fund the planning process.
After the Intergovernmental Agreement has been completed, the City v ill develop a Rcq11es1 for
Proposa l (R FP) l o se lect a consultant to develop a si te-s peci fi c plan . At the conclusion of tn is
planninR project th e deve lopment and construction documents will ha ve been ftilly ve tted through
the public process. Citizens, neighbo rs and user groups will ha ve ampl e opportunity to provide
input. The Parks and Recrea t ion Co mmis sion will provide inp ut and have overs ight t:i rough out th e
pr ocess . Our current schedule indicates 1h,1t th e p lan will be co mple ted by the e:id of the fi rst
quarter of 20 12.
