TH ,': PARTIES NOW AGREE THAT:
Section 1. Scope of Work
All of the spec1f 1c loc atio n (s) and type(s)of lraffic co nt ro l device(s)to be operat ed and
ma,n ta,ned by the Contra ct or pursuan t to this contract· are described ,n Exhibit A , attached
he reto
and incorporated herein. Such s~rvices and h ighways are further detailed in Section 5
Section 2. Order of Precedence
In the event of conflicts or incor•sisten cie s between this contract ancl its exh ibi ts, suc h conflicts
or 1ncons1stencies shall be resolved bt reference to the documer.:s in the l ollowi ng order of priority:

Section 3, Term

Provided , however, that the State's financial obligation for ea, , subseq uent , consecutive fiscal yea r

Section 4 . Project Funding and Payment Provisions
A The Local Agency has esti mated the total cos t of the work and ,s pre pared to accept the
stale fu, _j,ng for the work, as evi denced by an appropriate ordinance or resolution duly passed and
adopted by the aut hor ed repre sentative s of tr~ Local Agency , which ex pressly authorizes the
Local Agency to ente in to this contrac: and to complete the work unde r the proIect A copy of this
ordinance or resolu11on ,s attached hereto and incorporated herein as Exhibit B

1 The State shall pay the Contractor for the satisfactory operation and maintenance of
tr3ff1c control devices under this co ntract at the rates described in Ex hibit C, whi ch Is
att athed hereto and made a part hereof Provided , however that the total charges to be
paid by the Stal e du ri ng each fisc al year beginning J uly 1 an d ending June 30 of the
following year shall not exceed an annual maximum amount of S67 ,416 .24 wi thout the
benefit of a suppl emental agreemen t executed prio r to any such exce ss charges being
mcurrP.d Contra ctor billings and State payments for each of the traffic control d~vices

the Highways such services were performed , in accord with standard Contra ctor bil li ng
sta ndards .

Highways (or portion the reo , 1e ,f the statement sub mitted by the Contractor does not

Sec t ion 5. State and Loca l .l\gency Commitments
A The Con tra cto, sha ll perform the "h1[:nwey ,11 a1n tenance services" for the certain State Highway
System segments d,,scribed herein. Suen serv ices and highways are detailed in Section 1 (or
Exhibit A)
B The Contra ctor shall operate and maint ain the specific traffic control devices , an d at the
part icular location s, all as li sted on Exhibit A ("the Work"), ,n a manner that is co nsistent w ,tn
current public sa fet y standards on state highways within ,ts 1urisd1c tional limits , an d ,n
co nformance wi th app licable portions c,, the "Ma nual on Uniform T raffic Contro l Devices " and the
"Col orado Supplement" thereto . whi ch are refe rred to collectively as the "Manual" and whi ch are
incorpo rated herein by refe rence as i.::ms and cond iti ons of this Co ntra ct. The Contra -tcr sh all
provi de all person nel , equipment and othe r se rvice s necessary to ;atisfactori ly perfor m SJCh
operation and maintenance

F. The Contractor shall perform the maintenance services in a satisfactory man ner and in •
accorda nce wi th the terms of this Contract. The State reserves the righ t to determine th e proper
quantity and quality of th e ma inte nance services performed by the Contractor, as we ll as th e
adequacy of such serv ic es, un de r th is Contract. The St ate may withhold payment, if ne cessary,
unlil Contractor performs the maintenance servic,,s lo the Sta:e's satisfaction , The State will
notify the Contractor in writing of any deficiency in th e maintenance services . The Contractor
shall co mm ence corrective actio n wit~in 24 hours of receiving actual or cons tru cti ve noti ce of
suc h deficiency · a) from th e State ; b) from its own observation ; or c) by any oth er means , In the
even t th e Co nl rac tor, for any reason, do es not co mm ence or ind ica tes wi thi n 24 hours th ey
ca nnot correct the rlefic ie ncy, the Sta te reserves th e righ t to correct the deficiency and to deduct
the actu al cost of such wo rk from the subsequen t payme nts to the Contractor, or to bill the
Con tractor for such work
G. Performance Measu res shall be accounted fo r within thr duration of this contract and will
be associated with signa l/electrical main tenance . These Measures shall be addressed biannually
and for every six month period of the co ntract. Performance reco rd s shall be kept by the
Co ntractor and a copy sent to the COOT Pro1e ct Manager lis ted in th is contract. The Contractor
shall submit performance documentatio n to the COOT Project Mana,,e r ~emi-ann uall y along with
the payment requ ests every April and October. Performance meas ur es shall be co nducte d on all
devices listed in Exhibit A .
Se ction 6, Record Ke epi ng
The Local Agency shall maintain a co m plete file of all records , do cuments, co mmu-
nicatio ns, and otr ·1 wri tten material s, which pe rt ain to the cos ts Incurred under ttii s contrac t. The
Loe 11 Agency sha h ,11ainta in such re cords for a period of three (3) years att er the da te of
termination of this con tra ct or final payment hereunder, whi cheve r is later , or for suct1 furth er
period as may be necessary to resolve any matters whi ch may be pending . The Lo ca l Agency
shall make such materials available for inspection at all reasonable tim es and hall permit duly
auth orized agents and employees of the State and FHWA to inspect the rro1e c1 and to inspect ,
review and audit the project records .
Section 7. Termin atio n Pr ovisions
This c0n tract may be terminated as follows:

Section 9. Represen tat ive s and Notice

Reg io n 6 and the Loca l Agency. All comm uni catio n , notices. and correspondence shall be

State and th e Local Agency Nothing con tained In this contract shall g ive or allow any cla im or righ t
of actio n wl1atsoever by any other third person . It Is the express Inten11o n of the Sta te and the Lo cal
Agency that an y su e person or entity , other than the State or the Lo c al Agency re ceIvIng services
or benefits unde r this contract shall be deemed an 1nc1den tal benef1 c1 ary only
Section 12 . Gove rnmental Immunity
Notw 1th sta nd 1n o any other provIsIon of this con tr act to the contrary n o tenr or co nd1t1on of
t111s contr~ct shall be con strued or interp re te d as a waiver express or 1mpl1ed of any of the
11rnnu 111t1es ngl1ts benefits protection . or othe r prov1s1ons of the Colorado Governmen tal Immunity
Act § 24 -10 -101 et seq C R S as now or hereafter amended The parties understand and agr e
that l1ab11ity fot claims for Iniuries to persons or property arising out of negligence of the State of
Colorado its departments , 1nst 1tut1ons agencies . boards off1 c1als and employees Is controlled and

Section 13. Sev erabi lity
To t11 e extent th at this con tract may be ~xecu ted and perfo rmance of the obligati ons of the
pa rties may be accomph sl1ed w11h1n the Inte ·,t of the contract , the terms of this con trac t are
seve, able, and should any te rm or pro vIsIon h A•co f be declared ,nval,d or become 1noperat1ve fo r
any reason such 1nvahd1ty or failure shall not affect the validity of any other term or provision hereof
Sec tion 14 . Wai ve r
The waiver of any breach of a term . provIsIon . or requirement o! this contract shall not be
construed or deemed as a waiver of any subsequent brezch of such term . prov1s1on . or re quirement
or of any other term . provIsIon or requirement
Sect ion 15. Entire Understanding
This contract ,s intended as the complete 1nlegratIon of all understandings between the
~artIes No prior or con temporaneou s add1t 1on . delet,on . or other amendment hereto shall ha ve any
force or effect whatsoever. unless embodied herein by writing No subseque~l no va t1on, ren ewal
add1t1on deletion or other amend ment hereto shall have any force or effect unless embodied ,n :,
wnt•~g executed and approved pwsuant to the Stale Fiscal Rules
Sec tio n 16. Survival of Contract T erms
Notw1thstand1ng anything herein to the contrary , the parties understand and agree that all
terms and cond1t1ons of this con tract and the exh1b1ts and attac hments 1,ereto which may require
continued performance compliance or effecl oeyond th e 1erm1nat1on dale of the contract shall
survive such 1ermIna1Ion dale and shail be enforceable by the State as provided herein in the event
of such fa ilure 10 perform or comply by the Local Agency
Sect ion 17 . Modification and Amendment

The State ma y un ilaterally increase the tota l dollars of this contract as stipulated by the executed
Option Letter (Exhibit D), which wi ll bring the maximum amou~•-pa yable under this contract
to the amou nt indicated in Exhibit C-1 attached to the executed Optio n LGtts r (future changes to
Exhibit C shall be labe led as C-2 , C-3, etc, as applicabl e). Performa nce of the services shall
co nt in ue under the same terms as established in the contract. The Sf ate will use the Financial
Statement submitted by th e Local Agency for "Concurrence to Advertise" as evidence of th e
Local Agency's in tenUo award and it will also provide the additional amount required to ex6rcise
this o ption . If the State exercises this opt ion , the contract will be consider?d to include this
op tion provis ion .
Option 2 -Option to ad d overlapping phase wi th ou t incre asing contract doll ars . Th e State may
requ ire the contractor to begin a phase that ma y incl ude Design , Cons truct io n, Environmental ,
Utilities , ROW In cidenta ls or Miscella neo us (this does not apply to Acq uisition /Relo cation or
Railr oa ds ) as detailed in Exhibit A and at the same terms and conditions sta ted in the origina l
contract with th e contract dollars remain ing th e same . Th e State may exercise this option by
prov iding a fully executed option to the con tra ctor wit hin thirty (30) days before the initial targ eted
start da te of the phase , in a form substantially equ iva lent to Exhib it D. If the State exercises this
option , the contra ct will be considered to include this optio n provi sion .
Option 3 -To update funding (increases and /or decreases) with a new Exhibit C . Th is opt ion
can be used to increase and/or decre ase the overall cont ract dollars (state , fed eral , local
match , local agenc y overmatch) to dat e, by replacing the orig inal funding exhibi t (Exhibit C) in
the Orig inal Con tra ct wi th an update d Exh ibit C-1 (s ub seque nt exhib its to Exhi bit C-1 sha ll bP
lab eled C-2 , C-3, et c).
Th e State ma y have a need to update cha nges to st te, fe dera l, lo cal match and loca l ag en cy
ove rm atch funds as outlined in Exhibit C-1, which will be atta ched to the option form . The State

Th is Contract is not intended to supercede or affect in any way an y other agreement (if any)
that is currently in effect between the State and the Contractor for other "maintenance services" on
State Highway rights-of-way wi thin th.a jurisdiction of the Contractor. Also , the Contractor shall also
cont inu e to perfo rm , at its ow n expense , all such activities/duties (i f any) on such State H ighway
rights-of-ways that the Contractor is requ ired by applicable law to perform
Section 21 . Subcontractors
The Contractor may subcontract for any part of the performance req uired under th is
Contract , subj ect to the Con tractor first obtaining approva l from the State for any particular
