II . OicF I N ITI ONS. For the purposes of this Agreement, and any exhibi ts he reto, the
de11nitions of the follo win g words or terms of art shall be co ntrolli ng fo r all pu~iosc thereof:
A "Advanced Life Suppo n'1 or "ALS" mea ns emergency medica l tech nician•
para med ic level se rvi ce, the highest attainab le le v e l of pre-hos pital
emergency medical ca re and treatment und er the Colorado Board of Hea lth
Rules.
B. "A mbulan ce " mean s any s ur face ve hi cle eq uipped to trnnsport injured, .;ick,
wo un ded, or di sab led persons in eith er an t.:mergcncy (i.e., with lights and s iren
o perati ng) or i1on-cme rgcncy mtiJc, and staffed to provid e emergen cy and
non-emergency mc:rlical service s for such perso ns.
C. "Base Stati on Physi ci an /Hos pital" means the hospital N phys ician fr om which a
par tis eme rgency medi cal serv ice system receives its On-Li nc Medi ca l
Co ntrol.

J . "Responding Party" mean s the party whose equipment and /or pe rsonnel was
dispnlchcd, rcspoi ded to, and arrived at the l ocntio n of the
Eme r ge ncy Medical Service Incident ,vi thin the jurisdicti on of a
Respo nsible Party.
K. "Responsib le Pa rty" mea ns the part y within whose service area a Mutual Aid
Re spo nse incid ent is located.
111. MUTUAL ll ES l'ONS E OllLI G/\T IONS .
A. The parties agree tilat the Au thority's Param edic Divis ion and Eng lewood Fir e
sha ll, at the express req uest of the ot her party and su bj ect IIJ the limitations set fort h
he rein , provide Mutual Aid Re spon se within cric h othe r's j urisdiction without regard
fo r politi ca l boun da ries and in full co mplinn cc with the terms and condition s of this
Agrct:mcnt.
B. Mutua l Aid Res ponse is hereby deemed to be npproved by th e re spective gov erning
bod ies of each part y, and sha ll requ ire no fur th er ap proval by the res pons ible officia ls
of eit her party .
C. Noth in g herei n sha ll affect either party's operati on of Adv anced Life Supp ort
emergency med ical i:crvi ccs wi thin its res pec ti ve juri sdi ct ion .

bou ndaries when deemed necess:iry or prudent by eit her party. Such revi sion shall
be implement ed only by written nmcndmclll to this Agreement.

additi o n to an ALS re s pom,c when in accordan ce with tha t par ty's
dispatch protocol.

B. For purposes or continuity within each par ty's res pe c tive operation, On •Li nc

Phys ician /Hospital, regardl ess o f the j ur is di ction withi n which th e Em e rg ency
Mcdicnl Service s Inciden t is located.

value. A ll nid rendered under thi s Agreement shall be witho ut charge to the o th er party .
Enc h party s hal l have th e right to seek compensation or re imburse ment , and bill ai:y person or
agent} not a pa rt y to this Agreement, for se rvices prov ided p ursua nt to thi s Agreement, in
acco rdnncc wit h its own billi ng policie s and as authorized by law .
\I ll. TEil 1 AND TERM I NAT ION.
This Ag ree ment shall co mm ence on the da y followi ng the date on which both parties have si gned
the Agreement and shall aut om:iti cnll y rene w for su cc ess ive one (1 )-yc ar te rm s, subj ect to th e
following:

other party shall , un til the ex piration of fou r (4) yea rs following term ination of this Agreement , •
have acc ess to and the right to exami ne any dire ct ly pertinent books , docume nts, papers.
and records of the other party involving tran sa...:tions related lo thi s Agreeme nt. Such recoro ~
shall include, but not be lim ited to, receipts, memo randa, inv oices, vo uchers and acco unts of
every kind pertai ni ng to the perfom1ancc of work and services under thi s Agreement. Both parties
shall, upon req uest of the other party, make such records available fo r inspect ion .
Except as limit ed by Co lora do and federal law and regulatio n govern ing confidentiality of
pat ie nt reco rds and patient privacy protectio ns, ei ther p.rty shall , upo n request of th e official
represe ntative of the other party, make such reco rds available for inspectio n co pying in the
Denver metropolitan area .
IX. HEALTH INSURANCE PORTABil..lTY AND AC COUNTABil..lTY ACT OF 1996(BfPAA}.
Both parties shnll (i) not use or furth er disclose informati on other than as permilled or required by
th is Agreement; (ii) not use or further di sclose informati on in a manner that would vio late the
requirement s of the HIPAA .regulation s; (iii ) use appro pri ate safegua rd s to prevent use
or disc lo sure ot her than as pr~vided in thi s Agreemen t; (iv) report to the other party any use
or disclosure not prov ided by this Agreement; (v) en sure that any subcontractors and agen ts
to which the parties may provid e protected health informatio n agree to the same res triction s
and conditions as apply to the parties; (vi) make appropriate health information available upon
individual request as appropriate; .(~iij make its practi ces, books, and records relating to the us e
and disclosure of protected health in formation availabl e to U1e U.S. Department of Health and
Hur,ia n Serv ices; (vi ii ) authorize the other party to terminate thi s Agreement if one has •

records and patie nt privacy pi'otectio ns, Englewood Fire agrees to allow the Secretary of the
Depai1mcnt of Health and Human Services and the Comptro ll er General, and the Auth ority
Au di tor, or their duly auU1ori zed representatives , access upon request to this Agreement and to th e
books, doc um ents and reco rds of Englewood Fire th at are necessary t0 verify the nature and
exte nt of cos ts of se rvi ces furni shed un der this Agreement. Englewood Fi re also agrees that if it
carries out nny du ti es of thi s Ag"rcc mcnt throu gh a subcontractor , with a va lu e or cost of Ten
Thou sand Dollars ($10,000) or more over a twe lve (12)-month per iod with a rel ated
organ izat ion, the subcontract mu . contain a clau se to the effect that the related organ ization,
sub con tra ct mu st contain a cla use to the effect that th e re lated organi zation mu st make

al so agrees tha t if it carrie s out an y duties of thi s Agreement throue,h a s ub co ntra ctor, with a
value or cost of Ten Thousand Dolla rs ($10 ,000) or more over a twelve (12)-month peri od
with a rclat:d organization , the subcontract mu ~t contain a clause to the effect that the related
organ iz ation mu st make available , upon written reque st, to the Secretary , or upon request
to the Comptroller General , or their duly authorized representatives, the subcontract and
the books, docum ents and records of the related organization that arc neces sary to verify the
nature and extent of the costs. Such acce ss sha ll be until the expirat ion of four (4) years
after the services arc furni shed under this Agreement .
XI. STATTJS OF THE PARTIES. The partie s acknowledge that they operate
ind epend entl y. Neither Eng lewood Fire , nor any of it s agents, representatives, employees, or
o fficers s hall be con sidered agen ts, representatives, employees, or officers of the
Authority , Nei t her the Authority, nor an y of it s agents, representatives, empl oyees, or
officers shall be c ons idered agent s, repr esentatives, employees, or officers of
Engl ewood Fire. J, no event shall this Agreement be construed as establis hing a
partnership or joint venture or similar relationship between the parti es . Eac h party sha ll be
liable for its own debts, obligations, acts a d omiss ions. Nothing contained in th is Agreement,
and no performance under thi~' Agreement by personne l of the parties heret o shall, in
any resp ec t, alter or modify the "stiitus· of offi ce rs, agents, representatives, or emp loyees of the
respective parties fo r purposes 'of'Workcr's compen sation or other be nefits, entitlements,
pen sion s, 1evcls or types of trainirtg: internal discipline, certification, or rank procedures,
methods , or cat egories , or for an)' j,urpose, condition or requirements of emp loyment.
XH . UNEMPLOYMENT, WORKERS' COMP AND FRlNGE BENEFfrS. Eng lewood Fire
understands that it is not entit led to unemployment benefits, workers' compen sation benefits, or
any fri nge benefits from the -,!.uthority . The Authority understands that it is not entitled to
un employm ent be nefit s, workers' .compen sation benefits , or any fringe benefits from Englewood
Fire .
XIIT. COLORADO GOVERNMENTAL IMM UN ITY ACT. Th e partie s heret o
understand and agre e that th e Authority and Englewood F ire , individually, are rel ying upon
and have not waived the monetary limitati ons (pre sent ly $150,000 per person,
$600 ,000 per incident/occurrence) and all other rights, immunities and protection
