Respo nders sole cost and expense .
3. Receipt s and Acco un 11 ng . First Responder sha ll submit to TC! ID co pi es of all
recei pts for the item s purchased with the ,rant Fund s on or before Ju ly 18, 20 10. Fir st
Responder agrees to maintain acc urat e and co mplete record s of the exp enditure of th e
Grant Fun ds an d agree s that TCJ-1 D mny co nduct an audit of such records at any time
reasonably requested by TCHD.
4. Tenninat ion. If First Respond er should fail to perform or be in breach of uny of
the tenns, conditions, agreemen ts, covenants, representations or warranties conta ined in
this Agreement , and such defa ult is not cured for a period of 30 days afl cr written notice
thereof has been give n to First Responder, TCIID, at its sole election , may immediately
tenn in ute thi s Agreemen: by written notice thereof to Fi rst Respond e r. In the event of
tenni nntio n und er thi s Sec ti on 4, First Res ponder shall reimb urse TC H D for all uns pent
funds gra nted hereu nder as of the te nni nati on date.
(i) No tw ith stand ing the provisions of Section 4, TCHD may termina te th e
Ag reeme nt im mediately and receive full reimbursem ent of the hinds

Tri-County Health Department (TCHD) would like to com men d yo u for your efforts during the 2009
HIN! ln0ucnza Pandemic. TCHD believes that th is is n testamen t to the planning and partnerships that
we hove nil established over the years . Over the Inst 8 mon th s, public health agencies have received
additiona l funding via the Colorado Department of Henil.,1 and Environment (CDP HE) and the Ce nters for
Disease Control and Prevention (CDC). These fund s were in support of the HIN ! planning and respon se
efforts to distribute vaccine to the publi c. Since we have now comp leted ou r large mass vaccination
campaign and the demand for vaccine hos dccrcnscd, TCHD would like to support our first responder
pa.nncrs by offering some of the remaining al located fund s to each age ncy within our jurisdiction .
The funds nvnilnble must be rel ated to enhancing your pandemic planning and response cn pncily.
Approved items incl ude : equipment (e .g., vaccine storage, rct!undant co mmunication (radios), etc .),
supplies (e.g., personal protective equipment , fit testing equipment (port-a-count), etc .) and pandemic
preparedness related litcmturc and signage. Some items that the funds rannot be used for include, but arc
not limited to: incentive items , venti lators, construct ion, vehic les 1 or payi ng staff for time already worked .

support a future pru1 dcmic response. Upo n identification ofpo lentinl resources, please fill out the clctnilcd
purchase requ es t, provided ns Exhibit A in the Pandemic Preparedn ess Gran t Contra ct. We also ask for
you to submit a signed contract with your request by ut ilizing the attached ::'L ndemic Preparedness Grant
Contract and submit all documentation to Michele Askenazi at nm skcn:izi@tci •Q&.[S to be reviewed and
approved . Upo n approval , your agency will receive fwtding 10 purchase these items and invoices must be
return ed to Mi chele Askcnazi no Inte r th an Jul y 18, 2010 . Agencies can rcquost up to $7,5 00 for the
above stated items. The spe nding of th ese fund s is time-sensitive; therefore , TCHD requires that you
submit your purchase reques t no Inter than May 17, 20 10 and upon approval, sub mit invoices by Jul y 18,
