PURCHASE OF THE EQU IPMENT
a. General Req uireme nts. Tho Cont rac tor shall adm111isle r an d purc l1 ase th e equipment as
depicted in atta cl1e d Exl1ib '' A, which is made a part 0 1 lhis co nt rac t, in accordance wit11
Title 49 , Parts 18 and t 9 , as appropriate, o f lhe Code of Federal Reg ul a lions regarding
un iform a !:ni nistrati ve req uiremen ts l or sta te and loca l governmen. and ot11 er non -
profit organiza ti ons.
b. Su bmi ssions of Proc eo d1ng • Contract and Other' oc um ents. Tho Co ntraclor shall
submit to DRCO G all data , rep orl s, re cords , co nl rac ts, a nd olh er documen ts collected
and developed by th e Contractor relating lo lhe project as DRCOG may require. Tl1e

c. Award of Contract. This contract is awarded to the Contractor based upon the •
Contractor's pro.iect application , which provides that the Contractor be responsible for all
expenses associated with acquiring, installing, operating and maintaining the equipment,
excluding the actual purchase cost of the equipment. Contractor agrees that Contractor
staff and subcontractors engaged in such will not be reimbursable as part of this
agreement.
d. No DRCOG Obligations to Th ird Parties . DRCOG shall not be subject to any obligations
or liabilities to any person not a party to this contract in connection with the performance
of this project pursuant to the provisions of th is contract without its specific written
consent. Neither the con currence in, or approval of, the award of any contract or
subcontract or the solicitation thereof nor any other act performed by DRCOG under this
contract constitL.,dS such consent.
2. ACCOUNTING RE CORDS
a . Accounts. The Contractor shall establish and maintain as a sAp arate set of ac counts, or
as an Integral part of its current accounting scheme , accounts for the equipment
purchases to assure that funds are expended and accou nted ior in a manner consistent
with this cont ract's agreements and objectives .
b . Funds Received or Made Available . The Con trac tor shall appropriately re cord in the
account all reimbursement payments received by it from DRCOG pursuant to this
contract.
c. Allowable Costs . Expenditures made by the Contractor shall be reimbursable as •
allowable costs to the extent they meet all of the requirements set forth below. Such
expenditures must:
1) Be m&de in conformance with the description , Jdget, and all other provisions of this
contract.
2) Be necessary for th e accomplishm ent of this contract , and reasonable in th e amount
of goods and services provided .
3) Be actual net costs to the Contractor (i.e ., price pa id minus any refunds, rebates , or
other items of value received by Con tractor that have the effect of reducing th e cos t
actuall y incurred ).
4) Be ncurred for equipment purchased only as described in Exhibit A, after the date of
this contract.
5) Be treated uniformly and consistently under generally accepted accounting
principles .
6) Be ii --~~formance with th e stan dards for allowability of costs set forth in Offi ce of
Management and Budget Circulars No. A-122 or A-87, as appropriate , regarding
cost principles for nonprofit organizations and state and local gove rnme nts.
d. Documentation of Costs. Invoices, co ntracts , an d/or vo uche rs detailing the nature of the •
charges shall support all equipment purchase cos ts charged to this contract.

e. Checks, Orders, and Vouc hers. Any .:heck or orde r dra wn up by the Contractor with
respect to any item which is or will be chargeable against this contract will be drawn only
in accordance wi th a pro perly signed voucher then on file in th e offi ce of th e Contractor.

invoices , contracts, vouchers, orders , or other e.ccounting documents pertaining in whole
or in pa rt to the projecl sha ll be clea rly identi fied, read ily accessible, and, to the exlen t
feasible , kept separate , and apart fr om all other such do cu ments .
f. Audits and lnspectior,s. At any time during normal business hours and as often as
DRCOG, COO T and U.S. Depa rtm ent of Transportation (hereina ft e•, "US DOT"), andJ,,r
the Comptroller General of the United States may dP em necessary, there shall be maa,,
avai lable to DRCOG, COOT, USDOT and/or reprernnt atives of th e Comptroller General
for exa mination, all records wi th res pect to all matters covered by this co ntra ct and th e
Cont rac tor will permit DRCOG, COO T, USDOT, and/or re presentatives of th e
Comptroller General to audit, examine, and make exce rpts or transcripts from such
records, and to make audits of all con tra cts , invoices, materials , payrolls, records of
pe rsonnel, conditions of employment and other data re lating to all matters covered by
this co ntract.
3. TIME OF PERFORMANCE
This cont rac t shall commence upon t•ecution and shall expire December 31, 20 11 .
4. COST OF EQUIPMENT PURCHASES
The cost for equipment purchases in which federal funds are participa tin g shall not excued
Fourteen Thousand Dolla rs (S14,000) as described in the att ached Scope of Services .
The Contracto r agrees to provide all installation, operati on and maintenance of the purchased
equipment at its expense.
5. REQUEST FOR PAYMENT BY TH E CONTRACTOR
a. Award. DRCOG sl1all reimburse the Contract-" up to Fourlee n Thousa nd Dollars
($14,000) for ll1 e purcl1ase of traffic signa l equipment as describ ed in tl1 e attach ed
Scope o f Services.
b. Payment. Payment shall be made on the following basis: lifter rece ,pl of the
equipment , the Contractor shall sub mit th e invoice to th e DRCOG Accounling
Departm en l for reimbursement. DRCOG will 111corporate the invoi ce 111to ,ts next bill to
COOT. Up on receipt of payment from COOT by DRCOG and upon verifica ti on by
DRCOG that th e Contrac lor ha s 111stalled th e eq uipm en t and that th e equipmen t is
operatin g as intended, DRCOG will reimburse lho Contraclor 10 1 th e amount of
all owable cos ts of the Contraclor's invoice. It is the Contractor's sole responsibility to
in sta ll the equipment and co n:ac t DRCO G for fi eld verification pri or to receiving
reimbursement.

6. MANAGEMENT
a . DRCOG Representative. DRCOG has designa ted Gre g MacKinnon es Its
reµrese nt atIve who wil l coordina te review s, approva ls, and authorizat1ons.
b. Con tr actor's Represen tative. The Contrac tor has de si gnated Ladd Vestry as its
re prese ntat ive for thi s contract who shall be responsible for coordi nation and liaison witl1
DRC OG on th e equipr,1en 1 pu rchases associated wi th thi s con trac t. If at any time a
con tractor re presen tativ e is not assig ned for this co ntrac t, t11e Contrac tor shall
immedia tely not ify DRCOG and work sha ll be suspended until a represen tative has
been assigned who is acceptable to DR COG.
c. By signing this ag reement, th e Contractor also rep re se nts that its organ ization and it s
principa ls are not sJspended or debarred per Fe deral requirements.
7. PERSOll'NEL
The Cont ractor represents it will provide and secure the personnel re qui red in installing ,
maintaining ar,j ope rat ing the equ ipment listed In Exhibit A. All of th e services required
he reunder wi ll be pe rt ormed by the Contractor or under its sup erv ision, and all personnel
engaged 111 th e work shall be full y qualified and shall be auth o riz ed under Sta te a nd local law to
pe rt orm such services. Such personnel sha ll not be employees of or have any co ntractual
relati ons ip with DRCOG. Any subcon tra cts entered int o by th e Con tractor associa ted wi th th is
Contract shall include a stat ement th at th e parties to th e sub cont ract unders,~~d that DR COG

is not obl ig ated or li abl e in any mann er to the subcon tractor or fc,r the pe rtorma 1ce by the •
Contractor of its obligations und er the subcon trac t.
8. TER M INAT ION
a. Funds not Avail abl e. Th e parties ex press ly recognize th at the Contractor is to be paid ,
rei mbu rsed or o!herwise compensa ted with federal and /or Stat e fu nds wh ich are
available to DRCOG for the project. In th e eve nt that C M/AO funds are not made
avai lable to DRCO G per Recita l A, th is Agreeme nt shall termi nate 11nmedia tely.
Con tractor expre ss ly und erstan ds and ag rees th at all of its rights , demands and claim s
to compensa ticn arising under thi s contract a re con tin gent up on avai labi lit y o f such
funds to DRCOG.
IJ . Te rm1na lion for Mutual Convenience. The pa,tIes may, wi th the concurrence of CDOT,
ter mina te this agreement 1f bolli parties, gIce that th o equipm ent purchases specifi ed 111
Exhibit A would not produce beneficial results
c. T nrn na t,on of Con trac t for Cause. If thr ough any cause, exc llIding force majeure, th o
Con tr actor shall fail to futl1 II in timely and prope r manner its obli gat1 ons under thi s
contra ct, or if the Contrac tor shall violate any of th e covenan ts, ag reemen ts, or
st ,1la ti ons of this contract , and has not corrected such breach within ten days of being
given :1o tic e by DFlCOG, DRCOG shall th ereu pon have th e rig ht to termina te th is
contract by giving wn llen notice to th e Contrac tor of such ter mina ti on for ca use, wl1i ch
sh all be effective up on re ceIrt of the wnllen no ti ce. •

In lhat event, DRCOG shall not be required to reimburse th e Contractor for any
equipment purchases not yet billed to COOT, and Contractor shall bo obligated to ret urn
any payments previously received under the provisions of this c:mtra ct. Notwithstand in g
the above , the Contractor shall not be relieved of liability to DRCOG for any damages
susta ined by DRCOG by virtue of any breach of the contract by the Contractor.
d . Tern,ination for the Con venien ce of DRCOG . DRCOG may terminals this contract at
any time by giving written nolice to the Contractor of such termlnalion, which sha ll be
effeclive upon receipt of the written notice . If the contract is terminated by DRCOG as
provided herein, the Co ntractor shall be entitled to rec eive compensation for any
equipment purchases made prior to the effectiv,1 dale of such termination , subject to
field verifications being completed to the satisfaction of DRCOG.
9. EQUAL EMPLOYMENT OPPORTUNITY
During the performance of this contract, the Contractor agrees to comply with all federal and
state laws, rule, regulations, and orders regarding equal employment opportunity, including
Exec utive Order 11256, "Equal Employment Opportunity," as amended by Executive Order
11375, "Amending Executive Order 11246 Relating to Equal Employment Opportunity,' and as
supplemented by regulations at 41 CFR part 60, "Office of Federal Contract Compliance
Programs , Equal Employment Opportu nity, Department of Labor."
10. DISADVANTAGED BUSINESS ENTERPRISE
a. Polley. DRCOG is committed to and has estab lished a Disadvantaged Business
Enterprise (DBE) program In accordance with the regulations of the U.S. Department of
Transportation (DOT), 49 CFR Part 26. It is the policy of DRCO G to ensure that DBEs ,
as defined in Part 26, have an equal opportunity to participate in the porformance of
contracts and subcontracts recelvi~y DOT funding assistance . Consequ ,3ntly, the DBE
requirements of 49 CFR , Part 26 apply to t~is agreem ent.
b. DBE Obligati on. 1 he Contractor and Its subcontractors agree to ensure that DBEs as
determined by lh& Col orado Unif ied Certification Program have th e maximum
opportunity to partici pate In the Qerfo rmance of contracts and subcon tracls re ceiving
DOT funding assistance provided u, 1der th is agreement. In th is regard, the Contractor
and subcontractor s shall take all n( ces sa ry an d reason abl e steps in accordance with
thi s poli cy lo unsu re th at DBEs h3,e the maximum opportunity lo compete for and
perfo rm contracts . Th e co ntractor, t.ub recipi ent or sub contractor shall not discriminate
on th e basi; of rac e, color, nati o nal orl~ln , or sex in th e performanc e of this contrac t.
The contractor, subrecip ie nt or su~contractor sh all not discrimin ate on th e ba sis of race ,
co lor, national origin , or sex in tl ·c performance of this contract . The contractor shall
ca rry out applicable requirements ,,, 49 CFR Part 26 in the award and administralion of
DOT-assisted con tracts. Failure by th e con tractor to carry out the se requirem ents Is a
material brea ch of this contract, wr :~h may result in th ~ termination of thi s cont ract or
such othe r remedy as DRCOG dee ms apprllpri ate.
11. PROHIBITION AGAINST HIRING ILLEGAL ALIENS [NOT APPLICABLE TO
INTERGOVERNMENTAL AGREEMENTS) .
Th e Contractor shall not knowingly employ or co ntract with an ill egal alien to perform work
under this contract. Co ntractor shall not enter into a contrac, with a sub co ntra ctor that fails to
certify to tre Contractor tl1aI the subco ntra cto· shall not knowingly employ or contract wi th an I i
illegal alie n to perf or m work und er thi s con trac t.
Contractor will participa te in ei th er the E-verify program or th e Department prog ram , as defined
in C.R.S. §§ 8-17.5-101 (3 3) and 8-17.5-101 (3.7), respectively, in order to confirm the
employment elig ibili ty of all empl oyees who are newly hired for empl oy ment lo perf orm work
under the publi c con tra ct for services. Contrac tor is prohibited fr om usi ng tha E-ve rify program
or th e Department program pro cedu res to undertak e pre-employmen t screeni ny of job
applican ts while this contract is bein g perf or med.
If C:on tra ctor ob tains actua l knowledge th at a subcontrac tor performing work un der this cont,act
f<,r se rvices knowingly em ploys or contrac ts with an illegal alien, Cont rac tor shall:
a. Notify the subcon tra ctor and DRCOG within three days that th e Con trac tor ha s ac tual
kn ow ledge th at the su bcontra ctor is emp loy in g or con trac ting with 311 ill egal alie n; and
b. Termina te tr.e sub con tract with t11 e subcon trac tor if within three days of rece iv ing the
noti ce re quired pursuant to th is paragraph th e subcontrac tor does no t stop employ ing or
co ntracting with the illegal alien ; except that the Contract or shall not termin ate th e
con tract with th e subcontractor if during such th ree days th e subcontrac tor provide s
inform ati on to es tablish th at th e sub con tra ctor has not knowingly emp loyed or
co nt racted wi th an ill ega l alie n.
Contrac tor shall comply wit h any reason ab le re qu es t by th e Depar tm ent of Labo r and
Employment made ,n th e co urse of an investiga tion that th e Department is undertaking
pursuam to the autho rity es tab li shed in C.R.S. § 8-17.5-102(5).
It Co ntra ctor violates a pr ovi sion of this Contract required pu,su ant to C.R .S. § 8-17.5 -102,
DRCOG may termina te the con tra ct for breach of con tra ct. If th e contrac t is so lormina ted, the
Contrac tor shall be iiab le for ac tual and consequen tial damag es lo DRCOG.
12. INTERES T OF MEMB!::.RS OF DRCOG AND OTHERS
No offi ce r, memb er, or e, ·•~loyee of DRCOG and no members of its governing body, and no
ot11er publi c offi cial of th e gov ern ing body of th e locality or loca lit ies in whi ch th e project is
si tua ted or being earned ou t who exe rcises any fu nc ti ons or respo nsibiht ;es in the review or
approva l of th e undertaking or carryi ny ou t of thi s projec t, sha ll participa te in any deci sion
rela ti ng to this co nt rncl which affec ts his personal 111!eIesl or the ,nte. es t of any co rporation,

13. INTER EST OF THE CONTR ACTO R

14. INDEMNIFICATION
Th e Contractor is an ind ependent contractor and not an em ploy ee of DRCOG. As an
ind epe nd ent contractor, the Contrac tor is not en titled to wo rker s' compensation benefits except
&s may bs provided by the Contractor nor to un err ,Ji oyment insurance benef its unless
unemployment compensation coverage is provided by the Cont ractor or some oth er entity. The
Co ntractor Is obligated to pay all applicable fee' 11 and state income tax on any mon eys earned
or paid pursuant lo th is co ntra ct relationship. n ,e parties agree th at the Contractor is free from
tho directi on and control of DRCOG except such control as may be required by any state or
federal statute or regul ati on, and that DRC OG do es not require the Contractor to work
excl usive ly for DRCOG ; does not establish a quality standard fo r th e Contra ctor; does not
provide training , or does not prov idl' tools or benefits of performan ce by the Contractor except
through a completion schedule .
To the ex'qnt allowable by law, the Contractor shall ir,Jemnify, save and hold harm less DRCO G,
its officer~, employees and agei,ts, again st an y and all claims, damage s, liability an d court
awards, including all costs, expenses, and attorney fees Incurred as a resu lt of any neglig ent
act or omission of th e Contractor, or its employees, agents, subcontractors or as signees related
to this contract. The Contra ctor shall include langu age similar to the foregoing in any
subcontract associated with this Contr.,ct, stating that the subcontre.ctor agrees to indemnify,
save and ho ld ha rml ess DRCOG for .. ~.;;gent acts or omission s of the subcont ractor, Its
employee s, agents, subcontractors, and ass ignees .
15. FEDERAL REQUIREMENTS
Th e Contra ct or shall at all times during the exe cuti on of th is contract strictly adhere to, and
co mply with, all applicable federal and stat e laws, and th ei r impl ementing regulations, as th ey
currentl y exis t and may hereaft er be amended, whic h are in co rporated herein by th is reference
as term s an d co ndit ions of this co ntract. Th e Cont rac tor shall also re.:iuire compliance with
these statu tes and regulations in subcont rac t agreem ents associated with this Contract.
The Contractor agrees to ab id e by o~d foll ow all applicable federal and stat e gu ideli nes when
expe nding any funds resulting from thi n co ntmct. This includ es, but is not limited to, th e
Procure ment Stand ards set forth in Subp art C of 0MB Circ ul ar A-11 0 and th e appli cable
provisions of the Federal Acquisilicn RE.g1 ::ation ('FA R'), together with any additions or
