Department of Health and Human Services ("HHS"), Centers for Disease Control (CDC) which seeks lo su pport public health efforts to increase the avai labi lity of healthy foods and beverages, improve nutrition and reduce obesity, increase physical activity ; and WHEREAS, using TCHD's allocated funds from the CPPW Initiative, TCHD will be maklng grants that focus on policy, systems and environmental changes that promote hea lthy eating and physical activity; and WHEREAS , Grantee bas submitted the Grant Proposal , and has been awarde d the Grant Funds to complete the Gr.,n t Projec~ subject to the terms of this Contract, and the Grant Docu ments, spec ifi cally in cluding, but not limited to, the Scope of Work and Budget; and NOW THEREFORE, in consideration of th e fo regoing premise s and th e covenants and agreements hereinafter set forth, TCHD and Grantee agree as follows: I. Points of Contact. In order to implemen: the terms of this Contract, each party has designated a point of co ntact for comm uni cations concerning this Contract. Term . The tern, of this Contrac\ shall be from September 3, .1010, thru March 18, 2012. No extens ions or ren ewa lr of this Contract, or of the Grants Funds ;,-ovided herein, shall be all owed . 3. Granl. Funds, TC HD hereby awards the Grunt Fund s lo G,a.;te,e, to le used excl usive ly for the purposes speci fied in the Scope of Work and the Grant Pror,osu!. and i,, accordance with the Budget. The payment of the Grant Funds shall be mad e pursr.an t to tl1e term~ of the Scope of Work. Grantee shall directl y administer the Grant Proj ect, ar,d agrees that no Gra nt Funds ,,nail be disbursed to any individu al, organi1.at ion or entity othr,, than as specifically se t forth in the Grant Documentq, or as may he einafter be permitted by prior written authorization of TCHD. • • 4. Gran te e agre es to promp tly furnish copies of such documents to TCHD upo,1 request, or at such earlier time as se t forth herein. 5. Unspe nt Gran t Funds: Grant Fund s that have not been dispersed by TCHD to Grantee by the end of the Grant Term, in accordance with the terms of th e Scope of Work, shall not be dispecsed. On or before the ex pirati on of the Grant Term, Gran tee shall remit t0 TC HD all unspent Gran t Fun ds. 6. Lim itati on of Fund,ng. It is agreed by the Part ies th at s'ioul d HI-I~ or CDC disapprove of this Contract, or refuse or foil to provide TCHD with fund s neces sa ry to make the Gra~t, as dete rmin ed by TC!-1 0 in its sole an d abso lut e discretion, then this Contract shall be void and sha ll not be binding on the Parti es hereto. Add iti onally , th ~ disbursemcn '. ufGrant Funds under this Contract may be sus pended or terminated in the event that Grantee re!u scs to acce pt additional terms or conditions to thi s Co ntract th at may be impo sd by HH S after the effective date of this Co ntra ct. In the even t that HHS fails to provide TC'llD with the funds to make the Grant, TC!-10 shall notify Grantee imm ediately , and Grantee sha ll imm ed ic,tcly cc ,c pcrfonning any work under th e terms of thi s Contract until fund in g is made ava ila bie. 7. No Guarantee 0f Additional Sup.J}Q!!: This Grant is dC Cepted by Grantee with the understanding that TCI-ID is not obligated to provide any additior,a: f-nancial support t•J Grantee for the Project , or otherw ise. 8. Accounting and Audit. Gran tee agre es to retain all records peninc~t to this Contract for a per iod of four (4) years after fina l pay ment he reu nd er, or fo r such longer period as required by State or Federal Law, including reco rd s whi ch adeq uate ly identify th~ so urce and ap pli cat ion of the Grant Funds. During the Term, and as long thereafter as the reco :d s arc maintained, at any time during norma l business hour s, Grantee shall make avai lable to TCI-ID , or to 111 IS, the State and the Comptroller Gc ncrn l of the Uni ted States, or their auth or ize d representatives, any books, documents, papers or oth er records of Grantee with respec t tn all matt ers covere d by this ontrn ct in order to make aud it , cxmnination, excerpts, and transri'ipts. 9. Reporting R_lilluircme nts: Grante e shall comply with the specific reporting requirement s se t forth in the Scope of Work, as we ll as the follow ing general reporting requirements: A. Grantee may sel f-insure for med ical and profe ss ional liabi lity pursuant to the Colorado Govenu11cntal Immunit y Act. 19. Independent Contract ors. The Panics acknow'.edge tliat they operate indepe ndentl y. Nei ther Gran tee, nor any of its agents, repre se ntatives, or employees sha ll be considered agents , representative s or emp loyees c f TCIID. In no event shall this Contract be constru ed as establishi ng a partnership or joint venture or sim ilar re lation ship between the Panic s. Each party shall be li ab!e fo r its own debt s, ob ligations, acts, and omissions.
