WHEREAS , the Famil y of th e Nazareth In c .. submitted a request to th e Ci ty fo r the relocation
of the Ci ty Ditch in order for the group to use their lot at this location and cons truct a buildin g :
and
WHEREAS , the existin g City Duch at the loca ti on of 3290 South Linco ln does not all ow for a
building to be cons tructed at this loca tio n; and
WHEREAS , th e owne r of 3290 South Lincol n Street , Eng lewood, Col cr>.do wi ll rel ocate tho
existing 36" Ci ty Ditch pipe to the ea sterl y secti on of the lot to allow bui tomg on the southwe sterl y
ponion of the lot with the "Excha nge of Right -o f-W ay Agreement " and the "Grant of Right -of-
Way Agreement "; and
WHEREAS , the rel ocati on and 1econs1ruc 1ion of the City Ditch must be completed prior to
April I, 2009, th e staning date for water flow for City Ditch users , and the "Grant ofTemporary
Construction License" allow s th e work to commence: and
WHEREAS, the Englewood Water and Sewer Board recommended app roval of the "Grant of
Temporary Const ruct io n License", a "Grant of Right-of-Wa y" and the "Exchange of Righ t-of-
Wa y'' agreement s for rel ocating the ci ty ditch at 3290 South Lin co ln Stre et , Englewood , Co lorad o
at th ei r January 13, 2009, meeting:

_GRANT OF TEMPO RARY CONS TRUCTION LI CENSE
THl S LI CEN SE AGREEMENT, made and entered int o as of thi s day of

of the State of Colo rado , here in referred 10 as the Granter, and FAM[LY OR THE NAZARETH ,
INC., he reinafter referred to as 11 Li cen sec". ' ! )
WHEREA S, the Granter owns a certain right-of-way for the Ci ty Ditch; and
Wl-1.EREAS , Li censee desires 10 make certain improvements in the area relating
to co nstructi on on th e subject property and th e Granter agrees to give Li cen see a Temporary
Co nst ru ction License fo r improvements which shall connect the new City Ditch piping to the
exis ting City Ditch.
WITNESSETH : tlte Granter, without any warranty of it s titl e or intere st
whatsoever, hereb y grants ancl uthorizes Li censee the use of the property, hereinafter described ,
which Granter now own s for the following improvements:
See attached Exhibit A for legal des cription .
See attach ed Exhibit B fo r construction impro vements .
NOW , THEREFORE , it is agreed between Granter and St . Louis Church that St. Louis
Ch urch sha ll be !,'l"anted a construction li cense to make the imp rovements descri bed in Exhibits A
and 8 , subject to the follo wing conditi ons:
1. Period of Constru cti on. Lic ensee's ri,;ht to use the construction license area depi cted on
Exhibit A shall tenninat e on April I , 2009 , an d shall not tlt ereafter be rein st ated on a
temporary basis without the ex press wri tten consent of Grant er. There will be no
co nstruction during th e Ditch Seaso n whi cl! commen ces normall y on April I and end s on
October 31 of each year .
2. Restora ti on. The Licensee will do wh at is necessary to restore all of Grantor 's propert y
damaged or disturbed ns a resu lt of th e proj ect to as near its ori gina l condition as is
practi ca l, including bu t not limited to seedi ng on th e City Ditch dedi cated right-of-way .
3. Exe rcis e of Rcnrnna hl e Ca re . Li censee will use all rea sonable meun s to prevent any loss
or damage to \.Tf~Hl or or to others resultin g fro m th e constru ction .
4. A. -Built Draw iiws. Licensee shall !.U pp iy Gra ntor a map that shO\~·.; the constructio n area
and defin es th e co nstru ctio n sit e. Exhibits A and B.
5. Assignnient. Licen see 's assignment of thi s Construction Agreement will not relieve
Licensee of its obligations hereunder. The provisions hereo f shall inure to th e benefit of
and be bin din g upon the successors and assi!,'llS of the respective parties heret o .
6. Pennancnt License. Licensee agrees to provide to Grant er a signed agreement on
Grant or's fonn and exhibits showing "As-Bui !;s 11 for a propert y exc hange agreement.
7. Auth ori 1y 10 En ler into Agreement. The undersigned represents 1ha1 he is an authorized
offi cer of Licensee and has authority to elllcr into this agreeme nl on behalf of Li cen see and
tha1 Licensee will accepl and abide by all 1he lenns and co ndition s hereof.
This Constructio n License shall tenninate upon completion of said improvements and

Street , Englewood, Colorado 80113 and Property ; herein referred to as "O"(11er" aod "Property"

WHEREAS , the City owns aod operates ao irrigation ditch kno wn as tM City Ditch for
diverting water out of the Pl atte Ri ver under priorities pertaining to said ditch upon and along a
Right-of-Way acquired therefore during and prior to 1860 aod continuously used since that time;
and
WHEREAS , the Owners desire 10 use a portion of said Right-of-Way for building and other
purposes not consistent with the Right-of-W ay purposes . And desire 10 exchaoge approximately
Three Hundred feet ( 300') of new Right-of-Way for th e use of the City Ditch; in exchange for
the City's permission and vacation of the exi sting City Ditch Right-of-Way.
NOW THEREFORE:
For and in consid eration of ten dollars ($10 .00) and other valuable consideratior,, the premises
and the full performance of the obligations and promises set forth below, the sufficiency of
which is express ly acknowledged , the parties heret o hereby agree as follow s:
I . For the uses hereinafter nan1ed , the Own ers will grant to the City the following
described property located in Arapah oe Co unty, Co lorad o: Which is a strip of land
located on and acros s the property kno wn as 3200 South Lincoln Street , En glew ood ,
Arapahoe County, Colorado more parti cularly described as shown on Exhibit A
attached hereto and incorporated herein .
Sai strip of land shall be twenty-five feet (25') in width where it crosses the subject
pro e11 y shown on the attached Exhibit A where the strip shall be measured from the
"pror ,ed centerlin e" of the relocated City Ditch. Which entire length shall be
surveyed by the Owners and evidenced by an executed deed for Right-of-Way with
meets and bounds description as shown on attached Exhibit A.
2. Upon, over, through and across the strip of land hereinabove described , th e City shall
have the ri ght to co nstru ct, reconstruct, maintain , alter , repair, enlarge, encl os e and use
a ditch or cul vert for the con veyance of water under priorities pertaining to the above
mentioned City Ditch, said priority havin g been originally adjudicated to sa id City
Dit ch under tl,e nam e of the Plaue Water Ditch, And for aoy and all other uses to
whi ch the Cit y might have put (~e old Ditch has thi s Agreement not been made. The
parties hereto ab'Tee that th e pri ma ry right of posses sion of area s, which must be used
in common by the two parties heret o, ls in the City , for its Ditch . With thi s limitation ,
it is agreed that the City will use it s bes t effort s to acce ss and maint ain th e City Ditch
with minimal ~isruption to the Owners and the "Property" .

Owners and the City agree thnt in oil places where th e City Ditd.'i, to be altered in its
co urse to a new location thnt it will reconstruc t sai d ditch in such .1 way that th e ditch
when recon struc1cd will be IJ S sound nnd efficient , will be rcconstn1cted according to
the plans and specifi cati ons she""' on Exhibits A & B.
6. The Ow ners agree to hold th e City hnnnlcs s from any def,cu; ,,! construction work
perfonned hereunde r by the City and for damages ell!,ui .• on the operation of the City
Ditch ari sing ou 1 of such co nRlmction or maintC'!la nce .
All work to be done hereunder shn ll be per fo nned lo the entire satisfaction of the Cit y
of Englewood Director of Utilities .
8. All work on the ity Ditch and in co nn ecti on therewith shall be done in such a WS)'
as not to interfere with the regular und continuous flow of water therein .
9. Upon recei pt of an ncceptnb le Gro nr of Right-of-Way and acceptance by the City 0 1 tho
new piped section of the Ci ty Ditch , the City will quit claim any other rights to the City
Ditch Rip!Jt-of-Wo y mconsistcnt with the grunt described in Paragraph I.
10. City requires acce ss 10 maintuin th e City Ditch nnd th e Owners agree 10 execut e an
access agreement ucknowledging th e City 's right 10 occess the City Ditch Rigbt-of-
Way for Cit y Dit ch o pen:tion and muintc nnn ce and for stonn 0ow operation and
inspection . This access n0,recment will be inclurlcd in the Grant of Right-of-Via 1.
11 . In case th e Owners shall fnil, nc glcc l, or refuse to fuifi ll any of the terms or the
provisio ns of this Ab'fcemcnt, oil ri&, ·ts l,ere under in the Owners sha ll at once be
forfeited to the City, and the City moy rcpo ,sess itself of its origina l Right-of-Way for
said City Ditch as if th is Agreement had eever been made, nnc! waiver by the CHy of
Enforcement of its rights on nccount uf any breach shall not be deemed to constitute a
waiver of any sub sequen1 brea ch.

RECOMMENDED ACTION
The Water and Sewer Board, at their January 13, 20fl9 meeting, recommended Council adopt a bill
for an ordinance approving a Grant of Temporary Cr,nstruction Li cense, Grant of Right of Way and
Exchange of Right-o f-Way Agreement, with a Quit Claim Deed to follow fo r the Family of the
Nazareth, Inc. for St. Louis School.
BACKGROUND, ANALYSIS, AND ALTERNATIVES IDENTIFIED
Family of th e Nazareth, Inc., representing St. Louis Parish, submitted a Grant ofTemporary
Construction License, Grant of Right of Way and Exchange of Right of Way Agreement.
The existing City Ditch does not allow th e church to use their lot loc,t,·d al South Lin coln Street
and East Fl oyd Avenue in an op timum manner to all ow c onstructi on or ,heir propose d catechism
building. Th e submitted ag ree ments would il llow them to relocate th e ex isting 36" City Ditch pipe
l o the eas terl y section of th e lot and allow building on the southwesterly portion. lhe old right-of-
way w ill be abandoned with th e Exc ha nge of Ri ght-o f-Way Agreement and a Grant of Right-of-W ay
issued. Th e Grant of Temporary Constructio n Lic ens e will cover the canst: .ction of the new 36"
concrete pipe. O nce construction is compl eted, a Quit Claim Dee d will be is sued on the
abandoned portion of th e right-o f-way.
Th e piping project must be com pl eted prior l o April 1, 2009, the starting date for wat er fl ow fo r
di tch users. The project w ill not impede the operation of th e City Ditch in this sec ti on and will
all ow replace m ent of th e SQ.year old pipe w ith new 36" co ncrete pipe. Th e Utilitie, D epartment is
requiring that the City Ditch pipe be inspected before and .fter constru cti on to insure that the
integ rity of th e I , is main•?.:aed . Th e Utilities Engi neer has reviewed and approve d th e proposed
p la ns . Th e City ,,<1 orn ey's offi,;e h as reviewed and approved th e docum ents .
The Li ce ns ee express ly ass um es fu ll and stri c t li ab ili ry fo r ., 1y and all damages of every nature 10 •
person or pro p erty caused by th e point or p o ints where the Li ce nsee perfo rm s any work in
conn ection with the constructi o n provid ed by the Li censee. Th e City reserv es th e right to make full
use of th e pro p erty necessary in th e o peration of th e City Ditch. Th e City reta in s all rii,hts to
o perate, mainta in, ins tall , repai r, remove o r reloca ted any ot' its fa cilities located w ithin th e City's
right-of-way.
