WHEREAS , the Den ve r Urban Security Initiative grant proce ss began in 2003 , and co ntinued in 2004, 2005, 2006 , and 2007 ; and WHEREAS , the Englewood Ci ty Council authorized a Urban Area Security In itiative with Denver by the passage of Ordinance No . 20, Series 2004; and WHEREAS , the City and County of Denver, through the State of Colorado , has coo peratively worked to identify and include those jurisdictions and public safety and health agencies contiguous to Denver that should be included in a joint effon to prepare and pla., for potential terrorist and urban area events; and WHEREAS, approximately $15 million was awarded to this regional effon in 2003 and approximately $8 million in 2004 ; and WHEREAS, Englewood has been a very active panicipanl in this process, having helped develop the strategic pl an, and the communications plan, and is preparing to coordinate the public infonnatio n efforts; and WHEREAS, 10 date, Englewood ha s also been identified 10 recei ve over $700,000 for an upgrade to our Safety Services communications systems; and WHEREA S, by the approva l of thi s Ordinance the City Council of the City of Englewood authorizes an intergovernmental agreement with the City of Denver for the purpose of becoming a panicipating panner in the Urbar . ,rea Security Initi ative as required by the United States Depanmenl of Homeland Sccu, ,1y and the Stale of Colorado Office of Preparedn ess, Security and Fire Safety ; NOW, THEREFORE , BE IT ORDAINED BY THE CITY COUNC IL OF THE CITY OF ENGLEWOOD, COLORADO , AS FOLLOWS : Section I . RECITALS A. In 2003 , 2004 , 2005, 2006 , and 2007 the U.S. DHS awarded Urban Area Sec urity Initiati ve grants to Denver that were pass ed through to Denver by the State of Colorado . B. The State pass ed those UASI fund s through to Denver pursuant to th e Master Contract dated May 7, 2003 and that terminated on May 7, 2008 . C. The State will no longer pass individual UASI grant awards through a Master Contract . Rather, it is anticip ated that on an annual basis the State will pass the UASI funds through to Denver through separate grant awards to be executed by the State and Denver in the form of a Grant Agreement. D. Th e purpo se of the UASI grants is to allow the Denver Urban Area to prepare for and to enhance its capacity to prevent , miti gate, respond , and recover from tt'!Torist attacks involving chei..'lical , biological , radiological , nur:ear or expl osi ve t'CBRNE") devices ; re spond to natural di sasters ; and if such incid ents oc cur, to improve the nbility of slate and loc al emergen cy personnel to resp ond to them . E. The UASI grant~ contemplate that Denver and local governments will cooperate in the purchase of emergency respond er equipment , planning, conducting and evaluating CBRNE exercises , establishing CBRNE-related training, planning asso ciated with the completion of the Urban Area Homeland Security Strategy, and management and administration associated with the implementation of the overall Urban Area Security Initiati ve for the benefit of the entire urban area . F. Denver and jurisdictions in the Denver Metropolitan Area have formed the Urban Area Working Group to achieve the purposes of lhe UASI grants . As Den ver continues to be an eligible recipient of UASI grants, Denv er will continue t ~ be responsible for acquiring equipment and pro curi ng necessary trai1ting for th e needs identified by the Urban Area Working Group . H. Consistent with the principles set forth therein, the parties enter this !GA . NOW, THEREFORE, the parti es hereb y agree as follows : 1. PURPOSE. The purpose of ,his Agreement is to implement the sco pe of work and project summaries set forth in each Grant Agreement, and in a timely manner complet e the work as set forth therein, and to implement and achieve the project goals and objectives as set forth in each Grant Agreement. The Grant Agreement for FY 2008-2009 is inco,;,orated and a partially e:,:ecuted copy of it is attach.:d as Exhibit A. Upon execution of each future Grant Agreement, without further action, upon the effective date of each future Grant Agreement, each will be incorporated by reference in to this Agreement. As the recipient of the UASI grants, Denver has undertaken responsibility for admirtistering the UASI grants and for procuring equipment, supplies, and training in accordance with a budget and priorities established by the Urban Area Working Group with the concurrence of Denver as the Core City and County. The parties enter into this Agreement to accomplish the purposes of the UASI grants . The availability of fund s and the terms of this Agreement are subject to each Grant Agreement and to the applicable federal • and stole laws , rules and regulations governing tho ~e agreements. • 2. DEFlNITlONS. a. Bylaws means those of the Urban Area Working Group, including duly authorized and executed amendments thereto . b. Co re City is defined by the UASI grants as the City and County of Denver. c. Core Co1111ty is defined by the UASI grants as the City unrl Co unty of Denver. d. Grant Agreemelll means the State of Colorado , Governor 's Office of Homeland Security (OHS) Urban Area Se curity Initiat ive Grant Program Grant Agreement with th e City and County of Denver, am endm ents th ereto, and any successor agreement, through which U.S. DHS VA SI grants are passed through from the Stat e to Denver. ,. The Urban Area Working Group is respons ible fo r coordinating deve lopment and implementati on of all progrec.i elem ents, inc lu ding the urban area assessment , strat egy development, and any direct serv ices th at are delivered by U.S . !:>HS. 3. ROLES AND RESPONSIBILITIES. a. Urb an Area Working Group : (I) The Urb ar. 'rea Working Group is governed by th e Bylaws of the Urb an Area Working Group and shall perfo nm all obli gation s und er thi s Agreement in acco rdan ce with th e Bylaws . A copy of the mos t rece nt Bylaws is attached anrl in corporated as Exhibit B. For each USA ! grant awarded , and as oth erwi se may be necessary, the Ur ban Area Working Group shall approve a budget fo r ex penditure of funds. The Urban Area Workin g Group has authorit y to remove any memb er jurisdiction that does not ac ti vely participate in the Ur ban Area Securit y Initi ativ e by se nding repr esen tatives to th e Urb an Area Wo rking Gro up meeti ngs or by failing to fulfill the juri sdictio ns' re sponsibilities un der th is Agree ment. (2) The Urban Area Working Group shall perform sec urit y surveys; needs assess ments; and shal l prioritize supply, eq uipment, tr ainin g and exercise needs ; and shall app rove a budg et for e:.pend iture ofUAS I grant s at leas t annu all y. (I) Den ver sha ll have re spon sibility fo r app lying for and sec uring the UAS I !,'Tanis, fo r participating as a city and a county in th e Urhan Area Working Gro up , and fo r co ncurri ng in the budgets approved by th e Urban Area Wo rki ng Group. (2) Den ver may use funds from the UAS I grants for purch asi ng res ponse-related suppli es and equipment ; management and administration of the grant; exec utin g terrori sm/weapons of mass de stru ctio n exercises and training, includin g rei mburseme nt of backfill and overtim e fo r personnel costs; pl anning (ri sk assess ment and strategy deve lopmen t); reimbursement for operational expenses associa ted wi th increas ed secu rit y measures durin g des ignated heightened threat alert leve ls, in cludin g overtim e cos ts for personnel and th ose co sts ; and for management and administrative functi ons fo r the Denver Urban Area. (3) The parties agree that fund,: fr 0· UASI grants will be spent in acco rd ance with the applicable budget prepared by th e Urban Area Working Group and concurred in by the Core City and County. Budgets may be amended from time to time in accordan ce with the Bylaws with the concurrence of the Core City and County. The parties agree to accept and be bound by each appli ca ble bud ge t and th e uses of the funds des ign ated by the Urban Area Working Group . • (4) In acco rdan ce with the budget and Denver 's own procuremem laws , • regulati ons and polici es, from time-t o-time, Denver will procure, or cause to be procured, supplies, equipment and services deemed necessary to enhance the sec urity and preparedness of the Urban Area . Denver agrees to grant or provide suppli es, equipment, exercises and training, or to reimburse operational expen ses for designated heightened thr eat alert level s all as budgeted and approved by th e Urban Area Working Group, to member jurisdictions of the Urban Area as Sub-grantees, subject to UASI grants bei ng received under the Grant Agreement and ap propriated by City Co uncil. Exerc ise and training costs may include personnel ex pens es to backfill positions during such training and exercises. c. Sub-grantee . (I) The Sub-grantee shall : (i) (ii) 11 UASI-IGA.City ofEnglewood Participate act ive ly in th e Urban Area Working Group; Make its perso nnel , and any supplies or equipment proc ured with funds fr om UASI gran ts thro ugh eac h Grant Agreement, reaso nably available to oth er part icipants in the Urban Area Working Gro up for training and response to CBRNE in ci dent s; Page 4 of IO • • • • (iii) Acce pt title to and to maint ain all suppli es and equi pment rec ei ved pursuant to thi s Agreem ent in good working order fo r the reaso nabl y expected life-cycle of the supplies and equipment , ordina ry use, wear and tear excepted ; (iv) Submit requests for reimbursement of exerci se, training and operati onal expenses, including overtime costs fo r personnel , and those co sts associated with increased security measures during designated heightened threat alert levels on forms required by Denver and in accordance with the budget approved by the Urban Area Working Group; (v) Provide all supplemental documentation that may be required by Denver; and (vi) Maintain all records that may be required by the terms of the UASI grants and state and federal laws , rules and regulations or by Denver. (vii) Comply with all terms of each Grant Agreement, including the requirements of the UASI grants . (2) This Agreement docs not warrant or guarantee that Sub-grantee will receive any specific amount of supplies , equipment, training or reimbursement. Sub-grantee may recei ve more or less supplies , equipment, training or reimbursement depending upon the approved budget and Sub-grantee's ability lo take advantage of the training in a timely ~anner. 3. TERM OF AGREEMENT. The term of this Agreement commences January 1, 2009 and continues through an d includin g Decemb er 31 , 20 18 , unless terminated as provided for el sewhere in this Agreement. 4. COORDCNATION AND LIAISON . Denv er's point of contact for the UASI grants is the Man ager of Safety, who will serve as Denver's repre sentati ve to the Urban Area Working Group. During the term of this Agreement, Sub-grantee sh all full y coordinate all activities and obligations related to or arising out of this Agreement with Denver, including the Denver Manager of Safety or his dcsignee, or as otherwi se dir ected by Den ver . 5. AGREEMENT AS COMPLETE lNTEGRA TI ON-AMENDMENTS . Thi s Agreement is the complete integrati on of all understandings between the parties. No prior or co ntemporaneou s addition, deleti on or other am endm ent has any for ce or effect , unless embodied herein in writin g. Amendments to thi s Agreem ent will beco me effec tive when approved by both parti es and executed in the same manner as tl1i s Agreement. Page 5 of JO 11 UAS I-IGA.Ci ty or En&Jcwood 6. TERMlNA TION OF AGREEMENT. Denve r has th e same rig hts the State has under Section 17 of th e Grant Agreeme nt between th e State and De nver, exce pt th at it shall exercise th ose ri ghts in acco rd ance with the procedures set fo nh in thi s Agreeme nt. 7. STATUS OF PARTlES . Each pany is an ind epe nd ent contractor to the other. Nei ther party is an employee of the oth er; no office r, empl oyee, age nt or contractor of one pany is an office r, employee, age nt , or co ntrac tor of th e other pany for any purp ose , in cludi ng unemployment compen sation and workers ' compen sati on. 8. WHEN RIGHTS ANO REMEDIES NOT WAIVED . lo no even t will performance by a party constitute or be construed to be a wai ver by th at pany of any breach of term , cove nant , or co ndition or any default th at may then exist on the part of th e other pany, and th e tender of any such performance when any breach or default exists (or is claimed to exi st) imp ai rs or prejudi ces any right or rem edy avai labl e to the other party with respect to the brea ch or default . No assent, ex pressed or implied, to any breach of any one or more term s, co venants, or conditions of thi s Agreeme nt is or may be co nstrued to be a waiver of any succeeding or other breach . 9. EXAMINATION OF RECORDS . Any duly authorized repre sentatives of th e federal gov ernm ent, state government, and Denve r, including Denve r's Auditor or hi s representative , have the rights to access and examine any directly pertinent books, documents , papers and records of Sub-grantee, involving transaction s related to thi s Agreeme nt until the expiration of seven (7) years from the end dat e of a date of each Grant Agreement from whi ch Sub-grantee was provided with supplies, equipment, or funding. to. RECORDS RETENTION . For at least sev en (7) years from th e end date of each Grant Agreement from which Sub -grant ee wa s provided with suppli es, equipment , or funding, Sub-grant ee shall retain all records required for or relating to each such Grant Agreement , includin g documentation and reco rd s of all expenditures incurred under this Agreement. Retention for lon ger th an th e seven years may be deemed necessary to reso lve any matter that ma y be pen ding. Thi s retenti on is for rev iew by Denver, th e State, ar.d federal governme nt , including any auth ori zed repr esentatives of th ese governmenta l entiti es. 11. ASSIGNMENT ANO SUBCONTRACTING. Denver is not obligated or liable under thi s Agreement to any perso n or entity oth er than Sub-grant ee. Sub-grantee shall not vo luntari ly or involuntari ly assign any of its right s or obli gation s under thi s Agreement or sub co ntract performan ce obli gations without obtainin g express pri or written consent and approval from Denver and the Sta te of Co lorado . Co nsen t and app rova l may not be unreasonably withh eld . Any attem pt by the Sub-gran tee to assign its rights or ob li gation s or sub contract perform ance ob li ga ti ons wi th out thi s pri or wri tt en co nsent will be void and , at Denver's option, automati ca ll y termin ates thi s Agreement. In the even t of an y unauthori zed ass ignment or any Page 6 of 10 I IUAS I-IGA-C i1 y of Englewood • • • • • • sub co ntracting: (i) the Sub-grantee remains responsib le to Den ver; and (ii) no co ntractual relati onship exi sts betwe en the City and such ass ign ee or sub co ntr actor. 12 . INDEMNITY . To the extent authorized by law , Su -grantee shall indemnify, defend and hold Den ver harmless against any and all claim s, dam ages, liability and court awards including cos ts , expenses , and attorney fee s in curr ed as a result of any act or omission by Sub- grantee , or its employees , agents , subcontractors, or assignees pursuant to the term s of this Agreement. By executing this Agreement containing this indemnity cl ause, the Sub-grant ee does not waive the operation of an y law concerning its ability to indemnify. Nothing herein waives the rights , immunities , limitatio ns, or defenses afforded the parties by the Colorado Government al Immunity Act, C.R.S. §24-I0-101, er seq. as may be amended from time to time . 13. CONFLICT OF INTEREST. No employee of either party has or may have any personal or beneficial interest whatsoever in the serv ices or property descri bed herein. Sub- grantee shall not hire or contract for services with any employee or officer of Denver that would result in any violation of the Denver Revised Municipal Code, Chapter 2, Article IV , Code of Ethics , or Denver City Charter provisions 1.2 .8, 1.2.9 , 1.2.12 . 14. APPROPRIATIONS. The obligations of the parties under this Agreement or any renewal extend only to monies appropriated for the purpo se of this Agreement by the Denver City Council, paid into Denver Treasury, and encumbered for the purposes of thi s Agreement. By execution of thi s Agreement , neither party irrevocably pledges present ca sh reserves for payments in future fiscal years, and this Agreement do es not and is not intended to create a multiple-fiscal year direct or indirect debt or finan cial obligation of either party . Denver 's obligations under this Agreement are further limited to the fund s made av ~ilable pursuant to the Grant Agreement and budget ap proved by the Urban Area Working Group for fulfilling the purpo ses of thi s Agreement. 15. TAXES, CHARGES, AND PENALTIES . Denver shall not pay orbe liabl e for any clai med interes t, late charges, fees, taxes or penaltie s of an y nature, except as required by Denver's Revised Muni ~;pa l Code. 16 . GOVERNING LAW; VENUE. Each term , provision, and condition of thi s Agreement is subject to th e provi sions of Co lorado law, the Chart er of the City and County of Den ver and the ordinance s, and regu lation s enacted pursu ant thereto . Unles,, otherwise specifi ed , any general or specific referen ce to statut es, law s, regulations , charter or cJde provisions , ordin ances, executive orders (including memorand a thereto), or contracts , mean s statutes, laws, regu lations , charter or co de provi sions , ordinances , and executive orders (i ncluding memoranda th ereto) and co ntra ct as am ended or supplemented from tim e to time and any corresponding provisi ons of suc ccsso_r statues, laws , regulation s, charter or code pro vision s, ordin ances, or Page 7 of 10 l lUASl •IG A-Ciry c-f En&lcwood executi ve orders (in clu ding memo randa th ereto) and contracts. Venue fo r an y legal acti on relating to or arising out of this Agreement will be in the Di strict Court of th e State of Co lorado Seco nd Judicia l Di strict. 17 . NO THfRD PARTY BENEFICIARY. The enforcement of the tenns and conditions of this Agreeme nt , and all rights of ac tion relating to enforcement , are stric tl y reserved to th e part ies . No thing in this Agreement gives or all ows any cl aim or right of action by any person or other enti ty on thi s Agreements , in clud ing sub cont ractors, sub cons ultants, and suppli ers. Any perso n who or other entit y other than the parties th at receives services or benefits under this Agreement is an incidental beneficiary onl y. 18. SEVERABILITY. Except fo r the provisions of this Agreement requ iring appro pri ation of fu nd s, if a co urt of compe tent jurisdiction finds any provision of thi s Agreemen t or any porti on th ereof to be invalid, illegal, or unenforc eab le , th e va lidity of the remaining portion s or provisions will not be affected , if the intent of the parties ca n be fulfilled. 19. PARAGRAPH HEADINGS. The captions and headings set forth in this Agreement are for convenience ofreference only and do nei ther define nor limit its tenn s and may not be co nstrued to do so. • 20 . SURVIVAL OF CERTAIN PROVISIONS . The tenns of this Agreemen t and any exh ibi ts and attachmen ts that by reaso nable implication contemplate continued perfonnance, • rights, or compliance beyond expiration or tennination of thi s Agreement survive this Agreement and will con tinue to be enforcea ble . Without lim iting the generality of this pro visio n, Sub- gran tee 's obligat ions 10 provide insurance and to indemnify the City will survive for a period eq ual to any and all relevant statutes oflimitation , plu s the time necessary to fully resolve any claim s, matters, or actions begun within that period. 21. LEGAL AUTHORITY . The parti es represent and ass ure that each possesses the legal auth ority, pursuant to any proper, appro pri ate and officia l motion, re so luti on or action necessary, to enter into this Agreeme nt. Th e perso ns or person signi ng and executing thi s Agreement on behalf of a party, repr esent(s) that he or she is fully authorized to exec ute thi s Agreement on beha lf of their juri sdi ction and to va lidl y and lega ll y bin d their juri sd icti on to all th e tenns , perfonnances and pro visions herei n se t forth . If there is a dispute as to th e legal auth ority of either the Sub-gran tee or the person signing this Agreement to enter int o th is Agreement, at its opt ion, Denver may temporarily suspend or pennanently tennin ate this Agreeme nt or both . Denver will not be obliga ted to perfonn any of the provisions of thi s Agreement after it has suspend ed or tenn inated this Agreement as provided in this Agreement. Thi s Agreement may be exec uted in counterparts , each of which when executed and delivered constitutes an original and together co nstitute s one and the same instrument.
