WHEREAS , in 1990 the City of Englewood applied to the Co lorad o Department of Local Affairs and was granted , Enterprise Zone status for a majo rity of the indu strially and commercially zoned property in th e City of Englewood ; and WHEREAS , the State Economic Development Commi ssi on ha s a competitive granl program for marketing and administrative support of Enterpri se Zones; and WHEREAS , the Enterprise Zone is used in the Cit y to initiat e business retention and community marketing activities; and WHEREAS , the Enterprise Zone Marketing Grant encourage s business es to take advantage of Enterprise Zone tax credits, and highlights, the Englewood bu siness community ; and WHEREAS, the Co lorado State Economi c Development Co mmissi on require s that :he Ci ty provide matching fund s to meet Grant req uirements ; and WHEREAS, the Grant and rel ated Agreement between th e Stale of Colora do Economi c Development Co mmi ss ion and the City of En glewood pledges $12,500.00 in local matching fun ds to meet this obl igati on; and WHEREAS , matching fund s have been allocated in Communit y Development's budget ; and WHEREAS , thi s Grant and the matchin g fund s will be used for a variet y of Enterprise Zone marketing and admini strative activities in the City of Englewood: NOW , THEREFORE , BE IT ORDAfNED BY THE CITY COUNC IL OF THE CITY OF ENGLEWOC•D , COLORADO, AS FOLLOWS : Secti on 1. PARTIES TlilS GRANT AGREEMENT (hereinafter called "Agreement") is entered into by and between City of !lnglewood, Community Development, 1000 Englewood Parkway, Englewood, CO 80110 (hereinafter called "Grantee"), and the STATE OF COLORADO acting by and through the Colorado Offi ce ofEconomic Development and International Trade, Colorado Economic Development Commiss ion, 1625 Broadway, Suite 2700, Denver, CO 80202 (hereinafter called the "State" or "OEDJT'). 2. EFFECTIVE DATE AND NOTICE OF NONLIABILITY This Agreement shall not be effective or enforceable until it is approved and signed by the Colorado State Controller or their designee (hereinafter called the "Effective Date''). The State shall not be liable to pay or reimburse Grantee for any performance hereunder, including, but not limited to costs or expenses incurred, or• M bound by any provision hereof prior to the Effective Date. 3. RECITALS A. Authority, Appropriation, and Approval CRS §24-46-101 through 24-46-105 establishes th e Co lorado Economic Deve'opment Fund (hereinafter call ed "CEDF "), and is to be administered by the Colo rado Office of Economic Development and International Trade . Co ns ideration The Parties acknowledge that th e mutual promi ses and covenants containe d herein and other good and va luable con sidera tion are suffi cient and adequate to support this Grant. C. Purpose The Sta te desire s to prom ote economi c deve lopment in Co lorado by ass istin g loca l communities io expandi ng their economi c base. H. Party or Parties "Party" or "Partie s" means one or nil r,f thc State , OED IT , th e Colorad o Economic Deve lopment Corr.missio n, and Grantee , its ag ent s, employe es, Sub -grar.tees and/or ass igns . I. Review "Rf;vi ew" means examinin g Grantee 's Work to ensure th at 1! is adequate, accura te, correct and in accordan ce with th e criteria es.ablished in §6 and Exhibit A, J. Services "S ervices" means the requir ed services to be perfonned by Grantee pursuant to this Grant. K. Sub-grantee "Sub-grantee" means third-parties, if any, engaged by Grante e to aid in perfonnance of its ob ligati ons , L. Work or Project "Work " or "Project" means the tasks and acti vities Grantee is required to perfonn to ful fi ll its obligations under thi s Grant and Ex hibit A, in clud ing the perfonmance of the Servi ces and delivery of the Goods, M . Work Product ?age 2 of 15 "Work Product" means th e tangible or in tangibl e res ult s of Grantee's Work 1 inc lu ding, but not limit ed to, software 1 re search, repo rts , studies, data , photographs 1 negatives or other finished or un finished documents, drawi ngs, model s, surveys, maps, mat erial s, or work produ ct of any type . 5. TERM AND EARLY TERMINATION. A. Intial Term and \.'\'ork Co mm enceme nt The Parties res pec tive performance und er thi s Agre ement shall co mm ence on the Effe ct ive Date. Thi s Grant sha ll term inate on December 31, 2009 unless soo ner termi nated or furth er extended as specified elsewhere herei n. B. State 's Option to Extend The State may require cor tinued performance for a period of 3 month s at th e same rate s and sam e terms specified in the Grant. The tota l duration of this Grant, in clu ding the exerci se of any options und er thi s cla use , shall not exceed I year and 3 months . 6. STATEMENT OF WORK • A. Completion Grantee shall complete th e Work and its other obligations as de sc ribed herein and in Exhibit A on or before Dec ember 31, 2009. The State shall not be liable to compensate Grantee for any Work performed prior to the Effective Date or after the termination of thi s Grant. B. Goods and Services Grantee shall procure Goods and Servi ces necessary to complete the Work . Such procurement shall be accompl is hed using the Grant Funds and shall not inc rease the maximum amoun t payable hereunder by the State . C. Employees All persons emp loyed by Grantee or Sub-grantees shall be considered Graotee 's or Sub-grantees' employce(s) fo r all purposes hereun de r and shall not be emp loyees of the State for any purpose as a re sult of thi s Grant. 7. PAYMENTS TO GRANTEE The Sta te shall, in accordance with the provi so ns of thi s §7 , pay Grantee in the fo llow in g amounts and using th e methods se t forth below: A. Maximum Amount Th e maximum amount paya ble und er th is Grant to Grant ee by the State is Sll.500, as determin ed by the Sta te from availab le fund s. Gran tee agrees to prov ide any addi ti onal funds requ ired for the succe ssful comp leti on of th e Work . Paymen ts to Grante e arc limited to the unpa id obliga ted bal ance of the Grant as se t forth in Ex hibit A. B. J'a ymcnt i. Ad,•ancc , Interim nnd Final Payment An y advance pay ment allow ed und er thi s Gran t or in Exhibit A shall com ply with State Fisca l Rules and be mad e in acco rdan ce with th e provi sions of thi s Grant or Exhibit A. Grnnlce sha ll init ia te any payment requests by submitting invoi ces to the State in the form and manner set forth in Exhibit A. ii. Inter est The State shall fully pay eac h invoice within 45 days of receipt th ereo f if th e amount inv oiced represents peformance by Grantee previous ly accepted by th e State . Uncont ested am ounts not paid by th e State with in 45 days may, if Grantee so reque sts, bear interest on the unpai d bal ance beginnin g on the 46 th day at a rate not lo ex ceed one perce nt per month until paid in full; provided, however , that interest shall not accrue on unpaid amo unts that are subject to a good faith dispute. Grant ee shall invoice the State separa tely for accrued interest on delinquent amounts . The billin g shall reference the delinquent nayment, the number of day's interest to be paid and th e interest ra te . iil. Ava ilable Fund s, Contingency an d Termination The State is proh ibited by lnw ro m maki ng fisca l commitme nts beyond the term of the St ate's current fiscal yea r. Therefore, Grantee 's compensatio n is contingent upon the con ti nuin g availab ility of State appropria ti ons as prov id ed in the Colo rado Special Pro vis ions, set fo rth below . if fe deral funds arc .. -------·------------------------------· used with this Grant in whole or in part, the State's perfo rmance hereunder is co ntingent upon the con tinuing avai lability of such fund s. Payments pursuant to this Grant shall be made on ly fr om • available funds encumbe red for thi s Gra nt and the State's liability for such paym ents shall be limited • to the amo un t remaining of such encumbered funds. If State or fede ral funds are not approp riated, or oth erwise beco me una vailab le to fund thi s Grant , th e State may imm edia tely tenn inate th is Grnn l in whole or in part wi thout further liability in acco rdan ,;e with the prov is ions h~rein. iv . Erron eous Paym ents At the State's so le discre ti on, payments made to Gra nt ee in error for any reason, in clu ding, bu t not limited to overpay ment s or im prope r payments, and un ex pended or excess fund s received by Gran tee, may be re covered from Grantee by deduc ti on fr om s"bsequ en t payments und er thi s G=t or other grants or agreeme nts between th e State and Grantee or by othe r appropri ate method s and collected as a debt due to the Sta te. Such fund s sha ll not be pa id to any party other than the State . C. Use of Funds Gra nt Funds sha ll be used only for eligible costs identified herein an d/or in Ex hibit A. The State 's total consideration shall not exceed the maximum amount shown herein . D. Matching Funds Grantee shall provide matching funds as provided in Exhibit A. 8. REPORTING AND NOTIFICATION Reports , Evaluation s, and Review s required under thi s §8 sha ll be in accordance with th e proced ures of and in such form as prescribed by the State and in accordance with §19 , if app li cab le. A. Performance, Progress, Personnel, an d Funds Grantee shall su bmit a report to the State upon e<piration or soo ner termina iJ n of thi s Grant, conta in ing an Eva lu ati on and Revi ew of Grantee's perfo rmance and th e fin al status of Gra ntee's ob li ga tions hereunder. In eddition, Grantee shall comply with all reporting requirements, if any, set forth in Exhibit A. B. Litigation Reporting Withi n IO day s aft er being served wi th nny pleading rela ted to th is Agreement, in a legal action filed with a court or ad mini stra tive agen cy, Gran tee shall no tify the State of such action and de live r copi es of su ch pleadings to th e State's prin cipal represe nt ative as identifi ed hcrcin . lfthe State or it s auth ori ze d representa tive is not then serving, such notic e and copies sha ll be delivered to th e Executive Director of OEDIT. C. Noncomplian ce Grantee's fa ilure to pro vide rep orts and noti fy the State in a tim ely manner in accordanc e with this §8 may result in th e delay of payment of fund s and/or term in,tion as prov id ed und er thi s Gran t. D. Sub-grants Cop ie s of any and all Sub-grauts ent e. ed into by Gran tee to perform its obligation s hereunder shall be submitted to th e State or its princ ipa l represen tati ve upon request by th e State . Any an d all Sub-grants ente red in to by Grantee related to its performance hereunder sha ll com pl y with all ap plic able federal and state laws and shall pro vide tha t suc h Sub -grants be gove me c' by th e laws of th e State o f Colorado. 9. GRANTEE RECORDS Grant ee shall make, keep, maintain and allow inspecti on and monit orin g of th e follow ing records: A. Maintenance Grantee shall mainta in a comp lete fi le of all records, documents, co mmuni ca ti ons, not es and other wri tten materials 1 electronic medi a fil es, and co mmuni cations, pert aining in any manner to the Work or the delivery of Servi ces (in cluding , but not limited to the opera tion of programs) or Goods hereunder. Grantee shall maintain such re cords for a period of time (hereinafle, called the "Record Retention Peri od") until the last to occ ur of the following : I. a period of three years after th e date thi s Agre ement is compl eted or term inat ed, or • U. fin al payment is made hereunder, or • hi. for such fart.her period as may be ne cessary to resolve any pending matt ers 1 or Page 4 of IS i\', ifan audi t is occ uring, or Gran tee has re ce ived noti ce th at nn audit is pen di ng, then unti l such audit has been comp leted and its findings have been resolved. B. In spection Grantee shall permit the Sta te, the fe deral governme nt and an y other duly authorized agent of a governmental ag ency to audit, in spec t, examine, excerp t, copy and/or trans cr ib e Gra ntee 's records related to thi s Grant during th e Re co rd Retenti on Peri od for a period of thre e years foll owi ng term ina tion of this Grant or final pa yment hereunder, whichever is later, to ass ure compl ian ce with the tenn s hereof or to ev aluat e Grantee's performan ce he reunder. The Sta te reserves th e right to inspect the Work at all reaso nable times and pla ces during the term of this Grant, including any ex tension . If th e Work fail s to confo rm to the requirements of thi s Grant, the Stale may require Grantee promptly to bring the Work into co nformi ty with Grant requirements, at Grantee's so le expense . lf tbe Work cannot be brought into con fonnan ce by re-performance or othr.r correct iv e measures , th e State may req uire Grantee to take necessary action to ensure that future perfonnance confonns to Grant requirem ents and exercise the remedies ava il able under this Grant, at la w or inequity in li eu of or in conjunction with suc h corrective measures. C. Monitoring Grantee also shall permit the State, th e federal government or any other duly authorized agent of a governmenta l agency, in their so le di scre tion, to monitor all act ivities condu cted by Grantee pursuant to the te rms of this Grant using any reasonab le procedure, in cluding, but not limite d to : internal evaluation procedu res, exarainatioa of program data, special analyses, on-site checking, formal audit examinations, or any other. All su,;h monitoring shall be performed in a manner that shall not undul y in terfere with Grantee 's perfom1:mce hereunder. D. Final Audit Report If an audit is performed on Grantee's records for any fi sca l year coveri ng a portion of th e term of th ,s /\gree ment, Grantee shall submit one copy of the final audit report to the State or its authorize d represen tative at the addre ss spec ifi ed herein . IO . CONFIDENTIAL INFORMATION AND STATE RECORDS Grantee ackn owledges that it may beco me privy lo co nfid entia l information in con nec ti on wi th it s performance he re under, incl uding, but not lim ited to state reco rds, per so nnel records, and infonnat ion con ce rning indivi dua ls. A. Co nfid entiality Grantee shall keep all Stat e re cords and infonnation r dcntial at all tim es and to co mpl y wuh all laws and regul ations co ncerning co nfidentiality of info n. .1-.m . Any req ues t or demand by a third pa , for State records and information in th e possess ion of Grant ee shall be imm ediately forwa rded to the State's principal repre sentative. B. Notifica tion Grantee sh all notify its agent, emp loy ees, Sub-gran tees, end ass igns who may com e into con tact with State reco rds and confi dentia l in fo nnation that eac h is subject to the co nfidentiality requirements set forth herein , and shall provide each wi th a written cx plnn all on of such requiremen ts befo re they arc pcnnittcd to ac cess su.:h reco rd s nnd infonnnt ion. C. Use, Security, and Retention Confidential informa tio n of any kind shall not be di stribu ted or so ld to any tbird party or used by Grant ee or its agents in any way, except as authori zed by thi s Grant or approved in writ ing by the Stat e. Grantee shall provide and maintain a secure environment that ens ures confidenti ality of all St ate record s and other con fident ia l informati on wherever loca ted . Confidential in fonna ti on shall not be retain ed in any files or otherw ise by Grantee or it s agen ts, except as permitted in thi s Grant or approved in writing by the State . D. Disclosure and Liabili ty Disc los ure of State re cords or other co nfident ial informa tion by Grante e for any reason may be cause for legal ac ti on by third part ies against Grantee, th e State or their respect ive agents. Gran te e shall ind emnify, save, and hold ha rmle ss the State, its employee s and agent s, agains t any and all claims , dam ages, liability and co urt awa rd s including co sts, ex penses, and attorney fees and related costs, incurred as a res ult of any act or omi ssi on by Gra nt ee, or i s employees, agen ts, Sub -g:-an lees , or assig nees pursuant to this §!O. 11. CONFLICT OF INTEREST Gra nt ee sha ll not engage in any business or personal activit ies or practi ces or main tain any relati onship s which conflict in any way wi th th e full performance of Gra nt ee's obligations he reunder . Gra ntee acknowledge s that with r-:spect to this Grant, even th e ap peara nce ofa conflict of int eres t is ham1ful to th e State's interests. Abse nt the State 's prior written app roval 1 Grantee shall refrain fr om any practi ces, activi tie s or relationship s that reaso nabl y appear to be in co nflict with the fu ll perfonnance of Gran tee's obliga ti ons to th e State hereunder. If a conflict or appearan ce ex.ists , or if Grantee is uncertain wheth er a conflict or th e appearance of a conflict of interest exis ts, Grantee shall subm it to the State a dis clos ure statem ent se tting forth th e relevant detail s for th e Stat e's cons id era tion . Failure to pro mptly submit a disclosure stat ement or to follow th e State's dire cti on in regard to the apparent conflict consti tute s a brea ch of th is Grant. 12. REl'RESENTATIONS AND WARRANTIES Gran te e makes the followin g spec ifi c represe ntati ons and wanranties, each of which wa s relied on by the State in entering in to thi s Grant. A. Standard and Manner of Performance Grant ee shall perform its oLligat ion s hereunder in accordance with the highe st standards of care, skill and diligen ce in the industry, trades or profession and in the sequence and manner set forth in thi s Grant. B. Legal Authority-Grantee and Grantees Signatory Grante e warrants th at it possesses the legal authority to enter into thi s Grant and that it has ta ken all actions required by its procedures, by-laws, and/or applicable laws to exercise that authority, anc to lawfull y authorize its undersigned signatory to execute th is Grant , or any part the reof, and to bind Grantee to its terms. If requested by the State, Grantee sha ll provide the State with proof of Grantee's authority to enter into this Grant wit hin 15 days of receiving such requ es t. C. Licenses, Permits , Etc. Grantee represents and warrant s that as of the Effectiv e Date it has, and that at all time s during the term hereof it shall have, at its sole expense, all li ce nses, certifications, approvals, insuranc e, pennits, and other • authorization required by law to pcrfonn it s obligations hereun der. Gra nt ee warrant s th at it shall maintain • all necess ary li censes, certificat ions, approvals, in suran ce, pc1m it s, an d other authorizati ons required to l?rop crly pcrfonn thi s Gra nt , with out ; imburs cment by th e Stn te or oth er adjustme nt in Grant Fund s. Aclcl itionall y, all employee s a· ,d agents of Gra ntee performing Services under th is Grant shall hold all req uired I icenses or certific at ion s, if t1.ny , to perform th eir rcspom:ibi liti cs. Grantee, if a foreign corporation or other foreign entity tran sacti ng busi ness in th e Stace of Co lorado, furth er warra nts tlrnt it cun"ently ha s obtained •.md shall maintain any appl icable certificate of authority to tran sact business in th e State of Colora do and hns designated a regis tered agen t in Co lorado to accep t serv ice of process. Any rev oca tion , withdrawal or non-renewal oflicenses, certifications, approvals, insurance, permits or any such simila r requirem ents necessary for Grantee to properly perfonn th e tenns of th is Grant shall be deemed to be a material breac h by Grantee and const itute grounds for termin at ion orthis Omni. 13. INSURANCE Gran tee and its Sub-grantees shall ob tai n and maintain insurance as spec ified in thi s sec tion at all time s during the term of thi s Grunt: All policies ev idencing th e insurance coverage required hereu nder shall be iss ued by :nsurance companies sa ti sfactory 10 Grant ee and th e State . A. Grantee i. Public Entities If Grantee is a "public entity " within th e mea ning of the Colorado Governmental Immun ity Act (the "GIA"), CRS §24 -10-101, ct seq., as amended, th en Grantee shall maint ain at all tim es du1ing the term of thi s Grant such liability insuran ce, by commercial policy or self-in surance, as is neces sa ry to meet its liabilities under the GIA. Grwitee shall sho w proof of such insurance sati sfac tory to th e State, if requested by the State. Grantee shall requi re each Grant with Sub-grantees th at are public entities, providing Goods or Services hereunder, to include th e insura nce requirements necessary to meet Sub- grantee's liabilities under the GIA. ii. Notice und Cure Period In the eve nt of a breach , notice of such shall be given in wri ting by the agg ri eved Party to the other Pnny in the mann er provi ded in §16 . If such breach is nol cured wi th in 30 d:1ys of receipt of wrinen notic:c, or if a c ur e cannot be co mplet ed within 30 days, or if cure of th e breach has not begu n with in 30 days and pu rs ued with du e di ligen ce, the State ma y exerc ise any of the remedie s set forth in §15 . REMEDIES If Grant ee is in breach und er any p1wisio n of thi s Grant , th e State shall have all of th e re medi es listed in th is §15 in addition to all oth er remed ies set fo rth in other sec ti ons of this Grant foll owing the notice an d cure pe riod set forth in§ 14 (8). The Stale may exe rcise any or all ~f the remedie s ava il able lo it, in its sole di sc retion, concurrently or consecuti ve ly . A. Termination for Cause and/or Defa ul t lf Grantee fai ls lo perform any of its obligations hereunder with such diligen ce as is required to en sure its completion in accordan ce with the provisions of thi s Grant and in a timely manner, the State may noti fy Grantee of such n .1-performance in accordance with the provision s herein. lfGran tee thereafter fails to promptly cure su ch non-performan ce withir. the Cure Period, the Stal e, at its option, may termina te this entire Gran t or such pan of thi s Grant as to Y•hich there has been delay o, a failure to properly perform . The Eco nomic Deve lopment Commission has a competitive grant program fo r Enterp ris e Zones, which provi des mJrketing and adminis trative support. If approved, thi s will be th e 13th consecu tive yea r Eng lewood has applied for and rece ive d funding to admin ister and market the A•cpa hoe County Ente rprise Zone. The En terprise Zone marketing gran t is used to support business reten tion and co mmunity marketing ac tivities . Market ing ac tivi ti es fu nded with th is grant encourage businesses to take adva ntage of Enterprise Zone tax cre dits an d hi gh li gh t th e Englewood business community.
