AN ORDINANCE AUT HORIZ ING A STATE OF COLORADO DEPARTMENT OF LOCAL
AFFAIRS COMMUNlTY DEVELOPMENT BLOCK GRANT (COBO) NE IGHBORHOOD
STABILIZATION PROGRAM (NSP) GRANT AGREEMENT .
WHEREAS , the Housing and Economic Recovery Act (HERA) appropriat•:~ ~3.92 billion for
the Neighborhood Stabili zation Progra m (NSP I) to suppor1 th e acquisition , re.iabilitation , or
demolition of forec losed and abandoned properties; and
WHEREAS, the City Coun ii of the City ofEnglewood, Colorado authorized the Cit y's
appl ication for Federal fundin g It.rough the Neighborhood Stabilization Program (NSPI) by the
passa ge of Resolution 34 , Seri es oi' 2009; and
WHEREAS, the Co lorado 51,.1 • Housing Board approved the P·oject Rebuild NSPI application
on July 14 , 2009 and awarded 1:,~ ity of Englewood $1 ,253.379 ; and
WHEREAS, Project Rebuild will purchase and rehabilitat e abandoned or fo reclosed single-
family proper1ies in Englewood's ten eligible census tra cts; and
WHEREAS , th e key NSP requiremen·, inc lude :
• NSP Funds mu st be ex pended witltin 18 months of the dat e the State
received funding (March 2009).
• A mu lti-yea r reinv estrr,ent period with a term endi~g March 10, 20 13.
• Househo ld s purcha sing prnperties must undergo a minimum of 8 hours
of HUD -approved homeowr.ership co unse lin g.
• 100% of all funds shall be used to serve fami li es whose income dJcs nN
exceed 120% o f Arca Med ian In come (AMI).
• 25% o f :ill fund s shall be used to serv e families whose incr:nc does not
exceed 50% of AM I.
• Rehabilit ation St andard s mu st be estab li shed (minim um of Hou sing
Qua lit y Stand ards and loca l codes, with green bui lding and energy and
water efficiency en 1J1·agcd).
• Sa le prices of abm>do ncd or forec losed homes psrcha scd or redevel oped
and so ld to individuals , as a primary res idence , shall be equal to or less
than the cos t to acquire and red ev elop the home .
Purch ase prices of home s ca n in clud e clos ing costs .
• Apprai sal s are required on all acquisiti ons using NS PI fund s.
• Foreclo sed homes shall be purchased a1 a di scou !ll of at least I % from
th e current market •a pprai scd value .
• Administrative fees up to 2% for non-Direct and rea sonable devel oper
fees to opecate the NSP I progra m are all owed .

THJS GRAl'-"T AGREEMENT ("Grnnt") is entered into by nnd between City of Englewood ("Grantee"), and the
STA TE OF COLORADO (the "State") acting by and through the Colo rado Departme nt of Local Affairs (the
"Department") for the benefit of the Divi sion of Hous ing ("CDOH''),
z. EFFECTIVE DATE AND NOTICE OF NONLIABIL!TY
This Grant sha ll not be effective or enforceable until approved and signe d by the Co lorado State Controller or
authorized delegate ("Effective Date"), but sl1all be effecti ve and enforceable thereaft er in accordance with its
provisions. The Department shall not be obligated to pay or reimburse Grantee for any perfonnancc hereunder,
in cluding, but not li mited to costs or expenses Incurred, or be bound by any prov is ion of this Grant pr ior to (see
checked options below)

3.RE C'iTALS
A. Authority, A ppro priation, And Approval
Au thority for thi s Grant arises from CRS §24-32-705. Authority exists in the law an d fun ds have been
budgeted, appropriated and otherwise made available an d a suffic ient unencum bered balance th ereof
remains available for payment and the req uired approva l, clearance and coordination have been
accomplished from and with appropriate agenc ies .
B. Gr a ntee
Grantee is an eligible recipient of Grant Funds mad tl able by the Program, as defined below , and
award:d by thi s Grant. Grantee is aware of, willin g und ablt to co mply with all provisions specific to the
Pro gram, as set forth in Ex hib it A and to comp lete the P roject described in Ex h ibi t B.
C. P u.r pose an d D epartment's Ro le
The Department administers fund s mad e availabl e to th e Depllftm en t for the purpose of improving the
foreclosure cri sis in Co lorado and make availab le afforcb.ble bowing opportunities for low and moderate~
income families ..
4. DEFI NITIONS
The following terms as us ed herein shnll be construed and interpreted as follows:

Exhibit means the following are attached here to and inco rporated 0y reference herein : Exhibit A
(Applicable Law), Exh ibit B (Statement of Proj ect), Exhibit C (Income & Ren ! Limi t), and Fann 1
(Affidav it of Legal Residency).
C. Goo d s
Goods means any physicaJ item produced or mnnufacturcd and acquired by Gran tee either separa tely or in
conjunction with the Servi ces rendered here under that are required by the provis ions hereof.
D. Grant Fu nd s
Grant Funds means the funds available for distribulion by the Department to Gra ntee for use in
connection with the Project, as set forth in the Recitals and Statement of Project sections hereof.
E. Party or Pa r ties
Pany or Parties mea ns one or both of the Departm ent and Grantee,

Pre-contract costs are the cos ls incurred on or afte r the date as spec ified in §2(C) above and the Effcr.tive
Date oflhis Grant. Suc h coots shall have been de tailed in Grantee's NSP grant application and as
specifically authorized by th e Sta te and in corporated hereinLO Exhi bit ll.
G. 'Program
Program mean s the federal Com munity Development Block Gra nt , Neighborhood Stab ili za tion Program,
which provides funding for this Gra nt.
T:J . Project
Project means the Project described in U1 e Recital :. and Exhibit B.
I. Project Bud get
Project Bud ge! mean s the Proj ect Budget described in Ex hibit B.
J . Services
Services means serv ices perfonned or tang ibl e material produced or delivered in completing the Project
and in perfo rmance of Grantee's other obligations hereunder.
K. Termination Date
Termination Date means the date this Grant term inates as described in §S(A) below.
L. Work Product
Work Product means software, research, reports, studies, data, pho tograp hs, negatives or other fini shed or
unfinisl,ed documents, drawings, models, surveys, maps , materials, or work product of any type,
in cluding drafts, prepared by Gran tee hi completing the Project and in pe rformance of Grantee's other
obligations hereunder .
5. TERM AND EARLY TERMJNATIO N
A. Initial Term~ Work Commen ce m ent
The term of this Grant shall commence on the Effective Oat, and tem1inatc on March 10 20ll, unlt:ss
terminat:d earlier as prov id ed below. Grantee 's oblig ations under this Grant shall be undertaken and
pcrfonn ed in the sequence and manner set forth in Ex hibit B. Pe1formnn ce of th.is Grant shall commence
as soon as practicabl e afler (see c hecked option below):
i. 0 th e Effective Dale; or
ii. (81 the inter to occ ur of the Effecti ve Di tc and the date set forth in a R.elcasc of Funds Letter.
B. Departm ent 's Opti on to Ex tend
The Dep artm ent, in its sole di screti on and up on written notice to Grantee, may unilatera lly extend th e
tcnn of this Granl for a period of up to three months under the same pro vi sions us th e original Grnnt if the
Parties arc negotiati ng a replacement contract (and not merely seeking a term extension) nt or near the end
of any in it ial term or an exte nsion th ereof. Thi s extens ion shall terminate nt the earlier of either the end 'lf
ti1e three month period or wh en a replace ment Grant is signed by lhe Parti es and approved by the State
Con troll er or auth orized de:i ignee, Any oth er exte ns ion of th e term of this Grant requires an amendm e nt
mode in accordance with th e Modifi cation subsection of th e General Provis ion s below.
C. En rly Tcrmi nnlio n
This Grant is subject to early termination in accordance wi th th e gencrn l remedies provi sions of §1 7
below and as specifi colly otherw ise provided for herein.
6. STAT EMENT OF PROJECT
Grantee shall complet e th e Projec t and perfonn its other obligations as described herein and in Exhi bit B.
Gran tee shall prosecute its obli ga tion s hereunder und in Ex hibit B with due diligence to completion. The
Department, in its so le di srrelion, but in uccordancc with limitations imposed by the Office of th e Stute
Controller, m11y chan ge bu dge tary lin es in tl1e Project Budget sect ion of Ex hi bit B. The Depaiime nt shall se nd
no tice of such changes wi thin 60 days in ac co rdance with §18 below.
7. MATCHlNG f,UNDS
Thi s sect ion D sha ll , or sha ll not 181 app ly to this Granl If app li cab le:
A. Amoun l o~-•ee shall provide rnalchi ng funds as prov ided in Exhlbil 8. Gra ntee shall rai se th e full amount of
n:.ilr..i ng fund s durin g th e tcnn of th is Grant and shall report to the Deparunc:nt regarding the status of
such fu nds as required in Exhibit B.
B. Brea ch
Grantee's failur e lo raise matching funds , to keep records1 and/or to report may affec t its continued
participation in U1 e Program under whi ch lhi s Gra nt opera tes . In addition, the Deportment may term ina te
this Grant under Lh e Tennination for Ca use subsec tion of §17 be low if the Department has reasonab le
evidence U1at Grantee will be unabl e to raise such rn atrh in g fund s during the tenn hereof.
8. GRANTEE FINANClAL MANAGEMENT
A. Accounts
Grantee shall maintain properl y segregated acco unts of Grant fund s, matching funds, nnd oth er fund s
associated with the Proj ect and mak e those records available to the Department on request. All rec eipts
and expenditures assoc iated with th e Project shr.11 be docu:nented in a detailed and specific manner, in
accordance with th e Project Budget set 'forth in Ex hibit B.
B. Project Budget Line Item Adjusbnents
Regarding budget lines within the Project Budge t, Grr.ntee may:
l. 181 not adjust indivi dual budget line amounts without approval of the Department Such approval
shall be in the fonn of:
a) a no tice issued by the Departme nt in accordance with §18 below; or
b) an amendment in accordance with the Modification subsecti on of the General Provis ions
below.
li. D adjust individua!"budget line amounts without the Department's approval if:
a) there are no transfers to or between administration budge t lines; and
b) the cumulative budgetary line item changes do not exc eed th e lesse r of fifte t lLJ)ercent of the
tota l budgeted amo unt or S20 000.
9. PAYMENTS TO GRANTEE
Gr antee shall be paid in the following amoun ts and maruiers, subject to return of any unexpendut Grant Funtls:
A. Maximum Amount
The m1ximum nmou nt payable under thi s Grant 10 Gran tee by th e Dcpnrtmen l s hall be SI 253 379.00, as
determined by th e Departm ent from available fun<i:. The Department sha ll reimburse Grantee for costs
approvec! in the Grant budget, set forth in Exni bit n. Sa ti sfactory performance under the terms of this
Gra nt shall be a condition precede nt to t_h,. Department's ob!!gati on to reimburse Grantee. The maximum
amo unt of Grant Funds payable as reimbursement under this Grant, and any extension hereof, shall
in clude all Grante e1 s fees, cos ts and expe nses.
B. Payment
All pa yments nre s ubject to the §17 below.
Meth od nnd Time
Grantee perio dically shnll sub mit invoices to U1 e Department in the fonn nnd manner se t forth in
Ex.hiblt B, and attach time shee ts, receipts and other rcct ues ted doc umentation in the fonn and
manner approved by the DcpnrtmenL Grant ee shnll submit requ es t for reimburse ments/invoi ce&
within 30 days after the end of the period for which paym en t is reques ted, nnd final billings under
this Grant shall be received by the Department within 45 days after terminat ion hereof. Untim ely
req uests for payment mny be ac ce pted at th e sole di scre ti on of th e Dcpa rtmenL
ii. Elecb I ic Funds Trnnsfcr
Peyments shall be made by one of the fo llowing method s:
n) by mutunll y agreeable meth od inc luding in-person pickup,
b) electronic funds transfer (EFT) if Grantee provides written EFT instructions to the
Depa rtment on a fonn acceptable to the Department, or
c) via th e U.S. Postal Servi ce or other delivery serv ice ad dressed as speci fied by Gra nt ee in
the remittan ce address sect ion of Ex hibit Il.

G antee shall refu nd paymen ts mndc by the State in error for any reason , in cl uding , but not limited
to overpayment,; or imprope r payments, wit hin 15 days of discovering or receiving notice of suc h
error. Any fund s paid to Grantee hereunder not ex.pended in connection with this Grn nt by the
termination d1te shall be reftmded by Grantee wHhin 15 days of such date. Any funds not requ ired
to complete Grantee's ob li gatio ns hereu nd er shall be de•obligated by the State , l f Grantee receives
funds hcre1.1nder during any fisca l year in ex.cess of its spending iimit for s uch fi scal year, O,n.n tee
shall refu nd all exce.ss funds to th e Stat e within 15 days of the later ofof d isco vering or m :eiving
notice of such excess. Erroneous, unexpended, and ex.cess fund s received by Grantee under this
Grant i.hall no'. be refunded or paid to any party other than the Stntc.
iv. Available Funds~Coritingcn cy •Termination
The Department is prohibited by law from mak ing fiscal comm itmen ts beyond the tenn of the
St ~e•s current fiscal year. Therefore , Grantee's compens ation is co ntingent upon the continuing
availability of State appropri atio ns as prov ide d in §2 of th e Co loradll Special Prt>visions, set forth
b elow. If federal funds arc us t.J with this Grant in whole or in pnrt, the Department's ·performance
hereunder is contingent upon tl1e continuing availability of such funds . Payments pursuant to this
Grant st al l be made o!lly from availa bl e funds enc umbered for this Grmt and the Department's
liability for such payments shall be limited to the e.mount remaining of such encumbere d funds .
C. Additional Fuqds
Grantee sh all provide any additional or matching funds ne cessary to perform its obligations in accordance
with the b udget _ in Exhibit B.
D. Remedies
If state or federal funds a.re not appropriated, or otherwise become unavailable to fund this Grant, the
State may immediately terminate the Grant in whole or in part without further liability in accordance with
§l 7(B) below. If addi ti onal funds under §9 (C) are un available in whole or pnrl, the State may, in its sole
discretion. reduce its total funding co mmitment hereunder in pro portion to the reduction in additional
funds . If Grantee fails to refund payments as set forth in §9(B)(iil) above, the State ma y offs et the amo unt
not returned against any other unpai d funds the State owes Grantee under any other grant , agreement, or
obligation between the Parties . ·
10 . REPORTING AND NOTIFJCAT!ON
Reports and anal ys es required under thi s section shall be made in accordance with proced ures nnd in such fonn
as prescribed by the Departmen t
A. Performance, Progress, Pcrso nn t.!, and Fu11ds
Grantee shall comply with all rep orting requirements set forth in Exhibit B.
B. Litigution
Within l O days after bein g serv ed with uny pleodinr, rt:11ted to this Grant or th e Proj ec t, in 11 legal action
filed with a court or administrative agency, Grnntee sh :i ii notify ttie Department of such nc ti on and deliver
copies o f such p leadings lo the Department's principtL i cpresentative in ar.cordance witli §18 be low . If a
Department p ri ncipal reprcsentativ~ is not then serv1~i; u,;b noti ce and co pi es shall be delivered to the
Executi ve Direc tor of tlte DcpartmenL

Grantee 's fa ilure to provide reports an d notify th e De partment in e timely manner in acco rdance with thi s
section ma y result in th e delay of payme nt of funds an d/or termin atio n under §17 below.

Gran tee shall make, keep, main tai n and all ow in specl ion an d monitoring of th e fo ll owing records:
A. Maintemrnce
Grantee sh all maintdin a co mplet e fil e of all 1ccOl'ds1 documents , co mmuni ca ti ons , not es and other wr itt en
ma terials, ele ctronir media file s, and comm un ications, pertaining in any manner to th e Project or the
delivery of Services (i ncl udi ng, but not limited to the operati on ofprograms)or Goods hereunder.
Grant ee sha ll maintain such records (the Record Retention Period) until the las t to occur of the followi ng:
i. a period of five years nflcr th e da te this Grant is co mpleted or termina ted , or
ii. fi nal payme,1t is made hereun de r, whicheve r is later, or

iv. if an audit is occ urring, or Gra ntee has recei ved notice that an audit is pending. then until s uch
audit has been co mpleted and its find ing s hav e been r'!so lved ·
B. ln spcc(ioo
Gran tee shall permit th e State, the federal g:,vemment or any other duly authorized agent of a
go vernmental agency to audi t, inspect, examine, excerpt, copy and/or transcribe Grantee's re cords related
to thi s Grant during th e Re corJs Retention Period to assure co mpliance with the term s hereof or to
evaluate Grantee1s perfonna ncc. The Department reserves th e right to inspect the Project at all rcaso nnbl c
times and place.-: during the term of thi s Grant, including an y extension. The provisions §14(E), §16,
and/or §l 7 below shall apply if project performance does no t conform to Grant requirements .
C. Monitoring
Grantee also shaJI permit the State, the federal government or any other duly authorized agent of a
governmental agency , in the sole discretion of such governmental agency, to monitor all activities
cond uct.ed by Grantee pursuant to thi s Grant, using nny reaso nable procedure, at th e discretion of such
government£1 agency, including, but not limited to: internal evaluation procedures, examination of
program data, special anal ys es, on • ::ite checking, and fonnaJ audit examinations. All such monitoring
shall be performed in a manner which will not ~nduly interfere with Grantee's performance hereunder.
D. Fi nni Aud it Report
If an audit is perfonned on Grantee 1s records for any fi sc al year covering a portion of the term ofthic
Grant, Grantee shall submit one copy of the final audit report to the Department's principal representative
at the address specified in §18 be low .
12. CONFIDENTIAL INFOR..'1ATION-STATE RECORDS
Grantee aeknowledg~ that it may become privy to confidential information in connection with its perfo .. ·nance
hereunder, including l:iut not limited to State records, personnel records, and information concerning indl vJdu!.tls
("Confidential Information 11
). The following applies if Grantee receiv es confidential information:
A. Confidentiality
Grantee shall keep all Conridential Information confidential at all times and comply with all laws and
regulation s concerning confidentiality of information to the same t:xtent appli cab le tc the DcpnrtmcnL
Any request or demand for information in the possession of Grantee made by a third party shall b1;;
forwarded immediatciy to the Department's principal representative for resolution.
B. Noti fi catio n
Grantee shall notify each of its agents, employees, sub• grantees, sub contractors and assigns (each a
"Related Pnrty") who may come into contact with Confidential Information that such party is subject to
the confidentiality requirements set forth herein, and shall provide each Related Party .with a written
explanation r,f such requirements before p.-::nnitting such party to nccess any information of the
Departmenl

which conflict in any way with th e fu ll performance of Grantee's obli gations h ereunder . Grantee
ackno wledces that with re~p ect to this Grant, even th e appcarun ce of a conflic t of interer.t is hannful to
the Oepi.rlment's interests. Ab:.e nt th e Departme nt 's prior written approval, Grantee sha ll refra in fro m
any pra c tices, activities or rt:l atiom,hips which reasonably appear to be in conflict with the full
perfonnance of Grantee's obligations to the Deparlment hereunder. Grantee shall co mply with the
FrovisionsofCRS §18 -8-308 and §24 -18-101-109.
n. S pecifi c Prohibitio ns
G:antee 1s and sub-grantee1s res pective officers, employees, or agents shall neither so licit nor accepl
gratuities, fav ors, or anything of monetary value from Grantee's potential s ubgrantecs, or parties to sub-
contracts. Grantee's employees, officers, ngcnts or any permitted s ub-grantees shall not p articipate in the
selecti on, award, or administration of this Grant or any sub-grant or sub-contra ct, if an ac tu al or apparent
confl ict of interest w o uld occur. Such a co fli ct wo uld arise when any of the fo ll owing has a fi nancial or
other interest in the firm selected fo r award:
an employee, officer, agent or board member;
ii. any member of th e employee 1s immediate fa mily:
ill. an cmployee1s partner; or
iv. an organization , which e mploys, or is abo ut to employ, any of the aforementionc
C. Det ermination by Department -Default
If Gra ntee is uncertain as to the existence of a conflict of interest, Grantee shall submit to the Department
a disc los ure statement setting forth the relevant details fa: th e Department's consideration. Fail ure to
promrtly submit a disclosure statement or to follow the Department's diiection in regard lo the apparent
ccnflict sha ll be considered a material default of this Grant and grounds for termination under the
Term inati on for Cause subsection of §17 below .
D. Code of Performa nce
Grantee , and sub -gran tees and subcontractors , if any, shall maintain a written code of standards governing
th ~ perfonnanct of th eir res pective employees, agents , and contractor.; engaged in the award and
aci.rn inistration of this Grant, or s ubco ntract or subgrant, if any. Grant':!': shall p rovide a copy of :.uch code
to the Departme nt within 10 days of the De partment's wri tt en req uest therefore.
14. REPRES ENTATIONS AND WARRANTIES

The Depa11mcnt reserves the right to in sp ect and monitor Gra ntee's perfo1mnnce hereund er ut all
reasonab le ti1ncs and p laces to verify that they co nfonn to tl 1e 1 :quircmcnts of Exhibll B, T he provisio n.,:;
~14 (E), §16, and/or §17 below shall apply if Gra ntee's performance does not c onfonn to Gra nt
requirements .

Gra ntee warrants th at it possesses th e lega l authority to enter into thi s Gran t an d has taken all nct ions
required by its procedures, by-laws, uncVor npp li cab le laws to exercise th at a uthority, nnd to law full y

they have-full authorizat ion to do so . If requested by the De partment, Grantee s hall provide the

fu rther certifies that it curren tl y has obtained an d shn.ll maintain an y appl icable certi fi cate of authority to
tran sact bu siness in the State of Co lorado and has designated a regi stered agent in Colorado to accep t
service o f pro cess . Any revocation , withdrawal or non-renewal of li cen ses, certifications, approvals,
in suran ce , permi ts or an y such similar requirements necess ary fa; Grantee to JJTOpcrly perform this Grant,
sholl be deemed to be a default by Gra ntee ond groun ds for tenni11ntion under Grant §17(A) below.
E. Broach
If the Grantee breaches any of its repre sentati ons or warrantits , the Department may require Grantee to
promptly perform its obli gati ons aga in in conformity with Grant re quirements, at no additional cost to the
Department If such breaches cannot be , or are not cured.1 the Department may, in addition to aqy other
remedies pro\idcd fo r in this Grant , require Grantee to take necessary action to ens ur: that future
performance confonns to the pro visions of this Grant; and 1.:quitably reduce th e payment due to Grantee to
reflect the reduced value of the Project An y reduction, delay or denial of payment under this provision
shall not constitute a breach of Grant or default by the Department.
15 . INSURANCE
Grantee and its sub-grantees and sub contrac tors shall obtain and maintain insurance as spcci fitd in thi s sec tion

insured coverage for completed operation s on endorsements CG 2010 11/85, CG 2037, or
equivalent).
v. Primacy of Coverage
Coverage requ ired of the sub-gra ntee or subco ntractor shn ll be primary o ver any insuran ce or self-
insurance program carried by Grantee or th e State .
vi. Cancellation
The s.bove Dlsurance policies shall include provis ions preventin g cancellation or non -r enewal
without at least 45 days prior noti ce to the Grantee an d the State by certified mail.
vli . Subrogntion \Vn.lvcr
All insuran ce poli cies in any way related to the Grant and sec ured and maintain ed by Grantee's
sub-gran tee s or subco ntractors ns required herein shall in clude clauses stating that each curde r shal l
waive all rights of recovery, under subrogatio n or oth erw ise, against Grantee or the State, its
agenc ies , insti tutions , orgun izatio ns, officers, agents , employees , and vo lunteers.
C Certificates
Each of Grantee's subco ntractors and subgrantees shall pro vide ce rtifi cate s sh owing insuranr.e co verage
req uired hereunder to G:-a ntee within seve n business day s of the Effectiv e Date, but in no event later th an
the commencement of th e Servi ces or delivery of the Goods under the su bcontract or sub grant. No later
than 15 days pri>r to the expiration dat e of any such coverage , each subco ntrac tor . ~ sub grantee shall
deliv er to Grantee certifi cates of insurance ev idencing renewals thereof upon request by the Dep artment
or at any other time during the term of n subcontrac t or subgrantc.:e, Grantee may request in writing, and

16. DEFAULT-BREACH
A. Defined
In ad~:tion to any breaches or defnults specifi ed in other sections of thi s Grant, includin g, but not limited
to th e Co lorado Special Provis ions below , the fa ilure of either Party to pcrfonn any of its material
ob li gation:; hereunder in wh ole or in pa11 or in a timely or satisfactory m1m ner, constitutes o dcfuult or
breach. TI1e institution of proceedings under any bankrup tcy , in solv ency, reorganiza ...• , or similar
leg isl ation, by or ag e.inst Grantee, or the appointment of a rece iver or similar officer fo r Grante e or any of

outstand ing orders and s ubcontracts with third parties . Hr wever, Grante e shall compl ete and
deli ver to th~ Departm ent all Servi ces and Goods not canc ell ed by the termination notic e and may
in cur obligations as are necess ary to do so with in the Grant terms . 1n the sole di screti on of the
Dep artm en~ Gra ntee shall assign to th e Department all of Grantee 's right, titl e, and interest un der
su ch tenni nated ord ers or s ub contracts . Upon terminat ion, Gran tee shall takc·tiinel y, reason able
and necessary action to protect an d preserv e property in th e possess ion of Grantee in whi ch the
Department ha s an int eres t. All material s own ed by the Department in th e poss ession of Grant ee
shall be immediate ly return ed to th e Dcp arbn enL All Work Pr oduct, at the opti on of th e
De partmen t, shall be delivered by Grantee to the Dep artm ent and s hall become the Dcpnrtmen t's
pro perty .

The Depa rtm ent shall pay Grantee only for accepted perfo rm ance received up to the date of

o f any of the immumties , rights, benefits, protection, or other provisions of th e Co lorado Governmental
Immunity Act, §CRS 24-10-101, ct seq., as ame nded. Liability for clai ms fo r injuri es to persons or property
arising from th e negligence of the State of Colorado , its departments , inn titu tion s, agencies, boards , offic ial s,
and em ployees is controll ed and limited by the p rov is ions of the Governmental Im munity Act and the ri sk
management sllltutes, CRS §24-30-150 1, et !.Cq., as am ended.
20. LEGAL RESIDENT

perform ance on state co ntra cts and inclusion of co ntract perfcmnan ce infonnation in .& s tatewide con tra ct

The Grantee's performance sha ll be evaluated in accordance with the tcnns and co1,ditions of thi s Grant, Sta te
law, including CRS §2 4-1 03 .5-1 0l, and State Fiscal Rules , Policies and Guidance. Evaluation of the Grantee's
pcrfonne.ncc shall be part of the normal co ntract administratio n pro cess and the Grantee's perfonnance will be
S)Slematically recorded in the statewide Co ntract Management System . Areas ofrevj ew shall include, but shall
not be limited to quality, cost and timeliness . Collection of informatio n rel evant to the performance of Grantee's
obligations under this Grant shall be determined by the specifi c requirem,;nts of such obligations and shall
include factors tailored to match the requirements of the Statement of Project of thi s Grant Such performance
informa tion shall be entered into the statewide Co ntract Management System at intervals established in the
Statement of Project and a final rev iew and rating shall be rendered within 30 days of the end of the Grant tenn .
The Grantee shall be notifiej following each performance and shall address or correct any identified prob lem in
a timely maMcr and maintain work progress .
Sho uld the final performance evalu ation determine that the Grantee demonstrated a gross failure to meet the
perform1nce measures established under the Statement oi Project, the Executive Director of the Colorado
Depnrtmenl of Pers onnel and Administration (Exec utive Director), upon request by the DOLA, and showing of
good cause, may debar the Grantee and prohibit the Grantee from bidding on future contracts. The Grantee may
contest the final eva luation and result by: (i) filing rebuttal scatcments, which may result in either rem oval or
correcti on of the evaluation (CRS §24-105-102 (6 )); or (ii ) under CRS §24-105-102(6), exercising the debarment
protest and appeal rights provided in CRS §§24-109-106, 107, 201 o, 202, which may resu lt in the rcvcr.;a l of
the del:,arment nnd reinstatement of the Grantee , by the Execut ive Director , upon chow in g of good cause .
23 . GENERAL PROVISIONS
A. Assig nm ent
Except as otherwise specifically provided in Ex hibit Il, Grantee's rights and obli ga ti ons hereunder are
perso na l nnd may not be transferred, assigned or subcontracted, without the prior, written consent of the

EXHIBIT B-STATEMENT OF PRO.IECT (S OP)
I. GENERAL DESC RIPTION OF TElE PROJECT(S).
1.1 . Project Description. The City of Englewood hn.s been awarded an NSP grant in th e amou nt of
S I ,253,379 to p urchase, rehabilitate, and rcs!lle 10 homeowners hi p units . These uni ts will be sold to
househol ds with in comes al or below 120% of Arca M edia n Income {AMl). This Project will be nefit
the State by sLa bi lizing communities throug h th e purch ase, rehabiliLntion an d sale of abandoned or
fo reclo sed properties . The uni ts wi ll be loc ated with in a Divi s ion of Housing (DOH) designated census
block group(s) servi ng one of the arelS of greatest need within the Sta te . 30% of these fu nds will se rve
hous eholds w ith incomes al or below li0% of AMI. The properties will be purchased for an average
disco unt of at least l % fro m the appraised value. Homes will be rehabili tated to meet curren t local code
and will use Energy Star applian ces and upgrades nn d will be sold for no mor e than the cost of the
purchase and rehab ilitation. A minimum of eight (8) hours of home buyer counseling will be provided
to th e potential hom e buyers thro ugh this act iv ity . The City of Englewood may need to leave a portion
of the NSP funding in the property as a soft &ocond for the home b uyer. In instances where NSP
funding remains in the ho me after sale to the homeowner, the approp riate affordability period and
recapture provisions will be included in the lo an documents. This activity qualifies under 24 CFR
570 .202 anrl 570.20 l(a).
1.2. Res ponsibilities . Grantee &hall be responsi bl e fo r the compl etion of the Proj ect an d to prov ide required
documentation to CDOH as specifieil herein. Grantee sh all manage the comp leted project and carry out
the proposed project activities .
1.3 . Recapture of F unds . To maximize the use ofNSP grant funds, the State &ball eval uate Grantee',
ability to expend the ]\i ,P funds in a timely manner. CDOH re serves the ri ght to recapture NS P funds
when Gran tee is not expending the funds in a sati sfa ctoril y manner. A determinati on of what constitute
satisfactorily is at the so le dis cretion of the States .
2. DEFINITIONS
2.1 . Abandon ed . A home is abandon ed when mortgage or tax for ec losure proceed ing s have been initiat ed
for tha t propert y, no mortga ge or tax payme nts have been made by th e prope rt y owner for at least 90
days, AND the property has been vacant for at leas t 90 days.•
2.2. Blight Area. Bligh ted area , per CRS §3 1-2 5-103, means an area that, in its present condition !d use
and, by reason of th e presence of at leas t four of the fo ll ow ing fa ctors , substan tia ll y impairs or arres ts
the sound gro w th of the mun icipalit)', retards the provi sion of hous ing accommodations, or .constitutes
an economic or soci al li abili ty, and is a menace to the public h ealth, safety, morals, or welfare :
(a) Slum, deteriorated, or deteriorating struch1rcs;
(b) Predominance of defective or inadequate stree t layo ut;
(c) Faulty lot layo ut in relatio n to size, adequacy, aoce ss ib ilit}', or us efulness;
(d) Unsanitary or un safe co nditi ons;
(e) Deterioration of si te or other improve ments;
(f) Unusual topography or inadequate public improv ements or utilities;
(g) Defective or unus ual co nditi ons of title rendering the title nonmark eta blc;
(h) The existence of co ndition s that endanger life or property by fire or other causes;

purposes of this parngraph (I), the fact th at an owner of an int erest in such property does no t object to
the in clusion of such property in th e urban renewal area docs not mean tha t the owner has waived any
rights of su ch owner in connection with laws governing condemna tio n.
2.3 . Blighted Structure. A bli ghted stru cture has one or more of the fo llcwing conditio ns : (a ) Ph ys ical
deteri or ation of bu ild ings or im provements; (b) A b andonmen t: (c) Chronic high occu pan cy tu rn over
rates or chroni c hi gh vnca ncy ,ates in comm ercial or in dustr ial buildings; (d) S ign ifi cant declines in
property va lu e.c; or ab normall y low property valu es relative to other areas in the co mmunity; or (e)
Known or suspected environmental contaminati on ; (f) The p ublic improvements througho ut the area
are in a general sta le of deterio ration. The State a lso accepts local determinations.
2.4. Current Market Apprnise d Va lu e. The current rnllrket appraised va lue means th e value of a
fo rec losed upon home or residenti al p roperty that is estab li shed throug h an appraisal made in
conformity w ith th e apprai sal requ iremen ts of the U RA at 49 CPR 24.103 and co mpleted within 60
days pri0t to an offer made for th e pro perty by a grantee, subrecipient, deve loper, or indiv idual
homebuyer.
2.5. D isaster R ecovery Gra nt Reporting (DRGR) System Th e Departm en t of Housing and Urban
D evelopment1s (HUD) internet ba sed on-line reporting sys tem which to ens ure that HUD gets suffi cient
managemnt information to fo ll ow up promptly if there is a lags in implem entation and ri sks recapture
of the funds . It will be configured to capture performance measures, anomalies, performance problems ,
budgets , obligati ons, fund draws , expenditures, administration costs and overall benefit to low
moderate and middle in com e households.
2.6. Foreclosed. A for eclosed property is one that is at the p oint, as defin ed by state or local lnw , where the
mortgage or the tax fo reclo sure is complete and the tiUe for th e property ha s b eer. transferred under a
foreclos ure proc eeding or a transfe r in li eu of foreclosure.
2 .7. Land Bnnk. A land bank is a govemmen:al or nongovernm ental nonprofi t entity established, at least h
part, to ass emble, temporaril y manage and dispose o f vacant land for th e purpose of stabilizing
neighborhoods and encouraging re-use or r e development of urban property. F or the purpor;es of NSP,
a land bank will opernte in a specific, defined geographic area. It will purchase p roperties thal have
b een fo rec losed upon and maintain, assem b le, fac ilitat e re dev el opm ent of, m arket, and dis pose of th e
land-banked propert ies. lf th e land bank is a governrnenr al en tity , it ma y als o maintai n fo re closed
property that it does not own, provided it ch arges the owne r of the property the fu ll cost of th e service
or p laces a lien on the the prop er ty for the full cos t o f the service, Propcrth:s tha t are p urchased cannot

2.8 . Pre-contr act costs. Thes e costs shall not be in cluded .
2.9. Slum Aren . Slum area, per CRS §3 1-25-103, means an area in whi ch the re is a predominance of

3. DELIVERAllLES
3 .1 . O utco me. The fi nal outcome of th is proj ect is to pro vide em ergency ass istan ce fo r the rede velopment
of abandoned or for eclosed homes and residenti al properties in accord ance w ith Grantee's N SP grant
appl ication and the specifi c State autl1orized act iv iti es as descri bed herein .
3 .2. Service Area. The pcrfonnance of th e services described wi th in this Gra nt shall be located in City of
Englewood.
3.3. Notional Objective. Th e requ irements at 42 U.S .C . 530 J(e) nre supers eded and 24 CFR 570 .208(n)
and 570.483 are waiv ed to the ex tent necessary to all ow the fo ll owing alt ernative requireme nts: For
purp oses of the Neighbo rho od Stab ili zation P rogram (NSP) only, the term "low-an d modern•: inco me
person" sh all be defi ned as 11 lo w-moderate-and middle-in come househ ol d (LMMI)." l MMI shal: be

4. PERSONNEL
4.1. Respon sibl e Ad ministrator. Grantee's performa nce hereunder shall be under the direct superv ision of
Janet Grimmett, an emplo yee or agent of Gra ntee, who is hereby desi gn at~ as the resp onsibl e
admini strator of this proj ec t. ·

there is a good-faith reason for th e change, if Grantee wishes to replace its key perso nn el, it shall noti fy

part reli ance on Grantee 1s representat ions regard ing its key personnel. Such n oti ce shalJ specify why

6. ADMIN ISTRATIVE REQUCREMENTS

6.1. Repo r ti n g. Grantee shall subm it the fo ll owing re ports to the Department using the state-provided

6.1.1. Fin uncia l Status Reports. One copy of the monthl y Financial Status Report shall be r.ubmitted
withi n 10 calendar days of the end of the month.
6.1.2, Perfo r ma nce ReporL'i. One copy of the monthly Perfonnance Report shall be subm itted within
10 colcndar days of the end of the month . ·
6.l .3. Pro j ec t Co mpleti on Repo rt. Within 30 days after the completiou of the Project or the final
draw, wh ichever is later, Grantee sha ll submit one copy of the Projec t Completion Report, and
two co pies of the final Financial Status Report.
6.2. Moni toring. The Department shall monitor this Grant in accordance with its NSP Moni tori ng Po li cy
and §§ll(B)-(C) and 14(B) of Gra nt Agreement .. Fi nal eva luation of the Pr oject will be accomplished
when the Department approves the Project Completion Report
6.3. Perfo rmance Bonds. If this Agreement fu nds construction, rehabilitation/r enovation, or demolition
work costing fi.'ty thousand doll ars or more per single fa mily dwellin g or affo rdab le hous ing
deve lopment, Grantee shall ens ure that its subcontractor(s ) have p erfonnance bond and labor and
material bon d coverages valued at a mi nimum of fift y perce nt (5 0%) of such work.
6.4. Procuremr.nt Standards. Selecti on of contractors, consultants, architects , e ngineers and purchase of
materials to acco mp lis h the Project shall fo ll ow appropriate procwement standards as outlined in the
State's CDBG Guidebook, Financia l Man agement Section.
6.5. Affi r mntivc Mark eting Pl an. If 5 or more housing units are funded in lhe Project, Grantee shall
provide an Affirmative Marketing Plan for the Project in acco rdance with oi this Grant. The Re lease
of Funds under this Grant shall be conditio ned upon the approval of such plan by the State .
6.6 . Davis-Bac on Act. (40 USC 276a -276a-5 as amended) requiring that, on all contracts and
subcontracts which exceed $2,000 for federall y-ass isted construt.:tion, alteration or rehabilitation ,
laborers and me chani cs emp loyed by contractors or subcontractors shall be paid wages at ra tes not
less than those prevailing on similar construction in the locality as detennined by the Secretary of
Labor. (This requirement appli es to the rehabilitation of residential property only if such property is
designeC. for use of eight or more units .) The rcq uiremer!ts set forth in thi s subparagraph are
inap plicab le to ind ivi duals who volunteer thei r services under circumstances set forth in 24 CFR Part
0. If applicub le, the lead age ncy rcs ponsble for co mplian ce shall be designated in the PPP .
6.7. Environm entnl Requi re ments. Grantee sha ll comply wit h all HUD environmental requirements and
shn ll not obligate Grunt funds prior to receipt of the written release of fu nds from th e Sta te.
6.8. Secti on :l of the HUD Ac l of 1968 . If $200,000 or more in NSP funds are provided to thi s Project,
Gra ntee and subgrantee shall to the grea test ex tent feas ible , provide oppor.unities for training and
emp loyment that arise through HUD-financed projects will be given to lower-in come persons in the

8.2. Ap pra isn l. Gra ntee shall ens ure that an appraisal will b· don r on all ac qui s iti ons usin g NSP funds,
including the purchas e of fo re closed/abandoned homes , res iden tial properties and vo luntary
acqui stions. Foreclosed homes shall be purchased at a disco unt of at leas t 1 % or more be low the
current market -appraised value . The apprai sa l shall be used to detenn ine the purchase discount
8.3. Change or Use . For a mi nim um of fifteen (15) years foll owing the date of Proj ect closeout by the
State, Grantee may not change the use or planned use of the property acquired or i'llproved unless : I )
the State determines the new use meets one of the national objectives of the NSP program, and 2) the
Grantee prov ides affected citi ze n& with reasonabl e notice and an opportun i ty to co mment on any
proposed changes . If Grantee decides to change the use of the property and the State deems such use
as not meeting a NSP national objective, the Grantee shall reimburse to the Stale an amo unt equal to
the current fair mark et value of the property, less any portion of the va lu e attributable to expenditures
o[non-NS P funds fo r acquis ition of and im prov ements to, the property. After the fift een (15) year
period fo llowing th e Proj ect closeo ut date, no State restrictions on use of the property shatl be in
effect unless specifi ed differently in §8.1.3 abov e.
8.4. Eli gible Hou se hold s. All hou seholds bein g served must have a gross in com e that does not exceed
120¾ of the area median in come . The State is al so required to ens ure that 25% of th e NSP funds serve
howeho lds at 50% of the area median income . A listing of the incomes for all howehold sizes is
attached as Ex hi bit C and as updated annu ally on DOLA 's webs ite.

co nform to HUD Section 8 Housing Quality Standards (HQS).
8.9 .2. 181 Construction and Rehnbllitntion Projects. Construction and rehabilitation projects shall
meet all applicable local codes and ordinances at the tim e of proj ect completion. If no standards

8.9.3, 0 Fair Housing Act (42 USC 3601 -20), and Section 504 (29 USC 793), as amended.

family housing units, Secti on 504 requires selec ted uni ts to be made accesible to persons with
disabilities, and to the maximum extent feasible, these units are to be evenly distributed

COUNCIL GOAL AND PREVIOUS COUNCIL ACTION
City Council approve d Resolution 34, Series of 2009 on March 23, 2009 authorizing the
Community Development Departme nt to fil e an application for Federal funding through the
Neighborhood Stabi lization Program (NS Pl ).
RECOMMENDED ACTION
Staff recommends that Council approve a bill for an ordinance authorizing the execution of a
contract for Neighborhood Sta bilization Program gra nt funding, in th e am ount of $1 ,253,3 79 with
the Sta te of Colorad o Department of Local Affairs .
BACKGROUND, ANALYSIS, AND ALTERNATIVES IDENTIFIED
In 2008, the Federal governmen t passed th e Housing and Economi c Recovery Act (HERA), th e first
new legislation in a generation for houiing and economic development. HERA appropriated
$3 .9 2 b illi o n for the Neighborhood Stabilization Program (NSP l) 10 support th e acquisition,
rehabilitati on, o r demoliti on of fo reclosed and abandoned properties. The Stale of Colorado
received a total $5 3 million in NSPl fu nds of which $37 .9 million is directly administered by the
State.
On March 30, 2009, th e Community Developme nt Departm ent submitted an applica tion l o the
Colorado D epartment of Loca l Affairs, Division of Housing for NSPl funding for Project Rebuild.
Project Rebui ld will purchase and rehabilitate abandoned or foreclosed singl e-fami ly properties in
the City's ten eligible census tra cts.
Th e State Housi ng Board approved th e Project Reb uild NSP l applicati on on ;uly 14, 2009. Th e
Board awarded th e City $1 ,253 ,379.
Key NSP requiremen ts include:
• NSP funds musl be expended within 18 months of the dale th e State received funding
(March 2009).
• A multi-year rei nve stment p eri od wi th a term ending Ma rch 10, 2013.
• H ous eholds purch asi ng properti es must undergo a minimum of 8 hours of HUD-
approved homeownersh ip counseling.

Project Rebuild w ill initially acquire six (6) singl e-famil y vaca nt foreclosed properties located in th e
eligible ce nsus tracts thro ugh o ut th e City of En glewood. Th e project will us e the ex p ertis e of a loca l
rea lto r, if needed, to acquire each property at a minimum 1 % dis count of th e current appraised
value. Each property will be rehabbed to the extent necessary to achi eve compliance with local
laws and codes including energy efficiency work items . Th e properties will then be sold as
owner/occ upied units to families that are at or b elow 120% o f th e AMI w ith priority gi ve n to
families at o r below 50% AMI w ho are particir,ating in local famil y se lf-sufficiency pro grams . Three
ho m es w ill b e sold to families in thi s in come range to ass ist w ith mee ting the 2S% NS Pl
requir ement.
Partn ers hiµs w ith loca l banks w ill be us ed to leverage the acq uisi ti o n cos ts o f th e pro p erti es. This
leve ragin g w ill recycle the funds fas te r in order maxi mize th e overall impact of the project o n th e
co mmunity. Th ese lev eraged loans w ill be finan ced thro ugh th e H o usin g Re habilitation Fund, Fund
46, and will be repaid to th e banks at th e time of sa le to th e qualifi ed buyers. Th e overall goa l o f
th e proj ect is to acquire, rehab, and se ll a minimum o f 10 pr o perti es over a three and o ne half year
pr,riod .
FINANC IAL IMPACT
Exi stin g Community D evel opment staff has th e required ex p ert ise to ac quire fo reclosed properti es,
pr ovid e rehab ilitati on, and se ll th e properties to eligibl e buyers . Th e H o usin g Rehabilita ti o n Fund ,
Fund 46, w ill be us ed to fin ance th e proj ect. Estima ted rehab cos ts may be approximately $30,000
per h ouse . Rehab funding is ava il able throu gh th e ex istin g City of Engl ewood Housing
Re habilitati o n Fund line of credit w ith U.S . Bank. All o th er ex penses will be covered by th e N S Pl
grant o r leve ra ge d funds . All proceeds from the sale r,f prop erties w ill be reimburs ed to Fund 46
until th e program expires March 10, 2013. In add iti or dpprox imately $30,000 will b e reimbursed
to th e G eneral Fund for administrative and ge neral r,1,•1 ac t cos ts.
