AN ORDINANCE APPROVING A CONTRACT BETWEEN THE CITY OF ENGLEWOOD
AND THE STATE OF COLORADO, DEPARTMENT OF HIGHWAYS, CONCERNING
MAINTENANCE OF TRAFFIC CONTROL DEVICES ON STATE HIGHWAYS WITHIN
THE CITY OF ENGLEWOOD.
WHEREAS , the City of Englewood, Colorado, is desirous of
entering into a contract with the State of Colorado, Department
of Highways, which requires the City to maintain traffic control
devices on state highways and receive payment from the State of
Colorado.
NOW, THEREF ORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE
CITY OF ENGLEW OOD, COLORADO:
Section 1. That the City of Englewood, Colorado, and the State
of Colorado shall enter into a contract for the operation and
maintenance of traffic control devices whereby the City shall
install, operate, maintain, and control, at State expense, traffic
control devices on State highways within the City of Englewood,
which contract is attached hereto, consisting of seven (7) type-
written page~ and incorporated herein by reference. Said contract
provides as follows:
1. The contract dated August 30, 1979 is null and void.
2. The City, as contractor for the State, shall provide
the manpower, equipment and services necessary to operate and
maintain certain traffic control devices on state highways within
the City limits, as determined and directed by the State.
3. The City shall not ify the State of those devices main-
tained.
4. The total cost for said services shall be paid by the
State to the City and shall not exceed Forty-three Thousand
Dollars ($43 ,000). The rates charged by the City for said
services shall be as set forth in Exhib it B of the contract.
5. The traffic contro l devices shall conform to the "Manual
on Uniform Tra ffic Control Devi ce s" and the "Colorado Supplement" .
• 6. The State reserves the right to monitor and require

any deficiency to be brought into compliance within a reasonable
time , and the State reserves the right to correct any deficiency
and deduct the actual cost therefor from the payment to the City.
7. T h e City shall maintain adequate records to insure that
traffic con trol devices are properly performing their function.
8. T he City shall hold the State harmless, so far as it
legally may , for the actions of the City's employees or agents.
9. T he Di vi s ion of Highways will be responsible for
monitoring t h i s con tract for the State.
10. Special provisions included in said contract include
approval by the State, availab i lity of State funds, bond require-
ment , minimum wa g e, discrimination and affirmative action require-
ments, Col orad o labor preference, requirement of compliance with
all State laws, and that the s i gnatories aver that no State
employee has n y p e rsonal or b e neficial interest whatsoever in
said contract .
11. Sai d c o n tract shall r e main in effe ct until such time
as State a nd City desire to change the rates as shown on Exhibit B
or change t h e total charges as shown in paragraph 4 of said
contract, whi ch desired changes shall be submitted to District
Engineer by March 1 of th e designated year.
Section 2. The C i t y Coun c il of the City of Englewood, Colorado,
h ereby autho r i zes the Mayor o f the City of Englewood, Colorado, to
subscribe hi s n ame to said con t ract for and in behalf of the City
Council and the C i ty of Eng lewood, Colorado, and the Director of
Finance, ex officio Ci t y C l e r k -Treasure r, attes t the same.

WHEREAS. this contract is executed under authority of Sections
42 -4-502 , 43-1-106, 43-2-02, 43-2-135 and 43-2-144, C.R.S. 1973,
as aJDended and an applicable ordinance or resolution ha• been duly
passed and adopted by the Contractor, ~arked Exhibit •A", attached
hereto and made a part hereof 1 and
WHEREAS, Section 43-2-135(1) C.R.S. 1973, as amended provides
that the State shall install, operate, maintain and control at
State expenae all traffic control devices on the State Highway
Syatea, within cities and incorporated towns; and
WHEREAS, the State does not have the necessary equipment and
aanpower to operate and maintain the traffic control devices; and
WHEREAS, the Contractor ha s adequate facilities to operat~ and
intain such traffic control devices.
OW, THEREFORE, it is hereby agreed that:
1. The Co ntract dated Ju.gust 30 •. 1979 _

2. The City or Town as Contractor for the State,

3. The Contractor shall from time to time in con ~.
aultation with and upon advice and approval of the
State, provide the State with lists identifying
t.he specific traffic control devices to be
operated and maintained by th e Co ntractor during
the term of this contract.

4. The rates to be charged by the Contractor under
this agreement shall be as set forth in Exhibit
•a", provided that the total charges to be paid
by the State during each fiscal year of the con -
tract term shall not exceed $ 43,000 _..;;...:.....;;...;;___ __ _
The rates in Exhibit "B" shall remain constant
throughout the term of this contrac t nd shall
be subject to State audit at any time during
normal business hours. The Contractor wil1 bill
the State monthly according to the ratea as set
forth in Exhibit "B", and the State will pay such
bills within fiO days .
5. Th• traffic control devices shall be maintained
in conformance vith applicable ·portiona of the
•Manual on Uniform Traffic Control Devices• and
the •eo1orado Supplement" thereto, referred to
collectively as the "Manual" and incorporated
herein by reference.
6. The State reserves the right to determine the
quality and adequacy of mainten~nce under this
contract. Any deficiencies will be brought
to the attention of the Contractor and a rea-
sonable time will be allowed for compliance. In
the event the Contractor, for any reason, does
not or cannot comply, the State reserves the right
to do the work or have the work done by others
and deduct the actual cost from the sub s quent
payments to the Contractor.
7. The Contractor will ma intain both operational and
cost records as the parties hereto may from time
to time agree upon as being necessary to determine
the adequacy of the control devices, both opera-
tionally and mechanically, to perform their in-
tended function. Said records shall be available
for review by the State during normal working hours.
8. The Contractor will hold the State h armless so far

9. The Division of Highways will, through its
District Engineer, be responsible for monitori119._.

District Engineer's address for this contract is:

10. The Special Provisions which are attached hereto
are made a part of this contract.
11. Thia contract shall remain in effect until such
time as the State or Contractor desires to change
the rates, as shown in Exhibit "B" or change the
total charges as shown in paragraph No. 4 whereupon
this contract wil l be voided and a new contract
signed. Should changes in rates be desired, a
revised Exh i bit "B" shall be s ubmit ted to the
District Engineer by l·larch 1 of the designated year •
