Section 2. The a fo redes,ribed Agreeme nt ge ner ally provides a s f ollow s : 1) School 's use f, r ed ucational pur po se is paramoun t use. 2 ) II nonexclusive easemen t is grante d by the Sc hool District to the Ci t y of Eng lewood for s to rm wa t e r detention over property owned by the School District a nd used f o r a lh letic purposes. 3 ) Th e School District shall revi e w anc approve final plans f c r co ns t ruct ion of the storm water de t e ntion a rea. 4 ) The City s hall save a nd hold harmle ss the Schoo l District a nd its Board of Directors a g ainst any and al l c laims a r ising fro m the City 's use of the de t e ntion area . 5) City s ha l l not use the pr operty in a manne r that creates a nuisance; constr uc tion and maintenance shall be coordinated with the School Board and s h all be at City's ex pense; City recognize s the need for o pen space and s hall attempt to provide for the s ame along h i sto r ic Little Dry Creek;City s hal l no t mak e alterations unless approved by the Sc hool Board; City s hall c a use no lie ns t o attac h t o the property; School 's use s ha ll not hinder capacity of t he s torm water holdin g a rea . 6) City s hall prope r ly insure the proper ty. Storm water dete n t i on area , as used in thi s Ag reemen t , shall be a -]- constructed proportioned reduction in the existing elevation of the aforesaid property by approximately six (6) to e ighteen (18) feet , in order t o form the bottom and sides of the detention area, along with other nece s sary e x c avation and cons t ru c tion generally in accordance with the qttached sketch, designated Exhibit A, prepared by Sellards & Griggs Consul ting Engineer s , It is under- stood and agre e d that fi n al pl a ns for this wate r detention area must be a pproved by the llo ard o f Educa tio n o f the Di s tri c t . Said wate r detention area s hall be d e signe d in accordan ce with Sellards Gri g gs Rep o rt No. 75019-44, dated February 1978 (Exhibit B), 2. DURATION OF EASEMENT AN D REVERSION OF INTEREST. Th e durat i o n o f th e a fo r e s a id e ase men t shall be perpe tual, su b j e ct t o wr itten mo difications upon the mu tu a l consent o f both the Di s t rict a nd th e City, or their s uccessor s , or the termi n atio n by the Ci t y of the a foresaid easement in said property. The duration of the occupancy of the water detention are a by fl o od wa ters is understood to be temporary and intermittent, d epend ent o n weather c o n d itio ns. CONSID ERII TI ON . HOLD HAR MLESS. The City agrees fully to save ha rmless and defend the Di strict fro m a ll sui ts, ac t ion s, demands,or clain1s i n l aw or in equity, arising oul of the e xecution of this Agreeme nt, or the use, construction, and maintenance of the rea l prope rty herein described. The City shall be res ponsible for any litigation and shall pay t he cos t s of suit, attorneys f ees, appellate co sts,and any o ther cost s or expenses whi ch may be assess e d a gainst the Di s trict ~s ~ res ult o f any s u i t , de mand , o r c lai m f iled concern- ing this Agreement . 5. OBLIGATIONS OF CITY. a . Purpose . 1'hc p remi ses s hall be used so l e ly (or t he fac ility a nd purpose descr ibe d in p a rag r a ph l a bove 0r f or s uch o ther purpos es as the Di s trict ma y a pprove . '!'he City will no t carry on or permit upon the premises any offensive, noisy, or dange rous activity or any nui san c e t o c he public o r t o the adjoi nin g neighbors. Th e City will pay , upo n demand , a ny damag es to the premises c a u sed by the misuse of same by it o r it s agent s o r its employees. Th e City shall not e xerc ise a ny c o ntro l over the routine use of the facilitie s by the District. The Ci ty shall not use the fac i l i t y to deta i n wa ter except whe n in its best j udgme nt Sdid use is necessita t ed by virtue o( stonn ·or o ther e mer g ency cond itions. b . Co n s t ruc tion a nd Ma intenance. -5- Th e storm water dec ~ntion area de scribed above shall be co n structed by t he City at its sole c ost and expense accordi ng to approv d plans a nd specificatio ns . The City s hall mai n tain sai d de tention pond a nd facilities a nd be responsible for costs nec es- sary for use a nd maintenance of property as a storm water detent ion area. The District shall mainta in all portions no t re l a t e d to storm wate r de t ention area pu rposes as the Dis t r.; c t determin es neces sary so l o ng as the capacity o f the storm water detention are a is not dimi ni shed or i nfringed upon. It is a nt icipated th at con~:truction shal l take one (1) year to complete from ;etting of bids f or constru ction and retur n ing facili ties to a condition us able by the District. City agre e s t o take whatever s t eps are necessary t o ret urn f a c ili ties to a condition u sable by District as ne ar as practicable as tha t currently on the p roperty and install permanent underground sprinkl i n g system , a ll at City cost . The City shall provide District with Ci ty park f acilities necessary f or District 's use t o include those func tions found on Exhib it Cat the locations desig nated therein, for the period during the constr uction and in t he f uture at such times as the water detentio n area is fil l ed with ~te rm wat er a nd no t r e turn ed to a usable c o nditio11 f o r District f un c tion s with in f i ve (5 ) day s o r i t s t e mp ora r y .ind i nte rmit t e n t u s• by sto rm wa t ers . The C!.ty agree s t o construct i mprovements generally in conformance t o Sellards & Grigg Report No . 7501 9-44 da t ed February, 1978 , excluding the op tio ns to c o nstruct ups tream dams. (Exhibit B). The City recogn ize s the n e e d and de sira bili ty of providing op en space and a ped e st ri an and bi cyc l e l ink between the Di s t rict 's p r o pe rty and th e So u t h Pl a tte River . The City in t ends t o deve lop ap propriate routes in the vi cini t y of Historic Little Dry Creek fo r such a link . Furth er , Ci t y r ecog niz es the need t o i mprove the general appe a r ance of downtown En g lewood a n d 1nle nds t o deve l op aes the t ic stand ard s th at a ce p ople or iented -7 - with land scaping a nd open spaces _applicable t o both public and priva te development in the City and cons ider ordinance changes to accompl i hh this goal . d . Al terations. With the exception of t h e i nterim faci l ities a nd initi a l compl e t ed con str uc tio n o f the storm wa t er de tention area , the City will not make or permit any al terations or additions to the premises or place a ny additiona l structureG , fa cilities or e qu i pment o n the premises without th e District's prior written approval. •rh e City shall submit plans for minor remodeling to the Board of Ed uc ation for approval. No ma j o r remode ling will be permitted that would preclude the Dis trict's use of the real property for its ge nera l purposes pr ior t o this Agr eement. Up on terminatio n by Ci t y of the above -descri bed ea s ement in sa id property, Ci ty shall restore or r eplac e any portion of the premises damaged o r othe rwise affected by such alter ation s , additions, structures , f acilities, or equipment , unless suc h restoration re pa i r was waive d by the Distric t a t t he time approval was g iven for such ad dition or altera tion . The District shall approve construct ion schedules a nd the City s hall require su fficie nt !ecur ity from co n trac tor t o i nsure promp t exec ution of work . e. Facil i ty Expense s . The City shall p ay (1) all license , use , o r other fees ; (2) all wa t er , elec t rici t y , sewer, or o ther ut il ity or service charyes ; a nd (3) all o th,,r ope ra tin g and cons truction expe n ses in co nn ec t ion with t l1 c cons truc t ion , u se a nd maintena nce of t hat 11o rtion of the aforesaid property used a s a storm water dete nt ion area . -8- f , Compli a nce wi th Law, The City will comp ly with a ll appli :.:a b le federal, state, county, m4nicipal and o the r laws, ordinances, ru l es and reg u lations rela ting to all or any par t o f the follo wi ng: (i) thP. premises; (ii) the operation of the facil ity c o nducted thereon; (i ii ) the mai nte nance of the premises; an d the City s ha ll refrain from using the premises in any way in v i olation o f s uch law, ordinan ce, rule or reg ul a tio n . g . Liens. 1~0 City will keep t he premi ses free of all liens and / or claims to be p l aced o n t he pre mi ses, for whatever reason. t o be removed within 30 days after the Ci t y ha s kn owledg e of snch lien ; and t he Ci ty agree s t o r elease , indemnify a nd ho ld the Dis:rict harmless f rom and again s t suc h l iens and/or c l a ims . h. Su rrender of Pr e 1nises. Th e City will , upon t ermination of its ea s e ment in said p r operty , surrender the premises t o t he Dis trict , in a good ord e r an rl c o nd itio n , .:i nd wh e n upplicable , in compliance with the prov isions o f par a g ra ph S(d). 6, COMPATIBLE USE BY DISTR IC T , The Di stri ct may make improvemen t s and undertake c o nstruc- tio n o n the a bove -d e scribed pro perly so lon g a s s uc h i mprovemen t s and c onstru c t ion do not reduce th e capacity of the site for sto r m water d ete ntion or r edu ce its hyd rol ogi c a l eff icienc y f o r sa id purpose. IN SURANCE. The Distri ct shall continue its insuran ce coverage o n the real property d escr ibed here in during its use o f the property for its general purposes. Th e City sha l l , i n addition , include the above -described real property in it s i nsuranc e coverage for loss resulting from t he us e of said property as a storm water detention area f or liabili t y in excess of the coverage mainta ine d by the District, at the City 's ex pen~e. Sa id e xcess coverage shall be obtained and ke p t i n force d uring the term of th is Easement Agr eeme nt and shall i nc lude, in t e r a lia , a comprehensive public liabili t y insurance coverage, insuring the District and the City agai nst any liability arising out of the use , occupancy and maintenance, and all areas appur ten ai:c thereto by the Ci ty i n excess of coverage provided by the Distri c t. The City shall del iver to the District, prior to right of entry , copies of po licies of insurance req ui red he•~in , or certificates evidencing the ex is tence of such i nsu rance with a l oss payable cla use satisfac t ory to t he District . No policy sha ll be cancellable or subject co reduction of cove rage . 8. BJNOJNG ON SUCCE SSO RS AND ASSIGNS. '!'he terms and co ndi tions of this Agreement shall be binding on t he su cce ssors and assi g ns of both parties hereof. -10- I I I 9. RE MEDIES UPON BREACH. In the event of breach of the te r ms a nd condi t<hns hereof by either party the other party shall be entitled to specif ic performance of thi s Agreeme nt or , in the alte r~a tive , the non- hreaching party shall be entitled to damages suffered ae a result of the breach. The District may not revoke or cance l this Agreement in the event of the City's breach but must resort to the remedies herein provided , IN WITNESS WH EREOF , the District ha s c a used these presents to be execute d by the Pres i dent of its Board o f Edu ca tion a nd atte sted by the Sec retary thereof, and the City ha s caused these presents to be execute d by the Mayor and a t t e s ted by t he Di rector of Finance ex officio City t:~rk-Treasurer .
