WIIEREAS, the City of Englewood has embarked upon a program
of limiting Little Dry Creek to th e confines of its cha nnel in the
City of Englewood ; and
Wll"REAS, th e goa l is to p r e vent loss of public and private
property Lo flood damage; and
WIIEREAS , School Dist r ict No . 1 , Arapahoe County, Colorado ,
En g lewood Schools , desires to assist in controll i ng flood waters
in Lh c City ll r Eng l e wood t o protec t , amo n q o ther thjn9s , th e sc hool
t ax base; and

CITY OF ENGLEWOOD, CO LORADO:
Section l . There is hereby approved an agreeme nt titled "Agreement
Storm Water Detention Area" between the City of Englewood , Colorado ,
and Scl1001 Distric t No. 1 , Ar apah oe County, Co l o rado , as attached
hereto and i ncorporated by re fere nce as Exhibit II.
Th e af oredesc ribed Agreem e nt gene r a lly provides as Section 2 .
follows: 1) School 's use for educa tional purpose is paramount use.
2) II nonexclusive ea sement is granted by the School
Distric t t o the Ci ty of Enq l ewood for s t orm water detention o v er
prope rty own ed by the School Di strict an d us ed for athletic pur-
poses . 3) •rhe School District shall rev iew and approve final
pl~ns for con s tru c tion of tl1 c s torm wat er deten tio n are a.
4) The Ci l y shall save and hold harmless the School
Di s trict and its Board o f Directors against any a nd all c l aims
a1..isi n~J r 1l)!II the City 's use of the d e t e ntion ar ea .
5 ) City shall not use the property in a ma n ner that
creates a nuisance; construction and maintenance shall be
coordinated with the School Board .and shall be at City 's expense;
City recognizes the need for open space and s h all attempt to pro-
vide for the same alo ng hi sto ric Lit tle Dry Creek; City shall not
make al t era1:ions unless approved by the School Board; City shall
cause no li e ns to attach to the property; School's use shall not
hinder c ~pacity of the storm wate r holding area .

2 . DURAT IO N OF EASEME N'l' AND REVER S ION OF INTERE ST .
1'he d u r ation of t h e aforesa i d easement shall be perpe t ual ,
subject t o wr i t ten modif i c at ions u pon t he mutual consent of bo th
t he Di strict and the Ci t y , or t h eir successors , o r the term i na t i o n
by the City of the a for e said eas emen t in sa i d prope r t y .
'!'he d u r atio n of the occupanc y of the water de t e ntion
area by flou d waters is un derstood t o be temporary and in t ermittent ,
dependent on weather conditions . Th e Ci t y agrees to prompt ly
c l ean up any debris and deposi ts remai n ing afte r storm wa t er h as
been re t urne d to Little Dry Creek fro m t h e s t orm water de tentio n
urea a nd pa y the costs thereof .
3. CONSIDERATION.
~'he City tiha l l pay as consid era tio n to the Dis trict the
suw of 0110 Do llar ($1 ) per year , the receipt of which i s he reby

4 . IIOLD 11/\llMLESS.
'.l'he City agrees fully to save harmless and defend
t lie District and the District's Board of Directors per,:;onally
from al l s uit s , ac tions, demands, o r claims in law or in equity,
arising out of the execution of this Agreement, or the use, con-
struction , and maintenance o f the real property her e in described.
The City shall be responsible for any liability resu lting from
an y l itigation and shall pay t e costs of suit, attorneys ' fe es ,
appellate costs, and any other costs or expennes which may be
asse ssed a gainst the District and the Di strict's Board of
Director personally as a res ult of any suit, demand, or claim
filed concer ning this Agre0men t.
5. OOLIG/\TIONS OF CI'l'Y.
a. Purpose.
'fhe premises shall be used solely for the facility
an d purpose described in pa ra graph l above or for such other
purposes as the District may approve. The City will not ca rr y on
or permit upon the premises any offensive, noisy, or dangerous
activity or any nuisance to the public or to the adjoining
neighbors. The City will pay, upon demand, any damages to the
premis es caused by the mis use of same by it or its agents or its
em ployees. '!'he Ci ty s hall not exercise any control over th ll
routine use o f the facilities by the District. The Ci ty shall
not use th, facility to detain water except when in .-u ; best
ju,;,<JmCnt sa id u se is n ecessita ted by virt ue of stu,,n oi: othe r

b. Co nsti:uct ion an d Maintenance.

storm water detention area purposes as the Dist ric t de t e rmines
nece ssary so lon g as t he capacity ol' th e storm water de t e ntion
area is not dimin ished or in fL~inge d up o n.
I t i s a nticip~t ed t h a t con struction shall take one
(1) year to complete fro m letting o f bids for construction and
returning facil ities t o a condi t ion usa ble by the Dis tr ict . City
agrees to take wha tever steps ar e 11 ecessary to retur n faci l ities
to a condition usable by District as n ear as practicable as th at
currently on the property a nd insta l l permanent undergro und
sprink l ing sy stem , alt at City cost. Th e City shall provide
District with City park facili ties necessary f or Dis trict's use
to inclu6e those fu nctions fou nd on Exhibit ca t the loca tions
designated therein , for the period during the c nstruction and in
t he f uture at such t imes as the water de tentioi, Jrea is f i.,.led with
storm water and not returned to a usabcc co nd ition for Di s tric t
fun ctio ns within five (5) days o f its temporary and inte rmittent
use by stc.•rm wciters . 'I'he City 's o bli qa t ion to provide the District
with City park fac ili ties during t emporary and intermit tent u se, of
the area by storm waters sl 1c1ll continue until the City has removed

Feoruary, 1 978 , excluding the op tionfl t o construct upst ream dams.

f. Com pliance with Law.
Th e City will comply with all applicable federal,
state , county , mu nicipal and other law s , ordinances, r ules and
reg ul atio ns re lating to all o r any part of the following: (i )
the premises; (ii) the o p eration of the facility co nducted thereon;
(iii ) the mainte na nce o: the premises; und the City s hall r efrain
f rom using the p r e mises in any way i n vi o l a tion of such law ,
ordinan ce , rule or regula1ion.

The Ci ty will keep the premises free o f all liens a n d /
or claims to be placed on the premises , for whateve r reason, to be
l'.'emoved wi t hin 30 days after the City has knowledge of s uc h lien;
and the City agrees to re l ease , indemnify a nd hold the District
harmless fr o m a nd against such liens and/o r claims .
h. Surrender of Premises .
The City will, upon termination of its easeme nt in
said 1,1roperty, surrender the premises to the Dist ric t, in a good
o nlc r a nd co ndition , a nd \Yh en applicable , in complian ce with the
p rovisi ons of paragra ph 5 (d) .
6 . COMPA TIBLE USE IJY DIS'l'RICT.

7. INSUR ANCE.
The Di s t rict shall con t i nu e i ts i n surance coverage o n t he
rea l property de s cribe d her ein dur ing i t s use o f t he prope r ty for
its ge ne::al purposes.
'l'he City sh ill , in .::ddi t ion , include the a bove -descri bed
real proper t y in its i nsura nce coverage for loss resu lting from
the use of said property as a storm wa ter de t ention area for
lia bility in excess of the coverage maintained by the Di strict,
at the City's e xp e nse. Said e xc ess coverage s hall be obt ain ed a nd
kep t in force during the t erm of t hi s Easeme nt l\9reement and sha ll
include, ~ ~• a compre hensive publ ic l i a b il ity i nsurance
coverage, i nsuring the District a n d t he City agai n s t a ny liability
ar ising ou '.: of the use, o ccupancy and main tenan ce , a nd a ll area -
