TRIPARTY AGREEMENT
THIS AGR EEMENT (the "Agreemen t") is made a nd entered into
this day of--~~-~• 1983 , aJOOng the City of
Englewood , Colo rado (the ''City"), the Englewood Urban Renewa l
Authority ("EURA "), and the Englewood De ,ntown Oevelopr,ent
Authority ("EDDA ").
Recitals
A. The City i s a home rule nunicipal corporation having
plena ry powers ove r matters of municipal a nd local concern , except
as limited by its Charter .
B. EURA is an urban r e newal authcrity having the powe r s
e numerated in Patt l of Article 25 of title 31 , C.R.S . 1973, as
ame nded.
C. EDDA is a downtown developnent a utho rity hav ing the
powers e numerated in Part 8 of Ar ticle 25 of Title 31 , C.R.S . 1973,
as ame nded .
D. The City Co unc il of the City has approved " Downtown
Redeveloi:rnent Plan (the 11 Plan 11 ) as .:m urba n renewal µlan;
E. 'rhe parties t,e re t o desire t o en ter i nto an agreement l o
implement t he Plan .
Agreement
N™, 'l'HEREFORE , in consideration of the mutual promises and
covenants and other good a nd valuable co'1,,ideration, rece ipt of
which is hereby acknowl edged , the parcies he reto ag ree as follows:
1. 'l'he Ci t y shall have the following responsi bilities and
d uties with respec t to i mplementation o f the Plan:
1.1 Rev iewing all r edeveloµnent plans submi t t ed by the urban
renewal autho rity o r a redeve l ope r in connect ion with the Plan or
proposal s as r equired by a ll a ppli cable codes a nd o rdinances .
1.2 Admini s t e ring public improvement contracts .
1. 3 Re· i e.:i ng pr e liminary and fi na l de s i gn pla ns for public
and private imf"ro venlP.nts .
1. 4 Appro ving .:ir rejec t in,i any emi nent domain pr oceed ings
deemed n~c .. ,ssa r y by t he EURA .
1. 5 Coo r d i na tion of co nstruc t ion o f approved publi c
im pr o ve-ncn ts .

2 . ~uRA s hall have the following responsibilities and duties
with respect to implementation of the Plan :
2 .1 EURA shall have the r espons ibility for impl ementing the
Plan and for defi ning " timetable fo r implementation of the Plan .
2 .2 Cooperating with the City and EDDA in pr e liminary and
final r e view of public improvements required by the Pl a n .
2.3 Contract ing with the City or o the r s for design and
construction services for public i mproveme nts r equired by the
Plan.
2. 4 Co ntracting with the City in a late r, more detailed
agreement , fo r staffing and f inanc ial management of the EURA
through the use of City employees.
2 . 5 Develo ping and approving a financial program fo r public
improvements to be constructed pursuant to the Plan .
2.6 Preparing bid packets a nd soliciting proposals from
develope r s .
2. 7 Acquisition of property required for redevelopment
purs uant t o the Plan.
2.8 Conveyance of prope rty t o the developer pursuant to the
Plan a nd redevelopment ag re ements .
2.9 Coomencernent and prosecution of acqu isition activities ,
including eminent domain proceedi ngs , if necessa ry , t.o p.Jrchase
properties des ignated for acquisition in the Pl a n . EuRA will not
acquire any othe r prope r ty by em inent domain unless appr oved by
City Council and after co ns ulting with EDDA .
2.10 Part i c i pating on the manag eme nt t eam, t.he des ign r ev iew
team , and the team a uthorized to neg o tiate contracts with the
redeveloper as requi r ed by the Plan .
2.11 Sole r esponsibility fo r issuance of fu nd s nec essa r y to
finance the public im proveme nts contemplated by the Pl an .
2.1 2 Cons truction or installation of all pub l ic i mp rovements
required by the Plan. EURA may contract with other publ i c or
private bodies fo r provi s ion of these impro vemen t s .
2.13 Di sposition of all r ea l and pe r sonal prope rty in
furthe r ance of the Plan .
2.14 Prepa r ing plans fo r the r epa iring o r r e ha bil itating , i n
co,perati on with EDll'I , of p ri vately owned bui l di ngs as required by
tJ1f! Plan .
2 .15 Es tabli s hing , in coope ration with EDDA , a voluntary
plan for the re l ocation of i nd ividuals , fam i l i es and businesses
displaced by reason of the acqui s ition of the EURA of the property
upon which the individual, family or business was l ocated.
2.16 Providing r e l ocation benef its in accordance with the
RPloca tio n Pl an approved by EURA .
2.17 Co ,,··rac ting with consul tants and other professionals as

3.1 To adv ise the EURA concerning act ions to be taken by the
EUH/1 pursuant to the Plan (including the am.,ndment the r eof ),
pa r ticula r ly as s uc h acti ons might affec t the central business
dis trict of the City and t he residents and prope r ty owners
the rei n .
3 . 2 -1.n coope r at.i on with EURA , t o act as a facil itator in the
impl e,nentation of the Plan , t o gain corrrn unity suppo rt for t he Pla n
and to e ncourage r esol ution of iss ues aff ecting r es idents , property
own e rs and business es in the cent '"al bus iness dist ric t.
3. 3 To provide techni cal support fo r po st-develo pment
management efforts .
4 . Miscellaneous Provisions .
4 .1 The parties recognize and agree that thi s Tripa rty
Ag reeme nt i s preliminary and g ene ral i n nature . the execution of
the Plan and the imp l eme n tation of r ed evelopment ag r eements and
proposals may r equi r e r ef in eme nts and modificat i ons o f the d uti es,
rol es , and r esponsibil; ties of the pa r t i es as well as sepa r a t e o r
additional ag reements between o r among them. The p;,rties ag r ee to
coope rate wi th one ano ther and with redeve lopers in conside ring
s uc h changes , mod i f i cations , amendments and add iti onal agreements
r equired in the public interest t o ef f iciently and legally
accomplish the goals and ob jectives of the Pl a n in a ti me l y

4. 2 It is the intent and purpose of this Agreement to
provide for an efficient allocation of roles and r esponsibilities
1n connection with the Plan. Where joint r esponsibilities are
des ignated or where cooperation or consultation is required
hereunde r, the parties hereto pledge to coo perate and work togethe r
'.:.'J accomplish the object! ves hereof in a time ly manner.
4 .3 The agreements made he rein shall be without prejudice to
the exercise by any party hereto of any other right or powe r it may
have by constitution, statute, o r Charter,
