WITNESSETH: Wd f:REAS, t he RTD has est ablished a Tr ansi t Street Improvement f und for t he purpose of impl ementing trans i t related stree t improvements; and 11/HEREAS, the Grantee has f iled an application for fu ~ding ol certa in improvements and the Board ol Di rectors of t he RTD has approved the use ol RTD local fu nd s for the Project(s) described in Exh ibi t A; and ll'H ER EAS, t he parties hereto desire 10 implement capit a l improvement s des.er ib ed her ein. The Gra 11tec, in turn, will carry out the Projt ct in accordallCe with the ter ms of t hi~ Ag ree ment. SE CTION Tll'O TH E PROJECT The Project consi sts ol t he desig n and construction of one (I) reconst ruct radius, two (2) rec onstruc t ions ol curb gutter and sidewalk and one (I) reconstruc- tion of radiu s with an c. companying drainage improvement a~ described in Exhibi I A al\ached hereto. SECTI ON THREE THE GRANT The RTD will provide the Grantee the t ota l c os t ol the projec t or TW ENTY FIV E TH OUSAND FOU R HUN DRED AND EIGHTY EIGHT AND NO/JOO DOLLARS ($25,488.00) whic hever is less. -1- Jl.\"1li>llf."} fl~ _____ \,. __ -··- a. Where the Grantee performs the Project work thr ough its own work f orce , the RTD will provide the Grant fund s on the ba sis of i nvoices re ceived and approved by t he R TD for eq uipment , labor, and materials "pended. b. Where the Grantee performs the Projec t work _through a con- tractor , the RTD will provide the Grant funds on the basi s cl the contrac t award price (as may be modified b y change orders) all approved by the RTD. c. \\'h ere t he Proje ct work is part of a larger capital improvem ent, the R TD will provide the Grant f unds on the basis ol the unit pr ic es bid as part ol such larger contrac t and RTD approval ol al l costs including items whi ch may not be ident if ied in the larger contract . SECT ION FOUR ELIGIBLE COSTS Costs e lig ible !or r eimbursement b)' the RTD under th is grant Agreement are limi ted to the ac tual cos t of the acquisiti on of re al property and cons truc tion of t he approved Projec t. SECTI O'.\: FIVE GRANTEE REQ U l '<E MENTS a. The Grantee will prepare any ne cessa ry right-of-way or other re al propert y ac quisition instrum ent s f o r t he Pr o jec t, if any. b. The Grantee wi ll pro\'ide de sign do cume nt review, con struction in spec - tion , and eng ineering services for the Proie ct . c. Th e Grantee will obt ain an y requi red apprais als, perm it s, and approvdls and wi ll be resp onsi ble for all citiz en rev ie w and public agency coordinati on, if an y. d . The Grantee will ma intain the co mpleted Project. e. The Grantee will construct t he Project thr ough its o~·n work force or cause it t o be cons truc ted through formally adver tised , free, open, and competitive bidd ing, and in acc ordance with such additi ona l ter ms and cond it io ns as the RTD may re quire. I. The Grantee shall permit and shall require its contract ors to perm it t he RTD to insp ect all data and records with regard t o the Project. The RTD als o m ay require the Grantee to furnish at an y time prior t o clos eout of t he Project, aud it reports prepared according to generally accepted accounting principles. g. SECTI ON SEVEN C O NTI NU I NG TRANSPORTA TI C'N USE In consi deration fo r 1his Grant, t he Gran t ee sha ll ,ermit the RTD free use of the imp rovements funded he r eun der for transporta ti on 'A .:-poses fo r a pe r iod of not less t han five (5) years from t he dat e said imp r o\'emen,., ·,re comp le t ed a nd made available fo r publ ic u se . In t he event the Gran t ee in terrupt s, eli m inates, or in t erferes with t he RTD's use of sai d i mprovemen t s, the Grantee sha ll i mmed iately r efund t o the Rl D t he f u ll amount of the Grant fu nds r e ceived hereunder, p r o- r ated over t he five.year period. SEC TI ON EIGHT F INA L INSPEC TI ON T he Grantee shall obtain t he RTD's fin a l inspec t ion and written con c urrence in t he acceptance of completed P r oject impro\'ements. The RT D, upon granting final acc e ptance , a nd r eceip t of invoi c es acceptable 10 and approved by RTD wil l wilhin t hiny (JO) days t hereafter, make paymen1 in t he amounts spe cified in Section T hre e abo ve, in conforman ce with th e con d1tions s t at ed t herein. SEC TION NINE HOL D HARML ESS -RT D NOT LI ABLE Gra n1ee, agrees t o save and ho ld the RTD harmless fr om and agai nsl all suit s, claims, a nd demands based upon any alleged damage t o propert y or any alleged in jur y t o p e rsons (i nc luding deal h} which may occur or be a ll eged to have occurred by or on account of any neg ligent act or omission on the p~rt of the sa id Gran t ee , its subcontr act o rs, or any of t heir s ervants, employees, or agent s. The Grantee, a t it s own expense, will set tle o r defend any claims o r lit igation arising out of t he per formance of t his Ag ree me nt . The RTD sha ll nol be liable f or any da mage t o t he Pr ojec t improvement s t hrough the routine use !he r eof un le s s cause d so lely by l he negligen ce and/or omi ssion of R T D employees. -)- SEC TION TE N TERMINATION Either party may terminat e this A greement at any t ime b)' giv ing writ ten notice specifying t he date of termination, suc h noti ce to be given not less than ninety (90) da)'s prior to the date therein specified. In th~ event t he Grantee desi r es t o cancel t his '\greement after RTD has expended fund s for design, but before cons truction has begun, Grantee shall reimburse the RTD for all design funds expended by RT D . In the event the Grantee desires to cancel this Agreement after Pro ject con struction during t he initial live (5) year period, i t may do so upon giving u.rritten notice to the RTD, sp eci fying the dat e of ter minati on, such no t ice t o be giv en not less than ninety (90) da ys prior t o the da t e ther ein spec ified . As a condition preceden t to t ermina t ion after Project construction, the Gran t ee shall re imburse t he R T D for all Grant fund s r eceived und er this Agreement, pro-rated over said fi ve-year period. SEC TION ELEVEN PROHIBITED I NTERESTS No office r, member, or empl oye e of t he RTD, and no members of its gov erning bod)', and no other public officia l or employee of the governing body of t he loca lity or localiti es inclu ded wit hin the District, duri ng his or her tenure or fo r one year theraher, sha ll ha ve any interest, direct or indire ct, in t his Agreement, or the proceeds thereof. SEC TI ON T WELVE .\IISCELLANEOUS l. No ti ces. Equal Emplo)'ment Opportunitv . In connection with t he perf ormance of t his Agree ment, the Gr antee sha ll not discriminate aga inst a ny emplo yee or applicant for em ployment because of race, co lor, religion, sex, nat ional origin, age, marital status, being ha ndi capped, a disadv antaged person, or a disabled or Viet Na m era veteran. The G r antee sh all t ake affirmative action to insure that app l icants are emp loyed, and t hat emp loyees are treated duri ng emp lo)'ment without regard to t heir race, color, r eligion, sex, national origin, age , mari tal stat us, being handi capped, a disadvantaged person, or a disabled or Viet Nam e ra veteran. Such action shall include, but not be l imi t ed to, t he following: -4- emp loy ment, upgrading, demotion, or transfer; re cru itment or re cruitment adver- t ising; layoff or terminat ion; rates of pay or oth~r form s of comptnsationj and se lec tion fo r training, including apprentic eship. 4. Agr e ement Binding. This Agreement shall inure t o the benefit of and be b inding upon the successors and assigns of the parties hereto. 5. Laws to Apply. The Project shall be c a rried out in a c cor da nc e with the law s of the State of Colorado and all applicable Federal la ws & regulations, and a ll loca l la ws , ordina nc es and regulations. 6. Am endment. This Agreement may not be ame nd e d exce pt in writing by mutual agreement of the parti es , nor may ri gh t s be wa ived e xcept by an ins trument in wr it ing s igne d by the party cha r ge d with suc h waiver.
