LANDOWNER'S EXTENDED SERVICE AREA
PARTI CIPATIO N AG REEMENT
TBIS AGREEMENT made and entered into as of this day
of-------=-==• 1984, by and betwee n the CENTENNIAL WATER AND
SANITATION DISTRICT, a quasi-municipal corpo ration of th e State
of Colorado (he rei nafter called the "District• or •centennial"),
whose addres s is 62 We st Pla%a Drive, Highlands Ranch, Colorado
80126, and
(hereina fter called th e "Landowner"), a __________ _

WH ERE AS, the Board of Directors of the District did on
Septambe r 24, 1984 adopt Res o lution No. 84-181 establishing
Policies and Procedures for Consideration of Requests for Exten-
sion of Services (hereinafter referred to as "Di .~rict Policy");
a~
WHEREAS, sa id District policy included, a mong other items,
the f o llowing:
1. The District here by finds and d e clares that it
curre nt ly does no t have available excess sewage treatment
capacity or excess water supplies to serve Landowner s outsi d e
the boundaries of the Dist rict's present Service Area.
2. In consideration of current economic , eng ineering
and other feasibility factors, the practical limit of th e ar e a
the District can c onsider for service be yond it s current Service
Area by expansion of its facilities and water suppli es i s as
depicted on Exhibit A to th e Dis tr ict p o licy and identif ied as
the Extended Service Area (herein referred to as "E SA").
3. Lands l ying wi thin the ESA the ow ners of which are
requesting water service from the District and who ar e read y ,
willing a nd abl e to prov id e t o t he District us a b le wat er ri g hts
suffici ent in q uantity, quality and relia bil i ty to serve the us e s
contemp lated t her e on , will be consid e re d by the District for
wate r service. Lan ds l y ing within the ESA th e o wners of whic h
a r e req uesting Re -a ge service frorr t he District , who ar e read y ,
willing and able to fund the addi tiona l facilities required f o r
t he Di ~trict t o provid e th e nece s s ary sewage service t o serve the
use s c ~nte m?la ted thereon, and wit h r espect to which t he neces-
s a r y regu latory permits therefor are reasonably li ke ly to be
obta ina b le , will be c ons id e r ed for serv ice by th e District .
4. Th e District shall, purs u ant t o written agreements
with su ch owners t o adv anc e e nd pa y th e nece s sa ry co s t s th ~re of,
prepar~ a rd cil itie s Plan f or land s in such amo unts of acreage,
with s uch c ont em pl a te d u ses , and in such locations, that
c ons titute reasonabl e increments of land for expa nsion o f
ca p a city , in order to d et ermine the neces sary faci lities and
c osts t o serve such land s .
5. The District shall, pursuant to written agreements
with such owners to advan c e and pay the nece Gs ary c o sts thereof,
and in cooperation with such o wners, prepare a proposed a g reement
or a gre ement s (hereinafter collectively ref erred to as the "Ser-
vice Ag r eeme nt") contemplated t o be entered into by District •nd
B speci a l district or di s trict s or ot he r gov ernmenta l entity ~r
entities (hereinafter collectiv ely ref erred to as the "ESA ~is-
trict"), e s tablishing the term s and cond i tions und er whi~h Dis-
trict ,d 11 provide necessary wat er service o r sewa ge set·v ice, or
both, to the ES A Di st rict, recogni ,: g how ever , that the District
is n ot bound thereby un til creat i on of such ESA Distr ict or Dis-
tri c ts and due execution by the parties of such Service Agree-
ment; and
WHE REAS, tl,e undersigned Landowner i s de s irous of entering
into a n a greement contemplated by said Re solu tion, i ncluding the
paym en t of t he legal a nd eng inee ring c osts of prepari n g the
Fac ilities Plan ref erred to i~ paragraph 4 above and the wr itte n
agre~m e~t referred t o in pa ra graph 5 above, c urrent l y estima ted
al $50 ,00 0 (c o llectively referred t o as "Phase I Costs").
NON , THEREPORE, t he District and the Land owner (be in g al l
the par ties hereto , a nd hereinafter collectively referred to as
"Pa r tie s "), for and in considerati o n of the premises and t he
mutual promises hereinafter c o nta ined an d in t he mutua l reliance
of the District and each Land o wner ~pon t he execution and pe rfor -
mance of this Agreem ent by the District and each of the other
La ndo wne rs wi thin th e ESA, agree a s follow s :
1. By these present s, th e Di s trict offers to th ose
Landowners, executing t hi s Agreemen t by 5:~0 p.m. on Tues d ay,
Dece mber 4, 1984, th e righ t to p a rticip at• in pa y ing for th e
tota l o f 100t of Pha se I Costs. The Portion of Pnas e I Costs
p ay ab l e b y each Land own e r shal l be equa l t o an am o unt th at bears
the ratio to the total Phase I Cost s as th e am oun t of a c rea ce se t
forth on page 6 here o f bears to the t o t a l a creage of all La~d -
owners par t ic ip a t in g in paying for t he Pha se I Costs p u rs uant t o
t hi s Agreemen t a nd its c ou nterparts as set forth o n p~ge 6 of
s c ch c ounte rparts. Th e Dist ri ct ag ,ees that in c onsiderat i on

Phase 1 Costs , &s d ef ined a bo•,e ,
Th at L ,e Landowner ,t.all be en t itl ec to:
a. enjoy the benefits of the District Policy ,
including the right to assign its rights under th is Agreement to
a qua s i-munic i pal corporation to be formed by seid Landowner or
Landown e rs, and
b. have the Board of Directors of the District use its
best efforts to obtain a p proval for the con str ucti on of facili-
ties that the Board determines are ne ce s s ary to provide the
capacity contracted for by the Landowner.
2. It is mutually agre ed that the District may reject or
accept an offer or offers, in whole or in part, if, by 5 :00
o'clock p.m., on Tuesday, Januar y 2, 1985, the Board of Direc-
tors finds that the amount of service requested by the Landowner
as of that date, has not been sufficiently subscribed fo r to make
proceeding at th i s time economically feasibl e , or that some on e
or more of tho se Landowners who shall have subscribed b y Dece m-
ber 4, 1904 cannot , in the Board's judgment, reasonabl y be
expected to be a b le to fully discharge the obl ·g ation of its
subscription . If, by Thursday, Dece mbe r 20 , ~984, it app ears to
th e Boa rd of Dire ctors, i n its sole d iscre tion, that t h e re is a
strong l i kelihood the Board may need t o rej ect or p arti ally
rejec t an acce pted offer or offers for any of the reasons and by
the d e a d line set forth in this paragraph, th e Board agrees that
it wil l , on that date, mail notice of that likel ihood to all sub-
scrib i ng Land o wners . In such event, any other Land own er shall
hav e a right to substitute its e lf f or an y of such Lan down e rs
which are subject t o such noti ce !n o r der to accompli sh t he pur-
p oses of this Ag reement .
3. It is mutually agreed tha t the Pha se I Co s ts include but
are no t limite d t o th e followin g co sts:
a . Amou, ts to be pa id by the Di strict to th e its
Engineer for:
i) pteoaring a Facilitie s Plan of fa cili ti es to
be owned by the D:st rict, necessary to serve the land s
within th e ESA of Land o wne r s sign in g this Agreement;
ii) r ev isin9 the prese nt Fa cilities Plan for th e
pre se nt Centennial Wat er and San itation Distri c t Service
~r ea t o i nci ude th e add i t ion al land of Lan a o wner s s igni ng

Iv) deter~l•Jn g the cost of capacity using the
Bose-Extra Capacity ~ l nod (as hereinafter d e fined) for the
a m~unt of service r eg u, s ted by the Landowner.
b. Amounts to b e ~aid by the District to the attorney
for the District {or p r t p aring a Service Agreeme nt incorpo-
rating the ESA District 's o c Districts' Co st of Capacity
similar to agreemen ts between the Distr ic t and the Highlands
Ranch Water and Sanitation Districts;
4 . For the purpose of this Agreement, the "Bose-Extra
Capacity Method" is a method of allocating fa ci lity costs and
separating them into two components : base ca pacity co st and
extra capacity cost.
Base capacity costs are capital cost s a ssocia ted with
service to customers under average demand con di tion s , without the
elements nece s sary to meet woter-us ft and sewage flow variations
and cesulting peaks in demand. Bose capacit y co sts incluae capi-
tal c o•ts for water and sewage plant investme nt associated with
serving custome rs to t he extent require d f or a constant, or aver-
age , un nual rate of us e .
Extr a cap a c ity c osts are capital c o s ts asso ci ated
with meeting rate of use requirements in ex c s~ o ( av e rJ ge , and
incluoe the capita l costs associated ~·ith addit i o ,,a l plant and
system capa ci ty be yona that req ui re d f or a verage rat e of use.
Thes e c o st s may be subdivided into c osts necessa ry to meet
maxi mum -ho ur ex t ra demand , maxim um -day extr a d emand, or other
extra dem and criteria a pp ropriat e for a particular facility .
The c o sts for each clas s of user are r epres ent~d b y the
sum o f the cost s associ ated with the us e of fa ci lities d ~signot ed
os ba s e capacity faciliti es for each class of us e r an d t he costs
as soci ated wit h the use o f fac i lities designa ted os extra capac-
ity f o r each class of user.
5 . The Landowner may continue to b e eligible to participate
h ereunde r o n l y if it pays the District that Landowne r's Portion
of Phase I Cos ts, when such amounts become du e unoe r th e sched-
ul es h e rein set forth. Phas e I Costs are estimated a t t his time
t o be a total of S5 0 ,00 0 .
a . Th e District a grees t o not ify the La ndown e r, by
f ebruacy 1, 19 8 5 , of that Landowner'& estimated Portion of
Phase I ~oRt• and the Land o wner a grees to pay the Di st rict t he
an.au nt of s uc h obligation not later t han Karch 1, 1 985 . Upo n
c omp letion, Land owner's ac t ua ' Po rti on of Pha se I Cost s shall b e
p ai ci t,y Lan do s·ne r or r efund,,•; t o Land o wn e r based upo n a ct ual
e xpenditure s f or Pha s e J Co r·t . Such payr,ent by Lan downer or
r e~und by th e Distr i ct sh a l l Pe ~ad e wit hin t h irty (30) days
after the actual expenditures hav e been d ete rmined and a written
statement there o f has been sent to La ndowne r.
b. Landown e r shall hav e no obli gation t o pay any
actual Phase I Co s t s in excess of $55,000 (the $50,000 estimated
p lus 101) with o ut the prior written c onse nt of Landowner having
been obtaine d, a nd any such exce s s co st , commi tted or expended by
District prior to such con sen t having been obtained, shall be at
the sole risk and obl i gation o f th e Di s trict. The work to b e
performed is set forth in Exhibits A and B attach ed h ereto , which
are th e Statements of Work of the Eng i neer s a nd the Attorneys.
6. This Aqreement shall continu e in forc e until the
purposes of it set forth in parag raphs 3a a nd b h ave b een a c com-
plished and all payments have b ee n made, s ub ject to earlier
termination or ex t en sion by mutu a l agre eme nt of all parties; pro-
vided, t h at in the event of termina t ion, all costs incurred by
the Dis t rict up t o t he da te of t ermination shall be reimbursed by
the Landowner.
7. A default by th e Land ow ner shall exi st if th e Land owner
shall fail to pay when du e any am o un ts d ue he r eunde r, and such
failur e t o pa y shall c ont in ue for a period of th i rty (3 0) da ys
after no t i ce thereof give n b y the Dis tr ict to th e La ndowner.
Upon d e fault by th e Lando~·ner, all rights hereunder s hall te rmi -
na t e and all paymen ts made h e reun de r b y the La ndow ner and
exp e nd ed by t he Di strict shall b e forfeite d .
8. Both partie s ag ree tha t in perf orming th eir r es pe ct iv e
oblig ations und e r this Ag reeme nt, t hey shal l e ach c omp l y ~-it h all
laws, rul es , regulations, ordi n ances a nd order s of any gover n-
menta l authority having juri sd iction .
9. All n o tices under this Agree men t shall be in wri t ing ,

11, None of the terms, conditions or covenants contained in
th is Agreement shall be deemed to be for the benefit of any per-
son, customer or user not a party hereto,
12. Neither party may delegate its obligations under this
Agreement without the prior ,n:itten consent of the other party.
Landowner may assign its rights hereunder to an ESA District to
be formed or to the successors in interest to their land identi-
fied on page 6 of this Agreement.

a) Prepartion of a ►\aster Agreement or Agree me nts similar lo the
agreements between Cente nnial Water & Sanitation District and
the Highlands Ranch Water & Sanitation District .
b) Modifications to t he Master Agreement, as neg otiated by
Centennial Water & Sanitation District in conjunction with
t !.e at to rneys , which modifications reflect t he ne eds o f
individual landlowners .
c) The work does not include any services with re g a rd t o wa ter
rights which will be acquired by Cen t ennial Water & Sanitati on
