Appur t e nances " sha lt mean one or mer util i ty pipelines and all
necessary underground and surface appurtenances the reto necessary or
desirable for the transmi ssion of water , in c lud ing , but not limited
to , mains , conduits , vaults , ventilators , electr ic or other control
sys tens , ables , wires aOO connections .
4 . Access . Gr a ntee shall have the per pet ual , nonexcl usive
ri ght of ingress and egress in , to, ov er , through and across the
Ea sement Property for any p..,rpose nece ssa ry or desirable for the
full e njo'r'U"nt of the rights granted to Gran lee under this Gra nt .
5 . Restoration . Grantee agrees that after the construction,
maintenance , t P ir , re placenent , or e nlargerent of any of the Lines
and Appurtena nces , Gran tee shall restore t he s uddce of the Easenent
Property as nearly as reasonably possible to the grane and condition
it was i n iitmedia t ely prior to said construct ion, ma intenance,
rep;t i r , repl acenent , or enla rgeme nt , except as may be necP.ssary to
accalll"IOdate the Lines a nd Appur tena nces . Grantee ag r ees t o restore
and repai r any improvements of Gr a nter on the Easeme nt Property
which a re di111 agal , modified or a ltered by Grantee d uring said
construct i on , mJintena nce , repair , replacenent or enlargenent .

cultivated or agric,\!' J · •l areas on the Easenent Property a nd to
renove any excess ea Ltll resultirq (ran said construction,

6 . No Improvenents . Gra n tor covenants a nd agrees not to
con st ruct , erect , place or plan any "Improvenents ", as here in after
de f ined , on the Easenent Property witho ut obtaining the pri.:it
wr · t ten consent of Gr antee . 11 Impro vements " shal l mea n any structur e
or build i ng . Gra ntee shall have the rig ht to renove , without a ny
l i a bi Ii ty to Gr a nter, any improvenents constructed , erected , placed
or planted on t he Easenent Property without Gra ntee 's having
obt.:3 ined the prior wri t ten consent of Gr an tor .
7. Subjacent and Lateral Suee?rt . Gran tor covenants and
agrees that Gr antee shall have the n ght of subjace nt and lateral
support on the Easenen t Property to wh a t e ver exte nt is necessary or
desi rable for the full , compl ete and undi sturbed enjoyment of the
r ights grantoo to Gr a ntee und er this Gr ant .
8 . Rights of Gran tor . Gr a n tor r eserves the full right to the
undistur bed ownership , use , and occupancy of t he Easenent Property
i nsofa r as s a id ownership , use , and occupa ncy is consiste nt with and
does not im pair t he rights granted to Gr a n tee in this Grant.
q . Aba ndonme nt . In the event that Grantee shall abandon the
ri ghts granted to i t under this Grant , all right , title and interest
he reunder of Grantee shall cease and term i m •e , and Granter shall
hold Easenent Property , as the s ame ma y t he n be , free fram the
r ights of Gr a ntee so abandoned and shall own all mater i a ls and
structures of Grantee so abandoned , provided that Gra ntee shal l have
a reasonable period of t ime after said abandonm ent in wh ich to
renove any or all Li nes and Appurtenances frcxn the Easenent
Property. In the even t that F.asenent is abandoned by Grantee ,
Gr~ntor shall have t he right , at i ts sole option , to require Gr a ntee
to remov e or ne utralize any improvenents constructed in the Ea sement
by Gran':ee .
10 . Warr a nty oE Ti tle . Gr a nter war ra nts and represents that
Granter is the Eee simple owne r of the E:asenent Property and that
Grnntor has fu l l right , title a nd authori ty , that thi s Grnr.t is
ef fee ti ve to grant anc.1 convey to Grantee the Uti l i t i es Fasene nt , and

that this grant of an eas ement is superior to a ll other grants .
Granter further covenants and agrees to indennify , defend and hold
Gran tee harmless from and against any adverse claim to the title of
the Eas ement Proper ty by all and every person or persons l awfully
claim ing or to claim the whole or any part thereof.
11. Binding Effect. '!llis Gr ant sha ll extend to and be
bind i ng upon the heus, personal representat ives, successors and
assigns of the respective parties hereto. The terms , covenants,
agreements and condi t ions in this Gr ant shall be construed as
covenants running with the l and .
