TH IS AGREEMEN T. dated os of May 20, 198!', (1.ne "Coope ration Ag reemen t "), is
made by and between the C IT Y OF EN G LEWOOD, COLORADO (the "C ity"), a
muni cipal corporation and hom e rul e char i er ci ty organized an d ex isting und er the
Constitution and the Jaws of the St ale of Col orad o, and the E GLEWOOD URBAN
RENE WAL AUTHORITY (the "Authority"), a body corporate and olit ic o f t he Slate o f
Colorado.
RE CITALS
A. In fur t herance of .ne obj ec tives o f th e C olorad o Urban Re new nl Law, §31-
25 -101 , ~ ~-, C.R.S ., the C ity has appro ved and the Au t hor ity is carryi ng out an
urban renewal project known as t he "Englewood Downtown Redevelopment Pr oject" (the
"Proj ec t ") in an a r ea (the "Project Area ") pu rsuant t o an ur ba n r enewal pl an known as
the "Engle wo od Dow ntow n Rede velopment Plan" (the "Urban Renewal Pl an"), wh ich was
approved a nd adopted by the C ity Council of the C ity on A ugust 23, 1982, by Resolution
No . 39, Series of 1982, as amend ed Decen,ber 21, 1 ~8 2, by Re solution No. 54, Series of
IU 82 , am ended March 26, 1984, by Resolution No . 9, Seri es of 1984, amended April 30,
1~84, by Reso lution No. 18, Seri es of 1984, amended October 29 , 1984, by Re solution
No . 40, Se ries of 1984.
B. In accor danc e with ~ 31 -25-1 12, C .R.S ., and in fu r ther anc e of the Urban
Renew al Plan, the C i t y de si res t o coo pe rate with the Author ity by transferr ing to the
Authorit y tille to cer t ain rea l property, subject t o the t erm s and conditions herein
st ated.
C . Th e part ies hav e det ermined that the transfer and use of suc h real property
in ac co rd ance with the t erms and con ditions of t he Cooperation Agreement are in t he
best i nt erest s of the C ity and the Authorit y and protective of t he hea l th , saf et y ,
morals, and wel fare of the r es idents of the C ity; and that such use is con sist ent wi t h
the publi c purposes and the r equ i r em ents und er which th e Project ha s bee n undertaken.
AGREEME NT
NO W, TliEll E. lKE, in considera t ion of the premi ses and the mutual obligations
o r the parties here 1u bnd oth er good and vuluub lc con sidera tion, th e r eceipt and
adeq uacy of which are nereby ackno wl edged , t he purt ies heret o ag ree as f ollows:
1. Agreem ':!lt l o Tra nsfer Proper ly. Th e C ity, up on the following terms,
covenants and condit i oit,, ugrees to transfer to the Authority all of its right, title and
interest in and to the re el pro pe rty described in Ex hibit A, attached hereto and hereby
made a part hereof (the "Pioperty"). No mon etary con sidera tion will be r equired from
the Autho rity for the PrC?f.r t y .
2. Covenants o f Author!lt-T he Au thori t y agrees to dispose or the Property in
accordance with the requirements of the Colorado Urba n Renewal Law subj ec t lo the
following t erms and con<li lions :
(a) Th e Au tho rit y may dispose of the Property to a r edev eloper under a
deve lopmen t plan prop ose d by such r edeve loper and approv ed by the C ity and the
Authorit y pu rs uant t o a redevel opment agree ment betw een such r ede veloper and the
Authority , provided t he l the Authority or the redeveloper ha s first acquired and
included in sa id devel op ment plan the interes t s of the grantors an d any bene ficiary
claiming any rights by. through or und er said g ranters set f orth in that certain Dee d and
Agre ement, doted Novembe r 3, 1968, r ecorded April 14 , 1%9, in Book 180 7, Pag e 1713
of the records or the Cl erk and Record er, Jefferso n Cou nty, Colo, ado. It is the
intention o r the Ci t y that the Pro pe rt y be conveyed l o such redevel ope r only if the
parking cov en ant s and reservation o r rights applicabl e to the Prop er ly and r es erved by
grun tors sha ll hav e first been acq uired, rel inq uished, waived or otherwi se rend ered null
and void by sa i d r edevel ope r .
(b) The Authori ty shall dispos e o r t he Proper l y to a qualified red evel ope r
subjec t t o all th e t erm s and condit i ons or a r edevelop ment agree ment that r equires,
among other things, the red eveloper t o und ertake con st ruc ti on and completion or
improvements required by the development agre er:ie nt within o sp ec ified tim e period,
thot th e use and building r equireme nts of t he Urban Renew al Plan shall be made
applicabl e to the Prop ert y a nd, that i n addition lo other rights and r emedi es reserved by
t he Authority in such red evel opme nt ag ree ment , the Au thor it y sh all r ese rve a right or
re-entry in favor of the Authori t y if said r ede velope r defaults in it s ob ligat ions and
co venants under the redevelop ment ag r ee ment.
(c) If on or befor e December 3 1, 1985 , the Authority is unabl e to conv ey
title t o the Proper l y t o a r ede veloper in accorda nc e with the t erm s and conditions
hereof or, ii a fter such con ve ya nc e it reacq uires titl e to and possession of the Pro per ty,
the Authority sha ll, upon writt en notice f rom the C ity, immediatel y reconvey t o the
C it y such title to the Prope rt y as it has rece ived from the C it y.
3. Governin g Law. Thi s Cooperat ion Agreeme nt shall be governed by and
con st r ued in acc ordance with the l aws of t he St at e of Colorado.

herein for co nv eni ence of r eco rd onl y ond sha ll not con sti tute a par t t his Coo pera t ion
Agreeme nt f or any ot her purpose .
