Seller hereby grants to Purchaser a n option to purchasethe Property . 1he term of the option shall be [or three (3) months from the execution hereof, \he price of the opti on shall be Seven 1'11ousand Dollars ($7,000 .00} payable 011 execution hereat which shall be aeducted lr o m the purchase pr ic e. 'Ihe parties agre e that Purchaser shal 1 seek to obtai n t he necessary approvals i n order to utiliz~ tl1e Property for the purpose of sewage sludge treatment and dis- posal a nd that Seller shall have no obligation in thi s regard. Ji , afte r three (3) months, Purchaser has been unable to o btain the required permits and approvals, Purchaser, at its sole discretion, may extend the term of the option tor an add i tional three(~} months by giving Seller written n o tice ot it• int e nt to extend prior to th e close of the initial option period and by t e ndering to Seller an add itional cpt1on payment of Thirteen 'lh ou sand Dollars ($13,000 .00 ) whi c h shall be deducted lrom the purchase price. All option payment s made hereunder shall be credited against the purchase price. 4 . 1itlc Commitment. Seller shall provide to Purchaser a title commitment lor the Property, including any water righ ts appurtenant thereto and all minerals owned by Seller, together with photocopies of those documents referred to in Schedule Bot the Commitment, sho~ing title to the Property to be in Seller, and committing to insure title to the Property subject o nly to Permitted i,xceptions. At C losing, 5e ~ler shall, at Seller's expense, direct the title company to e ndorse its commitme t to the day and time of Closing and shall direct the title company to issue to Purchaser, at Closing or as soon as possible after Closing, the title company's AL1A standard form B owner'o title insurance poli cy insuring title to the Ptoperty to be in Purchaser . 5 . Improvements. 1he purchase price set iorth above shall include all improvements currently located on the Property except the grain bins which Seller shall retain. Seller agree s to move the grain bins oif the Property, at no cost t o Pu r c haser, within 1 20 d ays alter Closin9. b. Cro,P!, belier bhall retain all right, titl e, and interest in the crops curr en tly pla nted and growing on the Property (1 ~85 -& crop). Purchaser obtains no interest in said crops by the terms hereof. Seller shall be obligated to harv e st said crops in a ~~rkmanlike manner at no cost lo Purchaser and to hold Purchaser harmless from -~ny and all clai ms re sulting from the cultivation and harvest of said c:r ops. 1he parties agree that the crop to be planted in 198& {I Sb&-7 crop) and in a ny subsequent years shall be planted , c~red for, a nd harvested by Seller at Seller's s o le cost and that any proceeds lrom the sale o f sai d crop shall be divided between the parties in the following manner: One-third (l/3) o l the pr oceeds wi 11 be paid to Pu rchaser and two-thirds ( 2/J) o f th e proceeds will b e paid t o Se ller . Se ller agrees to be I bo und by all of the obligations and responsibilities ol a lesseP as contemplated by the provisions ol Exhibit 8 hereto. s ~1 l'!r ag rees t o plant crops, in 1~86 and subsequent years, on l y on land approved by Purchaser so~• not to 1nterlere with Pu r c haser's use ol the Property as contemplated by this Agreement. ln the event Purchaser disrupts or destroys all or a part ot Seller 's crop in con9tructing ita facilities, Pu r chaser will reimburs~ Seller tor up to two-thirds ol the the n market value o .( the crop aestroyed. 1( Purchaser exercises its option, the parties agree that Seller shall be entitled to le~se the Property tor agri- cul tural purposes until September 1, 1991, pursuant to the ter~s o! the lease attached hereto a& Exhibit 11 B,11 which lease shall be executed at Closing. Purchaser also agreo,s to nego- tiate with Seller for extensions to the lease attac~ed as Exhibit "b" but reserves the right to negotiate wit11 persons c,t her th an Seller {01 the cultivation of the Property at its d 1 s c r ct ion. Seller agrees to keep businesslike records of all expen ses incurred for planting, ten1ing and harvesting the c rops herein contemplated and to keep production records on the quantity ol crops produced and the value received for c rops sold. sald records shall be maintained in accordance wi th standard accounting practices and shall be made available to Purchaser tor inspect ion and/or audit. 7. Eflective Date. F'or purposes ot this Agreement, all time limits and condTuons shall run from the execution hereof. 8. Exercise and Closing. Purchaser shall exercise this option by~vTngSeller written notice of its intent to pu r chas e in the manner prescribed in paragraph l, hereat. Cl osi ng on the Property shall occur within thirty (jO) days after the date ol mailing of the notice u l Purchaser's exer- cise o1 the opt '~n herein granted at a date and time specified b y P~rchaser. Closing shall occur at the offices of Purchaser located at 2900 Sosth Platte River Drive, Englewood, Colorado. 9 . F'orm of Deed. 1he Seller warrants that the Pr operty shalloeconveyed free and clear ot any liens and e11cumbrances and agreea to provide the Purchaser with a g~neral warranty deed at Closing in the torm attached hereto a s Ex hibit "C." 10. successors and Assi~. All provisions hereof shall inure to the benefit of and be binding upon the succes- s~r s a nd assi gn s of the Sell~r and Pur chase r. 11 . Venue. ln the event it is ~ecessa ry to commence any l ega l proceeciTngs for the enforcement of this Agreement, o r hn y pr o vision hereat, the parties agree that the Di &trict Cou rt of Arapahoe County, Colorado, is the proper and ex c l 1.is ive venue for such action. 12. Notice. Whenever any notice, demand o r request 1s required or perinitced under this Agreement, suc h notice, demand o r request shall be in writing and shall be deemed t •.J have been properly given or served when delivered in person, o r upon the deposit thereof in the United States mail, postage prepaid, sent certified or registered mail with return receipt requested to the following: JI to Pu rchaser: 11 to Se ller : Mr .
