Assuming the maximum 26.261 reduction in the Thornton McLellan Reservoir Lease Riohts and the concomitant equal reduction in ·the Thornt o n Ranch Creek I Lease Rights, the r frs ulting reduction in th e current annual payme nt would be cal c ulated a s follows: 0.2626 x $347,046 = $91,134.28. (bl If the Thornton Ra nc h Cre e k Le ase Rights are reduced by more than 26. 26%, the amc,unt by which th e current annu a l p a yment shall bt• -2- I ( I reduced in addition to the $91,134.28 p ro- vided for above s hall be determined by mutua l agree:rnen t bet\.c en the pilrties. The p a rties re c ogr.i ze that the ann ual paym e nt provided fo r in the Englewood-Thornton Water Le ase represents a combinati o n of unspecified separa te va lu e s attributable to the Th o rnton McLellan Reservoir Lease Rights ancl t he Th o rnton Ranch Cr eek Lease Rights. The parties further re ::oc:;ni ze that to Ce te:rrni n e the amount of the additi ona l r educ ti on in the annual payment resulting f ~o m r eduction of the Th o rnton Ra n ch Cr eek Lease Rights in excess of 26.26% it wr,u !c.l be necessary to determine the relative valu us of the Thornton McLellan Reservoir Le ase Rights ant th e Thornton f':..nch Creek Lease Rights with respect to each other. If the parties are unable to agree to the am o unt of the addi- tional payment reduct ion within sixty d ays aft e r Eng lewood's notice exercising th e op tion, then that issue shall b e arbitrated as follows: Ill Tt-.e parties p r o rr.pt ly shall see~ to agree upon one water rccources expert qualif i ed to evaluate water rights and sto r a,ie space who sh al l b e: jojntly retained and instructed to he a r th e evidence and p ositions of the parties and to det e r mine the amount of the annual payment reducti o n. Th e determination of th e annual payment reduction shall be made after, and based upon, a determination by th e water resources expert of the relative values of the Thornton Ranch creek Lease Rights and the Thorn ton McLellan Reservoir Lease Rights. (2) If the parties are unable to reach agreement upon such water resources expert, then within sev~nty-five days after Englewood's notice exercising the option each party shall designate by notice in writing to the other party such a recog- nized qualified water resources expert.
