GRE EM ENT NOW, TH ERE FORE, in consideration of th e mu:.,ial promises, covenn nts an d other good and valuable consi d e ration, receipt of whic h i s h e reby acknowledged, the parties het·eby agree as foll o ws: 1. T he City donates, convey s and transfers to EURA the title, con ml, use and possession of portion s of the Lit.tle Dry Creek Ch.:,n n e l which it now owns or wh ich are in its posse ssion and co n rol a n d wh ich are id e ntified in Exhibit A, hereto for utilization, r ep lanning, modif ication , relocation, destruction and imp roveme nt of th e Little Dry Crnek Cha nnel and for any other purpose which EURA deems n ecessary to carry out th ~ provisions and intent of the Englewood Downtc,m Red evelopment Plan, and amendment s t h e reto. 2. EURA agrees to u se the above described property in accordance with and fc,r the public purposes outlined in th e Plan as presently existing or as may be amended in th e f ut ure. J. EURA agrees, that upon comp ,etion of the relocation and improvem e nt of the Little Dry Creek Chann el , to transfor to the City the reloca ted channel and improvements obtain e d or constructed by EUR A as well as a 10 foot wide easement on each side of the improvements to fl llow for repair a nd maintenance access . 4. Nothing in this A']reement oh3ll be deemed to prohibit the sa le of air rights for redevelopment over and above the previously referred to public improvements, -J- IN WITN ES5 WHEREOF, the parties h ereto h av e caused this Agreeme nt to be executed by th eir duly aL ~h orized respective office rs as of the date first written above.
