WITNESSETH : WHEREAS, the Arapahoe Library District, being a statutory library district organized and existing pursuant to Title 24, Art'~le 90, Colorado Revised statute ■, for the purpose of providing library service to the residents of the unincorporated areas of Arapahoe County and those municipalities within said county not operating their own public libraries, and WHEREAS, the City of Englewo·od operates a public library within its corporate boundaries and desires to cooperate with the District in providing library service to District residents according to the terms and conditions as set forth below, and in accordance with applicable statutes of the State of Colorado1 and WHEREAS, the parties have contracted previously for a cooperative approach to provision of said library services and desire to continue providing said services between the City and the District, NOW THEREFORE, for and in consideration of the mutual promises herein, it is agreed by and between the parties hereto as follows: I I 1. The District shall circulate to library cardholders ot the City of Englewood any item available for circulation from the District's library facilities, and the City shall circulate to library cardholders of the District any item available for circulation from the City's library facilities. Both the District and the City shall maintain circi•lation records for .,:sid transactions and shall submit such records to each other on a quarterly basis. Within 30 days after receipt of said reports, the number of transactions reported by each party 1hall be comparad, and payment for the net difference between transactions shall be made at the rate of fifty-fi•,03 cent1 ($.55) per transaction by the library with the lesser circulation figure to the library with the greater circulation figure, subject to the provisions of paragraph 7. 2. The term of this Agreement ·shall be from January 1, 1988 through December 31, 1988. During said term, all qualified cardholders for both the District and the City libraries may use reciprocal borrowing at both the City and the District facilities, and said cardholders shall be subject to all applicable rules and regulations associated with the u1e ot such facilities. 3. It is understood between the parties hereto that the District shall not receive any equity i11 book stock or in any ot the City's library facilities by virtue of the terms of this Agreement, and the City shall not receive any equity in the book stock or in any of the District's library facilitie1 by virtue ot this Agreement. 4. The District shall have access to City library records during normal business hours for the purpose of verifying all figures supplied to the District by the City and the City shall have access to District library records for the same purpose. 5, During the term of this Agreement, the City shall, at its optlon, provide once-a-week Bookmobile service at the Alice B, Terry School. Circulation . service provided at this atop to Arapahoe Library District students enrolled at the school will be reported to the District for reimbur ■ement to the City at the rate of 27,5 cents per loan. Circulation service provided at the Sheridan Library to Englewood students enrolled at Sheridan High Sc hoo.l will be reported to the City for reimbursement to the District at the rate of 27.5 cents per loan. 6. The four public libraries in Arapahoe County, Aurora Library, Edwin A, Bellis Library (Littleton), Englewood Library and Arapahoe Library District are participating in ·a pr_oject called APAL --Arapahoe Public Access to Libraries, In order to administer county-wide projects such as joint programming, collection development and training, each library will deposit a mutually agreed upon amount not to exceed $1,000 a reatr icted fund held and administered by the Arapahoe Library District, The Englewood Public Library contribution will be deducted from the Arapahoe Library District's first quarter reciprocal borrowing payment and placed in the restricted APAL fund. 7. Because of a change in the reciprocal borrowing program of the Central Colorado Library System, no paym~nt for reciprocal borrowing is being made by the cities of Littleton, Englewood and I Aurora for the reciprocal use of each other's libraries, It is reasonable to offer a certain amount of service without charge in the name of library cooperation, and the APAL directors have estimated this amount to be somewhere between 9 and 101, Therefore, in order to include the District in the benefits of this base level of senice being given without charge among the other APAL libraries, the District shall receive a credit against any payment due the City for the final quarter of this Agreement in the amount of 9, 51 of the payment otherwise paid or owed to the City during the entire term hereof, including the fourth quarter. Secretary, Board of Trustees ATTEST1 CITY OF ENGLEWOOD City Clerk By,~7(;(27/; Mayor STANDARD DISCLAIMER Notwithstanding anything contained in this Agreement, the other party hereto acknowledges and agrees that no covenant, agreement or obligation of Arapahoe Library Dis;trict ("ALD") under this Agreement shall be deemed to be , covenant, agreement or obligation of any present or future '.rustee, director, officer, employee or agent of ALD in his or her individual capacity and neither the members of the go~erning body of ALD nor any trustee, director or officer who has executed this Agreement or any amendment or addendum thereto, shall be liable personally thereon or be subject to any personal liability by reason thereof, / ' .
