WHEREAS, currently there is a 42" sanitary sewer interceptor system
that serves most users i.: one waste water drainage basin served by the
Bi-City Plant; and
WHEREAS, insufficient capacity exists in the interceptor at this til1WI
to serve the ultimate projected flCMS of this drainage basin; and
WHEREAS, c,,,nership is currently held by the City of Englewood, South
Arapahoe, South Arapahoe and Southgate as tenants in ccmron; and
WHEREAS, other parties contribute wastewater, but have ro recorded
o.nership interest res ulting in disputes arrong several of the . entities
regarding prq,er allocation of capacity of the interceptor; and
WHEREAS, the parties wish to resolve the capacity issues, enable
orderly enlargement of the system to meet increasing capacity needs and
provide effective maintenance repair and operation of the entire basin; and
WHEREAS, legal title to the interceptor rorth of Mansfield shall be
in the City of Englewood and legal title to the interceptor and all other
replacements located to the south of Mansfield or upstream shall be in
Southgate; and
WHEREAS, the Water and Sewer Board has recannended approval of this
Agreement;

Section 1, The Basin Interceptor Agreement between the City of
Engl~gate Sanitation District, South Arapahoe Sanitation
District, South Englewood Sanitation District No. 1, is hereby approved.
Said Basin Interceptor Agreement contains generally:
1. That the Agreeirent is made effective as of May 31, 19~0, by
and between the following parties: City of Englewood ,
Southgate Sanitation District, South Arapahoe Sanitation, and
the South Englewood Sanitation District No. l.

2. After setting forth basic recitals and in consideration of
the ,rutual convents and agree,rents contained in the Agreerent
the petties agree as follows:
A. Section 1 of the Agreement provides generally for
OW1,ership and capacity rights. The Agreement sets
forth who shall have legal title to the portions of
the ir,terceptor as well as expressed warranties as to
that ownership. The Agreerent contains provisioos
regarding conveyance of title as to the interceptor as
well as capacity rights which are set forth in Exhibit
B to the Agreerent. Capacity rights are expressed in
single family equivalent (SFE) which is definc.-d in the
Agreerrent. The nurriler of SFE' s served by the
Interceptor as of the effective date are set forth in
Exhibit C to the Agreerrent.
B. section 2 of the Agreerrent provides that the parties
shall participate in eight ( 8) reconstruction projects
which will enlarge and realign the interceptor to
acccmrodate the ultimate projected wastewater flow to
be contributed to the interceptor by each party. The
eight (8) projects are identified in Exhibit A to the
P.greerrent.
C. Section 3 of the Agreerrent provides for project
i.nplen-entation. Set forth are the designated project C
managers. Englewood sh.!.11 have control and act as
project manager for project No. 7 as shown in Exhibit
A to the Agrearent. Southgate shall have control and
act as project manager for projects No. 1 through No.
6 and project No. 8 as s.'xlwn en Exhibit A to the
Agreerrent. Tt:,-Agreerrent sets forth the project
managers author ~cy for design and design changes, for
the project schedule and changes, for ocordination of
design and sets forth a bar to assertion of claims
unless notification to the rranager is provided
pursuant to the Agreerrent. The Agreerrent sets forth
the project managers procedure for notice of change,
the project managers design control as well as site
access of the parties and the standard of care
required. It also sets forth the necessary public
rights-of-way and ownership.
D. Section 4 of the Agreerrent provides for project
funding and collection. The Agreerent provides for
lien charges for actual costs, funding by special
charges and also provides that such lien charges shall
be trust fwuls, the rr.anner of handling of such funds,
for accounting and reports, as well as the charge~
payable per SFE, the carponents of the lien charge
which are a base charge and the advance lien charge
and the definition of those ten,,s. section 4 of the

Agreen-ent also provides for direct advances all~
and the rrethod and manner of chargir,g a payment of
direct advance charges as well as reirnburserent rut of
the project fund, reimbursement for accelerated
projects and the limited obligatioo to budget and
appropriate annually . Section 4 of the Agreem!!l'lt also
sets forth the DartmJuth Project special provisions.
E. Section 5 of the Agreement provides for project
funding and disbursement. It provide s f or

cost overruns and for close rut.
F. Section 6 of the Agreement provides for project
sizing ' •dditional facilitie~. It provides for a
capac ity re,riew period, for preconstruction added

BASIN INTERCEPTOR AGREEMENT
THIS AGREEMENT .l s made effective as of August 1,
1990, by and between the following parties:
A. City of Englewood ("Englewood"), 3400 South Elati
S treet, Eng lewood , Colorado 80 11 0;
B. Southgate Sanitation District ("Southgate '), 3722 East
Orchard Road, Littleton, Colorado 80121 ;
C. South Arapahoe Sanitation District ("South Arapahoe"),
5995 Greenwood Plaza Boulevard, 1200, Englewood,
Colorado 80 111;
D. South Englewood Silnitation District No. 1 ('South
Englewood"), Post Office Box 64, Englewood, Colorado
80151;
hereinafter collectively called "the Parties'.
RECITALS
I . There currently exists a sanitary sewer interceptor
system ("the Interceptor") that serves a high percentage of users
in one of the wastewater drainage basins that is served by the
Bi-City Treatment Plant. The Interceptor consists of the V, w.
and Z lines, plus the segment from Manholes Z-59 to D-3 in
Orchard Road , which have collectively been referred to as "The
Big Dry Creek Interceptor•. Throughout most of its length, the
:erceptor consists of a 42-inch diameter pipe, though some
sections have been ex panded to 60 inches.
II. The own e rship of the Interceptor is currently held in
the names of Englewood (north of Mansfield Avenue), South
Arapahoe (between Mansfi~ld Avenue and Orchard Road), and South
Arapahoe and Southgate as tenants in common (betwe~n l!anhole WR-1
\._.I and WR-17A) • Other Parties contr·ibute wastewater flows to the

Interceptor but have no record ownership interest therein. The
rights-of-wa.y for the Interceptor consist variously of public
streets and highways, and deeded easements and rights-of-way held
b:_, South Ara9ahce and South Englewood. As used in this
Agreement, the term Interceptor shall include the pipeline and
all surface and subsui :ace appurtenances, and with all easements,
rights-of-way and other property interests appurtenant thereto.
III. Insufficient capacity exists in the Interceptor at this
time to serve the ultimate projected flows of the drainage basin.
IV. There are currently disputes among several of the
entities utilizing the Interceptor concerning the proper alloca-
tion of capacity in the Interceptor. The Parties hereto wish to
resolve all of such capacity issues, to provide for the orderly
and timely enlargement of the system to meet the increasing
capacity needs of the drainage basin, and to provide effective
maintenance, repair, and operation for the benefit of the entire
basin.
V. ~he Parties wish to identify construction projects that
will be needed in the future, and to provide for project
management and a source of funding for such proj ,,cts, as wel .'. as
for the ongoing operation, maintenance, replacement and repcir of
the Interceptor. The construction projects are described on
Exhibit A attached hereto .ind incorporated herein by reference.

VI. Pursuant to the Colorado Constitution, Article XIV,
Section 18 (2) (al and CRS Section 29-1-203, these parties may
cooperate or contract with each other to provide any function,
serv ic~, o r =ac:.li ty law!:ully au~:\n ::-.::..'!ed to each.
VII. The governing body of eacb Party hereto has studied the
provisions of this Agreeme nt, and h a s determined that it is fair
and equitable to its constituents ar,d in the best interests of
such Party, that it represents a reasonable and desirable com-
promise of any and all d isputes between and among the various
Parties with respect to allocation of the capacity of the Inter-
ceptor, and that the provisions hereof promote the public health
and safety within the corporate limits of each Party.
NOW, THEREFORE, in consideration of the mutual covenants and
agreements herein cont· ined, the Parties agree as follows:
1. ownership; Capacity Rights. Legal title to the segment
of the Interceptor located to the north, or downstream from the
entry of the Interceptor into Manhole V-7, including said manhole
itself, located at the intersection of the · Interceptor with
Mansfield Avenue, shall be placed in Englewood. Legal title to
the segment of the Interceptor located to the south, or upstream
from such point, shall be in Southgate.
1.1 ~-As to the respective segments of the
Interceptor titled in Englewood & Southgate, each
such party shall be referred to herein as •owner•,

hold tit le to its segment of the Interceptor
subject to the terms of this Agreement, for the
use and benefit of all Parties hereto as their
interests appear. Each owner expressly warrants
that the Interceptor's sewage transmission
capacity which is reserved herein to the other Parties
is not and will .. not be required by such Owner to
provide service to its own constituents. Further, each
owner absolutely and forever waives and r P.leases any
and all claims it may now have or hereafter acquire to
claim, use, or exercise any control over any
Interceptor capacity reserved hereunder to any other
Party except as is exp1·essly provided in this
Agreement.
1 .2 Conveyance of Title . Upon the recordation of this
Agreement in the records of the Clerk and Recorder
for Arapahoe County, Colorado, any and all
property interests of all the Parties in and to
the Inte rceptor shall be deemed to vest in the
owners automatically and without further action.

~evertheless, in order to facilitate the transfer
of record title, the Parties sha ll execute such
documents of transfer as may reasonably be deemed
necessar y o= p=o pe r by an Owner to convey to it
all of the respective right, title and interest of
such Partie s in and to the Interceptor and all
appurtenance·, thereto, including easements and
rights-of-way, in its ent irety, within 45 ,'lays
after written request is received from t:,e
"owners".
1.3 Capacity Rights. Subject to the full payment by a
Pc.rty of a ll sums herein provided to be paid by
it, such Party shall have the capacity rights set
forth for it in Exhibit B attached hereto and
incorporated herein by reference, in the Column
entitled "Total Units (SFE). • Such capacity
rights are expressed in Single-Family Equivalent
("SFE") taps, which are defi ned in 1.4 below. The
number of SFE's served by the Interceptor as of
the effective date of this Agreement within the
areas served by each Party hereto are set forth on
Exhibit C attached hereto and incorporated herein
by reference.

1.4 pFE Defined. For tne purposes of this Agreement,
the method of calculating the number of SFEs
represented by any sewer service connection shall
;:ie based upon t he method of cal culating the
treatment tap fee for the Littleton/Englewood
Bi -City Wastewater Treatment Plant, as defined in
the Englewood City Code, with the treatment tap
fee for a single family residence served by a 3/4'
water meter corresponding to one (l) SFE. The
number of SFEs attributable to other sewer service
connections shall be calculated by dividing the
amount of the treatment tap fee for such other
service, as determined by Englewood, by the amount
of the t :~eatment tap fP.e for a single family
residence served by a 3/4' water meter.
Modifications to the method of calculating SFEs
may be made l',:>on the concurrence of both Project
Managers if future studies determine a more
appropriate methodology.
2 . Participation. The Parties shall participate in eight
(8) recor.,1truction projects which will enlarge and realign the
Interceptor to accommodate the ultimace projected wastewater flow
to be contributed to the Interceptor by each Party. The eight
projects a~e identified in Exhibit A, attached heretQ und

incorporated her•,in by reference, and herein collectively
referred to as "the Pr jects".
J. Project Imp leme ntation.
3.1 Project Managers. Englewood shall have control of
and act as Project Manager for Project No. 7 as
shown on Exhibit A. Southgate shall have control
of and act as Project ManagP.r for Projects No. l
through 6, inclusive, and Project No. 8, as shown
on Exhibit A.
3.2 Project Manager Authority, Design Changes. The
Project Manager shall have full responsibility and
authority to conduct and manage the design and
construction of the Projects subject to its
control as efficiently and economically as
reasona~ly possible. Project Manager shall have
the authority and the obligation to investigate
and implement any changes to a Project which will
enable it to furnish the required capacity at a
cost less than the current estimated cost for the
Project as originally planneJ , without any
diminishment in the quality of the design,
material.a o r workmanship. In no event shall a

the capacity thereof below the requirements set
forth for it in Exhibit B, nor shall any Project
Ma:iac;e = c :i.ange a Project so as to increase t he
capacity there of above the capacity specified for
it in Exhibit B except as provided in 6.2 below.
Further, the Project Manager shall not cause or
pe rmit any change in a Project which would result
in costs greater than the then current estimate
for it, unless strict adhere nce to the original
plan would result in even greater cost increases.
3.3 Projects Schedule; Changes. Engineering and
financial planning for all Projects have already
begun. The design of each Project will be
i nitiated in sufficient time to enable
construction thereof to begin when the existin,,
facilities it will replace have reached 95 percent
of ~heir design capacity . Construction of each
Project will be initiated as determined by the
Project Manager, but not later than when the
existing facilities have reached 95 percent of
their design capacity, all based on act ual
measured flow s. Notwithstanding the foregoing,
however, a Project Manager may , subject to the

availability of funding as determined in Section 4
below, accelera te the design or construction, or
both, of any Proj ect whe n such action will produce
a substanti a l c ost sav i ngs or other advantage, or
avoid a substanti al loss or cost increase which
would result from adhering strictly to the
schedule sel; forth above, e .g ., facilities to be
replaced b) the Project require extensi ve, major
and costly repairs or replacement before reaching
the specified percentage of the ir design capacity,
or highway construction or other factors render
the original scheduling substantially more
expensive or otherwise more disadvantageous than
proceeding on an accelerated basis .
3.4 Coordination .
3.4.l Coordination of Design. The Project Manager shall
furnish written Notice to each Party when it is
ready to begin preliminary design of a Project,
and shall at that time schedule a meeting at which
all Parties may be present for the purpose ot
discussing the general concepts and plan for the
Proj e ct and to afford the Parties opportunity for
full discussions concerning the same. Similar

meetings shall be held upon the completion of
preliminary design and final design. The Project
Manager shall give written Notice of all such
me et~ngs to each ?arty, and shall give careful
consideration to the comments and suggestions of
all Parties relating to the plan, design and
construction of each Project. All Parties shall be
entitled to attend the preconstruction meeting,
and to meet and confer at any reasonable time with
the Project Manager about any Project subject to
its control, and the Project Manager will permit
all Parties to inspect all plans and design at any
stage of the design phase.
3.4. 2 Design Review; Bar. The Project Manager shall
provide to each Party a copy of the preliminary
design and of the final design promptly upon
completion. Each Party shall thereupon have
forty-five days within which to review and
comment. Except as to the ability of the Project
to furnish the required capacity, all Parties will
be conclusively barred from asserting any claims
against the Project Manager which are based upon
matters appearing in either design unless a Party
notified the Project Manager, in writing, of its

objection to or concern with such matter within
the said for t y-five day period. Nothing in this

l im i= or impair a ny owne r 's guarantee of capacity
to any party as set forth in Section l, it being
the intent of the Parties that such capacity
guarantees are strict and absolute, regardless of
whether any Party purticipates in design meetings,
or notifies any Project Manager of objections
under this Paragraph.
3.4 .3 Notice of Change. Project Manager shall give
timely written notice to all Parties of any
proposed material changes in the plan, design,
schedule, or construction of any Project subject
to its control. In the event of ..ny such change,
the provisions of 3.4.l. and 3.4.2. above shall
apply with respect to the revised plans and design
for the Project as changed.
3.4.4 Project Manager Design Control. It is expected
that any disputes or concerns about the design or
adequacy of the plans will be resolved to the
mutual satisfaction of the Parties during the
process describ d in 3.4.l and 3.4.2 above, but in

the event a dispute is not resolved by agreement,
the Project Manag e r's decision shall prevail:
provided, however that in no event shall a Project
Ma:-iager have the authority to plan, design o::
construct a Project in such a way that violates
any provis~on of this Agreement, including without
limitation the provisions of 3.2 above.
3.4.5 Site Access. Any Party may have reasonable access
to the site of any Project at any time to observe
the development .. or construction of the Project .
3.5 Standard of Care. Except as set forth in Section
1 with respect to capacity guarantees, the Project
Manager shall have no liability to any Party on
account of any act or decisi<>n involving the
exercise of its judgment or discretion unless the
act or decision was clearly erroneous in light of
the circumstances at the time it was made .
3.6 Public Rights-of-Way. Englewood shall permit
Project No. 8, the relocation near Dartmouth and
Santa Fe, to be constructed in the alignment along
Rob Roy and Platte River Drive. Englewood will
also permit all such other Projects as may require

the same to be placed in public streets and
highways subject to its jurisdiction and control,
subject only to reasonable controls and rules
relating generally to the use of public streets
and highways for subsurface utility facilities.
3.7 ownership. Each Project shall be owned and held
by Southgate or Englewood, depending upon its
location, pursuant and sub 'Ject to the provisions
of Section l above, both during and after
construction.
Project Funding -Collection.
4. l Line Charges; Actual Costs. The actual cost of
the Projects shall be funded by special charges,
herein called Linc Charges ("LCs"), which shall be
paid by each Party as provided below, and collect-
ed, held and maintained by Englewood, in trust,
until disbursed solely for th~ purposes set fo ~th
in this Section 4 and for no other purpose what-
ever. For the purposes of this Agreeme,nt, the
term "Actual Costs• shall mean all direct costs
attributable to any Project, including all costs
and expenses associated with the acquisition of

rights-of-way and other real property interests.
Actual costs include direct engineering, legal,
labor, materials, and equipment expenses, and all
Ci ~ect pa7ne n ts to thi rd parties, at cost; they
include reasonable indirect costs actually and
necessarily incurred in connection with a Project
and which are supported by reliable written
evidence .
4.2 Trust Funds. All such LCs, when collected by
Englewood, shalt be held in an interest-bearing
special fund and separate trust account called
"the Project Fund", wholly segregated from other
funds and securities of Englewood . Englewood
shall never commingle such with other funds or
assets of Englewood, and shall never at any time
use, loan, or borrow the same in any way. All
accrued interest shall remain in the Project Fund
and be credited to the Parties according to the
dates and amounts of their payments into the
Project Fund.
4.3 Accounting; Reports. Not less than once each
calendar quarter, so long as LCs are collected
pursuant to this Agreement, Englewood shall
forward by letter to the governing body of each

Party a detailed statement and accounting of the
income, investments, and withdrawals of money from
the Project Fund for the immediately preceding
calendar quarter , · inc l uding in the letter a
statement as of the end of the immediately preced-
ing calendar quarter regarding the manner in which
any funds withdrawn from the Project Fund have
baen expended . Any Party shall have the right at
any time to .axa..,ine all of Englewood's records
regarding the status of said Project Fund, and the
details of said income, investments, or
withdrawals.
4.4 Charges Payable per SFE. One LC shall be due and
payable to Englewood as Trustee for the Project
Fund for each SFE or fraction ther eof attributable
to all new taps to be served by the Interceptor
and connected after the effective date of this
Agreement, calculated according to the provisions
of 1.4 above, at the time application is made to
Englewood for the tap. Englewood wi ll not approve
or issue any authorization for any such tap until
the LC attributable to it has been pai.d in full.

4.5 Base Charge. The LC may consist of two
components, the "Base LC" and the "Advance LC ."
The Base LC shall equal the estimated or actual
c os t o: a:!. o: t!i.e ?:-c ~ects divided by t!i.e
estimated maximum number of new SFEs to be served
by the Interceptor and connected after the
effective date of this Agreement. The Base LC
shall be recalculated effective as of each
anniversary date of this Agreement by the
unanimous decision of Loth Project Managers, based
upon the revise.c;l estimates of the actual cost of
Projects or portions thereof not yet completed,
and upon revised estimates of the maximum number
of new SFEs to be served by the Interceptor and
connected after the recalculation date. The Base
LC shall be charged, paid and collected for every
new SFE served by the Interceptor and connected
after the effective date of this _ Agreement,
regardless of the fact that all Projects may have
been Gompleted. After all Projects have been
completed, the Base LC shall also include an
additional amount estimated by the Ownerb to
e nable reimbu:sement of all Advance LCs to be
effected within 20 years after the completion of
the last rroject. The initial Base LC, determined

as provided herein, is $100 per SFE.
4. 6 Advance Charge . The Advance LC shall equal an
amc u~t wh~ch is Ce emed necessary, in addition to
the Base LC, to generate sufficient amounts for
the Project Fund to be able to pay for the
Projects as they are scheduled for design and
construction pursuant to 3.3. The Advance LC
shall be reviewed at least annually, as of the
anniversary date of this Agreement, and shall be
modified by the .. unanimous decision of both Project
Managers at any time that (1) an increase is
reasonably necessary under the criteria stated in
the first sentence of this 4 .6 above, or (2) when
a decrease or elimination is indicated because the
amounts in the Project Fund, including accrued
interest, together with the Base LCs to be
collected before design and construction of future
Projects will become necessary, baned on the then
current scheduling and estimated construction
costs of Projects not yet completed, will be
sufficient to pay the costs thereof as they become
due and retain a reasonable amount, to be
determined by the unanimous decision of both
Project Managers, in reserve for contingencies.

The initial Advance LC, deterr,,ined as provided
herein, is $200 per SFE, making an initial
aggregate LC of $300 per SFE.
4.7 Direct Advances. If the responsible Project
Manager determines that the scheduled design or
construction, or both, of any Project subject to
its control. will occur before sufficient funds to
pay the costu thereof will otherwise accumulate in
the Project Fund, it shall furnish written Notice
of such determiµation, together with its estimate
of the amount of the cash shortfall expected, to
all P~rties. Such Notice shall also specify that
portion of the shortfall to be advanced by each
Party, which shall correspond to each Party's
percentage share of new SFEs to be served by the
Project involved and to be connected after the
date of the Notice, according to the provisions of
Exhibit Bas adjusted following the review period
provided in 6. l below. Not later than one year
after the issuance of any such Notice, each Party
shall advance the amount invoiced to it in the
Notice. The amounts of such advances r~id by the
Parties shall be credited to them as ~lvance LCs
for the pur._:,oses of calculating subsequent refunds
pursuant to 4.8 below. Any amounts invoiced
pursuant to this 4.7 which are not paid when due
shall draw interest at the rate of one and
one-half fe r ce nt (l :/2~) pe r month , compounded
monthly. In addition, until all such sums are
paid in full, Englewood shall not authorize any
new taps which would be served by the Intercep~or
i.n the service area of the defaulting Party. If a
defaulting Party has paid Advance LCs wl.ich would
otherwise be subject to refund pursuant to 4. 8
below, the amo\lnts of such refunds shall be
retained by the Project Fund as liguidated damages
and distributed to the nondefaulting Parties as
provided in 4.8 below.
4. 8 Reimbursement. After all Projects have b -..,.,
completed and finally accepted for maintenance by
the appropriate OWner, the Project Fund will be
used exclusively to refund to the Parties any and
all Advance LCs which they have previ ously paid,
in the proportion that they made such payments.
Refunds shall be calculated and paid not le ■s
frequently than semi-annually. After all Advance
LCs have been fully refunded, any availt. ,1e funds
in the Pro ject Fund shall be refunded tu the

Pa;:ties proportionately with their respective
p ayments of Base LCs.
4 .9 Accelerated ?reject s. I f the responsible Project
Manager desires to accelerut e the design or
construction, or both, of any Project pursuant to
3. 3 above, and the amount then in the Project
Fund, together with such additional amounts as may
reasonably be expected to be paid into the Project
Fund befor" such amounts are actually needed,
based upon curi:!lnt LC levels, are sufficient to
fund the accelerated Project without impairing the
ability of the Project Fund to pay for other
Projects as they are scheduled pursuant to 3.3, it
shall be deemed that funding for the accelerated
Project is available, and the Project Manager may
proceed therewith upon the same basis as if it
were a scheduled Project . If sufficient funding
is not available for the accelerated Project as
defined above, such Project shall nut proceed to
the extent of such insufficiency. _Nothing in this
paragraph shall prevent any Party, incl12ding the
Project Manager, from advancing sufficient funds
to the Project Fund to render available funding
sufficient to meet the criteria set forth herein,

the Party which paid it as Advance LCs for the
purpose s of calculating subsequent refunds
4 .10 Limited Obligation. Each Party agrees that it
will budget and appropriate annually such sums as
may be reasonably be deemed necessary to fund its
payment obligations under this Agreement in the
succeeding fiscal year, and that it will take any
and all such ~ddi tional measures, including
without limitation the imposition of rates, fees,
tolls, and charges, and the maintenance of
sufficient cash reserves, to insure that
sufficient funds will be available to enable it to
meet its payment obligations hereunder in full
conformity with applicable laws. Notwithstanding
the forego .Ing, it is expressly agreed that no
funding obligation of any Party under this
Agreement is a general obligation or other
indebtedness of such Party within the meaning of
any constitutional or statutory debt limitation.
Any amounts due or in default under this
Agreement, accrued interest thereon, or damages
resulting from failure to make such payments,

shall be payable only from the Party's
entitlement, if any, to refunds of Advance LCs as
and when the same would become refundable under

4.11 Dartmouth Project Special Provisions.
Notwithstanding .anything herein to the contrary,
it is understood and agreed that Project No. 8
she,.,. on Exhibit A, the relocation of the
Interceptor to accommodate the Dartmouth/Santa Fe
highway interchange project, will be funded in
part by payments from the Colorado Department of
Highways, with the balance fended by direct
advance payments made in equal shares by Southgate
and Englewood . The full amount of each such
Party's direct advance payment shall be due and
payable to the Project l!'und not later than the
date on which bids for the Project must be
rece ived by t he Project Manager. To the extent
that the co3ts thereof are paid by the Colorado
Department of Highways, they shall not be included

in the amounts recoverable by means of the LCs.
The amounts ·advanced by Southgate and Englewood
for this Project shall be reimbursed to them as

5. Project Funding -Disbursement .
5,1 Design. When a Project is ready for commencement
of design unde~ 3. 3, the responsible Project
Manager shall obtain a written contract for the
preparation thereof, from the beginning of such
work through and including pre paration of bid and
contract documents, and upon presentation of a
copy of such contract, Englewood, as Trustee of
the Project Fund, shall transfer sufficient
amounts to pay for the contract from the Project
Fund to the Project Manager, who shall thereupon
depos it the same into a special and separate named
Proje ct Account, to be held in trust by the
Project Manager, wholly segregated from other
funds and securities of the Project Manager. The
sam e restrictions and obligations placed upon
Englewood, as Trustee of the Project Fund, in 4.2

and 4.3 above shall apply wi t h equal force to the
responsible Project Manager's handling and
administration of all such funds received from
5. 2 Construction. When a Project is ready for
conunencement of construction, the Project Manager
shall obtain a written contract for engineering
services during construction and a written
engineer's estimate of the costs of construction.
If interests in. real property must be acquired,
the Proj,'!ct Manager shall a lso submit reliable
estimates of all of such ccsts as well. Upon
presentation of copies of such documents,
Englewood, as Trustee o_f the Project Fund, shall
transfer to the applicable Project Account
sufficient funds to pay the engineering services
contrac t, the estimated cost of construction plus
an additional ten percent (10%) thereof, and the
estimated cost of property acquisition, if any.
When such transfer has been completed, the Project
Manager shall proceed to construct the Project as
expeditiously as is consistent with good
engineering and construction practice, If the bid
of the lowest responsible bidder is higher than

the engineer's estimate, and the Project Fund has
suffici ent available funds to pay the additional
construction costs, the additional f-unds shall be
t:ans!'e :,:,ed promptly to the applicabl e Project
Account, and the Pro ject shall proceed. If the
Project Fund does not have sufficient funds to pay
thP. additional construction costs, the Project
Manager shall attempt to negotiate sufficient cost
reductions with the proposed contractor to enable
the Project to go forward within the limitat i ons
imposed by the ll!IIOunts in the Project Fund. If
these efforts are unsuccessful, the Project
Manager shall call a meeting at which all Parties
may attend and be heard to discuss available
alternatives and opportunities, including without
limitation th<1 possibility of direct advances to
the Project Fund by one or more of the Parties.
If these efforts prove unsuccessful, the Project
Manager may reject all bids and defer
c onstruction; provided, however, that any Party,
including the Project Manager, may advance
sufficient funds to the Project Account to pay the
additional costs, in which event the Project
Manager shall proceed with the Project. Any
amounts so advanced shall be credited to the Party

making the same as Advance LCs for the purposes of
calculating subsequent refunds pursuant to 4. 8
above.
5.3 Construction Cost Overruns. If approved
construction costs exceed the amounts in the
Project Account, the same procedures set forth in
5. 2 above shall be observed to the extent
feasible.
5. 4 Closeout. Any . funds remaining in a Project
Account after the Project has been finally
accepted for maintenance by the appropriate owner
shall be returned forthwith to the Project Fund .
6. Project Sizing/Additional Facilities.

the effective date of this Agreement in which to
review and amend their estimates of future
capacity needs in the various Projects as shown on
Exhibit B. Any increases in capacity requirements
proposed for any Party shall be supported by firm,

reliable evidence of need, based upon generally
accepted planning criteria. Af ter the expiration
of said one year peri od, subject to the provisions

to the Intercept or to those amounts shown for them
on Exhibit B.
6.2 Pre-Construction Added Capacity. After the
expiration of the one year review period provided
in 6.1 above but before a Project is advertised
for bid, if any Party desires to obtain additional
ca?acity in such Project, it shall be required to
pay directly to the applicable Project Account an
amount equal to the incremental cost of enlarging
the Project, including the actual costs of
determining such incremental amount and the costs
incurred as a result of delaying construction, as
determined by the Project Manager. Such payment
shall not be r: ,nsidered as an Advance LC for any
purpose what ··•·,,r, it being the express agreement
of the Parties that the Party requesting the
enlargement shall be solely responsible for paying
directly the incremental costs thereof. If such
payment is not received in full in the applicable

Project Ac c ount not later than one week before the
Project is to be advertiued for bids, the Project
Manager may in it~ sole •iiscretion construct the
Pr ojec-:. at the original size or c on struct the
Project at the enlarged size and declare a default
in such requesting Party's payment obligations
under this Agreement, in which event the
provisions of 4.7 shall apply .
6 .3 Dartmouth Project; Future Additional Construction.
Project No. 8, which is scheduled for completion
within the first year after the effective date of
this Agreement, shall to the extent reasonably
feasible and without incurring substantial
addi tio.1al expens..,, be designed to allow a
parallel line to be built from the int~rsection of
Rob Roy Road and South Sante Fe Drive within the
rights-of-way of Rob Roy Road, Platte River Drive
and Lip?n Street to the Bi-City Plant, so as to
accommo ii ate the needs of any Party who later
determin.:,:; that it needs additional capacity in
this portion of the Interceptor. Construction of
such parallel facilities shall be undertaken by
such Party at its sole expense and subject to all
of the conditions set forth for future

construction in 6.4 below .
6.4 Post-Construction Added Capacity. If any Party

acqu i re additional transmi ssion capacity i n 'that
portion of the Interceptor reconstructed by such
Project, or in any other portion of the
Interceptor not covered by a scheduled future
Project, such Party shall have the right to
utilize so much of the Interceptor, i ncluding the
right-of-way and other appurtenances, as may be
neces sary to provi de such additional capacity,
subject to the following conditi ons:
(l) Such Party shall pay all of the actual costs
thereo f .
(2) The design and construction of the additional
facilities will conform to applicabl~ stan-
dards of the appropri ate owner.
(3) The additional facilities will be conveyed to
the appropri,,te owner and e deemed a part of
t he Interceptor for all purposes a fter a
warranty period determined by such OWner,

during which time the Party will be solely
responsible for correcting any problems or
defects in the facilities. Upon satisfactory

(4) The additional facilities will not interfere
with or impair the proper functioning of the
Interceptor as constructed before such
liddi tional .. facilities are installed .
Capacity Disputes. All claims and disputes between or
among the Parties to this Agreement concerning capacity entitle-
ments in the Interceptor which have heretofore existed, whether
asserted or unasserted, whether known or unknown, shall conclu-
sively be deemed comp r Jmised, settled, waived, released, and
finally resolved by the provisions of this Agreement.
8. Operation; Maintenar.ce; Repair; Replacement.
8 .1 _!lesponsibility of owner. Each owner shall be
responsible for operating, maintaining, repairing
and replacing when necessary that segment of the
Interceptor owned by it.

8.2 Maii.tenance Charges. The actual costs o f
operation, maintenance, repair and replacement of
the Interceptor ,hall be charged to and collected
di re ctl y f =om all cus tomers served by the
Interceptor, by Englewood . Such charges E,hall be
based upon the mid-winter calculation of
wastewater flow and determined in the manner
described on Exhibit D attached hereto and
incorporated herein by reference. Upon collection
of such charges, Englewood shall disburse the same
to each Owner i,n the proportion uf the amounts
certified by the owner pursuan·t 1:o 8. 3 below .
Upon receipt thereof, each OWner shall deposit the
same into an interes t-bearing Sf,ecial and separate
trust account called the "Interceptor Maintenance
Account', wholly segregated from other funds and
securities of the OWner. The same restrictions
and obligations placed upon Englewoo6 , as OWner ~f
the Project Fund, in 4 .2 and 4 .3 abov,,, except
those provisions requiring an account i ng of
interest to the Parties who paid into such Fund,
shall apply with equal force to each owner
concerr.l ng all such funds received from Englewood .
8.3 Budget. To establish the amounts t ~ be collected

in 4. l above, except that each Owner shall also
provide for the accumulation and main:enance of a

major repai,: or repj_acement costs with refet ·ence
to specific, identified portions of the
Inte•·ceptor which may require the same withi .1 the

Owner's reserve for contingencies shall l ,e

respective costs during such year. The

gallons to cover the comb i ned maintenance costs of
both owners.
8.4 Party Obligation. Ea ch Party will pay any and all
charges impose d pursuant to this Se ction wh i ch are
not pa i d by its customers within t e n months of the
date of invoice .. to the customer. Upon expiration
of the said ten-month period, such Party will pay
the delinquent charges to Englewood within
forty-five days after the date of Englewood's
invoice therefor.
9. Claims; Penalties. Any losses, claims, expenses or
damages of any kind, or any penalties asserted against any Party
arising out of the design, construction, operation, maintenance ,
repair, r ~-~~.ament of the Interceptor shall be considered a
mai~• ~ce cost and shall be r e covered from a ll customers u sing
the Interceptor by means of the maintenance charge set forth in
Section 8 above, but no liability or obligation resulting from
any denial of capaci ty reserved hereunder to a Party not in
breach of its obligation s under this Agreement shall be treated

as an expense of ma i ntenance or operation. Nothing in this
section shal l be construed to prevent the owner of the Bi-City
Treatment Plant or any other Party to th i s Agreeme nt f rom

Agreement, for such person's violation o f any pplir.able
standards, rules or regulations of any government nl a t h rity
having jurisdiction .
10 . Compliance with Standards. Each Par·t y agrees that it
and its customers will comply with all stan6ards and requirements
of the federal and state governments applicable to the discharge
permit for the Bi-City Plant, and the pretreatment portions of
the City of Englewood Wastewater Utility Ordinance, as now or
hereafter constituted. Further, each Party l\h ~-il be responsible
for maintaining, repairing and replacing l ts own col lection and
outfall lines upstream from the Interceptor at its sole cost and
expense . Each shall insure that industry standar :s are enforced
to minimize storm runoff or groundwater that , u•:· enter the
Interceptor through its s ys tem. After notice and a reasonable
opportunity afforded to the Party to cure, any Owner may repair
or otherwise remedy any facility of a Party in order to minimize
or prevent the entry of storm runoff or groundwater into such
facility, and charge such Party for all actua l costs, direct and
indirect, incurred in connection with such action. Nothing i n
this Section shall obliga te any Owner to e f fect such repairs or

curative work.
11. Arbitration. Any dis~,.ites or controversies arising
unc:e:: t :1is .;..,;=e e:r,ent st:a::.! be :r eso l ·r ed promptly by binc!ing
arbitration between the Parties, and judgment or other judicial
relief, including mandatory or other injunctive relief, may be
entered upon the decision of the arbitrat rs in any court having
jurisdiction. Such arbitra~ion shall be rP.solved by one or more
but not to exceed three a rbitrators selected for their familiar-
ity with the issues invo .v-;,'! •, the dispute. If a Project
Manager or an owner is involve~ in such dispute, unless the
Parties agree otherwise the dispute shall be resolved by a panel
of three arbitrators one of which shall be selected by t he
Project Manager or OWner, a second arbitrator selected by the
other Parties to the dispute collectively, and the thl.rd
arbitrator selected by the two arbitrators previously chosP.n.
12. Enforcement.
12. l Specific Performance of Capacity Guarantees_. The
capacity reserved to the Parties hereunder is an
essential purpose of this Agreeroent. Any legal
remedies for a breach of this Agreement by one
Party which results or will result in any
non-breaching Party's inability to have or utilize

the Interceptor capacity reserv£,1 to it hereunder
shall be conclusively deemed to be inadequate and,
in addition to any and all other remedies, the

provided to it in this Agreement.
12 ,2 cure of Project Manager Defaults. If it is
determined by arbitration under Section 11 above
or by binding judicial proceedings that any
Project Manager, has not proceeded in accordance
with the terms of this Agreement with respect to
any particular Project, any Party to this
Agreement may, after notice to the Project Manager
and a reasonable op o rtunity afforded the same to
cure such default, assume the duties of Project
Manager as t o that Project and proceed in
accordance with the provisions of this Agre ement
in all respects as if such Party were orig inally
designated as the Project Manager for s uch
Project .
12.3 New Taps. From and after the effective date of
this Agreement, no Party shall cause, authorize,
permit or facilitate any tap to be connected to

any system or portion thereof which is or will be
served by the Interceptor (l) the LC fo~ which has
not been paid; or (2) which will cause the
cap~c~~y ent~tle~e~t of any Party te:e~~de~ to be
exceeded. Englewood will deny its authorization
for any such tap, and will further deny
authorization for any new thp to serve property
outside the legal boundaries of a Party to this
Agreement or outside those of any other entity
whose system is served by the Interceptor through
connections mad" thereto by a Party to this
Agreement. Any tap made or continued in violation
of this 12 .3 may be physically disconnected and
terminated by any Party ·hereto following notice
and demand to Englewood and failure by Englewood
to disconnect the tap within a reasonable time
the reafter, not to exceed six ( 6) months. The
costs of ar.y such proceedings shall be treated as
a maintenance expense and administered under
Section 8 above.
13. Scope of Agreement. It is expressly agreed that the
provisions of this Agreement shall not apply w~thin any areas
located within the legal boundaries of any Par ty to this
Agreement which are not or will not be actually served by the
Interceptor.

14. Additional Parties. The Interceptor serves certain
areas not within the legal boundaries of Englewood and South
Englewood but which connect to the Interceptor through the
~~cil~ties o~ these ~~o ?a=~~ds . :~e capacity entitle~ents of
Englewood and South Englewood as presently shown on Exhibit B
include capacity to s erve these areas . All Parties to this
Agreement will cooperate with each other to add as Parties to
this Agreement those municipalities and quasi-municipalities
having within their legal boundaries the areas so served by t.h e
Interceptor, only as to those areas of such entities which are or
will be actually served by the .. Interceptor . Until such entities
become Parties to this Agreement, all existing Parties will
exercise any and all r i ghts and powers legally available to them
to cause the provisions of this Agreement to be applied and
enforced within those areas of such other entities actually
aerved by the Interceptor to the same extent as if such entities
we re Parties t~ this Agreement.
15. Unanticipated Flows . If any entity diverts sewage
flows from a basin or system not presently served or planned to
be served by the Interceptor to a basin or system which is or
will be served by the Interceptor, the provisions of this
Agreement shall apply to all service connections generating such
diverted flows, and the Party contributing such diverted flows to
the Interceptor shall be f ully liable for all LCs, maintenance

charges and other obligations imposed by this Agreement relative
to such services .
16.1 Partial Invalidi ty. If any portion of this
Agreement is determined by a court having
jurisdiction to be invalid or unenforceable, such
judgment shall not affect, impair or invalidate
the remaining portions of this Agreement, the
intention being_ that the various sections and
provisions hereof are severable.
16.2 Amendment. This Agreement may be amended at any
time only by the written agreement of all Parties.
16.3 Applicable Law. This Agreement shall be governed
and construed in accordance with the laws of the
state of Colorado.
16.4 Waiver. No consent or waiver, express or implied,
by any Party to or of any breach or default by the
other Par . 'i ~.ereunder shall be deemed or construed
to be a co .. .,ent or waiver by the other Party or a
waiver of any breach or default by the other Party

of the same or any other obligation h•~:·mder.
16.5 Authority. Each Party warrants an~ r epresents
t :~at i t h.as the f i.:.!.l ::-:.gtt, authorit.7 and power to
enter into this Agreement and has de legated to its
signatories the authority to sign on :ts behalf
and to bind such Party to the terms and provisions
of thia Agreement.
16.6 Negotiation. This Agreement has been submitted to
the scrutiny of, and has been negotiated by all
Parties hereto and their counsel, and it shall be
given a fair and reasonable interpretation in
accordance with its terms, without consideration
or weight being given to it having been drafted by
any Party hereto or its couns·•l.
16.7 Supplemental Actions. The Parties shall take such
actions and execute and deliver such additional
documents as may reasonably be necessary to
effectuate the various provi sions of this
Agreement.
16.8 Effective Date. This Agreement shall become
effective as of the day and year first above
written.

16.9 Binding Effect. This Agreement is binding
upon the Parties, their agents, successors and
assigns.
17. Termination. This Agreement will continue in effect
until terminated by mutual agreement of all Parties. Subject to
the provisions of Sections 11 and 12 above, this Agreement shall
be enforceable by actions seeking specific performance, or
damages, or both, based on the findings and orders of
arbitrators, or of any Court having jurisdiction. It is
specifically understood that by executing t h i s Agreement, each
Party commits itself to perform pursuant to the terms hereof, and
any breach shall not thereby cause the termination of any
obligations created by this Agreement.

The Water ar.d Sewer Board recomm ended approval at their Ha;v 8, 1990 meeting.
BACKGROUND
The Ba uin lnterceptor Agreement would be between the City of Englewood, Southgate
Sanit~tion District, South Arapahoe Sanitation Distric1, South Englewood Sanitation
Dis tr ;: c No. 1 .
Currently , there is a 42" sanitary sewer interceptor system that serves moat users
in one wastewater drainage basin served by the Bi-City Plant .
Insufficient capacity exists in the intercep '"'>r at this time to serve the ultimate
p . ojected flow.-of the drainage basin . Ownership is currently held by the City of
Englewood, St uth Arapahoe, and r Juth Arapahoe and Southgate as tenants in common.
Other parties contribute wa1tewater, but have no tecorded ownership interest. This
has resulted in disputes among several of the entities regarding proper allocation
of capacity in the Interceptor.
The parties noted above wish to resolve the capacity issues, enable orderly
enlargement of the system to meet increasing capacity needs and provide effective
maintenance, repair and operation of the entire basin . The Agreement will address
participation in eight reconstruction project ■ to enlarge and realign the
Interceptor to accommodate projected wastewater flows .
Leg•'· title to the Interceptor north of Mansfield shall be in the City of Englewood.
Legu title to the Interceptor and all replacements located to the south of
Hanafiold, or up s tream shall be in Southgate .
The coat of the projects will be funded by Line Development Charges, collected for
each new residential equivalent tap to be ■erved by the Interceptor. The fund ■ will
be collected and held by Englewood . The fund• will be held in an intere ■t·bearing
spacial fund and a separate truat account called •The Project Fund .• Each calendar
quarter F.nglewood shall send a ■tatement detailing income, investments and
withdrawals of money from tho Project Fund , to the governing body of each psrcy.
The initial de.,elopment charge will be $300 , and paid at the same time other tap
fees are paid
Operation, ri aintenance, r epair and replacement coats shall be charged to and
collected from all customers within the service areas of the parties . The charge•
will be baaed on mid-winter calculation of wa stewater flow .
