GENERALLY PROVIDES AS m.LO,'S : Section l. The Contract is made between the State of Coloraoo Highway Depart!ren'.: and the City of Eh;ilewood and authorizes the appropriation c,f funds needed to CXJTplete the :inprovements reccmnended by DRCCX;' s study for traffic signalization :inprovements at various intersections between Belleview Avenue and Littleton Boolevard along South Broa~y known as Project »:; 1000 ( 66) • The Federal funds have becane available for thi3 project and the State desires Englewood to perf orm the \oOrlt . 1'le State will p:'-:,vide all funds except for the Local 1 •J indirect costs incurred •,,hich are not to e>eceed $850. The State ..ntends to enter into a similar contract with the City of 1.;,ttleton necessa..-y to cmplete t hese :inprovements. The City of Englewood will r.xxirdinate and intereonn ... -.e the traffic signal equiprent with the City of Littleton 's Traffic Control System at the City's expense and at no additi01,al cost to the State. A. The work under the Contract shall provide for the purchase of traffic signal equiprent to be install ed at various intersections located along Belleview and nroaa.,ay within the City of Ehglewood City limits . B. The St.ate shall pr ovide liaison with the City through the State's District Ehgineer , District VI, said District En gineer will also be responsible for coordinating the State's acti vities under the Contract. C. The City sha ll contribute funds in an arrount not to exceed $850.00 for the indi rect costs incurred in the performanc e of the work . The City s hall make payabl e to the State a l imp sum arroun t, for the indirect costs , within 30 days after acceptance o f the wo r k by the State . D. The St ate agrees to reimburse the City for costs incurred by the City for inst a lla t ion of a traff i c signal ccmrunication circuit , in the Ci ty o f En gl ewcod 's o ffice s . Reirnburserrent shall be with Federal funds . E. SUbject to the r eceipt by the State of Fl\US funds for this pr o j ect , the St ate shall purchase traffic signal equii::,rent, as approved by the Local .~gency, and provide preliminary engineering for the proposed construction inproveirents. Cro,, W HG 1000(66) SIGNALS -VARIOUS LOCATIONS CITY OF ENGLEWOOD THIS CONTRACT, made this --·-day of ______ _ 19 __ , by and between the state or Colorado for the use and benefit of THE STATE DEPARTMENT OF HIGHWAYS, OIVISICN OF HIGHWAYS, hereinafter referred to as the State, and the CITY OF ENGLEWOOD, hereinafter referred to as Local Agency or contractor, WHEREAS, authority exlsts in the Law and Funds have bee n budgeted, appropriated and otherwise made available and a sufficient unencllJlll:~red balance thereof remains available for payment in Fund Number 2001 , G/L Account Number 52046, Contract Encumbrance Number 90145; and WHEREAS, the Denver Regi onal Council or Governments has previously performed a detailed signal optimization analys i s to several intersections located along Belleview Avenue, Broadway and Littleton Boulevard, withi~ the cities of Englewood and Littleton, which analysis recommended improvements to said inter.sections; and WHEREAS, the State recognizes the need fQ= a project identified as MG 1000(66) to provide for purchase of traffic signal equipment at various intersections located on Belleview ·Avenue and Broadway in the city of Englewood, Colorado, hereinafter referred to as "t he work"; and WHEREAS, toe subject equipment and intersections as described in Exhibit A, which is attached hereto and made a part hereof; and WHEREAS, the Federal funds have become available for the said work; and WHS REAS , tt,e State desires the Loc a l Agen c y to pt•rforna the work; and WHEREAS, t he State a nd the Local Ag e ncy consider it to be in their mutual interest to coope rate in funding and pe rfo r min g t he said work i and WHEREA 0 S, the Local Agency agrees to contr i bute funds in an amount not to exceed $850 for the indirect costs incurred in the performance of the work; and WHEREAS, the State rep res ents that it intends to enter inco a concurrent contract with the City of Littleton to accept their respective contribution to this project; and WHEREAS, the Local Agency will coordinate and i nterconnect the traffic signa l equipment with city of Littleton's traffic c on trol system at Local Agency expense and at no additional cost to the State; and WHEREAS, the installat ion of a communication circuit i11 the Local Age ncy 's offices is neede d in order to interco~nect with the Ci ty o f Litt l et on 's t ra ff i c control system; and WHEREAS , the Loc al Agency desires the St a te to re imb u r se the Loc al Agency f or costs associated wi ~h t he communication circuit inst allati on; and WHEREAS, the State and the Local Agency desire to agree upon certain responsibilities with regard to the work1 and WHEREAS, the con~ract is executed by the State pursuant to the provision of Section 29-1-203 and 43-2-144, C.R .S., as amended; and WHEREAS, the Lo cal Agency has executed this contract under the authority of Section 30-28-105, C.R.S. and an appropriate ordinance attached hereto and made a part hereof . NOW, THEREFORE, it is hereby agreed that : PROJECT PROVISIONS A. The work under this contra:t shall provide for the purchase of traffic signa l equipment to be installed at various intersections loca t~d along Belleview Avenue and Bro~dway, within the c i ty of Englewood, Colorado, as de ·Jcribed in Exhibit A, atached hereto and made a part hE ,reof. B. Th,! State will provide liaison with the City through the State's Dist"rict Engineer, District VI, located at 2000 South Holly Strep•, Denver, CO 80 222 . Said District Engineer will a l so be r esponsible f o r coordinating the State 's activities under th "s co ntrac t . C. The Loc al Agency agrees to c ont ribute funds in an am oun t not to e::ceed $850 fo r t he in cl i rect costs incurred in the performance of th e wor k. The Local Agen c y shall make payable t o t he State a lump sum amount, !o r t he indire ct c os s, wit hin 30 d a ys a f ter a cc eptance of t he work by the State . 3 o. The State agrees to reimburse the Local Agency for costs incurred by the Local Agency for installation of a traffic signal communication circuit, in the Local Agency's offices. Reimbursement shall be with Federal funds. E. Subject to the receipt by the State of FAUS funds for this project, the State shall purchase traffic signal equipment, as approved by the Loca l Agen c y, an d provide pre,l imi nary engineering f or the proposed construction improvements . F . The parties hereto agree that this contract is contingent upon all funds designated for the project herein being made available from Local Agency, State and FAUS sources . Should any of the parties fail to provide necessary funds as agreed upon here i n, the c~ntract may be terminated by either party . Any party terminating its interest and obligations herein shall no ,: be relieved of any fi nancial obligations which e~isted prior to the effective date of such termination or which may occur as a res~'t of suc h termination. G. This contract shall inure to the benefit of and be binding upon the parties, their successo rs and assigns . H. The "Special Provisions" attached hereto are hereby made a part hereof.
