WHEREAS, the City of Englewood, on behalf of the Eng l ewood Departirent
of Safety Services, Police Divisio n, has sul:rni.tted an applica tion to the
Colorado Departr;ent of Highways, Di vision of HiglT.-ay Safet y, for federal
funding to conduct a traffic . safety project; and
WHEREAS, the matching f unds for this project r e included within the
Departr;ent of Safety Services budget; and
h"HEREI\S, the State of Colorado require; the Ci ty to fonnally approve
the contract between the City and the Divisim of Higt..-ay Safety by
signature of the Mayor;

Section 1. nie contract between the City of Englewood and the State
of Colora&i Departr;ent of Hi¢lways, Division of Highway Safosty, is hereby
approved. nie contract generally contains the following:
1. City shall carry out the program, condllct all the acti v:ties and
provide services to inpl ...ent a Cmm.mity Oltreach Progr&n
involving ?)blic information and erucaticn programs targeting
unsafe driver and pedestrian behavior. Said program will ~e
the hiring of ooe part-tine (16 hours per week) traffic ecb.lcation
specialist to devel~ and l.nplement the Cmm.mity Oltreach
Program. said Oltreach Program will require the purchase of a
robotic car for use in the Comllnity Oltreach Program. Said
Program will require a mini.nun of t\o'O programs per week to
o:r.mmity gro:ps, civic groups, and schools targeting unsafe
driving and pedestrian behavior . Said program will require
quarterly reports and a final report and to file claim for
incurred costs .
2. Ci'ty shall CCf1l'lY with all a;,plicable aaninistrative procedures
and contract requirements contained in the Colorado Highway
Safety eo.,tract Management Manual.
3. The Contractor shall ca,ply with the budget for the Contract .
The Contractor shall be solely reSf)Onsible for all costs incurred
in excess of t.'1e budge ted anount .

The State• s share shall be c:atpri sed entirely of Federal Funds
made av ailable to the s ; ate. The State share amount uf this
Contact shall not be exceeded without the benefit of a written
supplesrental contract executed prior to the performance of
a dditional activities or the occurring of additional costs.
Term o f contact is £ran the date Contract is approved by
signature of State Contro ller and shall tenninate on Septerrber
30 , 19 91; a'ld ca,pensation for work perforned or costs incurred
shall fall cnly within this term .
City agrees that any subcontract entered into under this <;:ontract
shall ireet all applicable state and federal requirerrents and m.ist
be appr:o-.,ed by the Director , Division of Highway Safety, prior to
,xecution, and City shall not assign this Contract with•..ut prior
written approval of the State.
The Contractor is to be paid, rei.n'bursed or ,:,therwise ocnpensated
solely with Federal Funds provided to the State for the ?lr{XlSE!
of contracting for the services provi.ded in the Contract and thus -
are contingent i;,or1 receipt of such funds by the State. In the
event such funds or any part thereof are not received by the
State the State may imrediately tenninate or arend the Contract.
If, for any cause, the Contractor shall fail to fulfill in a
timely and proper manner its dlligations under the Contract or if
the Contractor vio tes any of the covenants, agreerrents or
stipulations of the Contract, the State shall thereupon have the
right to terminate the Contract for cause by giving written
notice. 'lb! Contrac.tor shall not be relieved of liability to the
State for any damages sustained by the State by virtue of breach
of the Contract by the Contr!lctor and the State may withhold
payments to th Contractor for the purpose of set-off until such
t iJne as the exact arount of damages due the State £ran the
Contractor is detennined.
The State may terminate this Contract at any tin-e the State
determines the purposes o f the distributions of =nies under the
Contract -.o.ild no longer be served by c:arpletion of the project.
The State shall effect such termination by the gi ving of written
notice of tennination.
Section 2. The Mayor and City Clerk are autho r ized to sign said
Cont ract for a'ld on behalf of the Cit y Council of the City o f Engles.o:xl .

THlS CONTRACT, Made this day of,------,-,--~ 199,
by and between the St a te o f Colorado for the u se and benefi t of
the Dep a rtment of Highways, Division of Highway Safety
hereinafter referred to as the State, and the Englewood
Department of Pub l ic Safety, Police Division, 3615 S . Elati
Street Englewood, CO 80110 hereinafter referred to as the
contractor,
WHEREAS, authority exists i.1 the Law and Funds have been
budgeted, appropriated and otherwise made availabl e and a
sufficient unencumbered balance thereof remains available for
payment in Fund Number 2001, G/L Account Number 55616, Contract
Kncumbrance Number 99719; and
WHEREAS, required approval, clearance and coordination has
been accomplished from and with appropriate agencies; and ·
WHEREAS, the State is authorized under Sections 43-5-401 and
24-42-103, C .R .S., as amended, to coordinate with the federal
government and e ther entities to develop and implement plans and
programs i nvolving all aspects and components of traffic saf~ty
in Colorado; and
WHEREAS, the State has received approval and funding for
implementation of its Fiscal Year 1991 Highway Safety Plan (HSP)
from the U.S . Department of Transportation, National Highway
Traffic Safety Administration and Fedaral Highway Administration;
and
WHEREAS, the HSP contains programs and activ ities designed to
reduce the frequency and severity o f traff ;.c crashes or improve
the o perational effic iency of existing traffic safety programs ir,
Colorado; and
WHEREAS, the State determines w~ich agenc l es o r entities
would be most appropriate in com plet i ng t h e o bj~ctives,
conduct ing the activ ities and providing the services r equ ired by
the HSP; and
WHEREAS, the Ccntract o r has submitted an Applic a tion to
conduct certain a c t iv ities app r o v ~d in the HSP which has been
appr ov ed by the State and which i s inc o rporated herein to th e
extent con sistent wi th the terms o f this contract ; and

WHEREAS, t he Contractor, a political subdivision of the
State, hat\ the technical ability to properl y complete the
objectives and activities described in Attachment A of this
Contract; a nd
WHEREAS, it. \,as been determined no State agency can
reasonably ccr,duct the activities and provide the servi ces
required of t he Cont r actor; and
WHEREAS, this contract is executed by t he State under
authority of Sections 43-5-401 and 24-42-101, C.R.S., as amended,
and is ~xecute I by the Contractor under authority of
Section 29-1 -203, C.R.S ., as amended, and as authorized by the
for111al resolution attache d hereto as Attachment B; and
WHEREAS, the Contractor warrants it haa taken all necauary
atapa to ensure the individual Cor.+~actor aignatory below baa the
authority to siqn this Contract .
NOW, THERF,FOIIE, it is hereby agreed as follows:
1. The Contractor shall carry ou t the program, conduct all

2. In the performance of the work, the Contractor ahall
comply with all applicable administrative procedure• and contract
raquiramanta contained in the Colorado Highway Safety Contract
Management Manual, hereinafter referred to as the Contract
Manual, which is incorporated herein and made part hereof by
rafaranca. Such procaduraa and requirements are conditions of
thi• contract.
3. The Contractor ahall submit periodic and final reports to
the State according to the requirements of the Contract Manual
and the reporting c rit eria sat forth in page 2 of Attachment A.

WHEREAS, the Contractor, a poli tical subdivision of the
State, h as the technical ability to properly complete the
objectives and activities described in Attachment A of thi~
Co ntract; ard
WHEREAS, it h a s been determined no State agency can
reasonably conduct the activities and provide the service
r equired of the Contractor; and
WHEREAS, this contract is executed by the State unaer
author ity of Sections 4 3-5-401 and 24-42-101, C .R.S ., as ame nded ,
and is executed by the Cont r actor und~r authority of
Section 29-1-203, C.R .S ., as amended, and as authorized by the
formal resolution attached hereto as Attachment B; and
WHEREAS, the Contractor warrants it has taken all necessary
steps to ensure the individual Contractor signatory below has the
authority to sign this Contract.
NOW, THEREFORE, it is hereby agreed as follows :
1. The Contractor shall carry out the program, conduct all
the activities and provide the services described in Attachment
A. This Attachment is attached hereto and ia incorporated herein

2. In the performance of the work, the Contractor shall
comply with all applicable administrative procedures and contract

5 . The maximum total amount of the Co ntract s ha ll be
$1 6,728. Subje ct to the conditions of this contract, the State
and Contractor shall participate in providing this am oun t as

The State share shall be com prised entirely o f federal funds made
availabl e t o t he State. The State share amount of this Co ntract
shall not be exceeded without the b e nefit of a written
supplemental contract executed prior to the performance of
additional activities or the i ncurring of addition al cost s .
6 . Th e State shall reimburse the Contractor for the
accomp lishmeot of this Contract exclusively from funds made
available fot· this contract under the Highway Safety Act, Title
23 , U.S .C. Section 402 . Such reimbursement shall be only as
provided in th•• Contract Manual~ Such reirnbut •ement shall be ..
continge nt upon the contribution by the Contrat tor of its
participating 2,hare as provided herein, and sha .\l be continge nt
upon the continuing availability of federal fun,:s under the
Highway Safety Act, Title 23, U.S .C. Section 402 ,. for t l:e
purposes hereof.
7 . The term of this Contract shall begin on the effective
date and shall terminate on September 30, 1991 . The effective
date of thiB Contract shall be the date the required signature
approval of the State Controller is obtained on this Contract, as
evid~nced by the date first appearing above. Contractor agrees
that any contract work performed or costs incurred prior to the
effectiv e date s hall not be compensated under t he terms of this
Contract.
8 . The Co nt rac t or a gree s that any subcont ract entered i nto
under this Co ntract shall mee t a ll applicable st ate and federal
r e qu irements and must be approved by the Directo r, Divi sion of
Highway Safety, prior to e xecut ion . Co ntractor shal l not a ssign
this Contract without prior written a pp roval of the State .

9. a) Termi nation Due to Loss of Funding . The parties
here t o expressly recognize the Contractor i s to be paid,
re i mbu rsed, or otherwise compensated solely with federal funds
provided to the State for the purpose of contracting for the
services provided for herein . Therefore, the Contractor
expressly understands and agrees all its rights, dem ands and
claims to com pen s ation arising under this Co ntract are contingent
upon receipt of such funds by the State . In the e v ent such funds
o r any part thereof are not rec·iived by the Stat e, the State may
immediately terminate or amend this Contract.
b) Termination for Cause. If, for any cause, the Contractor
shall fail to fulfill in a timely and proper manner its
obligations under this Contract, or if the Contractor shall
violate any of the covenants, agreements or stipulations of this
Contract, the State shall thereupon have the right to terminate
this Contract for cause by giving written notice to the
Contractor of such termination and specifying the effective date
thereof, at least 30 days before the effective date of such
termination . In that event, all finished or unfinished
documents, data, studies, surveys, drawings, maps, mode l s,
photographs and reports or other material prepared by the
Contractor under this Contract shall, at the option of the State,
become its property, and the Contractor shall be entitled to
receive just and equitable compensation for any satisfactory _work
completed on such documents and other materials .
Not withstanding the above, the Contractor shall not be relieved
of liability to the State for any damages sustained by the State
by virtue of a breach of lhe Contract by the Contractor, and the
State may withhold any payments to the Contractor for the purpose
of setoff until such time as the exact amount of d.amages due the
State from the Contractor is determined .
c) Termination for Convenience. The State may terminate
thi s Contract at any time the State determines the purpose~ of
the distribution of monies under the Contract would no longer be
served by completion of the Project . The Sta~e shall effect such
termination by giving wrltten notice o f termination to the
Contractor and specify:.ng the effective date thereof, at least 20
days before the effectiv e date of such termina tion .
10. The Special Provisi o n s attached hereto are hereby made a
part hereof.

CERTIFICATION OF DRUG -FREE WOnKPLACE ACT
In acco rdance with the Drug-free Wor kplace Act sf 1 988 :
A. The grantee cert i f ids that it will provide a d :-u g-free
workplace by :
a) Publishing a statement notifying employees that the
unlawful ~anufacture, distribution, dispensing,
possessiori or use of a controlled substa nce is
prohibited in the grantee's workplace and specifying the
actions tha t will be taken agai nst employee s fo r
violation of such prohi bition ;
b) Establishing a drug-free awareness p r ogram to inform
employees about :
l l The dangers of drug abuea in the workplace ;
2) The grantee's pol!.cy of maintaining a drug-free
workplace;
3) An y available drug couneeling, rehabili tati on, and
emp loyee assietance proqrama; and
4) The penalties that may be im~osed upon employees
for drug abuse violations occurring in the
workplace;
c) Making it a requirement that each employee be engaged in
the performance of the grant be given a copy of the
statement required by paragraph (a);
d) Notirying the employee in the statement r e qu i red by
paragraph (al that, as a condi tion of employment under
