lo/HEREAS, the State of Colorado and the City of E}iglewood recognize
the need for a traffic feasibility study on Colorado State Highway 285 ,
between South Santa E'e and Broadway in the City of E}iglewood , Colorado; and
WHEREAS, this portion of Colorado State Highway 285, lies within the
jurisdiction of tJ,e City of E}iglewood , and in order to determine the
feasibility of operational and capacity inproverents to State Higl..ray 285;
and
WHEREAS, the Colorado State Highway Depart:Jrent has a separate project
which will widen the South Br cadway/State Highway 285 grade separation
structure;

section 1. The Contract between the Colorado Sta te Highway
Departnent and the City of E}iglewood for a Tr fie Feasibility Study of
Colorado State Highway 285, fran South Santa Fe to South Broadway located
in the jurisdiction of the City of E}iglewood is hereby approved . A ccpy of
the Contract is attached hereto as Exhibit A and incorporated herein by
referencP.,
section 2 . 'n"lat the Mayor and the City Clerk are authorized to sign
the contract oo behalf of the City of E}iglewood.
Introduced, read in full, and passed on first reading on the 19th
day o f August, 1991.
Published as a Bill for an Ordinance on the 22nd day of August , 1991.

CONTRACT
THIS CONTRACT, made this d a y of _______ _
19 __ , by and between the State of Colorado for the use and
benefit of THE DEPARTMENT OF TRANSPORTATION, hereinafter referred
to as "the State", and THE CITY OF ENGLEWOOD, hereinafter
referred to as the "Local Agency" o r "thd c untractor11 ,
WHEREAS, authority exists in the law and funds have been
budgeted, appropriated and otherwise made available and a
sufficient unencumbered balance thereof remains available for
payment in Fund Number 2001, G/L Account Number 52046, Contract
Encumbrance Number ______ _ and
WHEREAS, required app roval, clearance and coordination has
been accomplished from and with appropriate agencies; and
WHEREAS, .the State and the Local Agency recognize the need
for a traffic feasibility study on State Highway (SH) 285 be twe en
Sa nta Fe Avenue and Broadway in Engle~oo d, Colorado, within the
jur isdiction of the Local Agency, to determine the feasibility of
O} .. _.atio n a l and capac ity improvement s , here i n a fter re f e rre d to as
"the work", especially in light of a sepa rate project request to
widen the Broa dw ay/SH 285 grade separatio n structure; and
WHEREAS, the State and the Local Agency are respo nsible for
the con struction and maintenance o f state highways and city
streets , re's p ectively, includ i ng traffic feasibi l ity studies; and

WHEREAS, c urrently avail.able Loca l Ag e ncy funds are
i nsufficient, by themselves, to c om pletely pay for the work; and
WHEREAS , the Local Ag e n c y h a s requested t hat the Sta•
provide funding to pay f or a porti on of t he work; and
WHEREAS, the State has agreed to provide partial funding of
the work, since it will provide data which will be used by the
State in the design of future Sta te h i ghway improvements; a nd
WHEREAS, th St:ate and Local Agency desire to agree upon
certain cesponsibilities with regard to the funding of the work;
and
WHEREAS , the Local Agency inten~ed t o fund the work by
itself, but State participation in t he funding of the work will -
permi.t the work to be completed at an earlier date than i f funded
entirely by the Local Agency; and
WHEREAS, the amount of State p articipatio n is based on an
·equal share of the estimated costs of the traffic feasibility
study, since both a st at e h i ghw a y and a cit y street are
involved, and the amount has been deeme d rea sonable by the State;
and
WHEREAS, the State deems it to be i n i t s interest and in the
public i n te rest to provic e partial funding f o r the co ntrac tor to
p erform the wo rk; a n d
:iHEREAS, i t ha ~ b e en de t ermi n -ad t ha t no Stat e age nc y c a n
r e asonably provide "i n hous9" services required o f the Local
Agency ; ana
WH EREA S , the State Highway Comm i ss i o n on Marc h 21 , 1991 ,

gave approval for the State to enter into a contract with t he
L u cal Agency for Project No . C 10 -0285 -22, thereby contributing
State funds for the work ; and
WHEREAS, this contract is e ntered into pursuant to the
provisiona of SS29-1-203, 43-1-106 and 43-2-144, C.R .S., as
amen ded, and by the Loc al Agency unde r the authority grant ed ir.,
an appropriate ordin~nce or resolution, which is attached hereto
and made a part hereo1·.

NOW, THEREFORE, it is hereby agreed that :
PROJECT PROVISIONS
The State will provide liaison wi th the Local Agency through
the State's District Engineer, Distric t 6, located at 7.000
South Holly, Denver, Colorado 80 2 22 . Said District
Engineer will also be responsible for coordinating the
State's activities under this contract .
2 . The Local Agency shall satisfactor ily perform and c omplete
a traffic feasibility study on State Highway (SH) 2 8 5
between Santa Fe Drive and Broadway in Englewood, Colorado,
within the jurisdiction of the Local Agency , to determine
the feasibility of operational a nd capacity improvement s,
herei nafter referred to as "the work", especially in l ight
of a separate project requoast 't o widen the Broadway/SH 285
grade separati on structure co n cerni ng SH 285 between Sa n ta
Fe Drive and Broadway in Englewood, Co lo rado . Up o n
completio n o f the wo rk, the Lo c al Agency s hall prep. re and
provide t o the State the results of the traffic feasibility
study.

3 . The Local Agency, by l t 9 employees, age n t s, or con sultant ,
s hall be ~olely respo nsible for performanc e and complet i o n
of the work .
4. The Local Agency has estimated the t otal cost of t he wo rk to
I>!> $30,000 (Thirty thousand d oll!lrs), to be funded as
follows:

The State shall pay the Local Agen~, Lor 501 of the costs
actually incurred in the performance and completion of t he
work, up to a maxim\1111 amount of $15,000 .00 . The Local
Agency shall bill the State for 501 of the actual costs of_
the work performed per month until the work is c or,plete, or
until the State has paid its maximum amount of $1 5 ,000.00,
whichever occurs first. The State shall pay the amount
billed by the L0cal Agency within 30 (thi rty) days of
receipt of the bill, up to a maximum amount of $15,000 .00.
The State shall have no obligation u n der this c o nt ract for
actual costs in excess of $15,000 .00. The Local Ag ency
shall be responsible to pay ;,,.l ac tual co s ts of the work in
excess o f $3 0,000 .00 .
5. The t erm of t his contract shall c c .,tinue t hr ough t he
pe r forma n ce and completi o n a n d f i n a l a cceptan ce of t h e wo rk
by t he Lo ca l Age n cy, State payment to the Loca l Agency, and

the Local Agency providing a c opy o f t h e s tudy to the Stat.

to c omply with Title VI of the Civil Rights Act of 1964 , the
sa lie nt p o ints o f whi c h are shown in the Non-Di scrimination
Prov i s i o ns attach e d h ere to and made a part hereof .
7. The Special Provisions attached hereto are hereby made a
part of this contract hereof .
8. This contract shall inure to the benefit of and be binding
upon the parties, their successor~ and assigns.
9 . Contract Termination. This contract may be terminated as
follows:
a) Termination Due to Loas of Funding. I f f unds necessary
to perform the work are not available, then either
party may terminate .
Termination for Cause. If, through a ny cause, the
contractor shall fail to fulfill in a timely and proper
manner his obligations under this contract, or if the
contractor shall violate any of the covenants,
agreements, or stipulations of this contract, the State
shall thereupon have the right to terminate this
contract for cause by giving written notice to the
contractor of such termination and specifying the
effective date thereof, at least fi ve (5) days before
the e ffective date of ~u c h terminatio n . In that event,
all finished or unfinished docume nt s , data, s tudies,
s urve ys, draw in gs, maps, models, photograph s, a nd
reports or other material prepared by the co ntractor
under this contrac t sha ll, at the option of the State ,
become its property, and t he contractor s hall be

entitled to receive just and equitable compensati o n for
any satisfactory work completed on such docume nts and
o ther materials .
Notwithstanding the above, the contractor shall n ot be
relieved of liability to the State for any damages
sustained by the State by virtue of any breach of the
contract by the contractor, and the State may withhold
any payments to the contracto r for the purpose of
setoff until such time as the exact amount of damages
due the State from the contractor is determined.
c) Terminat ion for Convenience . The State may terminate
this contract at any time th$ State determines that the
purposes of the distribution of State monies under the -
contract would no longer be served by completion of the
Project. The State shell effect such termination by
giving written notice of termination to the contractor
and specifying the effective date there of , at least
twenty (20) days before the effective date of such
termination . In that eve nt, all fin ished or un fi nished
documents and other materials as des cribed in Paragra ph
9b above s hall , at the option of the State, become its
property . I f the contract is terminated by the State
as provided herein, the cont racto r wil l be paid an
amou n t whic h bears the same ratio to th e total
compe ns ation as the services actua lly performed bear to
the total servi c es of the contractor covered by this -
contract , l ess payme n ts of compensation previou s ly

made ; provided , h oweve r, t h at if l ess than sixty
pe r cent (60 \) of the services covered by t his con tract
have b een performe d upon t h .:, e f fective date of s uc h
termination, t h e contractor s hall be reimbursed (in
add i tion to t h e above paymunt ) for that portio n of the
actual out-of-pocket expenses (not otherwise reimbursed
under this contract) incurred by the contractor during
the contract period which are d i rec '.ly attri buta ble to
the uncomp leted portion of the services covered by this
contract . If this contract is terminated due to the
fault of the contr .-ic •.•~•~. l?aragL·aph 9b hereof relative
to termination shall upp 1.y.
10. The con tractor r e presents and warrants that it has take n all
actions that are necessary or that are requ i red by its
procedures, bylaws, or applicable law, to legally authorize
the undersigned signatory to execute thia contrac t on behalf
of the contractor a nd to bind the contractor to its terms .
