WHERF.AS, the EnJlewood Oepart:Jrent of Safe ty services, has sulJn.i.tted an application to the Colorado Oepartnent of Highways, Division of Highway Safety, for federal funding to oonduct a Law Enforcenent Assistance f\lnd (LEAF) for the prevention of drunken driving; and WIEIEAS, the Legislature has created the Law Enforcenent As s i s tance f\lnd (LFAF) for the preventia-of drunken driving. WHEREAS, LEAF has been established to provide funds to aid in the prevention of drunken driving and the enforament of laws pertaining to driving wider the influence of alcohol and drugs; and 10 b ~. pursuant to 43-4-404 C.R.S., the State desires to allocate LEAF funds to local authorities (citiea and counties) to benefit the health and saf ety of persons in Colorado by the inplementation of local programs developed by the local authorities for drunken driving preventi on and law enforcement inproverents; and WHEREAS, the EnJlewood Departnent of Safety services has establit ,ed a qualified ,:,rogram consistent with current State Higl"May Safety rules to coordinate efforts to prevent drunken driving and to enforce laws pertaining to ,u-iving under the influence of alcohol and drugs within its j uris dicti on; and WHERF.AS , the EnJlewood Departmant of Safety servi ces has avail abl e t he technical abili ty to properly perfcnn the proj ect as described in the Applicat ion and t o address the LFAF obj ectives of the Legi slature; and Nav, iHEREFORE, SE IT CIUli\INID BY THE CIT'i 00.l!(C lL CF E'~~U0 ,~.00 , CCNl10CI' PROVIDES GENrnAL PRCNISICN S AS F'CI..Lao/S: secti on 1. '!'he Contract gener al l y contains the :i:"'l . r.vir.fJ: 1. TI:e Engle-• .-:,d par nt of Safety Services , Police Di ision roved Application, the Lr.AF Contract Managenent Manual and , i<'elines , the State Highway Safety P.ules as 2 C.C.R. 602-1, and ttaco.-:-ents A, B and C are incorporated herein by re fe r ence as erms and conditions o f the contract . 'Ille Englewood Deparurent -l - of Safety Services shall CCIT{)l y with all terms and conditions of these material s in the performance of the Contract. The Dlglewood Department of Safety Services acknowledges that it has recei ved copies of the LF.AF' Contract Managenent Manual and Guidelines, and the State Highway Safety Rul es. In the event of a con flict in the provisions o f these materials, the following priority shall be used to resolve such conflict: l\. State Highway Safety Rules ; then B. LEAF COntract Management Manual and Qiidelir..,s; then C. l\ttaclvnents ll, B, C , i n that order ; then D. llpproved Application. 2 . The Dlglewood Department of Safety Services shall carry out the program and perfonn the activities described in the ~roved Application , as slfflMI'ized in l\ttacl'a.ent I\, 3. The Englewood Department of Safety Services shall submit quarterly reports to the State detailing the performance of this Contract. 4. The total budget ,rn:,unt autho rized by this Contract for the actual cx,sts of the project work is $55,162, >mich shall be paid as foll<MS: The State shall use LEAF funds exclusively to pay for 45'1, of the actual cx,sts bicurred by the Englewood Department of Safety Services for the project work up to the State's maximun share arrount of $25,000 (45'1, of $55,162 ). Provided that the State's maximum share shall not exceed the ,rn:,unt of $25,000 for any reason, including if the Dlgle«xXl Department of Safety Services voluntarily pays oore than the mininun match anount required of them under this Contract, unles~ this Contract is supplenented in wr!.ting to that effect prior to the incurring of any cost in excess of the total budget arrount. The Digle"'.lO<i Department of Safety Services shall provide a mini.nun match share of $30,162 (55'1, of $55,162) either in paynent of actual cx,sts incurred for the project work or in the fonn of in-kind services directly related to the enforcerrent of laws pertaining to c!i:iving under the influence of alcohol or other drugs. The Diglewocd Department of Safety Services may voluntarily provide either paynent of actual costs or in-kind services exceeding its minimum ma tch requirenent in order to establish t.>ie project on a perm,ment basis, provided that it is expr ess l y unc'erstood ha any such voluntary paynent of services sran r,c increaise .. _..,_e Stot,..' s :m..xim.:m share unde r this C.Ontr~ct . If ,the EnglP.1< Departrrent o f Safety Services fails to provide the tot n l airount of 1 t s minmurn match share the State' s obligation o pay its percentage shal l be reduced in direct nr0p0rticn to the exte n o f suc h fai lure, so that the Sta e's r.bliga ion will be reduced $45 for each $55 (45'4-55'1,) the Englewood partrnent o f fety Services fails to pr ovide. -2 - If the Englewood Depararent of Safety Services incurs project oosts whi ~h exceed the /\ttacllnent C ~et amount without first increasing that ar.r:runt by wr i tten oontract amenarent , the E}iglewood Department cf Safety Services shall be solely responsible for the payrrent of such excess oosts . The State share of the total budget amount will be provided solely fran LEI\F funds. Any obligation of the State under this Contract is contingent both upon LFAF funds being available for this Contract and upon the Englewood Department of Safety Services p roviding its minirrum share. The State will pay the Englewood Department of Safety Services for the State's s hare of actual oosts incurred on a ironthly or quarterly basis, subject to prior review and approval by the State of l«lrk perfonnance and pursuant to payrrent procedures oontained in the LFAF Contract Manual. Th e Englewood Department of Safety Services shall maintain an itemized accounting of all billings and other records to support all costs charged to the Contract and shall present sarre to the State upon request. The obligation of the Englewood Department of Safety Services for all or any part of the payment obligations set rut herein shall only e>ct:end ·to rronies duly and lawfully appropriated for the purpose of this Contract by the Golrerning Body of the Englewood Department of Safety Services. The l!)',glewood Department of Safety Services hereby represents and warrants that the rronies to pay for the fnglewood Department of Safety Services obligat~ons described herein have been legally appropriated for the purpose of this Contract . The total budget am,unt of this Con tract is $55,162.00. The Stat e and the Englewood Department of Safety Services shall participate in the payrrent of this lllOUl1t: A. The effective date of this Contract shall be the date the Controller of the St3te of Colorado approves this Contract, or suc h late r date specified herein . The parties he r e t o expressly recognize that the Eng lewood partrren t of Safe y Se rv ices is o be pa id , reirrbur s ed, or o therw i s e cat\)ensaled -3 - solely with certain funds provided to the State for the purpose of contracting for the services provided for herein. 'nlerefore, the Englewood Departrrent of Safety Services expressly understands and agrees that all its rights, demands and claims to OCl!l)<!n s ation arising under this Contract are contingent upon receipt of such funds by the State. In the event that such funds or any part thereof are not received by the State, the State or the Eng lewood Department of Safety services may imrediately terminate or amend this Contract . b) Termination for cause. If , through any cause, either , party s hall fa.tl to fulfill in a tiJTely and proper manner the obligations under this Contract, or if either party shall violate any of the covenants, agreerents or stipulations of this Controct, the non-breaching party shall thereupon have the right to terminate this Contract. for cause by giving writt en notice to the breaching party such termination and specifying the effective date thereof, at least thirty (30) days before the effective date of such termination . In that e vent , a ll finished or unfinished d:x:lnents, data, studies, surveys, drawings, maps, rrodels, photographs, and reports of other material prepared by the Englewood Deparbrent of Safety Services under this Contract shall, at the cption of the State, becare its property, and the Englewood Department of Safety Services shall be entitled to receive just and equitable ocnpensation for any satisfactory ...,rk ca,pleted on such t'ocurrents and other materials. Nutwithstanding the above , the breaching party shall not be relieved of liability to the non-breaching ,>Uty for any damllges sustained by the non-breaching party by virtue of a breach of the Contract by the breachir>:J party, and the State IT\3Y withhold any payments to the Englewood Department of Safet y 5erYi ces for the purpose of setoff until such tiJTe as the exact arrount of damages due the State fran the Englewood Depart!rent of Safety Services is determined, if the Englewood Department of Safety services is the breach ing party . c) Either party ma:1 ter.minate this Contract at any tiJTe that it determines that the purpose of the distribution of ironies unrer the Contract s10uld no longer be served by C01t>letion of he project. Such party shall effect s~ch termination by giving written notice of termination to the other party and specifying the effective date thereof, at least twenty ( 20) days before the e ffective date of such termination .
