materia l chan ge to the Project, whet her or not such change is approved in writing by
GO CO may res ult in a redu cti on ofGO CO's fundin g award and requi rement o fa re fun d

no later than Dece mber 3, 2009 , which is tw enty-four month s af1e r the dat e ofGOCO"s
approva l of the Proj ec t (th e "Comp letion Date"). If app li cable, Grantee may reque st an
extension of the Co mpletion Dat e in compl iance with GOCO"s Overdue Grant Poli cy. a
co py of which is attached as Ex hibit D 111 ,d in corpora ted herein by reference, as may be
am end ed from tim e to time hy GOCO in it s so le di scre1ion ('"Ove rdue Grant Policy "). In
addition to other right s set fo11h in thi s Agreement, GO CO ma y elect to tennin ate thi s
Agreement und dcauthori zc 1hc Projec t in the event thi s Completi on Dat e is not me t
and/or Grantee fai ls to comply with the Overdue Grunt Poli cy .
11. Grantee's ln ahilitv to Comp lete Proj ect. If Grantee detem1inc s wilh reasonable
probability that the Project will not or ca nn ot he co mpl eted as approved by GOCO ,
Grantee wi ll pro mptl y so advi se GOCO in wri tin g. Upo n written req uest by Grantee, as a
poss ible :::,..,~na ti ve to tcnninati on of the Grant, GOCO may co nsider funding one or
more altcmativc projects. Any such alt ernat ive proj ects mu st meet GOCO eligib ilit y
requirement s then in effect and mu st be approved by GOCO in writing , and shall he
suhjccl to th e tenn s and cond iti ons of'thi s Agreement , including, but not limited to, the
due diligence requirement s de scribed in thi s Sect ion 3 -Co nditi ons Preceden t. Gran tee's

Eng lewood City Council Ordin ance No . 42 (A ddendum I) and th e Contract for De ed executed on
Au gust 6, 2007, (Addendum J) both speak of th e nee d 10 pha se the sal e in order to facili tate th e
City's pur suit of grant fundin g in addition to allowing th e City tim e lo bank Co nserva tio n Trust
Fund s and Arapah oe Open Space shar e ba ck fund s as the primary funding sources for purchase.
Thi s gra nt applicati on fo r pha se II purcha se includes a $200 ,000 gran t request and $333 ,336 in
mat ching fund s for a total o[S533,336 . Without grant fundi ng in 2008 . the City's ability to use
Conservatio n Trust Fund s and Open Space share back fund s will be severely re stricted . Thi s will
re sult in deferri ng long planned and needed expenditure s for park in[ras t11J cture. Englewood
would al so be re stri cted in parti ci pating in local and reg ional trail connectio ns and open space
ac quisiti ons with our partners in Dell\ er and Arap ahoe Countie s.

Th e City of Englew ood Parks and Recreation Ma ster Pl an was adopted in 2006. Although
Englewood School's nee d/in tent of se lling Duncan Park wa s 1101 known or anticipated during the
planning proce ss, the lac k of park acreage in the southe as t area of th e Cir/ wa s we ll documen ted .

As pre vious ly discu ssed , suppo rt for sav ing Duncan Park from development wa s led by gra ssroo ts
nei ghb orhood groups and use r groups . These group s attend ed many Cit y Cou ncil and School

City Cou ncil and th e ParJ,.s and Recreation Commi ss ion have identified the purchase of
Duncan Park presently owned by Engl ewood Schools as a very high priority. Duncan
Park , at 3.3 acres , is th e onl y park semnr the sou theast area of th e Ci ty. Th e City has
ma intai ned th e park for ove r thirty yea rs through a lease agree mel.t with En glewood
School Dis tri ct. The School Distri ct's financial si tuati on, aggrava ted by declining
enroll ment, h as necessitated th e sellin g of the property, former ly an elementary scho ol
site.
The School Di strict has agreed to enter in to negotiation s with th e City th at would allow
for ph ase d sale of the property.
The Ci ty is commi tted to pursuing grant fun ding and usi ng Arapahoe Op en Space
sha rebac k funds and Conserva ti on Tru st Funds to prot ect th is park from pri va te
development.

RECOMMENDED ACTION
Staff recommends that Council adopt a Bill fo r an O rdin ance approving th e ag ree ment between
COCO and th e City of Eng lewood for th e Dunca n Park COCO Grant.
BACKGROUND, ANALYSIS, AND ALTERNATIVES IDENTIFIED
The City o f Engl ewood and Eng lewood Schools en tered into a lease ag ree men t for th e former
Dunca n Sc hool property o n November 6, 1978. Th e lease in cluded both th e form er sc hool
buildi ng and th e property . O n August 22 , 1984, th e agreement wa s ame nded to return th e b uilding
bac k to th e School Distri ct.
After th e Ci ty of En glewood rece ive d th e property in 1978, th e si te was renam ed Dunc an Park and
ad ded to th e cu rr en t in ve ntory li st of park loca ti ons. Dunca n Park is th e o nl y park loca ted in th e
sou thP.as t quadrant of th e City.
In 2006, the Englewood Sc hoo l Boa rd vo ted to close Flood Middle School and to sell th e Duncan
Park property. Th e Ci ty of Englewood and Eng lewood Sc hools nego tia ted an agree me nt to se ll th e
Dunca n Park p ro perty to the City of En glewood. The ag ree ment fo rm alizes the terms and
co nditio ns fo r th e pu rchase o f the property . Th e Contrac t fo r D ee d identifies Dece mber 3 1, 20 I u,
as ti .e final date for pa )'ment. Th e School Distric t will retain control/ownership of th e bui ldin g
th rough •he )'ea r Wl0.

The Cit)' was success ful in rece iving a gran t from Arapahoe Co unt)' in 2007 l o assi st in th e purc hase
of the Park . The Cit)' was also successful in its grant appli cati on to GOCO and was awarded
$200,000 in December 2U0 7. GOCO requires the Cit)' to exeCll te a gran t agreemen t with GOCO
l o proceed.
FINANCIAL IMPACT
The total purchase price fo r t~e property is $1 ,200,000. The Cit) w ill receive $200,000 from
GOCO at th e Duncan Park acquisi ti on Phase 2 closing i n November 2008. Matching fund s of
' · < l ,336 (Arapahoe Open Space Share Ba ck funds) an d $50,000 (Conservation Trust funds) are
'.ed in the 2008 approved budget and will complete the $533 ,3 36 Phase 2 p urcha•a
