Time of Performance . Th is Cont ra ct shall become effec tive upon pro per exec ution of this Cont ract. Term inatio n of Contract for Cause. Rep n n v n.i;~ a. In that event, all fi nished or unfin ished docum en ts , data . stud ios , ~urveys , drawings, maps , mod els, phot ographs, me dia con tracts and reports or other ma lerfal prepared by th o Contra ctor under this Con tract shall , at the option of the Sta te, become Its property , and the Contractor shall be entitled to receive just and equitable compensation for any satisfactory work comple ted on suc h documents and other materials . b. Notwi thstanding the above, the Contrac tor shall not be rel ie ved of li ability to the State for any damages sustained by the State by vi rtue of any breach of th e Con tract by th e Contrac tor, and the Stal e may with hol d any payment to the Con tractor for the purpose of set ott until such lime as the exact amount of damages due lo the Sta le from the Contracto r is determi ned . c. If funds have been advanc ed l0 lhe Co ntra cto r, Co nt ractor shall rep ay suc h fun ds lo th e ex tent they are not expen ded in acco rdance wi th th e lerms of th is contrac t al the time of term ina tio n, 10. Cha ng es . The Stale ma y, fro m lime to time, req uire change s in th e sco pe of services of th e Cont rac t to be perfor med here under. Conflic t of Interest. a. No employee of the Contractor shall perform or provide part -time se rvices for compensation, mone tary or otherwis e, to a cons ultant or consultant firm th at has been retained by the Contractor under the author ity of this Co ntract. b. Th e Contrac tor ag ree s that no per son at any lime exe rclsing any function or respon s1bllity , in con nection with the elements of th is projec t that are financ ed with State funds , on behal f of the Con tra ctor shall have or acq uire an y persona l fi nancia l or economic interes t, direc t or indirec t, whi ch will be mat eria ll y affecte d by this Contract, exce pt to the extent that he may receive co mpensa tion for h is pe rfor man ce pursuan t to this Co nt ra ct. c. A personal financia l or economic intere st inc lud es, but Is not lim ited to: i. any busin es s entity in wh ic h th e person has a direct or indirect mone tary int eres t; ii any real prope rty in whic h th e person has a direct or Indir ect monetary interes t; li1. any source of income , loans, or gifts rece ived ty or promised to the person wi thin tw elve (12 ) mo nlhs prior to the execution date of th is Contra ct; iv . any bus iness entity in which the person is a director, officer, general or li mit ed partner, trust ee, employee , or hol ds any positio n of management. (a) For purposes of this subsection, 1nd1rect inves tm ent or interest means any investment or interest owned by the spouse , paren t, brother , sister , son , da ught er, father-in-law, Page 3 of 7 Pages mo lher-m-law , bro ther-in-law, sIs1er-m-taw , son -in-l aw , or daughter-in-law of the person by an • agent on his/her behal f, by a general , lim ited , or silent partne r of lhe person , by any business en tit y controlled by said person , or by a tr ust In which he/she has subst antial inte res t. A business en tity 1s con trol led by a person 1f that person, his/her agent , or a relative as defined above possesses more than fifty percen t (50%) of !h e ownership in teres t. Said ~erson has a su bs tantia l economic interest in a trust when the person or an above:defi ned relat ive has a presen t or future inleresl worth mo re than One Thousand Doll ars (S 1,000 .00). d. tn the even t a conflict of interest , as des cr ibed In th is Faragraph 11, cann ot be avo ided without frus trat in g the purposes of th is Contract , the person involve d in such a co nfl ict of interest shall submit to the Contractor and th e Slate a full disclosure sta tement se lling fo rth !h e de tails of su ch conflict of interest. In cases of extreme and unacceptable conflic ts of interest, as determ ined by the Stale, the Slate reserves the right lo terminate the Contract for cause , as provid ed In Paragraph 9 above . Fail ure lo file a disc losure statement required by !h is Par agraph 11 shall constitute grounds for termination of this Contract for cause by the Slate . 12 . Subc ontracts . Copies of any and all subcontracts entered into by the Contractor lo ac co mplish th is Proje ct will be submilled to !he Econom ic Development Commiss ion upon requ est by the Sta le. Any and all co ntracts en tered Into by the Contractor shall comply with all applicable fede ral and Co lorado state laws and shall be governed by the laws of the State of Co lorado notwi th standing provisions therein to the contrary . 13. Severability. To the ex tent that this Contract may be execu ted and perform,mce of th e obligations of the pa rti es may be accomplished within the intent of the Contract , the terms of th is Cont ract are severable , and should any term or provision hereof be decla red invalid or become inoperative for any reason , such inva li dity or failure shall not affect the val idity of any other ter m or provision hereof. The waiver of any breach of a term hereof shall not be construed as wa iver of any other term . 14 . Binding on Successo rs . Ex ce pt as herein othe rwis e p.-ovided, th is ag reement sha ll in ure to the benefit of and be binding upon the parties , or any subcontrac tors hereto , and the i· respective successors and ass igns . 15 . ~ssignmenl. Nei ther party , nor any subcontractors hereto , may ass ign its rights or duties under !his Con tra ct without the prior written con se nt of the other party . 16. Limi tation to Part ic ular Funds. The parties hereto exp ressly recog nize that the Contra ctor is to be paid , reimbursed, or otherwise compensated with fund s provided to the State for the purpos~ of co ntracting for the services provided for herein , and th erefore, th e Co nt rac tor expressly und erstands and ag rees tha t all its rights , demands and claims to comp ensation arising under this Contract ore contingen t upon rec ei pt of suc h fund s by th e State. In the event that such fun ds or any par t thereof are not received by the State , th e Slate may imm edia tely termin ate !hi s Con tract. 17 . Minority Business Ent erpr ise Participatio n. It Is th e poli cy of the Stale of Colorado that minority business en terprises shall have the max imum practicable opport un ity to pa rticipa te in th e perform ance of its cons truction gra nt co ntracts . The Contractor agr ees to use it s bes t efforts to ca rry out this policy to th e fu llest ex tent pra ctic ab le and consis ten t wit h the eHicienl performan ce or th is Contract. As use d in th is Co nt ra ct, th e term "minority bu siness en terp1 ise" means a busin ess, at least 50 pe,cenl (50%) of wh ich Is ow ned by minori ty group members or, in the case of publicly owned businesses , at leas t 51 percent (5 1%) of th e stock of which is own ed by min ority gro up member'.i For the purposes of thi s definition, minority grou p memb ers are Negroes or Black Americans, Spanh.1 -speaking Am erica ns , Asian Am erica ns , America n Indi ans, American Eskim os and American Aleuts . Th e Contra ctor may rely on writt en represen tatio ns by bidders, co ntractors , and subcon tra c!:>rs rega rding th eir status as minority enterpr ises an d need not cond uct an indepe ndent investigat ion. • 18. Taxes . The state agency, as purc haser, is exe mpt from all federa l excise ta xes und er Cha pt er 32 of the • Internal Revenue Code [No. 84-730123KJ and from all s'.a te and local gove:n ment use laxes [C .R S 3g. 26-1 14 (a) and 203, as am endedJ . These sales or use taxes will not be rei mbursed by the ~late . 9. Intellectual Pr opert y. a, Co ntrac tor will in demn ify St ale for it s reasonab ly incu rred legal expenses and will defend or settle, at Contractor's opt ion and ex pe nse, any lega l pro ceeding broug ht aga in st St ate, to th e extent that it is based on a cl aim that pro du cts in fr inge a trade secret, trademark, mask work, copyright , or patent. Contractor will pay all suc h expenses, together with damages and co sts awarded by the court which fina ll y dete rmines the case, or are in curred in the settle ment the re of, if Stat e : (i) give s writt en notice of the claim promptly to Contractor; (ii) gives Contractor control of the defense and settlement of the claim ; (Ill) provides to Contractor, at Contractor's expense, all available Info rmat io n and assistance; and (Iv \ has not co mprom ised or settled such claim. b. If produc ts are found to infr inge , Contractor will : (i) obtain for State the right to use such products; (ii) repl ac e the products with non -infringing products or modify the products so that they become non- Infri ng ing ; or, if neither of these Alternatives Is reasonab ly available, (iii) remo ve the infringing pr oducts and refu nd the price pa id the refore. c. Contractor ~as no obligation un de r th is Paragraph 19 for any claim which resu lts from : (i) use of products In combination with any non -Contractor provided equ ipmen t, software or data: (ii) Contractor's compliance wi th designs or specification of State ; (iii) modifica tion of produc ts other than at Contractor's direction; or (iv) use of an allegedly infringing version of products, if the alleged Infringement coul d be avoid ed by the use of a different version made available to State . 20 . Order or Precedence . In the even t of conflicts or incon sistencies betwee n thls contr~ct and its exhibits or attachmen ts , such conflicts or inconsi stencies shall be resolved by reference to the doc ume nt s in the follow ing order of priority: 1) Co lo rado Special Pro vi sions, pages 6 to 7; 2) Contract , pages 1 to 5; 3) Exhibit A; 4 ) Any attachments to Exhibit A. 21 . INDEMNIFICATION .
