WHEREAS , the Englewood Golf Course indoor training center was pan of the clubhouse expansion in 1995, consisting of 6 hitting bays with two com puter swing analyzers : and WHEREAS , while the facility has been a positive addition to the Clubhouse, the revenue strMm ha s been minimal; and WHEREAS , TNT leased the Training Center in 2002 offering indoor le ssons, club fittings and golf training sessions ; and WHEREAS , TNT decided to terminate th eir contract in the fall of 2006 ; and WHEREAS , in 2007 a Request for Information was sent to determine if any area retai l businesses were interested in a location at the Englewood golf course ; and WHEREAS . proposals were received and in1erviews were held ; and WHEREAS. McGetrick Golf Aca dem y was se lected for the following reasons: higher revenue stream , free instruction to our Holc-N -O ne junior golf program, disco unted lesso ns to all Englewood resident s, financial stability and a great reputation in the Golf ind ustry as well as being rated in the top 5 golf sc hool s by Golf Digest : and WHEREAS, the pa ssage of this Ordinance will approve the Agreement to lea se and manage the Training Center loca ted at the Broken Tee Eng lewood ; NOW. THEREFORE . BE IT ORDAINED BY THE CITY COUNC IL OF THE CITY OF ENGLEWOOD . COLORADO. AS FOLLOWS : Section I. The City Council of the Cit y of Englewood, Co lorad o, hereby authorizes and approves the Agreement for the lease and managem ent of th e Training Center located at the Broken Tee Eng lewood b·,tween the Cit y and McGe tri ck Golf Academy, attached hereto as Atta chment I. Section 2. The Mayor and The Ci ty Clerk are hereby aut hori zed to sign and atte st sa id Agreement for and on behalf of the City of Eng lew ood. Co lorado. City Clerk of the City of Englewood , Co lorado , hereby cen ify that the above and foregoing is a true copy of the Ordinance pas sed on al reading and publi shed by tit le as Ordinance No.2-2, Series of 2008. • • • • AG REEMENT TI-US AGRE EMENT, herein after called "Lease", made and entered into this __ day of_ -------~ 2008, by and bet ween th e CITY OF ENGLEWOOD, a Co lorado municipal corporatio n, hereina ft er referr ed lo as "City", and McGETRJ CK GOLF ACADEMY, here in after referred to as "Trainer"; WJTNESSETH: WHEREAS, the City owns certain real property which is kn own as the Broken Tee Englewood Municipal Golf Course Clubh ouse And Training Center, herei n after called "Training Center ", and located in tlte City of Sheridan; and WHEREAS, City and Trainer desire to enter into a lease for the management of the Training Cent er located at the Broken Tee Englewood Municipal Golf Course; NOW, THEREFORE, for and in cons ideration of the mutual covenants hereinafter appearing and of the payment of the monies hereinafter set forth, the parties hereto agree as follows: Section I. STATEMENT OF INTENT. The purpose of this Lease is to pro vid e video golf training, instruction, club fitting and clu b sa les. The Trainer will not have exclu sive right to all cluv sales. • Section 2. GRANT. • Th ~ City hereby agrees to all ow the Trainer to use the area described in "Exhibit A" of the Englewood Clubhouse Training Center pl us use of the driving range and practice areas. There will be space on th e driving range and practicing area designat ed for the Trainer; however, it wil l change throughout the year. $ection 3. DEFINITION OF PREMISES . The "Leased Premises" us referred to herein is defined to be the Golf Clubhouse Trnining Center, which is owned by the City of Englewood, Co lorado. See Exhibit "A". Section 4. TERM OF AGREEMENT . The City hereby e>rants tu Trniner the right to hold the Leased Premises pursuant to the tenns ofti1is Lease for a one (1) year Lease with two (2) one (1) ycnr renewals al the opt ion of th e Trainer and with two (2) additional opt ional one (1) year periods by ngrecmcnt of both parlic r;, 1f the Trainer intcndr; to renew the contrac t they must infonn the Director of Pnrks and Recreati on ninety (90) dnys prior lo temrination of th e Lease. 'ntc City shall inform Trainer of its decision through the Director of Parks and Recreatio n. Sect ion 5. USE OF THE PREMISES . Trainer shall have the right to possession of the Leased Premises for the purpose of providing video golf training, in struction, club fitting and club sales. How ever, notltlng in thi s Lease shall be construed to aut horize that which is prohibited under United Stal es, State or loca l law, ordinance, code or regulati on. 1 Section 6. SERV ICES . Al l services provided by the Trainer sha ll be rev iewed and ap proved by th e Directo r of Parks and Recreation. The Trainer will provide lessons and clini cs for th e Ci ty. 11,e Ci ty wi ll cont inue to offer the Hole -N-O ne Program , Par 3 League, golf tea m and some le sso ns. The Traine r will provide free instru cti on for the Hole-N-One Program. The Trai ner will provide lesson di scounts for Englewood reside nt s and Parks and Recreation sponso red programs. Sectio n 7. HOURS OF OPERATION. a) From May I st through September 30th of each year, the Trainer shall pro vide digital video go lf ana lysis si x (6) days per week and durin g these months sha ll be open each day to the public from 9:00 AM and sha ll remain open until 5:00 PM . b) During the month s of October I st through April 30 th of each year, the Trainer sha ll provide video golf analysis five (5) da ys per week and during these months sha ll be open each day to the publi c at 9:00 AM and shall remain open until 5:00 PM . c) Nothing herein shall be construed as prohibiting the Trainer from being open for oth er hours in addition to those stated in Paragraphs 11 a11 and "b" above. Trainer ma y close on Christmas Day and Thanks giving . d) Trainer agrees to cooperate with the Golf Course Manager in scheduling go lf meetings an d eve nt s. In the event of any disagreement , the matter shall be referred to the Direct or of Parks and Recreation and his/h er deci sion is fin al. e) Any adjustments to the hours of operati on must be ap proved by the Director of Parks and Recreati on or his designcc . I) Trainer and or the City may temporarily close the Training Center fo r cl eani ng, co nstructi on and maintena nce under a mutu ally ab'!'eed upon schedule . Sec tion 8. MAINTENAN CE, REPAIR AND REPLACEMENT. a) The Trainer shall be respo nsibl e for repairs and/or rep lace ment of mats, netting, paintin g, carp et, video equipment, TV 's, cameras and all other equipment associated with the leased premi se. Section 9. CLEANLfNE SS GUID ELINES. a) All rul es, regu lati ons and guide lin es req uired by th e City of Englewood mu st be adhered to . b) All app licable loca l, state and Federa l Ge vcm mcl\t Ac ts and Regul ati ons must be adhered to . c) Any speci fi c guidelines es tab lished by the Director of Parks and Recrea ti on must be adhered to . 2 • • • • Sect ion I 0. RE 'T . a) Tra iner shall pa y rent to the Ci ty in acco rd ance with th e following sc hedule : ii. iii. Commenci ng on June I", 2008, the Train er shall pay ten thousand doll ars ($10,000 .00) annually in monthly installments with the assumpti on the Broken Tee Englewood Golf Co urse opens on May 24, 2008, and sha ll be prorated upon the openi ng date of the Broken Tee EnglewoJd Golf Course. In 2008 on ly, the City will reimburse the Trainer fifty percent (50 %) of rent for renova ti on costs for carpet, paint and renovation to reception area; not to exceed ten thousand dollars {SI0,000 .00) or the City's ponion. All work/renovations must be preappro ved by the Director of Park s and Recreati on and the Director of Public Works . Trainer will provide copies of receipts and invoices for all renovation work. Commencing on January I", 20 09 , the Trainer shall pay $20 ,000 per year, paid monthly ($1 ,666.67 per month). Trainer will provide third palty sponsorships for the Hole-N-One Jr . Program ; a sponsorship list will be provided lo the Director of Parks and Recreation or his designee. The aforesaid fixed rent payments shall be paid each month, in advance, on the first day of each month or on the first Monday of each month if the first day falls on Saturda y or Sunday . A penalty fee of $10 .00 per day or pan thereof shall be charged for each day or pan thereo f that the rent is past due, until 12 :00 midnight on the 14th day past due . If the rent payment is not receiv ed by midnight on the 14th day past due, the Trainer shall be in vi olation of the terms of this Agreement, and subject to tcnnination . Section 11 . UTILITIES . The Trainer will be respon sible fort .-,ent y percent (20%) of all utility co sts for the entire building. Secti on 12 . JANlTORJAL SERVIC,.3 AND TRASH REMOVAL . Cit y shall be res pons ible for the re asonabl e cos t of tra sh removal and janitorial se rvi ce {provi ded seve n (7) day s a week) for the Leased Premises . Nothing in thi s Paragraph shall dimini sh th e Trainer's requirement s set folth in Paragraphs 9 and 10 . Section 13 . PARKING FACILITIES. a) The existing parking facility adjacent to tl,e Golf Course Clubhou se (hereinafter called "parking fac ilit y") sha ll be open for i.se by Trainer an d its customers ; such right of use of the said parking faci lities shall be non-exclusive right. b) City shall at its own expense maintain the parkin g facility, whi ch shall include snow rcmo\la l when necessary . Sec ti on 14. SIGN S. Any signa ge fo r the leased premi se shall be th e so le responsibilit y of th e Trainer . All signage mu st be approved by th e Director of Park s and Rec reation or his dcsignee . Secti on 15. AD DITI ONAL FACILIT IES AND EQUIPME NT . Trainer sha ll have the right to insta ll ad diti onal facili ti es an d equipment wit h the consent of th e Director of Parks and Rec rea ti on or hi s designec . Pennanently att ac hed fixtures or equipr,1en1 sha ll become propen y of the City upon tennination of the lease . Permanently attached fixture s arc considered to be any item that ca uses damage to the buil ding upon removal. Section 16 . SECURITY . Trainer is res pons ibl e for the obt aining of theft insurance covering equipment, supplies and personal property of Trainer . Such policies shall contain no right of subrogation aga inst the City. Trainer shall provide a copy of the policy to the Director of Parks aud Rec reation . Additional costs for sec urity, as required by the Director of Parks and Recreation or his designce , shall be the responsib ility of the Trainer. Sectjon I 7. PERSONNEL. n) Trainer shall at its own expe ns e employ such qual ified personn el as may be • nece ss ary for the trainin g operati on and shall require all personnel to be clean , polite, • and court eo us in their transactions with the public . b) Trainer shall gi ve personal supervis ion and direct ion to the operati on of th e Trai ning Ce nter and, when abs ent , keep competent personn el in charge . c) City shall not be responsib le for the wages or salaries of any empl oyee or representa ti ve of Tra in er, nor for &ny debts, li abilities Jr other obligations of Trainer. d) Neither the Trainer nor th e em ployees who perform servi ces purs uant to the Agreement shall be co nsidered employees , servants or agents of the City of Englewood as a resu lt of the perfonn ance of servi ces und er the Agreement. c) Violence and acts prohib ited by law committed by Trainer or employees of Tra iner shall ca use immediate tcnninati on of the Lea se. Section 18. LI CENSES AND PERMITS . Trainer , at its own expense, shall secure an y and all li censes and pennit s fo r serv ices . • • • • Sect ion I 9. IN S RANCE/IND EM' 'ION . a) Traine r agrees to fumi sh 10 City o perfonnance bond or lener of credit in the amoun t of Twen ty Thou san d Dollars ($20,000 .00) i,,ua ranteei ng faithfu l perfomiance by Trainer of all payment of rent , utility costs, etc ., along wi th all tcnns, covenants, and condi ti ons herein conta ined and compliance with applicab le Cit y ord in ances. Said bo nd shall be furni shed within 30 days of signed agreement and shall re new in effe ct for the tenn of the lease. b) Tra in er shall al Traine r's own expen se keep in full fo rc e and effect during the lenn of this Lease statuto ry Worker's Compensati on coverage . A copy of the certificate s of ins urance shall be sent to the City in care of th e Department of Risk. c) INDEMNlFICA TION. Trainer agrees to indemnify and hold hannless the City of Englewood, its Counci l, employees , insurers , and self-insurance pool , from and against all liability, claims, and denlllll~s. on account of injury, loss or damage , of any kind wha tso ever, which arise out of or are in any manner connected with Trainer, if such injury, loss, or damage is caused in who le or in part by the act, omission, or other fault of Trainer , or any officer or emp loyee of Trainer. Trainer agrees lo i:,vcstigate , handle, respond to , and to provide defense for any such liabi lity, claims, or demands at the sole expense of Trainer, and agrees to bear all other costs and expenses related thereto, including co urt costs and attorney fee s, whether or not any such liability, claims , or demands alleged are gro undless , fal se, or fraudulent. d) INSURANCE . i. Trainer is to procure and maintain, at its own cost, a policy or policies of insurance sufficient to insure against all obligations assumed by Trainer pursuant to this Lease. ii . Train er shall procure and continuous ly maintnin th e minimum in surance coverage's li sted below, with the forms and insurers acceptab le to the City of Englewood. In the case of any claims -mad e policy, the necessary retroactive dates and extended reporting period s shall be procured to mai ntain such con tinuous coverage. (A) General liability and errors and omissions insurance with minimum limit s o f one milli on doll ars ($1,000,000) per each person and one million dollars ($1,000,000) per each occurrence, plu s an additiona l amo unt sufficient to pay related anomeys' fee s and defen se costs . iii Fire and Ex tended Cover•ge In surance shall be provided by the City on th e ClubH ouse building, and extended buildings inc luded in Leased Premises , onl y. Trainer shall be so lel y responsi ble for securing and paying fo r insurance coverage on those improvements and co nt cntc; belonging tc "'miner located in or on the Lea sed Premises. Trainer hereby t:Xpressiy wah. , any cause of action or right of recovery, wh ich Trainer may hereafter have agains t City for any loss or damage to Leased Premises or to any con tents or improvemeats thereto belonging to either party, caused by fire , exp losion , or theft. 5 iv . The po li cies req uired above shall be en dorsed 10 include the Ci ty of • Eng le wood and the Cit y of Englewood's Co uncil and emp loyees as ad diti onal insured. Every poli cy required above shall be primary in surance, and any insurance carried by the Cit y of Englewood, its officers, or it s empl oyees, or carried by or provided through any se lf-insurance pool of the City of Englewood, shall be excess and not co ntribut ory in suran ce 10 that provi ded by Trainer . v. The aenificate of insurance provided to the City of Englewood shall be com pleted by the Traine(s insurance agent as evidence that policies providing the req uired coverage's , co nditi ons, and minimum limit s are in full force and effect , and shall be reviewed and approved by th e City of Englewood prior to commencement of the Agreement. No other form of cenificate shall be used . The cenificate sha ll identify thi s Agreement and shall provide that th e coverage's afforded under the policies shall not be canceled , terminated or materially c.hanged until at least 30 days prior written notice hns been given to the City of Englewood . Tho panics hereto understand and agree that the panics are relying on, and do not waive or intend to waive by any provision of this Agreement , the monetary limitations {presently $1 ,000,000 per person and $1,000,000 per occurre nce) or any other rights , immunities , and protections provided by th e Colorado Governmental Immunity Act, C.R.S. 24-10-101 ct seq., as from time to time amended , or otherwise available to the panics, th eir officers, or th eir emp loyees. A ccnificate evidencing sa id insurance poli cy shall oe kept on file with th e Depanment of Ri sk of the City and shall ha ve a provi sion that the sa me shall not be altered , amended , or canceled with out first giving written notification thereof to the Cit y thiny day s prior thereto . If in the event such Training Center facilities are nol ope n an d operable wi1hin a period of 1hin y (30) days from 1h e lime of such disaster, Trainer ha s the right 10 terminate it s co ntmct and Lea se with th e Cit y under Section 24 , Ter.nin atio n of Lease, co nt ai ned herein. Secti on 21. TERMINATION OF LE ASE . a) Thi s Lea se ma y, at any lim e, be 1erminatcd by ei1h er pany up on th iny (30) days' written noti ce to the other withou t cau se. b) The panics may tem1 ina1e the Leas e by giving th irty (30) days' writt en notice of a violat ionofparagraphsS ,6, 7,8,9, JO, II , 12, 13 , 14 ,and 15. c) Violation of paragraphs 16, 17, 19, and 20 shall be ground s for imm ediate tcnninati on of the Lease. Sec1i on 22. DELIVERY AND REMOVAL UPON TEr MINATION . Trainer will deliver the premi ses at the tennination of this Lease in as good co ndition and state of repair as when received, excep t for ord iiin ry wear and tear or loss or damage ca used by an ac l of God. Upon tcnnination , Tratncr shall have th e right 10 remove any supplie s or perso nal propeny belonging 10 or inst all ed by the opcra1or, subject, however, to any valid li en or claim, whi ch City may have for unpaid fees . Provided also that if said removal causes any damage to the premises , sa id Trainer will repair the same in a proper and sa ti sfactory manner at its own expen se. Section 23 . This Agreement ma y not be assigned and a sublea se shall nol be allowed without the wrillen consent of both parties. Sec1ion 24 . ATTORNEY FEES PREY AILING PARTY . In th e even t lh at ei th er part y to this Agreement shall commence any action agai nst the other party arising out of r: in con nec tio n with thi s Agreement, or tont esting the validity of thi s Agreement or an y provi sion of th is Agreement , the prevni lin g party shall be entit led to recover from th e ot her part y reasonable &ttomey 's fees and re lated costs, fee s and expenses incurred by th e prevail in g party in conn ecti on wi th such ac ti on or proceeding . 7 Sect ion 25. NOTI CES. Thi s Lea se, together with tl1e Exhib it A attac hed hereto : a) Contain s the entire Lease between the panics; and b} Sha ll be governed by the laws of the State of Co lora do . Section 27 . SEVERABILITY . If any clause of provi sion o f thi s Lease is illega l, invalid or unenforceabl e under present or futu re laws effec tive during the tenn of thi s Lease, then and in that eve nt , it is the intenti on of the pani cs hereto th at th e remai nder of thi s Leas e shall not be affected th ereby. It is also the intenti on of th e panies to thi s Lease that in li eu of each clause or prov ision of thi s Lease that is illegal , invalid or unenforcea ble , there be added as a pan of thi s Lease a clause or provisi on as similar in tcnns to such ill ega l, invalid or unenforceable clause or provi sion as may be possible and be legal, val id and enforceable . 8 • • • • Section 28 . CAPTI ONS . • • The cap 1io n of each Section is added as a matter of co nv eni ence only and shall not be cons id ered in the co nst ructi on of any provision or prov isions of thb Lt·-i~e. Sectio n 29. BIND ING EFF ECT . All tenn s, co nditi ons and covenants to be observed and perfonn ed by th e partie s hereto shall be applicable to and binding upon their re spective heirs, adm in is tra tors, executors , successors and assigns. In Octobe r of 2002, Tim Grove (owner TNT) leased thi s space to offer ind oo r lesso ns, club fittin gs and go lf trai nin g ses sion s. TNT deci ded to termin ate th eir co ntract in th e fa ll of 2006.
