3.RECITALS
A. Au thority, Appropriation , And Appro val
Authotity for tl1is Grant arises fro m C.R.S. §24-32-2101 et seq. Authority ex ists in the law and funds
have been budgeted, appropriated and ot,,erwise made available and a sufficient unencumbered balance
thereof remains available for payment and the required approval, clcl •11Je. and coordination have been
accomplished from and with appropriate agencies.
B. Grant ee
Grantee is an eligible recipient of Grant Funds made available by the Pr !lfam , as defined be low , and
awar1ed by this Grant. Grantee is aware of, willing and ab le to comply with all provisions specifi c to the
Progra:n, as set forth in Exhibit A and to com pl ete the Project, desc ribed in Exhibit B.
C. Purp us e an d Depa rtment 's Role
The Depan'me:1t administers fun ds made avaiiable to the Department for the purpose of enhanc ing all -
hazards emerg~ncy management plann ing/preparedness, mitigation , response and recovery capabilities
and programs in the State of Co lorado by distributing Emergen cy Management Performance Grant funds
to participating local governments and other eli gib le Grantees. The purpos e of this agreement is detailed
in Ex hibi t B.
4. DEl>'INl TJON S
The followi ng term s as usrd herein shall be construed, int erpreted, and or referenc ed as fo ll ows:
A. Effective Date
Effective Date means th e dat e thi s Grant is effective o.nd enforceab le in accordance with §2, above herein .
B. Ex hibits and Oth er Attac h1 ·1ents
Exhibit mean s the fo ll owing are atto·'.ed hereto and in co rp orated by reference herein : Exhibit A
(Applicable Law), Exhibit B (S tater,,ent of Work), and Exhibit C {Annual Program Paper and Staffing
Pat1ern ).
C. Goo ds
Goods means any physical item produ ced or man ufactured and acquired by Grantee either separa tely or in
conJ un ction with the Service s rendered hereunde r that ar e required by Lhe provisions hereof.
D. Grant Fund s
Grant Funds means the funds availabl e for distribution by the Department to Grantee for use in
connection with the Proj ect, as set forth in the Recitals and Statement of Work sections hereof. j ~

K. Work Product
Work Product means software, research, reports , studies, data , ph oto graphs, negat ives or oth er fini shed or
un fi nished docu ments, drawings, models, surveys, maps, materi al s, or work product of any l'rpe,
in clud in g drafts, prepared by Grantee in co mp leti ng the Project and in perfo rman ce of Grar.tee's otlier
obligation s hereunder.
5. TERM and EARLY TERMINATION
A. l nlUal Term-Work Commencement
Th e term of this Grant shall commence on th e lata of th e Effecti"e Date or Au gustll 2008, and
termi nate on June 30, 2009 , unless terr.1inated earli er as pro,;dd below . Grantee's or ligation s under this
Grant shall be undertaken and perform ,d in the sequenc e and ma nner set forth in Exl,lblt 8 . Performan ce
of thi s Grant shall commence as soon ,s practicable after the Effective Date .
8. Department 's Option to Exte nd
The Departmen~ in its sole discretion and upon written notice to Grantee, may un ilat eraiiy ex ten d the
term of this Grant for a period ofup to three months und er the sam e provisions as the original Grant. This
ext ension shall terminate at the earlier cf either the end of the three month period or when a replacemcat
Grant is si gned by the Parties and approved by the Sta te Co ntroller or authorize d des ignee. Any other
exten sion of the tern, of this Gran t requires an am endment made in accordan ce with §2 ! (B )1 be low
herein.
C. Early Termination
This Grant is subject to earl y termination in accord,nce with § 17(B), §9(B)(i ii ), and §22 (2), all set forth
be low herein . ·
6. STATEMENT of WORK
Grant ee shall co mpl ete the Projec t and perform its other obligation s as described herein and in Exhibit B.
Grantee shall prosec ute its ob ligaticns hereunder and in Exhibit B wi th du e diligence to co mpleti on. Th e
Departmen~ in its sole discretion, but in accordance with limitation s imposed by th e Office of th e State
Controller, may chan ge budgetary lin es in the Proj ect Bud get section of E xhibit B. Th e Department shall
send notice of such cha nges within 60 day s in accord ance with § 18 , below herein .
7, MATCHING FUNDS
A. Amount
Grantee shall provide mat ching fund s as provided in Ex hibit 8 . Grantee sha ll ra ise th e full amoun t of
matcJ,;n g fund s durin g the tenn of thi s Gra nt and sha ll report to th e Department regardin g the stn tus of
such fun ds as required in Ex hibit B.
8 . llrcac h
Gra ntee's fa ilu re to rai se matchin g fund s, to keep reco rd s, and/or to report may affect its co ntinu ed
parti cipa ion in the Program und er whi ch this Grant opera tes. In ad diti on, the Departmen t ma y termi nate
thi s Gran · under the Termi nation for Cause .ubsection of§ 17, be low herein, if the Departmen t hos
reasonable evidence that Grantee will be unable to raise such mat ching funds during the term hereof.
8. GRANTEE FlNANClAL MANAGEMENT
A. Accou nts
Gra nte e sha ll ma intain prope rly segrega ted acc ounts of Grant fu nds, matching funds, and other fun ds
associated wi th the Project and make those re cord s available to the Department on request. All rece ipts

9. PAYMENTS TO GRANTEE
Grantee shall be pa id in the followin g amounts and manners , subject to return of any une,:pend ed Grant
Funds:
A. Maximum Amount
The m axi mu m amour t payable und er this Grant to Gran tee by the Department shall b e $24,000.00, as
determ ined by the Department from available funds. The Department shall reimburse Grantee for costs
approved in the Grant budget, set forth in Exhibit B. Satisfactory perfo rman ce un der the tenns of this
Grant shall be a co nd ition precedent to th e Department's obligation to reimburse Grantee .. The maximum
amount of Grant Funds payab le as reimbursement un der this Grant, and ar1 y extension here of, shall
in clude all Gra nt ee's fee s, .::osts a!'ld expenses.
B. Pay me.\t
All payments are subject to the § 17 of this Grant.
i . Method and Tim e
Grantee periodically shaU submit invoices to the Department in the form and manner set forth in
Exhibit B, and anach timesheets, receipts and other requested documentation in the form and
manner approved by the Department. Grantee shall sub mit request for reimbursements/invoices
within 30 days after the end of the per iod fo r which payment is requested, and f.nal billings und er ~ •
this Grant shall bt received by the Department within 45 days after :ermin ation here of. Untimely ~ •
requests for payment may be accepted at the so le discret ion of the Department.
ii . Electronic Funds Transfer
Payments shall be made by one of th e following methods:
a) by mutually agreeab le method including in-person pi:b1p,
b) electroni c funds transfer (EFT) if Grantee provides wri tt en EFT ins tructi ons to the Department on a
fonn acceptable to the Departme nt, or
c) via the U.S . Postal Service or other delivery servi ce to the address specified by Gran ·e in the
remittance address section of Exhibit B.
iii . A \'ailnble Jiund s-Contingcncy-Tcrmination
The Deprutm ent is prohibited by law from makin g fi sc al commitm ents beyond the term of the State 's
current fisca l year . TI1erefore , Grantee 's compe nsat ion is contingent upon the continui ng avai la bili ty
of S tal e appropriat ion s es provi ded in §2 of the Co lorado Spec ial Provi sion s, se t fC'1th be low . If
federal fund s are used wi th this Grant in whole or in part, the Dep artment's perfonnance hereunder is
conting en t upo n th e continuing availability o! ,·,ch fun ds. Payments pu rsuant to thi s Grant sha ll be
made on ly from availabl e fimd s encumbered for uis Grant and th e Departm ent 's liability for such
pay ments shall be limited to the amount rema inin g of such encumbered fund s. If Stale or fede ral
fun ds are not ap propri ated, or otherwi se become unav:i.ilabl e to fund thi s Gran t, th e Depa11m ent may
immedi ately terminate this Grant in who le or in pnrt without furth er liability in accordnn ce with
§ 17(B), below herein .
i 11• Erroneous Payments
Pa yments ma d~ to Grantee in error for any reason , including , bu t not limited to overpayments or
ir npropcr pa ym ents, at th e Department's sole discreti on; may be recovered f1vm Grantee by
deductio n from sub sr quenl pay men t under this Grant or other grants or contra cts between the j liil
Department and Grantee or by other appropriate me th od s or co ll ected as a debt du e to th e 11'

C. Unexpended Funds
I. Return
Any Grant Funds paid to Grantee and not expended in connectio,, with this Grant shall be refunded
by Grantee to the Department within 15 days oftennination of this Grant. If Grantee receives Grant
Funds hereunder during any fiscal year in excess of its spending limit for such fiscal year, Grantee
shall refund all excess Grant Funds to the Department within 15 days of the later of (a) the receipt of
such Grant Fund s or (b) the determination of such excess . Under no circumstances shall unexpended
or excess Grant Funds received by Grantee under this Grant be refunded or paid to an y party other
than the Department
ii. De-Obligation
Any Grant Funds not required to e<>mplete Grantee's obligations hereunder shall be de-obligatec by
the Department. The Department shall send notice of such de-obligation within 60 days in
accordance with § 18 , below herein.
Iii.Offset
If Grantee fails to return unexpended funds the Department may offset the amount not returned
against any other unpaid funds the Department owes Grantee under a.1y other gran, contra~ or
obligation be:Ween the Parties.
JO . REPORTING AND NOTIFICATION
Reports and analyses required under this section shall be made in accordance with procedures and in such
form aa prescribed by the Department.
A. Performance, Pro~ress, Personnel, and Funds
Grantee shall comply with all reporting requiremenb 1 set forth in Exhibit B.
B. Lltlgadon
Within 10 days after being served will) any pleading related to this Grant or the Projec, in a legal action
filed with a court or administrative agency, Grantee 1hall notify the Department of such action and deliver
copies of such pleadings to the Department's principal representative in accordance with § 18, below
herein. If a Department principal representative is nc t then serving, such notice and copies shall be
delivcral to the Executive Director of the Deparbnct I.
C. Noncompliance
Grantee's failure to provide reports and notify the De oartment in a timely manner in accordance with this
section may result in the delay of payment of funds aul/or termination under §I 7 of thi s Grant.
11. GRANTEE RECORDS
Grantee shall make , keep , maintain and allow inspection ar.d monitoring of the following rec ds:
A. Maintenance
Grantee shall maintain a complete file of all records , docc·ments, comrr,unications, notes and other written
materials , electronic media fi les, and communicstions, pen'lining in any manner to the Project or the
delivery of Services (including, but not limited to the operab:m of programs) or Goods hereunder.
Grantee shall maintain such records (the Record Retention Per:od} until the last to occur of the following :
I. a period of three years after the date this Grant is completed or terminated, or
II. final payment i. made hereunder, whichever is later, or
lli. for such further period as may be necessary to resolve any pending matters , or
iv. if an audit is occurring , or Grantee has received notice that an audit is pending, then until such auciit
has been completed and its findings have been res olved
B. Inspecdon
Grantee shall permit the State, the federal government or any other duly authorized agent of a
governmental agency to audit, inspec, examine, excctpt, copy and/or transcribe Grantee's records related
lo this Grant during the Records Retention Period to assure compliance with the terms hereof or to
evaluate Grantee's performance. The L ,partment reserves the right to inspect the Project at all reaaonable
times and places during the term of this Grant, including any extension. If the Project does not conform to
Grant requirements, the Department may require Grantee promptly to bring the Project into conformity
with Grant requirements, at Grantee 's sole expense. If th e Project cannot be brought into confonnance by
re-performance or other corrective meaS'Jres, the Department ma y require Grantee to take necessary

C. Mon ito ring
Gra ntee al so shall permit th! State, the federal govc::mrnent or an y othc::r du ly au th orized agent of a ~ ~
governmental agen cy, in the sole discreti on of such govern mental agency, to monit or all artiv:i.ies
condu cted by Grantee pU! ~uant to this Grant , us ing an y reasonable procedure, at the d1scn .i.1on of such
governmen tal agency , in clu ding, but not limited to : internal eva lu ation procedurcs 1 examination o;
program data1 special anal ys es, on -site check.ing 1 and formal aud it examinations . All such monitoring
sha ll be performed in a manner which will not undul y interfere with Gran tee's performance hereu nder .
D. Fin al Audit Reporl
If an audit is performed on Grant ee's reco rd s for any fis ca l year co vering a portion of the tenn of this
Grant, Grancee shall submi l one copy of th e final audil report lo th e Department 's prin cipal represe n1a1ive
al th e ad dress specified in § 18, below herein .
12. CONFIDENTIAL INFORi'l'1ATION-STATE RECORDS
Grantee acknowledges that it may be com e privy to confidential infonnation in connection wi th its
perfonnance hereunder, including but not limited to State record s1 personnel reco rds , and information
concerning individuals ("Confidencial Information"). The following applies ifGra n1ee receives confiden 1ial
information :
A. Co nfid entia li ty
Grantee shall keep all Cor,fiden1ial Information confidential at all times and comply with all laws and
regulations concerning confidentiality of information to th e sal':'le extent ap plicable lo the Department.
Any requesl or demand for information in the possession of Grancee mad e by a third party shall be
forwarded immediatel y lo th e Department 's principal represenlative for resol ution .
B. Noti fi cation
Granlee shall notify each of its agmts , employees, sub-grnnlees , subcontraetors end as si gns (each a
"Related Party") who mey come into contacl with Confidential Information thal such party is subjecl to
the confidentiality requirements set forth herein, and shall provide eac h Re lated Party with a written
explanation of such requiremenc s before permitting such party to access any information of the ~ -
Department .
C. Use, Sec urity, and Retentio n
No Confidential Information of any ldnd shall be distribu1ed or so ld to any third party or used by Gronlee
or a Related Party in any way , ex ec-pt as authorized by this Grant and as approved by the Department
Grantee sha ll provide and maintnin a secure environment that ensures confiJ!ntiali ty of all St~le 1-:":C'Jrds

Department. lf such breaches cannot be, or are not cured, th e Department may, in addition to any other
remedies pro vioed fo r in thi s Grant, require Grantee to ta ke necessary action to ensure that fu ture
pe rform ance conforms to th e prov isio ns of thi s Grant; and equitabl y redu ce th e payment du e to Grant ee to
refle ct th e. reduced value of the Project. An y rcducti nn, delay or denial of p2yment under this provi sion
shall not con stitut e a breach of Grant or default by th e Department.
JS. lNSURANCE
Grantee an d its sub -grantees and subcontractors shall obtain and maintain insurance as specified in this
section at all tim es during the tem1 of thi s Grant: All policies evidencing the insurance coverages required
hereunder shall be issued by insuran ce companies sa:isfactory to Grantee and the State.

If Grantee is a "public entity" within the me aning of the Colorado Governmental Imm unity Act, CRS
§24-10-10 I, et seq., as amended (the Governmental Immunity Act"), then Grantee shall maintain at

All insurance policies in any way related to the Grant and secured and maintained by Grantee's sub-
grantees or subcontractor s as required herein shall include clauses statin g th at each carrier shall
waive all rights of recovery, under subrogation or otherwi se , against Grantee or the State, its
agencies, insti tutions, organ izations , officers, agents , employees , and volunteers .
C. Ce rtificates
Each of Grantee's subcontra ctors and subgrantees shall provide certificates showing insurance coverage
required hereunder to Grantee within seven business days of the Effecti ve Date, but in no event later than
the commencement of the Service s or delivery of the Goods under the subcontract or s ub grant. No later
than 15 day s prior to the exp irati on date of an y such covera ge, each sub contractor or s ubgrantee shall
deliver to Grantee cenifi cate s of insurance evi dencin g ren ewals thereof upon request by the Department
or at any other ti me duri ng th e tenn of a subcontract or subgrantec, Grantee may request in writing, and
the subcontractor or subgrant ce shall thereupon witltin 10 days suppl y to Grantee, evidenc e satisfactory to
Grantee nnd the Department of complian ce wi th the provi sion s of this section .
16. DEFAULT-BREACH
A. Defined
In ad di tion to any breaches or defa ul ts spec ifi ed in other sections of thi s Grant, including , bu t not limited
to the §2 2 below herein , the failure of either Pany to perfonn an y of its material obligation s hereunder in
wh ole or in part or in a timely or satisfactory manner , constitute s a default or brea ch. Th e institution of
pro cee dings under any bankru ptcy , inso lve ncy, reorg ani zation or simi lar legis lation, by or aga in st
Grantee, or the appo intm ent ofa rece iver or similar offi cer for Grantee or any of its property, whi ch is not
vacated or fu lly stayed wi thin 20 days after the in stitu tion or occ urrence thereof; shall al so constitute a
defa ul L
B. Notice and Cure Period
In ti,e even t of a de fau lt or breach, notice of such shall be given in writing by th e aggrieved Purty to th e
oth er Pa ny in th e mann er prov id ed in § 18, be low herei n. If such defaul t or breach is not cured within 30
da ys of receipt of written no tice or, if a cur e cann ot be completed within 30 days, cure of the default or
brea ch has not beg un with in said perio d and pursued wi th due diligence, the aggr iev ed Pany may
tenninate th is Gran t by prov idi ng writte n notice thereof, as pro vided fo r in § 18 , below here in, spec ify in g
th e effecti ve da te of the tenninati on. Notwi thstand ing anyth in g to th e contrary herein , th e Departm ent , in

obligations as arc necessary to do so within the Gran t teems. In the sole discretio n of the Depanment,
Grantee shall ass ign to the Dep artment all ofGrantec1s righ t, title, and interest under such tennin ated
orders or subc on tr acts . Upon tennination , Grantee shall t'1ke timdy, reasonabl e and necessary action
to protect and preserve property in th e possession of Gra:1tee in whic h the Department has an
int erest. All materi al s owned by the Department in the po ssession of Grantee shall be imm ediately
returned lo the Department. All Work Product, at the option of the Department, shall be delivered by
Grantee lo the Department and shall becom e the Department's property.
ii. Payments
The Dopa-tment shall pay Grantee onl y for accepted performan ce received up to th e dat e of
termin ation. If, afte1 termination by the Departm ent, it is determined that Grantee was not in default
or that Grantee 's action or inaction was ext;usable, such terminatio n shall be treated as a tcnnina tion
in the public in terest and the rights and obligation s of the Parties shall be the same as i: this Grant
ba d been tcrrnin•t.ed in the public interest, as described in § I 7(B ), below herein.
iii. Da mages and W ithho!ding
Notw ithstanding any other remed ia l action by the Department, Grante e also shall remain liable lo th e
Department for any damage s sustained by the Department by virtue of an y default und er thi s section

B. Ear ly Termination for the Publi c interest
The Department is ent ering into this Grant for the purp ose of carrying out the public po licy of tho State of
Co lorado , as determined by its Go vernor, Ge neral Ass embl y, and Co urts. If thi s Grant ceases to further
the public poli cy of th e Sta te, th e Departme nt, in its sole di scretion , may termi nate this Grant in whole or
in part . Exe rcise by th e Departm ent of thi s right shall not be dee med n breach of th e Dcpmtme nt's
obligation s hereunde r. This subsection shall no t npply to a terminati on of th is Grant by the Departm ent
fo r cause or defa ult by Grantee. which shall be governed by§ I 7(A), nh ove herein .

accep table goods are provided .

Deny payment for those Services not pcrfonned and/or Goods not provided and whi ch due to
ci rcumstances caused by the Grant ee cannot be performed or provided or, ifperfonned or provided,
wou ld be of no va lu e to the Depanme nt ; pro vided, that any denial of payment must be reasonably
related to the value of work, perfonna nce or Goods lost 10 the Department.

Demand removal of any of Grantee's employees, agents, or subcontractors whom the Department
deems incompetent, careless, insubordi nate, unsuitable, or oth~ise unacceptable, or whose

A. Assignment
Except as otherwise specifica ll y provided in Exhibit A, Grantee's ri ghts an d obligations hereunder are
personal and may not be transferred , assigned or subcontracted , without th e prior, written consent of th e
State. Any attem pt at assignment , transfer , subcontracting without such consent shall be void. All
as signments, subco ntrac ts/subcontractors approved by Grantee or the State shall be subject to the
pro visions hereof. Grantee sha ll be solely responsible for all aspects of subcontracting arrangements and
performance.

the slate. Grantee shall pay when due all required employment taxes and income taxes nnd local head
taxes on any monies paid by tl1e state pursuant to this Grant. Grantee aclrnowledges that Grantee and its
employees are not en titled to unemployment insurance benefits unless Grantee or a third I 1rty provides
such coverage and that the state does not pa)' for or otherwise provide such coverage . Gnntec sitall have

as expressly set forth herein. Grantee shall provide and keep in force workers' compensation (and provide

Grantees must retain all procurement and payment docum entation on site for in spection . This shall
inc lude , but not be limited to, pu rc hase o:-ders, receiving documents , in voices, vo uchers 1
eq ui pment/servi ces identifi cation, and ti me and effort reports .
7.1.1.E quipmen t or tnngibl e good s. Requests for reimb ursement for tang ible personal pro perty with a
purchase price of less than $5,000 per item should in clude the invoice number , description of item
purchased (e.g . radios), and th e lo catior. and number of item s. For equ ipment items with a
purchase price of or exceeding $5,000 1 and a useful life of more than one year, the Grantee must
provid e a copy of th e in vo ice and include a uniqu e identifying number. This num ber can be the
man ufacture r's serial number or1 if the Grantee has its m.vn existing in ventory numbering system,
that number may be used. The location of the equipment mu st also be provided . In add ition to
ongo ing tracking requ irem ents, Grantee shall ensure that tangib le goods with per item cost of $500

plan approved by the appropriate authorities within the City of Englewo od and forward
copies to Arapahoe County and the State Offices of Emergency Management.
