This Intergovernmental Ag re ement ("Agreeme nt "), is made and entere d into by and between T II E BOARD OF COU 'TY COMM ISS IONER OF THE OU 'TY OF ARA PAHOE, STATE OF COLORA C'(), (the "Co unt y") and th e CITY OF ENGLEW OOD, a municipal ity and political subdi visio n of the State of Co lorado (th e "Grant ee"). WHEREAS, on Novembe r 4, 2003, th e vo ters of Arapa hoe Coun ty approved a county- wid e sales and use tax to be used fo r spec ified Open Space purposes as se t fonh in Count y Reso lut ion No . 03038 1; and WHEREAS, Re so lut ion No. 030381 authorizes th e Co unt y to award grants of fund s from th e Open Space Sales and Use Tax ("Gran t Fu nd s") to be di stribut ed to muni cip alitie s and spec ial di str icts, as more full y set fo nh th erein; WHERE AS, on May 20, 2008 th e Count y ap pro ved the Grantee 's Pr oject App lica tion , whi ch is attac hed hereto and incorporated by refere nce herein as Ex hibit A, ("Projec t App licatio n"), subject to the exec uti on of an intergovernmental agreeme nt and subject to the term s and conditions contained here in ; WHEREAS, the County de sires to ent er int o int ergovernme nt al ag reeme nt s, as a cond iti on of grnnt approva l, with such municipalitie s and special districts th at have been apprO\'cd for gra,11s from th e Coun::•: and WHEREAS, th ese inter gove ri:ment al agreements are aut horized by Arti cle XIV, Sec ti on IS of the Colorado Cons tituti on and COLO . REV . STAT . § 29-1-203. NOW , THEREFORE, the Cou nt y and th e Grantee agree as fo ll ows: I . Amount of G, ant . The County agrees to provide Grantee wi'.h Gran t f und s in th e amount not to exceed $ 250 ,000 from th e Arapa hoe Co unt y Open pace, Parks and Trail s Grant Program fo r the Platt e Riv er Bike / Pedestri an Brid ges (''Grant Projec t''). 2. se of Grant Funds. The Grantee agrees that it shall only use th e Grant Fund s fo r the Grant Project, as set forth in Exh ibi t A. 3. Time Fo r Use of Grant Funds. Th e Grant ee ag rees that such Gran t Fun ds will be ex pended by no later than one year from th e date of thi s Ag ree ment , un less a longer peri od of tim e is othe rwise agreed to by th e Co unty in writin g. 4. J.D.teres t on Gran t Funds . The Grantee further agrees that, after receip t of it s Gr,1111 , the Grantee will use any inter est earned on the Grant on ly fo r th e Grant Projec t as se t fonh in it s approved grant applica tion . E X Ii r B I T 5. Admini strat io n of Grant Proicc l. Th e Gran tee shall be respo nsible fo r th e dir ect supervi sion and admi ni stra tion of the Gran t Projec t. The County shall not be liab le or respo nsible for any cos t ovc rnin s on th e Grant Projec t. Nor shall th e Cou nt y shall hav e an y duty or obligati on to provi de an y additiona l fund ing fo r th e Gran t Projec t if th e Grant Proj ec t cannot be completed with the amoun t of Gran t Fund s awarded by the County to th e Grante e. 6. Grant Proj ec t Site Visit s. Upon 24 hours wr itt en notice to th e Grant ee, the Gran tee agrees to all ow th e Coun ty to make si te visi ts before, d uring, at th e comp 1et ion of and/or after th e Gran t Project. 7. Acknowledue ment of Countv bv Grantee . The Gra ntee ag rees to ack now led ge the Coun ty as a contribut or to the Grant Projec t in all publi cati ons, news relea ses and othe r publicit y issued by th e Gra nt ee related to th e proj ect and ag rees to allow !he Cou nt y to do th e same. If any events arc planned in regard to th e Grani Projec t, the Co unt y shall be ac kn ow ledged as a con tr ib utor in th e in vita ti on to such even ts. Gran tee sha ll coopera te with th e Count y in preparin g public info rm ation pieces , pro vid in g pho tos of the Grant Projec t from time to tim e, and providing access to th e Grant Project fo r pub licit y purp oses. 8. Required Sign at Project Si te. Grantee agrees to erec t and perman entl y maintain at lea st one sign in a pub licly visib le area in recog ni tion of the gra nt from th e Arapahoe Co un ty Ope n pace Program. The location , form, design, and wording of such sign shall be appro ved by th e County . Su ch sign shall be erecte d pri or to th e comp letio n of th e Grant Project or it s publi c ope ning , wh icheve r is th e earli er. 9. Repo 11 Requirement s. On or before Jn nu n11• 3 1, 2009 the Grantee ag rees to prov id e th e County with an an nu al updat ed repon th at de scrib es th e amoun t of pro gress in co mpleti ng th e Gran t Projec t, Gran t Proj ec t mil es tones, and the use of th e Grant Funds to date . Upo n comp leti on of th e Gran t Pr oject, th e Grantee also ag rees to subm it to th e Co unt y a final repo n , inc lu di ng a cover lette r that cenifies what th e Grant Funds have bee n use d for and th at the Grant Fund s have been used in accorda nce with Co un ty Resolution No . 03038 1. Th e final report sha ll also include a detail ed project su mmary along with high reso luti on photograph s of the va ri ou s stages of th e Gran t Projec t deve lopme nt and it s co mp letion . Th e Grantee fu nher agrees to provide the County with an electronic copy of the final repon , in cl udi ng sep arate high reso luti on digita l photograph s. Th e fin al repol1 shall be submitted wit hin th ree (3) mont~s of µr 0jcc t comp letio n unl ess a longer per iod of tim e has been agree d to hy th e Co un ty in wr it ing. The County shall be all owed to use info rm ation and phot ogra ph s fr om repol1 s in publication s, public in formation c.pda tes, and on th e County 's web site. 10. Failure to ubmi t Required Re pons. Upon ,ritt en notice from th e Co unt y's Open Space Manage r, in for min g th e Grantee th at it has fa il ed to su"'l'l it any requir ed annua l upda te re po rt and/or final repon, the Gra nt ee shall submit such repor!s to 1hc County th roug h th e Coun ty's Open Spa ce Manager within thi ny (30) days, and , if it foils to do so, the Gra nt ee sha ll be deemed to be in violati on thi s • • • • • • II. 12. 13 . 14 . 15. .-\grcemcnt. The Grantee shall maintain a complete se t of boo ks and records doc um en ting it s usc of th e Grant Fund s and its supe rvision and admi ni stra ti on of the Gran t Project. The County or any of it s dul y auth orized repr esen tati ves sha ll have reaso nab le acce ss to an y books, docu ments, pap ers, and records of the Grantee which arc pertine nt 10 th e Grant Projec t fo r th e purpose of maki ng an audi t, examination, or exce rp ts . The Grante e shall kee p all books, doc uments, pape rs, and records, whi ch ar e pertin en t to th e Grant Proje ct , fo r a minimum of three yea rs. Reimbursem ent of Grant Fund s. The Grantee un de rstand s and ag rees th at if the Grant is not use d in acco rdan ce with it s approv ed Grant App li cat ion and /or thi s Agre ement, the Cou nt y may re quire th e Grant ee to reimburse the County in the amo unt of suc h Grant Fund s tha t are not used for the Grant Proje ct. Remedie s. The right s and remedie s of th e Co unt ) ,s set forth in this Agreement shall not be exc lu sive and are in addition to any oth er ri ght s or remedie s provided by law. No Waive r of Right s. A waiver by eithe r pany to thi s Ag ree men t of th e br eac h of any term or prov ision of thi s Ag reeme nt shall not operate or be con strued as a wai ver of any subseq uen t breach by eith er part y . Chan1>es to Grant Project. Th e Grantee agrees and und erstands th at it s Grant Project, once it has bee n approved by th e Cou nt y, may not be ch ange d with out the Cou nt y 's prior approval. Changes mu st be req ues ted in writing and ma y not begin unt il an amendment to this Ag ree men t ha s been approved by th e Count y. 16. Tra ns fer of Int ere st in Gra nt Proj ect. The Grantee und erstand s and agrees th at no land or in teres ts acquired with th e Grant Fund s as part of the Grant Project may be so ld, leased, trad ed , or oth erwi se co nveyed, nor may an excl usive lic ense or permit on sa id land or interests be give n, wi th out prior approval of th e Grantee 's govern ing body after conduct in g a public hearing . Th e Gra ntee furth er agrees if such sa le, lease, trade or co nveyance is ma de or an exclu sive li ce nse or interes t has been given , th e proceeds shall be dcpos ;t ed in an ope n space fund to be use d for purpose s co nsistent with Reso lution No. 03038 1. Should any one or more pro vis ions of thi s Agree ment be determined to be illegal or unen fo rceab le, all ot her provisi ons nevenhe lcss shall remain effec ti ve; provided , howev er , th e pani cs sha ll fort hwit h en ter into goo d faith negotiat ions and pr ocee d wit h due dili gence to draft a pro visi on that will achi eve th e ori ginal int ent of the oartie s hereunde r. 21. At Confluence Park the Platte River Trails tie in!o the Cherry Creek Trails with access to downtown Denver and south ea st to Cherry Creek State Park. North of Confluence Park th e Platte Trails continue through Adam s County to Brighton . Many re creational rid ers also ride south through Englewood and Littleton into Chatfiel d State Pa rk. The Mary Carter Greenway Trai l intercep ts several significant easVw es t trails , including: Big Dry Creek. Bear Creek and C-470. The propose d Dartmouth B ike/Pedestrian Bridge crosses the South Platte River and links the Little Dry Creek tra il directly to the Mary Carter Greenway Trail. The new bridge eliminates the use of a circuitous route via •,J narrow sidewa lk on the West Dartmouth Avenue vehicle bridge . That bridge seems daunting to recreation riders and pedestrians because the road links a warehouse and commercial district to U.S. Highway 85 carrying many trucks . I understand the City is applying for fund s 10 build two bridges along the Mary Carter Greenway . The fir st brid ge will be just north of Oxford and has been on the long-ron gc mn.1;tcr plan sin ce the earl y I 980s . This bridge is important due to the safety concerns of mi xing golfers nnd Greenway users . Currently. all users utilize one bridge, which WllS really intended to be used only by the gol fin g public . Go lf cans and bikes really don't mi x. well, and neither do the pedestrians who wnlk or jog the Greenway . South Suburban fully endorses the grunt monies towards construction of thi s brid ge. The second bridge will be an ca.st-west feeder from Englewood 's Linlc Dry Creek Trai l. Currently lrail users must ve nture onto Dartmouth Avenue to access the Greenway; 1his very busy stretl has lots o£truck activity .
