AN ORDINANCE APPROVING AN "INTERGOVERNMENTAL AGREEMENT
REGARDING COLLECTION OF SPECIAL AS ~ JSSMENTS LEVIED BY SOUTH
BROADWAY ENGLEWOOD BUSINESS IMPROVEMENT DISTRICT ' BETWEEN
THE SOUTH BROADWAY ENGLEWOOD BUSINESS IMPROVEMENT DISTRICT
AND THE CITY OF ENGLEWOOD .
WHEREAS, the South Broadway Improvement District was authorized with the
passage of Ordinance No . 29, Serie s of 2006 by the City Council of the City of
Englewood, Colorado; and
WHEREAS, the District is authorized to impose special "'" ;sments upon real property
located within the boundaries of the District to defray all or any portion of the costs of
providing services ; and
WHEREAS, the District has adopted a resolution authorizing the imposition of special
assessments on real property located within the boundaries of the District ; and
WHEREAS, the pa ssage of this Ordinance will fonn alize the procedures by which the
Englewood City Treasurer will collect the annual special assessments of the Di strict and
remit the same for deposit into the general operating account of the District;
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
ENGLEWOOD , COLORADO, AS FOLLOWS:
Section I: The "Intergovernmental Agreement Regarding Collection Of Special
Assessments Levied By South Broadway Englewood Business Improvement District" by
the Englewood City Treasurer, attached hereto as "Exhibit I". The Intergovernmental
Agreement is hereby accepted and approved by the Englewood City Council.
Section 2. The Mayor is authorized to execute and the City Clerk to attest and sea l the
Agreement for and on behalf of the City of Englewood.

INTERGOVERNMENTAL AGREEMENT REGARDING COLLECTION OF
SPECIAL ASSESSMii.NTS LEVIE& BY SOUTH BROADWAY ENGLEWOOD
BUSINESS IMPROVEMENT DISTRICT
This Intergovernmental Agreement Regarding Collection of Special Assessments
Levied by South Broadway Englewood Business Improvement District (the
"Agreement") is entered into by and between the South Broadway Englewood Business
Improvement District, a quasi-municipal corporation and political subdivision of the
State of Colorado (the "District") and the City of Englewood, a _______ _

RECITALS
WHEREAS, the City, by ordinance adopted in accordance with C.R.S . § 31-25-
1207, has declared the District organized ; and
WHEREAS, the District is authorized to impose special assessments wholly or in
y.ut upon real property located within the boundaries of the District to defray all or any

WHEREAS, C.R.S . § 31-25-1219(2)(d) authorizes the "municipal treasurer" to
collect said special assessments upon agreemeni of a municipality and the District; and
WHEREAS , ~e Distri ~(s (?!>Cratin~ Pian imd Budget anticipates that the District
will collect a special assessment in each year to fund the provision of services; and

WHEREAS, the District desire~ ~o.enter intQ this _Agreement in order to fonnalize
the procadures by which the City Treasurer wm ·couecf the annual special assessments of
the District and remit the same for deposit into the general operating account of the

WHEREAS, the City desires to enter into this Agreement pursuant to C.R.S. § 31-
25-12l 9(2)(d).
AGREEMENT
The Parties now agree as follows:
I . The District shall annually, in accordance with tlie procedures set forth at
C.R .S. § 31-25-12 I 9(2), adopt a resolution setting the special assessment for the next
immediately following calendar year (the "Annual Assessment"). The Parties
acknowledge and agree that the District has adopted the Annual Assessment for 2007, a
copy of which is attached hereto as Exhibit A.
A. In each year during the term of this Agreement, the District shall
be responsible for mailing the notice required by C.R.S. § 31-25-l219(2)(c) following
adoption of the Annual Assessment
B. In each -year during the term of this Agreement, the District shall

immediately following calendar year . (the . "Assessment Resolution") and the local
assessment roll required by c ·.R.S . § 31-25-12!9(2j(b) (the "Local Assessment Roll") to
the City Treasurer no later than December 31st of the year in which the resolution
authorizing the Annual Assessment for the .next immediately following calendar year is •

2. In any year in which an Annual Assessment is imposed by the District, t)le

due on or before the last day of February, and the second installment being due not later
than June 15. Any ·assessrnent'iiot paid .whe11 due shall become delinquent thirty (30)
days after the due date arid shal l ~w interest ~f the rate estabiished pursuant to C.R.S.
§§ 5-12-106(2) and (3),'from the' d~te -~fdelinquency until paiu in full; provided that if
the full amount of the ~ssessment is p_aid in ,a single payment on or before the last day of

The City Treasurer shall, in each year of this Agreement, mail the collection
notices to those property owners identified on the Local Assessment Roll no later than
January 31. Each collection notice shall also include a self-addressed envelope in order
that the property owners subject to the Annual Assessment may arrange to remit the
Annual Assessment to the City via regular U.S. Mail.
4. In each year during the term of this Agreement the City shall track the
receipt of the Annual Assessments, and shall provide an accounting to the District of all
Annual Assessments that have been received through at least the following dales : (a)
April 30; and (b) June 15 . Each such accounting shall summarize the Annual
Assessments received through the date of the accounting, and include a list of property
owners who have paid, or have not paid, the Annual Assessment through the date of the
accounting . The City shall deposit the Annual Assessments received on no less than a
weekly basis, by depositing the same directly into the District's general operating account
(account no . 02341841004, Colonial Bank, 3501 S. Broadway, Englewood).
5. In the case of.a _de~3:ult.in the p~yme!!t of. any ~~ Assessment, the City
Treasurer shall ce,tify to the ,Arl\Pahoe .Co;un!}'. Treasurer the whole amount of the unpaid
assessments , including any and all interest due and payable pursuant to paragraph 2 of

14 . Severabjlity. If any covenant, term, condition, or provision under this
Agreement shall , for any reason, be held to be invalid or unenforceable, the invalidity or
unenforceability of such covenant, term, condition, or provision shal l not affect any other
provision contained herein, the intention being that such provisions are severable .
15 . Countemarts · Facsimile Signatures . This Agreement may be executed in
one or more counterparts, each of which shall constitute an original and all of which shall
constitute one and the same document. This Agreement may be signed by facsimile
signature, which shall have the effectivene ss of an original signature.

COUNCIL GOAL ANO PREVIOUS COUNCIL ACTION
The Council has discussed the South Br oadway Englewood Busin ess Improvement District
(S BEBID ).on numerous occasions . Council authorized th e SBEBID wit h the passage of Ordinance
29, Series of 2006 .
RECOMMENDED ACTION
Staff recommends Coun cil pprove the attached bill for ,,rdinance apprc,vlng an intergovernmental
agreeme nt with th e Sou th Broadway Englewood Business Improveme nt Dist rict.
BACKGROUND, ANALYSIS, ANO ALTERNATIVES IDENTIFIED
Some of the highlights of the Int ergovern mental Agreement addr~ss issues relating to :
• Requirement of th e SBEBID to adopt special assessments annually for collecting in the
fo llowin3 calendar yea r.
• Requirement of th e SBEBID to provide a copy of the special assessment to the City
Treasurer.
• Defining pay ment dates and delinquen cies.
• The requ ired billing inclusions.
• Instru ctions for making checks "payable to ".
• Mailing of billings (no later than January 31 ).
• Collecting, depositing, and rep orting receipts.
• Certifying defaulted accounts to Arapahoe County.
• Prov isions for the annual payment to the City to defray costs incurred whi le performing its
obligations.
FINANCIAL IMPACT
The City will be paid the lesser of 1.5 percent of the annual assessments or $2,000.00 to administer
the collection of the special assessments. City slaff does not ex pect expenditures to exceed this
amount.
