AN ORDINANCE AUTHORIZING AN INTERGOVERNMENTAL AGREEMENT
REGARDING 2007 GRANT OF ARAPAHOE COUNTY OPEN SPACE PROGRAM FUNDS
FOR BELLEVIEW PARK PICNIC SHELTER IMPROVEMENTS BETWEEN ARAPAHOE
COUNTY AND THE CITY OF ENGLEWOOD, COLORADO .
WHEREAS, Belleview Park Picnic Facilities project is pan or the initial phase or
lmplementation or the Englewood Park and Recreation Master Pl an which was adopted in 2006 ;
and
WHEREAS , the existing Belle,iew pa vilion is over thirty-five years old and will be replaced
with• state of the art ADA accessible shelter and picnic amenities allowing for more users
access to the park facility due lo a larger shelter configuration ; and
WHEREAS . the Ci ty of Englewood applied and was awarded a 2007 Arapahoe County Open
Space Program Grant ; and
WHEREAS, the passage or this Ordinance will au thorize the acceptance or th e Arapahoe
County Grant for the Belleview Park Picnic Shelter Improvements Project ;
NOW . THEREFORE . BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
ENGLEWOOD, COLORADO, THAT :

Council.

Council has determined that Exhibit A, attached to this Ordinance, sha ll not be published
because of its size . A copy is available in the Office of the Englewood City Clerk.
~ The Mayor and City Clerk are hereby authorized to sign and attest said
Agreements for and on behalf of the City or Englewood, Colorado .

INTERGOVERNMENTAL AGREEMENT REGARDING
2007 GRANT OF ARAPAHOE COUNTY OPEN SPACE PROGRAM FUNDS
PROJECT NAME: BELLEVIEW PARK PICNIC SHELTER IMPROVEMENTS
Thi s lntergovcmmental Agreement (''Agreement''), is made and entered into by and
between THE BOARD OF COUNTY COMMISSIONERS OF THE COUNTY OF
ARAPAHOE, STATE OF COLORADO, (the '·Co unty ") and the CITY OF ENGLEWOOD,
a municipality and political subdivision of the Stale of Colorado (t he '·Grantee").
WHEREAS , on November 4. 2003, the voters of Arapahoe County approv ed a county-
wide sa les and use la x 10 be used for sp ecilied Open Space purposes as sci forth in Count y
Resolution No. 030381 ; and
WHEREAS , Resolution No. 03038 1 authoriz es the Count y 10 award grants of funds from
the Open Space Sales and Use Tax...("Granl Funds") 10 be distributed to municipalities and
specia l districts. as more fully se t forth therein ;
WHEREAS. on May 29, 2007 the Cou nt y approved th e Gra nte e 's Project Application,
which is attached hereto and incorporated by reference herein as Exhibit A. (''Project
App lic ati on"). subjec t 10 the execution of an intergo\'ernmental agreement an d subject to the
terms and conditic,ns contained herein;
WHEREAS , the Count y des ires to enter into int ergovernmenta l ag reem en ts, as a
condition of grant approrn l. with such municipalities and special districts that have been
app roved for grants from the Coun ty; and
WHEREAS . these intergovcmmental agreements are au thori zed by Artic le XIV , Sect ion
18 of th e Colorado Cons tituti on and COLO. REV . STAT.§ 29-1-203 .
NOW. THEREFORE , the County and the Grantee agree as follows:
I. Amount of Grant. The County agrees to provide Grantee with Grant Funds in
the amount not to exce ed$ 137 ,300 from the Arapahoe County Open Space.
Parks and Trails Grant Program for the BELLEVIEW PARK PICN IC
SHELTER IMPROVEM EN TS (''Grant Project").
2. Use of Grant Fun <'.s. The Grantee agrees th at it shall on ly use the Grant Funds
for the Grant Proje ct, as set forth in Exhibit A.
3. Time For Use of Grant Funds . The Grantee agrees that such Grant Funds will be
expended by no later than one year from the date of this Agreement, unless a
longer period of time is otherwise agreed to by the County in writing.
4. Interest on Grant Funds . The Grantee funhcr agrees that, after receipt of its
Grant, the Grantee will use any interest earned on the Grant only for the Grant
Project as set fonh in its appro ved grant application.
5. Administration of Grant Project. The Grantee shall be respon~iblc for th e direct
supervision and administration of the Grant Project. The Co unty shall not be
liable or responsible for an y cost overruns on the Grant Project. Nor shall the
County shall ha ve any duty or obligation to provide any additional funding for
the Grant Project if the Grant Project cannot be completed with the amount of
Grant Funds awarded by the County 10 the Gra.ntee .
6. Grant Project Sile Vis its . Upon 24 hours wrinen notice to the Grantee ,

the Grantee agrees to allow the Count y to make site visi ts before , during . and /or
at the completi on of the Grant Project.
Acknowledgement of County by Grantee . The Grantee agn1es to acknowledge the
Count y as a contributor to the Grant Project in all publications . news release s and
other publicit y issued by the Grantee related 10 the project and agrees to allow th e
Count y to do the sa me . If an y events are planned in regard to th e Grant Project,
the Count y shall be ackno wledged as a contributor in the in vitation lo such events.
Grantee shall cooperat e with the Count y in prep aring public information pieces ,
pro viding ph otos of the Grant Proj ect fr om time to time , and pro viding access 10
the Grant Proj ect for publicity purposes.
8. Required Sign al Project Site . Grantee agrees 10 erect al least one sign in a
publicl y visible area in recognition of the grant from the Arapahoe Count y Open
Space Program . The location, form , design , and wording of such sign shall be
approved by the County . Such sign shall be erected prior to the completion of the
Grant Project or it s public opening . whiche ver is the earlier .
9. Repon Requirements . On or btfore December 31, 2007 the Grantee agrees to
pro vide the County with an annual updated report that describes the amount of
progress in comp leting the Grant Project, Grant Project milestones , and the use of
the Grant Funds to date . Upon completion of the Grant Project . the Grantee also
agrees to submit to the County a final repon , including a lener that certifies what
the Grant Funds have been used for and that the Grant Funds have been used in
accordance with Count y Resolution No. 03038 I. In addition to the final report ,
Grantee shall also submit to the County a final project summary that discusses the
Grant Project and includes photographs of the various stages of the Grant Project
development , including a photograph of the Grant Project at the lime of
completion . The County shall be allowed to use the above photographs in
publications , public information updates , and on the County web site . The
Grantee funh cr agrees to provide th e County with an electronic copy of the final
repon and project summary along with digit r · ohotographs .

10 . Fa ilure to Submit Required Reports . Upon written notice from the Count y's Open
Sp ac e Manager, informing the Grantee that ii has failed to sub mit a;1y required
annual update report and/or final report, the Grantee shall submit su ch reports to
the County through the County's Open Space Manager within thirty (30) days,
and, if it fails 10 do so, the Grantee shall be deemed 10 be in violation this
Agreement. The Grantee shall be ineligible for any future Grant Funds, until and
unless such reports have been submitted 10 the Count y's Open Space Manager .
11 . Record Keeping Requirements . The Grantee shall maintain u complete set of
books and records documenting its use of the Grant Funds and its supervision and
adminis1ra1ion of the Grant Project. Th e Co unt y or any of its duly authorized
representatives shall have reasonable access 10 any books, document s, papers , and
records of the Grantee which are pertinent 10 the Grant Proje ct for the purpose of
making an audit, examination, or excerpts . The Grantee shall keep all books ,
documents, papers, and reco rds, which are pertinent to the Gra nt Project , for a
minimum of three years.
12. Reimbursement of Grant Funds. The Grantee understands and agrees that if the
Grant is not used in accordance wi th its approved Grant Application and /or thi s
Ag reement , the County ma y requ ire the Grant ee 10 re imbur se the County in th e
amount of such Grant Funds ti are not used for the Grant Project.
13 . Remedies . The ri gh ts and rerr.r 1ies of the Co•J nt y as set forth in th is Agree ment
shall not be exclusive and are in uddition lo any other ri ghts or remedies pro vid ed
by law .
14 . No Waiver of Ri~hl s. A waiver by either party lo this Agreement of the breach of
any term or provi sion of this Ag reement shall not ope rate or be con strued as a
wa ive r of any subsequent breach by either part y.
15. Changes 10 Grant Project. The Grantee agrees and und erstand s that it s Grant
Projec t. once it has been approved by the County, ma y not be changed without the
Count y's prior appro va l. Changes mus, be requested in writing and ma y not be gin
until an amendment lo this Agreement has been appro ved by the Count y.
16 . Transfer of Interest in Grant Project. The Grantee understands and agrees that no
'•nd or interests acquired with the Grant Funds as part of the Grant Project ma y
be sold, leased , traded , or otherwise conveyed, nor ma y an exclusi ve license or
permit on said land or interests be given . without prior approval of th e Grantee's
governing body after conducting a publi c hearing . The Grantee further agrees if
such sale, lease , trade or conveyance is made or an exclusive license or interest
has been gi ven, the proceeds shall be deposited in an open space fund to be used
for purposes consistent with Resolution No . 030381.
17 . Relationship of the Parties . The Grantee shall perform all duties and obligations
under this Agreement as an independent contractor and shall not be deemed by
vinue of this Agreement to have entered into any pannership , joint venture ,
employer/emplo yee, or other relationship with the County. •
18 . No Thjrd Party Beneficiaries . Nothing in this Agreernent shall give or allow any
claim or right of action whatsoever by any third pany, including, but not limited
to, any agents or contractors of the Grantee .
19 . Se verabilit v. Should an y one or more pro visions of this Agreement be determined
10 be ille ga l or unenforceable , all other provisions nevenhelcss shall remain
effective ; provided , ho wever, the panics shall fonhwith enter into good faith
negot iations and proceed with due diligence to draft a pro vision that will achieve
the original intent of the panics hereunder .
20 . Written Amendment Required. This Agreeme nt may be amended . modified, or
changed , in whole ot in pan , only by writt~n agreement dul y authori zed nn :!
executed by the Count y and the Grantee .
21. Venue . Ve nue for the trial of any action arising out of any di sp ute hereunder shall
be in Arapahoe County District Coun, pursuant to the appropriate rule s of civil
procedure .

23. AppJjcab!c Law. TI1is Agreement shall be construed and enforced in accordance
with the laws of the State of Colorado.
24. Estcnt o[ Agreement. This Agreement constitutes the entire agreement of the
panics hereto. The parties agree that there have been no representations made
regarding the subject matter hereof other than those, if any, contained herein, that
this Agreement constitutes the entire agreement of the panics with respect to the
subject matter hereof, and funher agree that the various promises and covenants
contained herein are mutually agreed upon and are in consideration of one
another.
25 . Countcmans . This Agreement may be executed in multiple counterpans , each of
which will be deemed to be an original and all of which taken together will
constitute one and the same agreement.
26 . lncomnration of Exhibits . Unless otherwise stated in this Agreement , any
e>.hibits, applications , resolutions, or other documents ,eferenced in this
Agreement shall be incorporated by reference into this Agreement for all
purposes .

The City of Englewood park system has several forty year old picnic shetter facllltlea In need of
redesign and replacement. The Parka and RIIClllallon Master Plan adopted In 2006 Identifies
replacement of then shelters aa a top priority . Thia P!Olect will replace the Belleview Park
shelter #1 with a state of the art ADA accea■lble shatter and picnic amenities to Include : new
racycled plastlc picnic tablas, heavy duty barbaque grills and trash cans . These upgrades will
allow more users access to the park facility due to Iha new shatter configuration . Replacing this
shelter will also addre11 ADA laauas and reduce the City's llablllty due to the deterioration of the
forty year old shelter.
Belleview Park Is the crown jewel community park of the City of Englewood. It Is situated along
the Big Ory Creek and trail system. Belleview Park amenities also Include : Pirate 's Cove Family
Aquatlc Center, Belleview Children 's Farm, Lion's Club Train , Englewood Canine Corral, three
additional shelters, three restroom faclllties , one lighted basebalVsoflball field, four tennis courts ,
one basketball court, two playgrounds, two hcr,eshoa pits and native walking trails . Access to
the shelter Is available by parking lots on South Inca Street and Belleview Avenue and the Big
Dry Creek trail system .

C. Park Lands.
The City of Englewood developed a Parks and Recreation Master Plan in September of
2006 , which was subsequently endorsed by Englewood City Counc il in November 2006 .
Th is Pie~ Is the gu iding document for the future of the City as It relates to parks, trails and
recreation with in the City . Th t Plan began in August of 2005 with a Technical Advisory
Committee comprised of representatives from the City of Englewood and the Plan
.i,onsul tants . There were also multiple Interviews with park user groups , two public open
houses and a comprehensive survey to the citizens of Englewood . The Plan recogni zed a
number of broad and ambitious goals , all of which are intended to enhance the
recreational needs of th e community .
One of the specific goals of the Plan is to update the feature s in ex isting parks. Belleview
Park is Eng lewood 's most popular co mmunity park conta ining 36 acres and multip le
amenities for park users to enjoy . In 2006 , the City of Englewood had 97 reservat ions for
Belleview Shelter #1 , serving 6,713 people. This represents over halt ,,f the shelter
reservations for the 2006 Bellev iew Park shelter rentals . Shelter users .some from all
over the metro area with a majority residing in Arapahoe County . One o ' the most
beloved activities at Bellev iew Park occurs on the 4'" of July . A coo~;,r.i ve effort
between the City of Englewood , City of Littleton and South Suburban F arks and
Recreation District organ izes an annual celebrat ion with nume rous fun activ ities , mus ic,
food and a magnificent fireworks display . Due to the extreme demand of this shelter,
demolltion and construction will occur winter/spring 2007 , 2008 in lime to open for the
2008 reservation season .
Belleview Park is one of three community parks in Englewood 's parks, trails and open
space system . Seven neighborhood pa r'l s, three pocket parks , two natural areas , two
sport complexes and four recreation facilities complete the park system .

accommodate smaller multiple groups . The shelter provides trail connection and easy access
to tennis courts , basketball court , horseshoe pits , two age specific playgrounds , the Belleview
Children's Farm, Lion 's Club Train, Big Dry Creek Trell and Pirate's Cove Family Aquati~
Center.
3. Planning and Design 15 Points
The project will be developed, designed and bu il t with the assistance of a professional
architecVenginaer . Mark Kottwitz , Parks Superv isor, will be the Project Manager. The Parks
and Recreation Department w,11 manage and maintain the shelter. Currently , $3,160 per acre
Is spent annually ma intaining the park system . The City 's Parks and Recreation Master Pian
states that Belleview Park is Englewood 's most popular park and the crown jewel within the
park sy5Iem . Consequently , City officials have Identified Belleview Park as a high priority to
receive the recommended Master Pian improvements . Because this site Is located on a hill,
eros ion control slit fencing will be used during construction . Construction signage will be
posted surrounding the area and information about the project will be posted on the City's
website . The use(s impact will be minim ized due to the timing of the construction. Most
shelter reservations are between Memorial Day and Labor Day .

structure benefiting residents of Englewood and the District.

Belleview Shelter #1 Is located In the southeast comer of the park surrounded by
playgrounds , athletic facllltles and many more popular park amenities . Rig Dry Creek Trail
passes through Belleview Park Just 200 feet west of the shelter. Big Dry Creek Trail travels
southeast connecting Progress Park under Belleview Avenue and continuing to Broadway.
Eventually Big Dry Creek Trail will connect to the High Line Canal Trail. Traveling northwest ,
Big Dry :reek Trell connects to the Mary Carter Greenway .

City Council has given its approval for the City to enter into Intergove rnmental Agreements with
Arapahoe County for the following:
1) South Platte River Oxbo w Habitat/Wetlands (Ju ne 4, 200 7)
2) Englewood Trailhead Improvements (January 17, 2006)
3) Mary Carter Greenway Suffer and Expansion (2005)

The t.Jepartment of Parks and Recreation recommends that Council adopt a Bill for an Ordinance
au thori zing an Intergove rnmental Agreement (IGA) defining joint responsibility between the City of
Englewood and Arapahoe County for the Belleview Park Shelter Improve ments grant.
BACKGROUND, ANALYSIS, AND ALTERNATIVES IDENTIFIED
The Belleview Park Picnic facilities project is part of the initial phase of implementation of the City 's
Park and Recreation Master Plan . Developed and adopted in 2006 , the Master Plan identified the
need to rerlace many aging park picnic pavilions. The existing Belleview #1 pavilion is over thirty•
five years old and has outlived its effectiveness as a picnic facility. The Belleview Park shelter #1 will
be replaced with a state of the art ADA accessible shelter and picnic amenitie;. These upgrades will
allow more users access to the park facility due to a larger shelter configuration .
FINANCIAL IMPAO"
The total cost for the project is $779,543. funding for Phase I ls budgeted In the 2007 Ope Space
approved budget ($493 ,377). The $137,300 grant from Arapahoe County Open Space will be
used for the replacement of the Belleview #1 shelter. The D€partment of Parks and Recreation will
be requesting funding for Phase II ($286,166) in the 2008 Open Space Budget
