(RN I), purchased th e int ell ectual property necessary to operate th e abandoned Metri com rad ios; and WHEREAS , Ri cochet Ne two rks , Inc . desires to beg in operating the wireless digital dntn communicat io ns radio network in Englewood and other communities in the Denve r Metropo litan reg ion; and WHEREAS , the Greater Metro Telecommunications Con so rtium (GMTC) has drafted n model right-of-way agreeme nt io allow RN! to light the system that is alre ady in pince and begin operations to pro vid e wireless technolo gy to customers in Engl ewood . NOW , THEREFORE , BE IT ORDAINED BY THE CITY COUNCIL OF THE CI TY OF ENGLEWOO D, COLORADO, AS FOLLOWS: Section l . The agreement addre ss ing issues specific to Englewood to ensure consistency with the right-of-way ordinance, already in pl ace, is on file in the Englewood City Clerk 's Office . Section 2. Recitals A. RNI is in the busi ness of co nstru cting, maintai ning , and operating a wireless digital data com mun ica tions rad io network known as the Rico chet® network, a ne twor k opera ted in accor dance with regulat ions promulgated by the Federal Commun ica tions Comm is sio n , ut ilizin g Rad ios (a s defined in § 1. 13 below) and related equipment cert ifi ed hy th e Fede ral Communications Comm is sion . 8 . Subject to rea son able muni cipal reg ula tio ns co ncerni ng the time , loc ati on, ma nne r of attachment, installation , fees , and ma inten ance of it s fac il it ie s, RNI has the rig ht un de r fede ral and Colorado law to use Ricochet Radios in Pub li c Rights-o f-Way. E. In th e Metricom bankruptcy procoadings, RNi purchased the in tel lectual pro perty necessary to operate the abandoned Rad ios . F. RNI wishes to lo cate , place, att ac h, install , op erate , and maintai n Radios on facil iti es owned b y the City, as we ll as facilities owne d by thi rd parti es , localed in the Public Rights-of-Way of the City for purposes of operating Ric oc het®. Agreement Now, therefore , in consid era tio n of the terms an d co ndi tio ns containe d herein, the par ties agree to the foll owi ng: 1 Definitions. The fol lowi ng de finiti on s shall ap pl y gen era ll y to the provi sions of th is Use Agreement: 1.1 Agency. "Agency" means any gove rn men ta l or quasi-govern mental ag ency othe r th an th e City, inclu ding the Federa l Comm unica tions Co mmission and the PUC (as such ter m is defin ed in § 1.12 be low). 1.2 Basic Service. "Basic Serv ice" means !he RNI se rvice bund le Iha! inc ludes unli mited Ri coche t Serv ice in the loca l covera ge area, Interne t access, and T ie r II custome r service . The Basic Ser v1c e bund le does rot includ e email, dial pla n. or pe rsonal web space. 1.3 City. "City" means the City of Eng lewood . 1.4 Facilities. "Facilities" shall mean any pipes, con du it s, wire s. cables. am pli fiers, tra ns formers, fiber optic lines , antennae, poles , transm ission structures, street lign ts. "lnslallalion Da te" shall mean the dat e that the firsl New Rad io is installed by RNI purs ua nt to this Use Agreement . 1.6 La ws. ..Laws " means any and all statutes , const ituuo ns , ord ina nc es. reso lut io ns, regulat ions , jud icial dec isions , rules, tar iffs , adm inistrat iv e orders, cert ificates, orders, or other requ ireme nts of the City or other governmenta l agenc y ha ving joint or se veral jurisd ict ion ove r the parties to th is Use Agreement . in effect either as of the Effecti ve Date or at any time during the presence of Rad ios in the Public Rights-of-Way. 1.7 New. "New" means not curren ll y installed . 1.8 Maintenance. "Maintenance" means keeping the existing PTRs and New PTRs that may be installe d during the term of this Ag reement . operal ional and ma intained in a workmAnlike fas hion in the normal course of business . 1.9 Municipal Facilit:es. "Municipal Facil ities " means City-ow ned street light poles. lighting fixtures, electrol iers, or othe r Clt~·-owned f~cility, system or imp ro ve ment including without lim itat io n . water and sewer mains and app urtenances. the Ci ty Ditch , storm dr:;,ns and s',ruc tu res, streets, alleys, traffic sign al poles an d app urtenances, conduits, signs , landscape im provemenls, sidewalks , an d public safety equ ipment. 1.10 Person . "Pe rso n" means an ind ividual , a co rpora tion, a limited iability company, a general or limite d partners hip, a sole pro prie torship , a joint ve nt ure, .1 business trust, or any other form of bus ine ss entity or association . 1.11 Provision. "Provision" means any agreement , c:a use , con dition, co ve nant , qualificat ion, res trictio n, res ervation , term , or other stipulation in th is Use Agreement tha t defines or otherwise controls, establishes, or limits the performan ce requ ired or permitted by any party to this Use Agreement. All Provi sions, whether covenants or conditions, sh all be deemed to be both cove na nts and condit ions . 1.12 Public Right-of-Way. "Pub lic Right -of-Way" means the space in , upon, abov e, alo ng , across, and over the public streets, roads , lanes, courts , ways, alleys , boulevards, sidewalks , and br idges, including all public utility easements an d dedica ted pub lic service easements as the same now or may hereafter exist, that are unde r the jurisdiction of the City. Th is term shall not include state or federa l rights-of-way or any property owned by any Person or Ag en cy other tha n the City, except as provided by app licable La ws or pursua nt to an agreement between the City and any such Person or Agenc y. 1.13 PUC. ·puc· means the Colorad o Publ ic Ut ilities Comm iss ion . 1.1 4 Radio . '"Rad io" means the rad io eq ui pme nt, whethe r referred to si ngl y or collec fr-,ely , to be operated by RNI hereunder. 1.15 Ricochet. "Standard Servic e· means the RNI serv ice bundle that includes un limited Ricoche t Se rvice in the lo cal coverage area , Inte rne t acces s. no act iv ation charges, 10 email accou ntc;, 10 Mb of pe rsona l web spa::e, dial plan and Tier I cu stomer serv ice . 1.19 Tier I Cu stomer Service. ·Tier I Customer Serv ic e" means support services on a 24- hou r bas is an d covers all interact ion s wi th en d users . 1.20 Ti er II Custom er Serv ice . "Tier II Cust ome r Serv ice" means sup port servi ces on a technical representative to tech nical representati ve ba sis from 7:30 a.m. through 7:30 p .m. Mounta in Time , Monday through Frid ay. 1.21 Use Agre•ment. "Use Ag reement" means this Nooexcl usi ve Righ t-of-Way Use Ag re eme nt and may als o refe r to the associ ated ri ght to encroach upon the Pub lic Rights-of-V'.'ay conferred her eu nder . 2 Term . This Use Agreement sha ll be effective as of the Effe ctive Date and ~-ha ll extend for a term of ten (10) years commencing on the Effectiv e Date , unles o RN l's Master Lease Agreement wile Publ ic Service Compa ny of Colorado is termina ted , or it is ear l!er terminated by eithr:r party in ac co rd2 nca with the provi sions herein. Any and all rights exp ressly g ranted lo ilN I under this Use Ag ree ment, which shall be exercised at RN l's sole cos t and expense , shall be subject to the prio r and conti nu ing right of the City un de r applicable Laws lo use any and all parts of the Public Rights-of-Way and shall be further subject to all de ed s, easem ents, dedications , co nditio ns , fra nch ise s, co ven ants, restr iction s, encumbri:jnces . an d clai ms of title of record •11 hich may affect the Public Ri\jhts-of-Way. Noth ing in thi s Use Agr eement shall be deemed to grant. con vey, create , or vest in RN I a real prop ert y interest in land, including any fe e, leasehold in terest, or easer,-,ent. Any wor k performed pursuant to '.he rights granted unde r this Use Agreem ent ma y, at the City 's option, be subject to th e reasoneble pr ior re view and app rova l of th e City. To th e extent that any pro vision of this Us e Agreement conflicts with any Ci ty ord inan ce of gen eral app licability, the provi sions of the ordina nce sha ll con tro l, unles:, spec ificall y noted otherw ise herein . 3.2 Use of Ab andon ed Ra di os. RNI sh all ha ve acc es s to and th e exclusive right to op~rate existin g Ra c<ios attached to stre et light poles or located on City rights-of-way or Cily owne d build ings or facilitie s or removed from City Right s-of-Way or City owned bu il dings or fac ilit ies an d in the possess io n of the Ci ty dur ing th e term of thi s Ag ree men t. The exclusive righ t to op era te describ ed in th is Secti on ,s li mited 10 any interest the City may have in suc h aban doned radios. The Ci ty sh all, wt,en rea sonably poss1blr •, mak e available under a bart er rela tions hip Mun icip al Fac ili ties if nec essa ry fo r the opera tion of the Ric oc het Network . Upon co nsumm at ing a mutua lly agreeable ba rter arrang~ment. the City shall authorize and permit RN I 10 en ter upon the Public R1ghts-of-VVay and to locate, place. allach . in stall. operate, maintain remo ve. reattach. rem stc:11, reloca te . an d rep lace m or on Muni cipal Fac ilities fo r the purposes of oper ati ng Ricochet end prov1d1ng Pag e 3 of t2 Se;vices to Per son s locate~ with ;n or without the li mits or the City . In addit ion , subject to the provisions of Section 4.3 below, RNI shall have the right , after negotiating the compensation there fore , to draw electricity for the operatio n of the Rad ios from th e power sourcP. assoc iated with a3c h such attachment to ML,nici pa l Fac ilities . The placement of any other eq1.,.r;,n .ent upon Mun icipal Fac ilities shall requ ire prio r appro v1I by the City , 3.4 Attacnment to Third-Party P;operty. Subject ,J obta ining !he permiss io n of th e owner(s ) of the affected property, the City hereuy a 1thcr'zes and perm its RNI to enter upon the Pub lic Rights-cf-Way and 10 attach, install , operc.:e, maintain , remo ve , re Attach, re install , relocate, and re place Rad ios in or on poles or other structL1res owr.,d by pu bl ic ut ility co mpan ies or nth r property owners located w11hi n the Pub lic Rights-of-Way as may be perm itte d by the public ut ;lity company or pr-iperty owner, as the case may be . RNI shall furnish '> the City documentation t·• ,uch perm 'ssion from the individual utility or property owner responsible . City agrees to r.ooper~te wit h RN!, at no cost or expen se to City, in obtain ing where ne i;essary the consen !s :Jf th ird-part.,, owners of pro perty located in the Publi c Rights-of-Way. By agreeing to coopera te, the City is in dic at in g its willing ,,ess to communicate its approval of the use of the Public Rights-of-Way. The City is not expected to expend substant ive staff time in providing this coop Gra tlon. 3,5 No Interfere nce. RN! in the perfonnance and exercise of its ri ghts and obligations und er th is Use Agreement shall not interfere in any manner with th e exis!ence and operation of any and all private and Publ ic Rlg hts-of.·,Vay, sanlta·y sewe rs , water mains, storm dra ins, gas mains, po les , cer ial and underground electr ical and telepho ne wi.es , electroliers, cabl e telev ision , traffic !:ignalization, and other ex :sting telecommunications, ut ility, or mun icipal property, without the express written approval of the owner or owners of the affected property or properties, except as permitted by applicable Laws ,ir th is Use Agree ment . F;NI will correct any in terfere nce problem , attribut Ad lo its Ra:lios within forty-e ight (48 ) hours of notification by the City; provided, however, that in ca ses of em ergancy or imrn erliate threat to public safety , as determined In t~e so le discretion ol the City, the City may shut down any RN ! facilities and shall im mediately notify RN! of the action la '-'en. 3,6 Compliance with Laws. RN! shall comply with all Law s in the exercise and pe rforma nce ot its rigt1ts and oblig atio ns under thi s Use Ag reeme nt. 3.7 Obtain i ng Required Permits. 3.',.l The City shall reinstate all permits and othe r authorizations as necessary for ex is tir,;J Radios on City and Publ ic Rig hts-of-Way that may hRve be en granli•d to Metricom , lf any: an d cooperate and fa cilitate new perm its and authori1ations necessary to operate the existieg network and /or expand the network within ths City . 3.7 .1.. If lhe attachment, installation, operat ion , ma intenance , or loc ation or add ition al R~dios in the Pub lic .. ·ght s-of-W ay sha ll req uire any permits, RNI sha ll , :f requ ire d under applicable City ordinances, apply for the approprra te per 1nits an d pay any stand ard and custom ary perm it fees . City sliall promp tl y respo nd in accordanc e-w1 1h its stan da rd pract ices to RNl 's reques 1s for pe rmit s an d shall otherwise cooperate with RNI in facil itating the deployment of Ricoche t in the Publ ic Rigt ,t :;-of-W ay in a reasonable and time ly ma nner . RNI promp !l y shall furni sh to th e Cit y su ita ble docum enl at,o n sho wing lh e exact locat ,on of the New Rad ios in th e Public Righ i-of-W ay. 3.9 Use Agree ment Extends Only to the Use , Installation, an o Maintenance of Radios . The right s gr cste d RN I un der th is Use Agreem ent exten d only lo the use . insta ll atio n. an d ma int enan ce of the Ra dios described here in on Mun 1c1pal Fa cll1t1 es in the man ner descri bed here in or on th ird-p arty prop erty in the m anner provided in Sect ion 3.3 and does not cr ea te an y right to in stall diffe rent or add1t 1on al communications fac1l 1t1es 1n the Pub li c Righ ts-of-Way or on Mun icipa l Fac ili ties or on th ird-party pro per ty. Und er no circumstances is the cl os ing , exca vat ion , or op eni ng of any Pub lic Righi -of-W ay aut horized or permitted und er th is Use Agreement. 3.10 Exclusion of Certa in Mun ici pal Facilities. Prior to the insta llation of New Rad ios on Mun icipal Fa cili ties. and after ii pro vi des th e City with its pro pose d locati ons for installation of New Rad ios on Mun icipal Fac ili ties , the City may in its discretio n des igna te certa in Municipal Facilities to be excluded from those on which Rad ios may be ins talled by RNI , including but not lim ite d to ornamental or sim ilar specially-de signed st ,eel lights, or other Mun icipal Fac ilit ies wh ich , in the reason abl e judgment of th e City's Director of Pub lic Works or his designee do not ha ve electr ica l service adequate or app ropr iate for RNl"s Rad ios or canno t safely bear the we ight or win d loading caused b f the presence of RNl"s Rad ios , or any other Municipal Fac ility thnl i·' th e reasonable jud gment of the Ci ty's Director of Pub lic Works or his or her designee is inc o:n palible with the Rad ios or woul d be rendered unsafe or unstable by the i1 ,otallation of Rad ios . 3.11 No Introduction of Hazardous Mate rials. RNI rep re!ents and warrants that its use of the Publ ic Rights-of-Way and Munic ipal Fac ilities, ano its use and /or installation of Rad ios as prov idAd herei n, will not Int ro duce or generate any hazardous sulJ~tance (as defined under any state or fed eral la11), and that It will not st ore or dispose on the Pu blic Right-of-Way or Municipal Fac ilities , nor transport to or over th~ Pub li c Right -of.Way or Municipal Fac ilities any hazardous substance (as defined under any stale or fed er al law). 4 Compensati on ; Discounts; Uti l ity ch arges. RNI shall be solely responsible for th e payment of all lawful charges in connection with RN l 's pc, forma nc e und er th is Use Agreemen t, inc lu din g tho se set forth below . 4.1 Electricity Charges. RNI sha ll be so lely respons ible for the payme nt of all elec tric al utility ch ar ges and connect ion charges to th e appl icable utili ty co mpany base d upon the Rad ios· us age of electricity and appl icabl e tar iffs . RNI agrees to reimb urse th e City for an y ::.dd ilional electr ica l ut il ity charges incurred by th e City sole ly based upon attachment of the Radios, provided the City sh all rurn ish lo RN I su ffi ci ent documentation fro m the utility compan y indic at ing wit h reas on ab le certainty thar the add it ional ch arge was di rectly attribu tab le to RNl"s Radios . 4.1 Ric och et Serv ice Discounts . In add it ion to the mod ems anc' sub script ions provid ed pursuant l o Sect ion 4.4. th e Cit y is eligi ble to pa r11c Ipate ,n th e R::ochet Go ve rn men t Volu me Discount Program . Ricoche t modems and se rv ice s must be pur cha sed and bil led th rou gh an lndf vidua l Cit y master account(s) ,,, ~:-:er 10 qual ify for the Gove rnm ent Volum e Di:i cou nt Prog ra m. City may ob tain Rico chet modems arj servi ce s acc0rdi ng to the pr ic in g, terms and conrli tio ns of the Ricoc het Go ver"l men t Vo lume Disco un t Progra m shown in att ac hed Exhi bit h. 4.3 Reimbursemen t C'lf Cit y's Expe nses. RN I shall reimbur se th e Ci ty at Ci ty's stan dard rate~ for all r1 • 1onable expenSL·S relating to th e preµaration. issuance. an d Page 5 of 12 implementat ion of this Use Agreeme nt promptly upon rec eipt of bills , pa id invoices, and su ch oU ,er docum entat ion, as RNI shall reaso nabl y requ ire . 4.4 Government and Public Safety Uses . RNI sh all provide to the City, without charge, twenty-n in e (29) Ric ochet modems and an equ al numb er of R1cuchel Basic Se rv ice sub sc rip ti ons, to be utilized for go vernmen t us e and publi c safe ty applicc.'t ions . The City 's right to use the subs cripti ons shall commence at th e tim e tha t Ricuche t se rvice ls com me rc iall y avail able JO the City and sha ll exte nd until th e expira lion of th e term of thl s Us e Agreement and any ren ewal he reof . Us ers of City's subscriptions, rega rd les s of the manner in wh ich they were obla ined , sh all be go verned by the same standard Rico che t terms and cond iti ons of use ap plic able lo olher users . The City shall use at least seventy.fiv e perc ent {75 %) of all Basic Se rvice subscr ipt ion s provid ed purs uan t to this se cti on so lely for it s own public safe ty use and shall not be en tit le d to resell, di str ibute , or otherwise perm it the us e of same by any other person , except a local entit y th at provi des publ ic safety serv ices within the cor porate bounda ries of the City (i.e., sch ool safety personnel, police departmenls, emergency medica l de partment s, fire departmen ls , elc .). The level of benefits and serv ice pro vided lo Cit y by RN I as Bas ic Se rvice sha ll not be dim ini shed or red 1.;ced d11ring the term of this Use Agreem ent or renewal the reo f or pr ior to its can cellat io n or ter m , :ulio n, as the case may be . 5 Relocat ion c ; ~adios. 5.1 Re location at City's Request. RNI understands an d acknowledge s tha t City may requ ire RNI to relocate one or more of its Rad ios, an d RNI shall at City 's direction re loca te such Radios at RNl's sole co st and expense, whe:never City reasonably determ ines that the rel ocallon is needed for ani• of the follow ing purposes : (a) if re quired for the construction , comple ti on , repair , reloc al il'n, or ma intenance of a City project: (b) because the Rad io is interfering with or adve rsely affec tin g proper ope rat ion of City- owned light poles , traffic si gnals , or other Municipal Facilitie s or other Facili ties; (c) to protect or preserve the public health or safety; or (d) because the Rad io has been abandoned. In any such case , and to the extent pract icab le in connecti on with the Cily 's pla ns, City shall use ils best efforts to afford RNI a re ason abl y equ iva lent alterna te locatio n. If RNI shall fail to relocat e any Rad ios as re qu esled by the City within a reaso nable lime under the circum stance s in accordance with the foregoing pro vi sion, City shall be entitled to remo ve the Rad ios at RNl's sole cos t and expense , wil houl furlh er not ice to RNI. 5.2 Relocations at RNl 's Request. In the event RNI desires lo relo cate any Rad io s from one Municipal Fac ility to another , RN I shall so advise City. To th e ex tent th at another Mu nicipal Fac ility is avail able , City will us e its best effo rts lo accom modate RNI by per mitting relocat ion of Rad ios to such other Mun icipa l Fac ility in ac cord ance wit h and subject lo the terms an d co nd itions of th is Use Agreement. 5.3 Dama ge To Publ ic Way . RNI agrees to ind emn ify, defend, protect, and ho ld ha rml es s lhe City, its officers , and employees from and aga ins t any and all claims, demands , losses, damages , liab ilitie s, fines, charges , penalties, administrative and jud ic ial proceed ing s and orders, judgments, remedial actions of any kind, all costs and cleanup actions of any kind, and all costs and expenses incurred in connection therewith, including reasonable attorney's fees and costs of defense (collectively, the "Losses") directly or proxim ately resulting from RNl's activ iti es underta ken pursuant to th is Use Agreemen t, except to the extent arising from or caused by the negligence or willful misconduct of the City, its officer s, employees, ag en ts , or con trac tors . 6.2 Waiver of Claims. RNI waiv es any and all cla ims, de mands, causes of action , and rights ii may assert aga inst the Ci ty on account of any loss, damage , or injury to any Rad ios or any loss or degradation of the Services as a result of any event or occurrence which is beyond the reasonable control of the City. 6.3 Limitation of City's Liability. The City shall be liable only for the cost of rep air to damaged Radios arising from the negligence or wi llful misconduct of the City, Its employees, agents, or con tractors . 6.4 Defense . RNI shall have the right to defend the City with regard to all damages and penalties aris in g in any way out of the exercise of any rights in this Use Agreement. Within thirty (30) days after rece ipt of same by the City attorn ey, the City will provid e notice to RNI of the assertion of any clai m or action arising out of th~ ex ercise by RNI of its rights under th is Use Agreem e,t. RNI will be allowed, at its own expense , to appear and defend or assist in the defens e of such claims. 7 Insurance . 7.1 7.2 General Liability and Automobile Insurance. RNI sh all obtain an d mainta in at all times during the term of this Use Agreement commerci al general lia bility insura r-~e with a One Million Dollars ($1 .000 ,000) per occurrence li mit and Two Million Dollars ($2,000,000) annual aggregate limit. Such general liability co ve rag e shall cover bodily injury , property dam age , products-completed operations and pe rsonal injury. RNI sha ll also obtain and maintain commer cial automobile liab ility Ins uran ce wit h a One Mill ion Do llars ($1 ,000 ,000) combi ne d si ng le limit. Such insurance policies shall list the City, and its employees as additional insureds as respects any covered liabil ity arising out of Rl~l's performance of work under this Use Ag reeme nt. When an umbrella or exces s coverage is in effect , the umb re lla co verage shall be the same as the primary coverage . RNI understa nds that this Use Agreement does not pro vide RNI with exclusive use r ' the Pu bl ic Right -of-Way or any Municip al Fac ili ty and that City shall have the right to permit other provide rs of informa ll on or commun icat ions serv ices to install equipment or devices in the Public Right-of-Way and on Mu nicipal Facilities . 11.2 Amendment of Use Agreement. Th is Use Ag reement ma y not be amended except • pursuant to a writte n instrume nt signed by bot h partie s in the same manner as thi s Use Agreem ent. 11.3 Severabillty of Provisions. If any one or more of the Provision s of this Use Agreement shall be he ir' a court of comp et ent ju risdiction in a fin al judic ial action to be voirl , voidable , c un enforceable , such Provi sion(s) shall be deemed severa ble from the rema inin g Prov is ions of this Use Agreement and shall not affec t the legali ty, val idity, or constitut ionality of the remaining portions of this Us e Agreement. In any case where the approval or consent of one party he reto ,s requ ired , request ed or otherwise to be given under this Use Agreement, such part y shall not unreasonably delay, condition, or withhold its approval or consent. 11.10 Waiver of Breach . The wa iver by either party of any breach or violation or any Provision of this Use Agreement shall not be deemed to be a waiver or a co nt inuing wai ver of any subsequent breach or violation of the same or any other Pro vi sion of th is Use Agreement. 11.11 Representations and Warranties. Each of the parties to this Agreement represents and warrants that it has the full right. power, lega l capacity, and authority to enter into and perform the parties ' respective obligations hereunder and that such obligat loos s~all be binding upon such party without the requirement of the approval or consent of ai1 y oth er person or entity in connection herewith, except as provided in Section 3.4 abo ve. 11.12 Entire Agreement This Use Agreement contains the entire understanding between the parties with respect to the subject matter herein .
