WHEREAS, the United States Government , through the National Affordable Housing Act of 1990, has established the Home Invesnnent Partnerships Program and has allowed each state to elect to administer such federal funds, subject to certain conditions , for decent , safe , san itary, and affordable housing; and WHEREAS , the State of Colorado has elected to administer such federal funds through the Colorado Department of Loca l Affairs , Division of Housing ; and WHEREAS, the City of Eng lewood has been awarded a grant of $200,000 to provide funjing for its low and moderate-income homeowners for rehabilitation of at least thirteen sing le- f.lmily , owner-occupied homes ; and WHEREAS , the Englewood City Council passed Resolution 90 , Serie s of 2002 , that authorized submining an application for the funding . NOW, THEREFORE , BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ENGLEWOOD, COLORADO, THAT: Section I. The Agreement for the Home Inv esnnent Partnerships Program , attached hereto as Exhibit A, is hereby accepted and approved the Englewood City Council. ~ The Mayor and City Clerk are authorized to execute and attest sai d Agreement for and on behalf of the City of Englewood. ~-The City Manager shall be authorized to further extend the Ag reement for the Home Investment Partnerships Program for three additional periods subject to appropriation of funds . The Contractor shall ens ure that all project activities will be eligible under 24 CFR Part S2, Section 205 through 209 and Section 212, and all re lated regulations . 5. Obllgatlon , Expenditure and Disbursement of Funds . a) Prior ExpensoI . Expenses In curred by the Con tra ctor ln associa tion with said Proj ect prior to exec ution of this Contract are not eligible HOME expendit ures and shall not be reimbursed by the State . b) Environmental Rev ie w Procodures . Funds shall not be obligated or utilized fo r any activities requiring a release of fund s by the State under the Environmental Review Pro ced ures for the HOME program at 24 CFR Parts 58 unt il such relea se is issued In writing . For adm inistrative costs, reasonable engineering and des ign costs . and the costs of other eJCempt activities listed under 24 CFR 58.34(a)(1-8), the Contracto r must notify the state In writing !hat th ese costs are exe mpt acti vities . Categorically exc.luded activities listed unae r §58.35 and projects which requ ire the co mpletion of an environmental assessment must ha'le written documentation of compliance and a written re lease of funds from the state. 6. Definition of Btneflclarles. Eligib le beneficiaries are defined, fo r the purposes of this contract. as those persons who are members of famllles whose annual adjusted Income does not exceed eighty percent (80%) of the median income for the area as determ ined by U.S. Department of Housing and Urban Devel opment. Th e effecUve lncorr.es for all areas of the state of Colorado by famUy size is set forth in Exhibit B. which is attached hereto and Incorporated herein by reference . 7. Res ldentlal Antl-dlaplacement and Relocation Assistance Plan. The Co ntractor shall follow a re.:i id entlal anli- dls placement and relocatlon assistance plan which, should permanent or temporary displacement occur, incorporates the followlng requirements: (a) Minimizing t"lIplac1m1nl C.;ns lstent with the otne r goals and objectives of this part, the contractor must ensure that It has taken all rea so na ble steps to min imize the ci splacement of persons (families. individuals, busine ss es , nonprofit organizations . and farms} as a result of a project assisted with HOME funds . To the extent foaslble . residential tenants must be prov ided a reasonable opportunity to lease and occupy a su\~able, •J::,c,nt, safe, san itary , and affordable dwelling unit in the building/complex upon completion of the project. {b) Temporary ralocatlon. The follr"Ning policies cover residentlal tenants who will not be required to move permanenUy but who must relocate temporarily for the project. Such tenants must be pro vided: (1) Reimbursement for all reasonable out-of-pocket expenses incurred in connectJon with the temporary re•.::catlon , Includ ing the cost of moving to and from the temporarily occu pied housing and any increase ln rronthly renVutlllty costs . (2) Ap~;opriate advisory services , Including reasonable advance written noti ce of: {I) The date and app ro xi mate duration of the temporary relocation: (ii) The tocatlo n of the suitable . decent. safe . and sanitary dwelling to be made available for the temporary period; {ill ) The terms and co nd itions under which the tenant may tease and occupy a sultable , decent , safe, and san itary dwelling in the bu ilding / complex upon co mpletion of the project; and (iv) The prov is ions of paragraph (b ~(1) d this section. (c) Relocation assistance for displaced persons . (1) General. A displaced person {defined in paragraph (c)(2) of this section) must be pro vided relocation assistance al th e le ve ls described in, and in accordance with the requirements of the Un iform Relocation Assistance and Real Property Acq uisiti on Policies Act of 1970 (URA) (42 U.S.C. 4201-4655) and 49 CFR part 24. A "displa ce d pP.rson" must be advised of his or her rights under the Fair r.tousing Act and, if the comparable re placement dwelli ng used lo establish the amount of the replacement housing paym ent lo be provided to a minority person is lo,;a ted in an area of minority concentration, the minority person also must be given, if possible . refe rrals to comparable and suitable , dec ent, safe, a11d sanitary re pla ceme nt dwelllngs not located m such areas . (2) Displaced Person. (i) For purposes of paragraph (c) of lhls secti on, the term displaced person means a person (family indiv idual , business, nonprofit orga niz ation , or farm , Incl uding any corporatio n, Page 2 ot 15 Pages • • • • • • partnerahlp or association) that moves from real property or moves per.,onal property from real property, pennanenUy, as a direct result of acqu isition, rehabllltaUon , or demolition for a project ass isted with HOME funds. This Includes any permanent , Involuntary move for an assisted projec t, lnclud lng any pennanent move from the real property that Is made : (A) After notice by the owner to mo ve permanently from the property , lf the move occu rs on or after: (1) The dale of the submission of an application lo the contractor or !he Slate , If the appl lca,,I has site control and the ap pllcatl on Is later approved ; or (2) The date the contractor approves the applicable site, if the applicant do es not have site control at the time of the app llcatlon ; or (B) Before the date doscrlbed In paragraph (c)(2)(I)(A) of this se ction , If lhe Stale or HUD detennlnes that the displacement resulted directly from acquisition, rehabilitation, or demolition for the project; or (C) By a tenant-occupant of a dwe mng unit, if any one of the following three sl rua Uons occurs : (1) The tenant moves after execu tio n of the agreem ent covering the acqu isition, rehabllltation , or demolltlon and the move occurs before the tenant Is provided written notice offering the tenant lhe opportunity lo lease and occupy a suitable, decen~ safe , and sanitary dwelling ln the same build Ing/complex upon completion of the project under reasonable terms and conditions . Such reasonable terms and conditions must Include a term of at least one year at a monthly rent and esHmated average monthly uUllty cosi. that do not excesd Iha greater of: (I) The tenant's monthly rent before such agreement and estimated averag e monthly uUlily costs; or (II) The total tenant payment, as deteonlned under 24 CPR 813 .107, If lhe tenant Is low-Income , or 30 percent of gross household income , if the tenant Is not low.Jncome: or (2) The tenant Is required lo relocate tomporarlly, does not retum lo the building/complex, and elt~ar (I) The tenant Is not -::7o rts~ :-iayment fo r an reasonable out-of-pocket expenses incurred In cor.oection with ~ . ., temporary relocation ; or (ii) Other r-:-<;ditio~s of the temporary relocation are not reasonable; or (3) (I) The tenant Is required lo move to another dwelling unit In the same building/complex but Is not offered reimbursement for an reasonable out-of-pocket exp&nses incurred In connection wtth the move , or other cond itions of the move are not reasonable . (ii) Notwithstanding paragraph (c)(2)(I) of ti •is section , a person does not qualify as a displaced person if: (A) The person has been evicted for cause based upon a serious or repeated violatio n of the tenns and conditions of the lease or ocrupancy agreement , viol atio n of applicable federal, State or local law, or other good cause, and the participating jurisdi ctio n detennines that the eviction was not undertaken for the purpose of evad ing Iha oblig ation to provide relocation assistance . The effective date of any temiin atlo11 or refu sal to renew must be preced ed by at least 30 days advance Y.11tten notice to the te nan t specifying the grounds for the action . (B) The person moved Into the property attar the subm ission of the application but , before sign ing a lease and commencing occupancy, was provided written notice of the project, Its possible Impact on lhe person (e .g., the person may be displaced , temporarily relocated, Incur a rent Increase), and Page 3 of 15 Pages the fact that the person would not qualify as a '"displaced person" (or for any as si stance under this section) as a result of the project: · (C) The person Is Ineligi ble under 49 CFR ~4 .2(g)(2); or (D) HUD determines that the person was not displaced as a direct result of acquisition, rehabilitation, or demoution for the pro ject. (ii i} The jurisd iction may , at any Ume , ask HUD to determine whether a displacement Is or would be covered by this rule . (3) lnlll•tlon of negotiation,. For purposes of detennlnlng the formula for computing replacement housing assistance to be provided under paragraph (c) of this section lo a tenant displaced from a dwelling as a direct result of private-owner rehabilitation , demolition or acqulslllon of Iha real property, Iha tenn initiation of negotiations means the executi on of the agreement oovering the acqulsiUon , rehabllllatlon , or demolition. (d) Optional relocation as1l1tance. The contractor may provide relocation pa yments and other relocation assistance to families , individuals, businesses , nonprofit organizations , and farms displaced by a project assisted with HOME funds where the dls~lacement Is not subject to paragraph (c) of this section. The contractor may also provide relocatlo n assistance to persons covered under paragraph (c) of this section beyonr:t that required . For any such assistance that Is not required by State or local law, the contractor must adopt a written policy available to the public that describes the optional relocation assistance that it has elected to furnish and provides for equal rek>cation assistance within each class of dis placed persons . (e) Resldentlal antldlsplacement and relocation a11lstance plan. The contactor shall comply with the requirements of 24 CFR part 42, subpart B. (f) Real proJMrly acquisition requirements. The acquisition of re al property for a project Is subject to the URA and Iha requirements of 49 CFR part 24, subpart B. (g) Appeal ■. A person who disagrees with the contractor's determination concerning whether lhf, person qualifies as a displaced person. or the amount of relocation assistance for which the person may be e1iglb~. may file a written appeal of that detennlnatlon with the contractor. A low-Income person who Is dissatisfied with Iha contractor's determination on his or her appeal may submit a written request for rr,'ll\'W of that detennlnation to Iha Colorado Division of Housing . 8. Affordablltty Requirements . The Contractor shall ensure that hous ing un its produced through the activities of new construction and/or through rehabllltaUon of existing un its remain affordable for the period required under 24 CFR Part 92, Section 252 and 254 , respectively. 9. Afltnmattvoty Furthering Fair Housing. The Contractor shall affinnatively further fair housing In addition to conducting and administering Its Project In confonn ity with the equal opportunity requ irements of TIUe VI of the Civil Rights Act of 1964 and the Fa ir Hous ing Act, as required herein . 10 . Afftnnatlve Marketh,g Plan. The Contractor shall prepare and follow an affirmative marketing plan , if the HOME assisted rental or homeowner project co ntains more than five (5) housing units, which provides : a) affirmative marke 1ing steps consisting of actio ns to provide information and otherwise attract eligible persons In the housing market area without regard to race , color , national origin, sex , religion , ramlllal status or disabili ty from all rac ial , ethnic , and gender groups in the housing maricet area to the avail able housing; and, b) provis ions to annually ass ess the affirmative markellng program to detennlne the success of affinnative marketing actions and any necessary corrective actions . c) The affirmative marketi ng requirements and procedures adopted must Include: 1) Methods for informing the public , owne rs , and potential tenants about federal fair housing laws and the Contractors affi nnalive mark eti ng policy (e .g .. the use of Iha Equal Hou si ng Oppo rtunity logotype or slog an In press rel ea ses and sol icitatio ns for owners, and written communication to fa ir housing and other groups): Page -4 of is Pages • • • • • • 2). Requirements and practices each own er mu st · • 10re to In order to carry out the Co ntractor's affirmative marketi nG procedu res and requirements (e.g. usd of commercial med ia, use of co mmunity co nta cts, use of the Equa l Housing Opportunity logotype or sloga n, and display of fair hous ing poster): 3) Procedures to be used by owners to Inform and so licit appllcatlo ns from pers ons ln the hou si ng market area who are not llke ly lo apply for the housing without specia l outreac h (e.g., use of community organ izations, places of worship, emp loym ent centers , fa ir housi ng groups , or hous ing co uns eli ng age nci es): 4) Reco rds that will be ke pt desc rib ing actions taken by the Contracto r and by owners to affirmatl ve ly market un its and records to assess the results of these actions : and 5) A descri ptio n of how the Contractor will assess the success of affirmative marke ti ng actio ns and what correctiv e actio ns will be taken wh ere affirmati ve marketing requi re ments are not met . d) All un its o1 general lo ca l gove rnment who receive HOME funding must adopt affirmative marketi ng procedures and reoti lre ments that meet the requirement In paragraphs a) and b) of this section . 11 . Minority Outreach. Th e Contractor mu st prescribe to the State the procedures It will use to ensure the inclusion, to the maximum elCtent po ssi ble , of minorities and women , and entities owned by minorities and wo r;Ien, Including , without llm itatl on, real estate firms, construction firms , appra is al firms , manag ement firms , finan ci al Institutions, investment banking firms, underwriters, accountants , and providers of legal service. Affirrnativct steps, as outlined In Sectio n 85 .36(e) of this title , to be ta ken are the following : (a) placing qualified small and minority businesses and wo men 's bu si ne ss enterprises en solicitation llsts: (b) assuring that small and m;norlty bus iness es, and women's business enterprises are sollcltated whenever they are potential sources ; (c ) dividing to ta l requirements, when economically feasible, into smaller tasks or quan titie s to permit maxi mum participation by small and minority bus iness , and wome n's bus ines s enterprises ; (d) establish ing delivery sched ules , where the requ ire ment permits , which encourage participa tio n by small and minority busine ss, and women's business enterprises : (e) using th e se rvice s and ass istance of the Small Busin ess Development Agency of the Department of Commerce; and , (f) requiring the pri me contractor, if subcontracts are to be let. to take all of the ab ov e mentioned affirmative steps . 12. Section 3 Requirements . Unless noted in .. Exhibi t A, Scope of Services" th is contract is subject to the fol lowi ng : a) b) c) The work to be performed under this co ntract is subject to the requirements of Sectio n 3 of the Housing and Urban Deve lopment Act of 1968 , as am ended , 12 U.S.C. 70u (Section 3), The purpose of Section 3 is to ensure that employment and other econo mic opportunities generated by HUD assistance or HUD -assisted pro jects cove red by Sectio n 3, shall , to the greatest elCtent fea sibl e, be directed to low• and very low-income persons , particularly perso ns who are recipie nts of HUD assistance for hous ing. The parties to this contract agree to co mply with HUO 's regulations In 24 CFR part 135, which imp le ment Sec tio n 3. As evide nced by the ir execution of this co ntract, the parti es to this contract certify that they are under no contractual or other il'Tlpediment that would prevent them from compl yi ng with th e part 135 regulatio ns . Compensation and Method of Payment. The State ha s allocate d for the Contractor in the state's HOME account, in co ns id eration for the work and services to be performed, a grant amo unt not to exceed Two Hundred Thousand and No /100ths Dollars ($200 000 .00). The method and Ume of payment shall be made in accordance with the ~Payme nt Schedule " set forth in Exhibit A: Scope of Services. 14. Financial Management. At all times from the affective date of this Contract until completion of th is Contract, the Contracto r shal comply with the administrative requirements, cast prin ci ples and othe r requirements set forth In 0MB Circular No . A-87 and the following requirements of 24 CFR part 85, Sections 6, 12, 20, 22, 26, 32, 33, 34 , 36, 44, 51 , and 52 for state recipients and any governmental sub reclple nts , and 0MB Clrcular No . A·122 and the requirements of 24 CFR Part 84, Sections 2, 5, 13-16, 21, 22, 26-28, 30, 31 , 34-37 . 40-48, 51, 60-62, 62, 72 and 73 for nonprofit organizations. 15. Audit. All audits mu st be co nducted in accordance with 24 CFR part 44 and 45, as applicable . In accordance with §44 .14 , the State may withhold future funds if the Contractor shows continued inability or unwillingness to have a proper audit. Other appropriate sa nctions may incl ude : (a} withhold ing a percentage of assistance payments until the audit is comple te d satisfactorily; (b) withholding or dlsallowlng overhead costs; and (c) suspending a future contract until the audit Is received . a) Discretionary Audit. The State , through the Executive Director of the Department , the State Auditor, or any of their duly authorized representatives, including an in dependen t Certified Public Accountant of the State's choosing, or the federal government or any of its properly delegated or authorized representatives shall have the righ t to inspect, exa min e, and aud it the Con tractor's (and any subcontractor's) record s, books , accounts and other relevant documents . Such discretionary audit may be requested at any time and for any reason from • the effective date of lh is Contrdct until five (5) years after th e date of the approved proj ect close out letter for this Project or for the requ ired term of affordab ility of this Pro ject whichaver is longer. b) Mandatory Audit for Local Govornments. Whe th er or not the Slate calls for a discretionary aud it as provided above, th e Contra cto r shall includ e the Project in its ann ual audit report as required by the Colorado Local Government Audit Law, C.R.S . 1973 , 29-1 -601 , !!! ~ and the Single Audit Act of 1996, as amended Pub . L. 104-156 , and federal and Stale implementing rules and regulations . Such audit reports shall be simultaneously submitted to the Division of Housing and the State Audi tor. Thereafter , the Contractor shall supply th e Division of Hou sing with copies of all correspondence from any audito r related to the relevant au dit report. If the audit reveals evidence of non-co mpliance with applicabl e requirements, the Department reserves the right to Institute compliance or oth er appropriate proceedings notwithstand ing any oth er judicial or administrative action s filed pursuant to C.R.S . 1973, 29-t-607 or 29-1-608 . c) Mandatory Audit for nonprofit organizations and CHDOs. Whether or not the State calls for a discretionary audit as provided abo ve, th e Contractor shall include the Project in Its an nual audit report . Such audit repo rts shall be submitted to th e Div ision of Hous ing . Th erea ft er , the Contractor sha ll supply th e Division of Housing with copies of au correspondence from aud ito rs related to the relevant audi t report. lti . Co ntraCt Suspen sion .Uthe Con tractor fails to comp ly with any contractual provisio n, the State may , after notice to the Contractor, suspend the co ntract and withhold furt her payments or prohibit the Contractor from Incurring add itional obligatio ns of cont ractua l funds , pending co rrect ive action by the Con tractor or a decision to terminate in acco rd ance with provisions here in. Th e Sta te may de1erm ine to allow such necess ary and prope r costs whi ch the Contractor co uld not reaso nably avoid during the period of suspension provided suc h costs were necessary and reasonable for th e conduct of th e project. 17. Contract Termination. Thi s con tra i.:t ma y be termina ted as follows: Page 6 of 15 Pages • • • • a) Termination Due to Loss of Funding. The parties here to e>.-pre ss ly recognize that the Contractor ls to be paid, re imb urs ed , or othe rwise compensated with federal HOME funds provi ded to the State for the purpo se of contra cting for the services provided for here in or wi th program in co me , and therefore , the Contractor expressl y un ders tands and agrees that all its rights , demands anJ claims to co mpensation aris ing under this Contract are conting ent upon receipt of such funds by the State . In the event that such funds or any part thereof are not re ceived by the State , the State may lmm edlate ly term inate or amend th is Contract. b) Termlnatlo, ,,..., Cause. If, through any cause , the Contractor shali fail to fulfill in a timely and proper manner his obligations • , ... •.nis Contract, or if the Contractor shall violate any of the co venants, agreements, or stipulations of thi~ '1ntra ct, the Sta te shall thereupon have the right to term inate this Contract for cause by givi ng written notice to the Co ntractor of such termination and spec ifying the effective date thereof, at least five (5) da ys before th e effecti ve date of such term ina ti on. In that eve nt , all fin ished or unfinished doc uments , data , studie s, surve ys, drawings , map s, models , photograph s, and reports or other material prepared by the Contractor und er this Contract shall , at the option of the State , become Its property , and the Contractor shall be enliUed to rece ive Just and equ ltable compensation for any satisfa ctory work completed on such documents and other materials . Notwithstanding the abo ve , the Contractor shall not be rel!e ved of liability to the State for any damages sustained by the State by virtue of any breach of the Contract by the Contractor, and the State may w~thhold any payments to the Contractor for the purpose of setoff until such time as the exact amo unt of damages due the State from the Contractor ls determined . c) Termination for Convenience. The State may terminate this Contract at any tim e the State desires. The State shall effect such termination by giving written notice of termination to the Contractor and specifying the effective date thereof, at least twenty (20) days before the effective date of such termination . In that event , all fin ished or unfinished documents and other materials as described In subparagraph 17 b} above shall , at the option of the State , become its property. If the Contract is tenn inated by the State as pro vided herein , the Contractor will be paid an amount which bears the same ratio to the total compensation as the services actually performed bear to the total services of the Contractor covered by this Contract, less payments of compensation previously made : Provided, however, that if less than sixty percent (60%) of the services covered by this Contract have been perfomied upon the effective date of such termination, the Contractor shall be reimbursed (In add ition to the above payment) for that portion of the actual out-of•pocket expenses (not otherwise reimbursed under this Contract) incurred by the Contractor during the Contract period which are directly attributable to the uncompleted portion of the services covered by this Contract. If this Contract is term inated du e to the fault of the Contractor, Paragraph 17b hereof relatlve to termination shall apply. 18 . Modification and Amendment a) Modlflcatlor. by Operation of Law. This Contract is subject to such modifications as may be required by changes in federal or state law or regulations. An y such requ ired mod ification shall be incorporated into and be part of thls Contra ct as if fully set forth herein. b} Unilateral Amendment. Conflict of lntarHl a) In the Case of Procurement. In the procurement of supp lie s, equipment, con~tructlon and services by the Contractor and its subcontractors, no employee, officer or agent of the Contractor or Its subcontractors shall participate in the select!on or in the award or administration of a contract if a conflict of interest, real or apparent, would be involved. Such a co nflict would arise when the employee, officer or agent; any member of his immediate family; his partner; or an organization wh ich employs , or Is about to employ, any of the above , has a financ ial or other interest in the party or firm selected for award . Officers, employees or agents of the Contractor and Its subcontractors shall neither sollclt nor accept gratuities , favors or anyth ing of monetary val ue from parties or potentlal parties to contracts . Unsolicited Items provided as gifts are not prohibited if the intrins ic value of such items is nominal. b) In all Cases Other Than Procurement. Upon written reque st IJf a hous ing own er or developer, the Contractor may request in writing from !he State an exception to !he provisions of paragraph c)(1) of th is secijon on a case-by-cRse basis wh en it determ ~:'\es that the exception will serve to furth er the purposes of the HOME program and the effective and efficient administration of the owner's or developer's HOME -assisted project. In determin ing whether to grant a requested exception, !he State shall cons ider the following factors: Page 9 of 15 Pages (i) Whether th e person receivi ng the benefit Is a member or a group or class of low-i neom e pe rsons · intended to be the beneficiaries of the assisted hous ing, and the exception will permit such· person lo re cei ve ge nerally the same interests or benefits as are being ma de ava ilable or • provided to the group or class: (ii) W heth er the person ha~ wi thdrawn from his or her functio ns or responsibilities, or the decision making process wit h respect to th e specific assisted hous ing in questio n; (iii) Wheth er the tenant pro tectio n requirements of §92 .253 are being observed; (lv) Whether the affirmative marketing requirements of §92.35 1 are being observed and followed : and (v) Any other fa ctor relevant to the participating jurisdiction's determination, including the timing of the requested exception . 21. Com pliance with Applicable Laws. Al all times during the performance of th is Contrac t, the Co ntractor and :m y sub co ntractors shall strictly adhere to au applicable federal and State laws, orders, and all applicable sta nd aro:i., regulations, interpretatio ns or guidelines issued pursuant thereto. The attached Exhibi t D Project Performance Plan contains specific bdnchma rk s to be follo wed by the Contractor. The Con tra ct will also be monitored for co mplia nce with the rules. reg ulat ions , requireme nts and gu idelines, which the State has promulgat ed or may pro mul ga te. However, the estimated value of the property after rehab ilitation must not exceed one hundred percent (100¼) of the Single Family Mortgage Limits under Section 203(b) of the National Housing Act (12 U.S.C. 1709(b)) and the unit must be the prlnclpel residence of the owner at the time the HOME funds are com mitted to the housing. PROPERTY STANDARDS . All construction and rehabil itat ion projec ts assisted with HOME funds must meet all applicable local codes, ord:nances, and zoning ordinances at the time of project com pletion .
