WHEREAS, Englewood and Centennial Water Di stric t have had a "Water Supply and Facilitie s Agree ment" since 1980 by which the City has leased raw water to Centennial; and WHEREAS , there is a need to create a new agreement to reflect change s in cond itions and to cl arify the duties and benefits of th e parties , as well as the amount and price of water whi ch the City of Englewood will supply to Centennial. NO W, THEREFORE , BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ENGLEW OOD , COLORADO , THAT: Section I. City Council of the City ofEnglewood, Co lorado, hereb y adopt , the lntergoverrunental Agreement with Centennial Water Di strict, which Agreement is on fil e wi th the Englewood City Clerk. Section 2, The Mayor and City Clerk are here by authori zed to sign and atte st said Agree ment for and on behalf of th e City of Engl ewood, Colorado. Mission's rights and obligations under the Water Supply Agreement were subsequently transferred to Centennial . The Water Supply Agreement, in general, provides for the sale of water by Englewood to Centennial , and various ancillary and related matters . 1.2 Englewood and Centennial are also parties to a Memorandum of Understanding dated May 24 , 1990, a second Memorandum of Understanding dated June 7, 1990 and an Englewood-Centen ni al Temporary Agreement dated January 5, 1998 (collectively, with the Water Supply Agreement, the "Frier Agreements"), 1.3 Englewood and Centennial desire to terminate the Prior Agreements, and to enter into this Agreement for the sale of water by Englewood to Centennial, the leasing of a portion of the capacity of certain Englewood water storage and delivery facilities to Centennial, and various ancillary and related matters . 1.4 Englewood and Centennial are also parties to a Water Lease and Management Agreement dated August 3, 1977 ("1977 Ranch Creek Lease") which was originally entered into between Englewood and the City of Thornton . Thornton subsequently assigned its interests thereil to Centennial. Englewood and Centennial desire to amend paragraphs 21 and 22 of the 1977 Ranch Creek Lease . NOW, THEREFORE, in consideration of !he premises and the mutual agreements and covenants hereinafter contained, th e parties agree as foll ow s: 2. Prior Agreements Re voked . As of !he effective date, the Prior Agreements are revoked, and are of no funhe r force or effect e.cept for any payments from Centennial to Englewood which are presently due , which are listed on Exhibit A hereto, and except that there are presentl y 348 ac re feet of water stored in the 15 .15 percent of the storage capacity of McLell an Reservoir hereafter referred 10, which water belon gs to Centennial, and there are presentl y O ac re-feet of water stored in such 15.J 5 percent, which water belongs to Englewood . Englewood will with dra w its wa ter therefrom as promptly as practical, and if Centennial has water which it can store in such I 5. Sale and Purcha se of Water . 3.1 Sale and Purchase. Englewood agrees to se ll al l of its Surp lus Water to Centennial , and Centennial agrees to purchase some or all of that wate r from Englewood, under the te rms and co nditions set forth in this Agre ement. The term "Surplus Water" is defi ned in paragraph 3.2 . 3.2 Definition of Sumlus Wate r. Surplus Water for purposes of th is Agreement is that water availab le to Englewood under its decrees and contracts whic h, from time to time, exceeds the amount necessary for the needs of (1) water users within the munici pal boundaries of Englewood , including those res ul ting from lands annexed into the munic ipal boundaries of Englewood after the date of thi s Agreement, (2) those persons, areas or entities other than Centennial which are served by Englewood on the date hereof, which are descri bed on Exhibit B hereto, and (3) those areas in the vicinity of Englewood's municipal boundaries to whi ch Eng lew ood elects to provide treated water. provided, however, that Engle wood shall not sell treated water ou tside the Englewood municipal boundaries to a ''wholesaler", i.e ., Englewood shall not sell treated wate r outside its municipal boundaries to an entity which does not itse lf use the water but instead resells the water to the actual users. Periodically throughout each year ("year" in thi s Agreement means cale ndar year), Englewood shal l determine how much , if any, Surplus Water it has avai labl e. 3.3 No Englewood ObligatiJn to Change Water !Ughts or Cons tru ct Faciliti"!, Nothing herein shall obligate Engle wood to bring any proc ee ding to change any water right, or to build any delivery fac ili ty, or to construct any well. Centennial shall not include any Englewood water right in an application filed in water coun by Centennial without the prior written consent of Englewood, which may be withheld without cause. 4. Avai labilitv of Sumlus Water: Compliance With Chaner. Right to Settle Litig atio n. 4.1 Availabilitv of Surplus Water . Engle wood has Surp lus Water as of the date he reof, but may not have Surplus Water in the future if Englewood's popu la tion grows as ant icip ated , or if 1hr.re is se vere and protracted drought, or if other adverse circumstances develop . Cen ten ni al is given no assurance that Englewo od will co ntinue to have Surplus Water. Engle wood shall hnve the right. in its reaso nab le discretion. to interrupt, reduce or eli min ate de!i·,ery of water to Centenn ial under this Agreeme nt whene ver and to th e ex tent Englewood doe s no l have Surplus Water. J .2 Enelewood Charter. Thi s Agreement is subject to, and is made in co nfo rman ce with, the p:ov isi ons of the Englewood City Charter. The annual payment shall be made in quarterly installments due on the first day of January, April, July and October of ea ch yea r.
