SECOND AMENDMENT TO
AGREEMENT BETWEEN THE CITIES
OF LITTLETON AND ENGLEWOOD , COLORADO,
FOR JOINT WASTEWATER TREATMENT FACILITIES
AGREEMENT made this __ day of ____ ~ 200_ by and between the
CITY OF LITTLETON, COLORADO, hereinafter referred to as "Little ton", and the CITY OF
ENGLEWOO D, COLORADO, hereinafte r referred to as "E nglewood".
111 EREAS , Sec tion 18(2)(a) and (b) of Article XIV of the Colorado Constitution and
Section 2 • l -20 1, C.R.S ., permit and encourage governments to enter into contracts to make the
mo st effectiv e use of their resources for the benefit of the }'Ublic ; and
W:-1.E REAS, Section 29-1-203, C.R.S., authorizes the State of Colorado and its political
subdivi si1J .1s to enter into contracts to prov ide func tions or services, including the sharing of co sts
of such funt ·ans or services, which each of the contracting parties may be authorized to provide;
and
WHEREAS , on the 6" day of December, 1982, Littleton and Englewood (bereinafter
co llective ly referred to as the "Cities") enter< 1 into an agreement of ownership and operation of
the Bi-City Wastewater Treatment Plant; and
WHEREAS , the bosic concept of this Agreement is that neither City shall be a customer
of the other, but rather a joint facility shall be constructed and operated with construction costs,
costs of add itions, and costs of operation and maintenance being divided between them in a fair
and eq uitable manner as set forth hereinafte r with greater specificity; and
WHEREAS, the Cities, by previous agreement, arc joint owners of the Joint•Usc
Wastewater Treatment Plant, e,ch owning and entitled to fifty percent (50%) of its operating
capacity of approximately 20 million gallons per day (MOD) with Littleton entitled to
approximately IO MOD and Englewood being entitled to approximately IO MOD ; and
WHEREAS, the Joint Use Agreement anticipated acquisition of property to
accommodate planned expansions of the Joint-Use Wastewater Treatment Plant; and
WHEREAS, by agreements dated July 2, 1973 and December 6, 1982 (amended May 7,
1984), the City of Englewood agreed to sell a one-half interest in the Bi-City Treatment Plant;
and
WHEREAS, the City of Englewood has agreed to transfer to the City of Litt leton a one•
half interes t in and to said real property pursuant to said agreements; and
WHEREAS, the acrual ownership of the real estate and improvements on the si te, or that
are in the future co nstructed thereo n, shall be in tenancy in co mm on betw ee n the Citie s; and
WHEREAS, land to be acquired shall be purcha se d at a price agreed upon and concurred
on by the two Cities; and
WHEREAS, in the event Englewood c11ru1ot acquire the property by purchase and
negotiation, Eng lewood shall proceed with conde mnatio n of the properties, and the two Cities
shall cooperate with each other in such action; and
WHEREAS , Engl ewood sha ll be repaid for fifty percent (50%) of all acq ui sition costs,
inc lu ding appraisals and co ndemnation ; and
WHEREAS , the Cities desi re to fonnally provide for utili zation of the property
associated with the Englewood Wastewa ter Trea tment Plant for future use as an expansion site
for the Joint Use Wastewater Treatment Plant; and
WHEREAS, the Cities desire to clarify current uses as well as anticipated uses due lo the
recent acquisition nfthe Herbertsn n Lease by the City of Englewood;
NOW, TI!EREFORE, INCONSIDERATION of the mutual promises and covenants
hereinafter recited, the parties agree:
Section I . The current ownership of the property used by the Bi-C ity Wastewater
Treatment Plant is as follows:

enter into nego ti ations, and was apprised of th e negoti ations and possibl~ dea l points with th e City
of Lilll eton at Execu ti ve Study Session s in Jul y of 2003, Sep tem b er o f 200.J, Dece mber of 2003 and
May of ~0 04 .
RECOMMENDED ACTION
Approve an IGA w ith the City oi Lilll eton to form ali ze th e H erb erts on Property Purc hase for th e
Lillleton/Engl ewood W as tewa ter Tr ea tment Plant
• BACKGROUND, ANALYSIS, AND ALTERNATIVES IDENTIFIED
•
In 1969 th e City of Englewood entered into a 3S yea r leas e w ith th e H erb erts on fam il y for 1 7.9
acres of land that sits b etwee n th e Plan e Riv er and San ta Fe D ri ve ju st inside th e City corporate
b o undary to th e north, That lease would have ex pired 0 11 Marc h 3 1, 2004 . According to th e lease
we had th e option to renew it for another 35 yea rs, but at th e end of th e end of that p eri o d th e
property own er would ha ve owned all th e bui ldings th e two cities ha ve constructed 0 11 th e site,
Th ere are tens of milli ons o f doll ars worth of assets that ha ve been cons truc ted on th e site, and it
could ha ve ~een very cost prohibitive to renew thi s lease and nego ti ate a dea l lat er. Staff
recommended, and City Council conrnrred th at we shou ld negotia te for th e purchase of th e
propert y. Th e p ro p erty owner was very motiva ted and th e City was abl e to acquire th e property at
$1.62 per sq uare foot compared to th e mark et price o f $3.00 p er sq uare foot.

foot)

FINANCIAL IMPACT
This arrangemen t m ea ns that th e City w ill own outright th e land w hi ch th e Cit y's Serv iCe nter is
l ocated and j ointly own th e ground where Littl eton/Engl ewood Treat ment Plan t fac ilities are
located. This saves both ci ti es fr om some diffic ult negoti ati ons and costs to acq uire bu ildin gs and
property in th e fu ture. And as a res ult of thi s arrangement an d agreement the City w ill have
acquired the ServiCenter portion (9.165 , ~res) for $383,22 1.4 1. ($0.99 per sq uare foot.)
