Ci ty of Englewoo d, Co lorado ac cep ted an caseme nt th at all owed cons tm cti on of th e
RTD Elati Maintenan ce Fac ilit y lo ca ted at 27 01 So uth Elati Str ee t; and
WH EREAS, th e City of Eng lewood requi res publi c impro vement s, such as sidewalk s
and caseme nt s fr om developm ent th at creates the need for th e im provemen ts; and
WHEREAS , th e subje ct case ment fo r public purposes incl ude s th at portion of the
new sid ewalk th at is not curre ntl y in the Elati Ri ght-of-Way and fi ve fee t behind th e
si dewalk for traffi c contro l de vice s, fire hydrant s and utiliti es; and
WH FREAS, th e pa ssage of th is Ordinance auth ori zes th e accep tance of th e
Tran spc .io n/U tility Easeme nt dedi ca ted by the RTD along So uth Elati to capture

vV , 2004, by and between the REGIONAL TRANSPORTATION DISTRICT,
160 Bl e Street Denve r, Co lorado 80 202 (RTD), and the CITY OF ENGLEWOO D, a
municipal co rporation of the Stare of Co lorado, Englewood (G rantee );
WHEREAS. Regional Transporta tio n District (RTD) is , fee ow ner of real property
located in the County of Arapah oe, State of Co lorado, as described in h hibit A; and
WHEREAS , it is essen tial that Englewood have co ntinuou s and uninterrupted use of the
eleven-fo ot (11 ') wide Transportation/ Uti lity Easement along Sout h Elati Street to ca pture
the exiting sidewalk and utilities built along South Elati Stree t and provide for future utilities
without interfere nce fro m any oth er party ; and
WHEREAS . any damage or inte rrupti on to the eleven-foo t ( 11 ') wide Tran spo rt ation/
Utility Easement along Sou th Elati Street wou ld res ult in sig nifican t actua l and consequentia l
damages ; and
NOW , THEREFORE . fo r and in co nsideration of the benefits such an caseme nt wo uld
prov ide the Grantor 's adjacent property and other good and va luable co nsidera ti on, the
receipt and sufficie nc y of which are hereby acknow led ged by RTD , fo r itself, its suc cessors
and ass igns, hereby DEDICATES TO GRANTEE (C ITY), ITS SUCCESSORS AN D ASS IGNS ,
SUBJE CT TO THE TERMS AN D CON DITIONS SET FORTH HEREfN . AS FOLLOWS :

I . Gran ter shall co nst ruc t no permanent improveme nt s in the Easemen t Area bu t
shall maintai n. repair and renew its la ndscaping in the Easemen t Arca at its ow n
expense and shall make no substa nti ve changes excep t with prior approva l of
Gr antee . Gran ter shall maintain the curb. gut ter and sidewalk pu rsuant to the
requi reme nt s of th e Engl ewood Municipal Code .
2. The construction of any im prove men ts by Grantee in 1he Easement area shall be
co nstructed , operated , maintained , repaired , ex tended. renewed and/or
rec onstructed, in confonnity wi th pla ns, specificatio ns and met hod of
construction prepared by Gra nt ee .
3. Grantee shall bear th e ent ire cos t and ex pen se incurr ed in co nnection wit h the
const ruction, mai nt enance. repair, and renewal and :rn y and all modifica tion,
re visio n. ex tensio n. relocation, removal. or rec onst ructi on of Grantee's
improvements, now or hereafte r ma de in th e Easeme nt Area except for the
ex isting curb lgu uer and sidewa lk. Gran tee shall return all of Grantee s
improv em ent s to the condition exis ting prio r 10 Grantee ·,; work up on comph!ti on
of Gra nt ee 's wo rk. Gr:m1ce shall repair any damage 10 1he ;u rb. guncr and
sidewa lk re sulting fr om Gra nccc ·s work .
4. Grantor warrants tha t it is the fee sim ple ow ner of the property described in
Exhibit A and that Grantor I .s full right, tit le, and authority to grant the
easement and right of way to Grantee . Grantee acknowledges Grantor bas a fee
simple interest t~,1 property described in Exhibit A and further acknowledges
that Grantee bas no rights to any ponion of the property described in Exhibit A
other than as described herein . Grantor reserves the right to use tbe Easement
Area for purposes not inconsistent with the gran t herein .
5. Grantee shall not impair subjacenl and lateral suppon of Grantor's propeny .
6. Each and every one of the benefits anc' burdens of this grant of easement shall
inure 10 and be binding upon the panic. hereto and their legal representative s,
successors, and assigns .
7. Grantee does not relinquish any authority , rights, or privileges it may exercise as
a Colorado home rule city.
8. This agreement sup ersedes any and all agreements, written or oral, heretofore
entered into between the panics or their predecessors .
