EXCHANGE OF PERMANENT EASEMENTS
THIS Exchange of Pcnnanent Easements (the ''Exchange") is ratified this __ day of
------~ 2004, by Diana Bray and Leigh Bray ("The Brays '1 , whose address is 2890
S. Clarkson Street, Eng lewood , CO 80113 , and the City of Englewood ("The City'1. whose
address is !000 Englewood Parkway , Englewood , CO 80110, fo r valuable consideration as
described ben:in:
Recitals :
A. The Brays arc the owners of real property described in Exhibit A attached hereto
(620 East Bates).
B. The City is the owner of the real property, the relevant portion of which is
described in Exhibit B anachcd hereto and commonly known as Bates-L ogan Park ("Bates-Logan
Park").
C. The Brays and the City now desire to exchange casements relating to the
propc1ty known as 620 East Bates and Bates-Logan Park.
The parries covenan t and agree as follows:
I. Bray Easement Property . The Bray Easement property shall mean the land
located in the County of Arapahoe, State of Co lorado , more particularly
described in Exhibit C, consisting of one page, anachcd hereto and incorporated
herein by reference. The Bray Easem ent Property is the land granted by The City
to The Brays.
2. Grant of Bray Easement. The City hereby grants to the Brays. their suc cessors
and assigns, a perpetual ease ment ("The Bray Easement '') ove r. under, across and
through the Bray Easement Property for use as a private yard fo r 620 East Bates.
but subject to the right of The City to enter and mainta in the City Ditch .
a. Appunenance of Bray Easement The Bray Ease ment shall be an
easement appunenant to the property at 620 Eas t Bates and ma y not be
transferred , ass igned or conveyed separately from such property .
b. Co nsideration for the Bra y Easemen t. fn cons1dcrat ion fo r the Grant of
the Bray Easement . the Bra ys shall grant to the City the City Easement
c. Rights of City . The City reserves the full right to the und is turbed
ownership, use and occupancy of th e Bray Easement Pro pe rty insofar as
such owners hip. use . and occupanc y is consistent with and docs not
impair the rights granted to the Bra ys in rhis Exchange .
d . No lmprovem~nt s to the Bray Easement. The City covenan ts and agrees
not to construct , erect . place or plan any "lmprovcmen1 :;," as defined

herein, on the Bra y Easement without obtaini ng the prio r conse nt of the
Brays, except such impro veme nts as arc necessary for the maintenance
of the City Ditch . "Improvements" shall mean any structure, building ,
planting, trees , shrubb ery or garden od1er than a grass type lawn . The
Brays shall have the right 10 remove , withnut any liability 10 grantee , any
impro ve ments co nstructed , erected, placed or planted on the Bray
Easement without having obtained the City's prior written consent,
except such improv:ments as ace neces sary for the maintenance of the
City Ditch . If s uch prior written conse,11 is not obtained , the Brays shall
n ◊t be responsible for repair or replacement of the Improvements if they
are Jamnged duriti g construction, maintenance , repair, replacement or
t nla·gement. exc ep t for those improvements necessary for the
mainten ~uce of th e City Ditch.
e. Subjaccnr anc Llteral Support of the Bray Easement Property. The City
c venan !S and agrees that the Brays shall have the right of subjacent and
h'.t.-:rn; ~1.1;,po n on the Bray Easement Property 10 whatever extent is
nec osS! :y or desirable for the full, complete and undisturbed enjoyment
of the rights granted to the City in this «change.
f. The Bra ys will be responsible for the maintenance and irrigation of the
Dray Easement Prope rty, except for the City Ditch and appurtenant
structures, which will remain the responsibility of the City . The Brays
will have the right to install landscaping, irrigation equipment and fences
in the Bray Easement Property. So long as they do not interfere with the
use and maintenance of the City Ditch .
3. C;•y t!~~ment Property . The City Easement Property shall mean the land
locate.l in the County of Arapahoe , State of Colorado, more particularl y
described in Exhibit D, consisti ng of one page , attached hereto and incorporated
herein by reference. The City Easement Property is the land granted by The
Brays to The City .
4. Grant r f • ~ity Easement. The Bra ys hereby grant to the City, its succes so rs and
assign~ a r•erperual easement ("The City Easement ") over, under , across and
through the City Easement Pro perty for use and maintenance as a public Park .
a. Appurtenance of City Easement. The City Easement shall be an
ease ment appurtenant to Bates-Logan Park and may not be tran sferred,
assigned or co nve yed separately from suc h property .
b. Con sideration for the City Easement. In consideration for the grant of
the City Eas emen t, the Ciry shall grant to the Brays the Bray ea se ment.
c. Ri ght s ofBrn ys. The Bra ys re serve th e right of access across th e Ci ty
Easement Property and all other rights in the City Easement Property nor
inconsisrent with the use of the City Easement Property by the City as
described herein .
d. Access to City Ease ment. The City shall ha ve perpetual, none'°lusive
right of ing~ess and l!gre ss in, to. ove r, through and acro ss the Ci ty

of the ri ghts gra nted to the City in thi s exc hange.
The City will be res ponsib le fo r the mainten anc e of the City Easemc:nt
Propeny , including irri gatio n, mowi ng, tree 1rimm ing and mher care of
the land scaping . The City will keep the City Easem ent Prop eny entirely
lan dscap ed in grass and wit hout ~my su bscan ti:i l chan ge in 1he grade,
except that the City will have the right to plant new landscapin g,

Public Park. If Bates-Logan Park eve r ceases 10 be owned by the City or a
suc cessor public entity or ceases 10 be used as a public park, the easements granted herein will termi nate .
The Exchange of Permanent Easements ratified as of the date first set above .
