AN ORDINANCE VACATING A UTILITY EASEMENT LOCATED IN THE 2700
IJLOCK OF ELATI BETWEEN WEST YALE AND WEST AMHERST BY THE CITY
OF ENGLEWOOD , COLORADO .
WHEREAS, the General Iron Works Subdi•eisi on is a three,Jot subdivision including
a re-s ubdivision of Terry's Addition , block s one thr\lugh four as well as v11cated
portio ns of Haw thorn e {later kn1Jwn as Ainh erst Avenue), Elati and Fo x ~treets and
Yale Avenue:; and
WHEREAS, the City Cc uncil of the City of Englewood passed Ordinance No . 18,
Series of 1977 which vacated the Right-Of-Way of a portion of South Elati Street north
of We s t Amherst Avenue and realigned Elati Street on a fifty-foot Right-Of-Way located
approximately 91 feet to the east reserving a Utility Easeme nt: and
WHEREAS, the passage of Ordinance No. 18, 1977 gave General Iron Work.! (GlW)
te nants many s urface uses of the land while avoiding the cost of relocating the utilities
into the newiy aJjgned street; and
WHEREAS, the RTD light rail train maintenance building as designed , stradcllr.n
th e easement ; e:rtd
WHEREAS, brsause of the potential difficul ty for accessing and st rvicing those
underground utilities RTD has chosen to re locate the ut:lities into th,• ne wly aligned
street and has req uested the City vacate the utili ~y eCJ.se ment ; and ; and
WHEREAS, RTD plans to obtain a building permit for the Ela ti Maintenance
Facility during the spring of 2002 ; and
WHEREAS , the passage of t his Ordinance N:1 1 auth·•rize the vacation of the Utility
Easement re served with the passage of Ordinan ce No. 18, Seri es of 1977; and
WHEREAS, the Englewood Department of Utilities has indicated that it h as no
need of this Utility Easement:
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
ENGLEWOOD. COLORADO, AS FOLLOWS :
~-The City Cou ncil of the c;ty of Englewood, Colorado hereby vacates a
Utility Easement located in the 2700 block of Elati between west Yale a nd west
Am.herst, ~1s show n on attached Exhibit A .

THIS AGREEMENT, mad e on (date)~ is between the Slate of Colo rado for Iha use and bene fi t of the Colorado
Oepanment of Tra ns ponat io n ("Coor or "the Slate") and Public Sec,ice Companv of Co lo rado IPS COl !"Owner").
RECITALS :
1. The State considers it necess ary to make certain improvemen1s 10 the State Highway System, which are located
as follows :

2. The proposed highway improvements make it necessary to relocate , adjust , or i., .... all certain utility facilities that are
owned by the Owner ("th e Work"), wh ich is generau., described as tall ows:
Rel ocate PSCO 4'" gas line in co nflict with pr9p9sed RTO-LRT Maintenance Faci lity Bu ilding as sho wn in Exh ibit B.
Th is wo rk shall include design co nsrrucriqn and inspectio n of the relocated gas line.
3 . The Owner's Preliminary Plans . attached as Exhibit B, outline the Work . The Owner shall prepare the detailed
plans in co nl crms nce with Pan 6•5 . Subpa~ A of TIiie 23, Code ol Federal Regula tions (23 CFR 645A).
4. The Stale selected Iha Owner 10 perform the Work pursu ant 10 the authority in Sect io n 24-1 03 -205, CAS an d

;. The Slate Is authorized 10 pay the Owner lor the performance of Iha Work , pursuant 10 section s 4.'.l-t •225, CRS (ii
the Owner is a governmenta l subdivision of the State) or 43-1-208 , C::RS (i f the O wne r's fac ilities are located on/in a
real property interest that is compensable in em inent domain).
6. The Owner and the State must comply with the current vers ions of 23 CFA 645 and "Acc ommodati on of Utilities
within State Highway Syste m Rights al Wa'( (CO OT Po licy Direc tiv e 390), in ordGr to obtain fade ra l panlcipation in the
costs cf the Work.
7. The State and the Owner desire to complete the Work as soon as possible.
NOW THEREFORE , THE PAR TIES AGREE :
1. The following are inco rp orated as terms and co 1ditions of this Agreement. (Uems a. d, e, and I are attached to this
Agreement. llems b and c are avail ab le from COOT upo n request.)

4, The Owner will use the me1hod ind icated be low to determine the Wo rk costs :
l] A. Th e direct and ind irect costs accumulated under a work order acco unting procedure presc ri bed by a federal or
sta te regu latory booy and estimated at~~-If th is amount is greater than SS0 ,000 , th e State ma y retain 10% cl
billed cos is , up to a max imum ol 5% of the ori ginal con tract amount, prior to the required aud it by the State , as
required by section 24-91 -1 03 , CRS .
Based on the ellgrb le costs as determined by Iha State 's audit, the State will either pay the Owner for costs In excess
of an y pre vious payments, or the Owner will re imburse the Stale for any previous payments in ,,..~ tlxcess of ellglble
costs , wh ichever is applicable . The State will pay the Owner intermediate payments for Work completed when
requested and properly billed. Payments will not be made more lhan once a month .
0 B. The lump sum amount of S as detailed on lhe OwnMs Cost Estimate, Exh ibit A. Under th is method the
State will make payment to the Owner when properly billeJ and the comp leted Work is inspected and accepted by the

5. In the perfonmance of the Wo rk, the Owner and its subcon tractor(s) shall develop and record the costs ol the Work
in accordan ce with 23 CFR 645 .117 and an y other applicable regulat ions or procedures . The Owner shall provide the
State with all information and r~ports required by state or federal statute or regulation .
6. The amount th e State pays the Owner under th is Agreement wfll be lull compensation for all the eligible costs
incurred by the Owner while performing the Work.
7 . If the Owner incurs costs lo acquire replacement right -of-way or an easement under this Agreement, the Owner
must invo ice such costs separately .
8. If the Owner determines during the performance al the Work that the estimated Work cost!:. will Increase beyond
the Exhib it A estimate amount, Iha Owner must obtain a supplement or other approved modification to increase the
mount of th is Agreement before performing any Work which will exceed the current estimated cost. The Owner must
· itemize all cost increases on the final billing.
9. The Owner must submit to the Slate all bill ings lor the costs ol the perfonmance ol the Work not later than 120 days
atter comp let ing the Work .
10. Atter this Agreement is executed b1 lhe parties and is approved by the State Controller, the State will give tile
Owner writt en authorization :o proceed with the Work. The Owner shall not proceed with the Work before it receives
such authorizat ion . The Owner shall complete the Work within ~days attar receiv ing th is written authorization .
11 . FederaVState Recy irements The Owner shall at all times in the performance of the Work strictly adhere to , and
comply with , all applicable lederal and state laws , and the ir implementing regulations , as they currently exist and may
hereafter be amended, w:iich are incorporated herein by this reference as terms and conditions of this Agreement,
including those in 23 CFR 645 .115 requ iring award of subcontracts by public bid. The Owner shall also requira
comp liance with these statutes and regulations in subgrant agreements perm itted under this contract. The Ownei must
obta in State approval prior to the award of any subcontract ben,een the Owner and another party lor the performance
of any part of the Work .
12 . Main tenance 91 Records . The Owner shall ma intain a complete tile of all records, documents, communicadons,
and other wr itten materials which pe rtain to lhe operation of prograr ,1s or the delivery of services under th is contract,
and shall ma inta in such records for a period ol three (3) yea• 1lter the date of tenmination ol lh is contract or final
payment hereunder , whk:h ever is later, or for such further PE J as may be necessary to resolve any matter!" which
may be pending . All such records, documents , communicat ic:,ns and other materials shall be the property ol the Stah-•.
and shall be mainta ined by the Owner in a central location and the Owner shall be custod ian on behalf al the State .
13. Aud it ln5pect 19n qf Records and Moni toring The Owner shall perm it the State , Federal Government, or any
"lth&r duly authonzed agent of a governmental agency to audit, inspect, examine , excerpt , copy andlor transcribe
wners records du ri ng the tenm ol th is contract and lor a pe riod ol three (3) years follow ing tenminatlon of th is contract
or final pa , Tient hereunder. whichever is later, to assure compliance with the terms hereof , or to evaluate the Owner's
performance hereunder. The Owner shall also pell'l'\it these same desc ribed entities to mo nitor all activities conducted
by th e Owner pursua 111 to lhe terms ol this contrac t. As the mon itoring agency may in its sole d!sc reli on deem
nece:;s ary or appropr1a 1e, such momtori ng may con sisl ol in1emal evaluauon proced ure s , ex am inauon ot i,rogr am
data , specia l ana ly ses , on-s ite check, or any o ther reasonable procedure.
14 . In depen dent Contractor. The Owner shall perform its dulies hereun der 3$ an ind ependent co n1ractnr and not as
,n employee . Nei ther the owner nor any age nt o r employee of th e own1:,r sh all be , or sh a ll be dee m ed to be , an agen t
J r employee of th e Staie , and 1hey shall have no authorlza:lon , express or 1m pHed , to b ind the state to any con1ra c1s ,
settlements , liabdlly. or u nderstanding ex cept as express ly set lorth herein. The owner shall be responsi ble 10 the
Slate for thtt ulltmate results of perf ormance req uired hereunder but shall not be su bject to the direction and control of
uie State as to th e means and mulhods o f accomplishing th e re sul ts . The specil lc aUons in 1his con1ract cl particu lar
performance standards the Stare ticems essential to proper perf ormance and con tract value shall in no event be
deemed to alter th is relatlonsh1p . Owner shall pay when due all required employment laxes and Income tax
wilhhotding, including all Federal and 5 1 !e income tax on moneys paid pursuant to th is c onlract . The owner shall

compens ... or 1 insurance in the amo unts required by law, and shall be so lely respons ible for the acts al the owner, [ts
employees and agen1s . The Owner acknowledges that owner and Its emplo yees ar e not entitled to the benellls ol
worker's compensation insurance or unemp loyment insurance un less the owner llr a th;rd party provides such
coverage and 1:1at the state does not pay tor or otherwise provide such coverage.
15. The term of this Agreement will co ntlnue 10 the dale the State makes final payment to the Ovmer. with Iha

16. Term ination for Co nvemence . The State may terminate th is contract at an y lime lhe Slate determines thal the
purposes al the dist ri bution al Stat!! moneys under the contract would no longer be served by completion of the
project. The Slate shall eflect such 1erm inalion b~ ·11ng written notice al term inati on to lhe Ownor and spec ifying the
effective dale th ereof , at least twenty (20) days belr .. the effective date of such termination . In that event, al1 fin ished
or unfimsned documents, data . studies . surveys , dr ?• ,1 ngs. maps. models, photographs, and reports or other material
prepared by the Owner uncter this contract shall, at II option of the Staie , become 11s property, and the Owner shall
be entitled 10 re ceive jusl and equitable compensation for any satisfactory servic es and supplies delivered .
If the con tract is terminated by the State as provided herein, the Owner will be pa id an amount wh ich bears the same
rat io to the total compensation as the services satisfactorily performed bear to the total services ol the Owner cove red
y this co ntract less payments of compensation previously made, provided , however, lhal if less than sixty percent
l60%) ol the services covered by th is contract have been performed upon Iha effective date of such termination, the
Owner shall be reimbursed (I n addition to th e above paymenl) for that portion cl the actual out-of-pocket expenses (not
otherNise re imbursed under this c'lntract) incu rred by the Owner durlng the contract period wh ich are directly
attnbutabte lo the un completed pC"rti on of the services covered by th is contract . In no even t shall re imbursement under
lhis clause ex ceed the contract amount. II th is contract is terminated fe r cau se . or due to the lau lt of the Owner, the
Term inat ion for Cause or Default provision shall apply.
17. Term inati on tor Cause. II through any cause , Iha Owner shall fail to lulllll. in a timely and proper manner, its
obligations under rhis contract, or ii the Owner sha11 violate any of the c ovenan ts, agreements , or stipulations of th is
con1rac1 , the State shall thereupon have the nght to terminate this contract for cause by giving written notice to the
Owner of its intent to terminate and at least ten (1 O) days opportun ity to cure the default or shoi." cause why
lermination is 01herw fse not approp riate In the event of termination , a!I finished or unfin ished documents, data ,
studies , surveys , drawings . maps, models, photographs, and reports or other material prepared by the Owner under
th is contract shall . at the option of the State . become its property, and the Owner shah be entitled to receive just and
eqwtable compensation for an y services and supplies delivered and accepted . The Owner shall be obllgated to return
any payment advanced under the provisions of this contract.
Notwithstanding the above . the Owner shall not be relieved of li abil ity to the State for any di:mages sustained by the
Slate by vinue ol an y breac h ol tne coo11rac1 by the Owner , and the Stale may withhold any paymen t to the Owner !or
the purposes c l m itigating its damages unu l such time as Iha exact amoun1 of damages due to the State from !he
Owner is determ ined.
If after such termina1 ion it is determ,ned, tor any reason , that the Owner was not in default. or that thP Owner's
action/inaction was excusable, such 1erm ina11on shall be treated as a tem,1nation lor convenience . anU the rights and
obligations of the parties sh all be the sa me as 11 lhe con tract had been terminated lor conven ience, as described
~ere1n .
18. If 1h1s Agre~men1 i1i.'.:ludes cons1ruc1 /on work the Owner musl give cred it to the Slate for the sa1v age value , as
explained in 2:: CFA 645 . t 17(h). The Owner shall not dispose c l an y rec ov ered materials before lhe State has
inspected sue t materials and ap pro ved such disposal.

of 19 77. Elati Street was realigned on a fifty-foot righ t-of-way located app roxim ately 90 feet eas t.
Previous vacat ions gave General Iron Works (G IW) tenants many su rface uses of th e land w h;f e
avoiding the cost of reloca tin g the uti liti es into th e ne\".-ly aligned street. The RTD li ght rai l train
mai nt enance building as desi~ned, straddles th e ease m ent. Beca use it would be difficult to access
~nd service th e underground atilities, th e utility compani es would not permit a building to b e con-
structed over th e ease m ent. RTD has ag reed to ,·e loca te the utilities into th e street right-of-way and
reau es ts that Englewood vaca te th e utility easement. The Utilities and Public Works D epartm enL
reviewed th e req uest and have no object;u,.; •o vaca tin g th e easeme nt. Xce l and Qwest were also
noti fied and have not resr,o nd ed. RTD p!ans to obtai n a building permit for th e Elati Maintenance

Section 34, Township 4 South, Range 68 West of the 6111 i'rincipal Meridian, City of
Englewood, County of Arapahoe, more particularly described as follows :
Beginning at the NE comer of the NWl/4 of the NW 1/4 of said Section 34; thence West
along the North line of Section 34, a distance of356 feet, to the West line of South Elati
St.; thence on an angle to the left of90° and along the West line of South El~ri SL, a
distance of30 feet, to the TRUE POINT OF BEGINNING; thence continuing along said
line, a distance of600 feet, to the extended North line of West Amherst Avenue; thence
on an angle to the left of90° and along said line, a distance of28.26 feet; thence on an
