CONSTRUCTION EASEMENT ACROSS THE CITY DITCH RIGHT-OF-WAY OF
THE CITY OF ENGLEWOOD FOR CONSTRUCT ION OF A WATERLINE ATOR
ABOUT 4663 SOUTH MARIPOSA DRIVE .
WHEREAS, the Ow ner of 4663 South Mariposa Drive submined a License
Agreement for new construction installing a waterline over the City of Englewood's right-
of-way for the City di tc h; and
WliEREAS , the Owner of 4663 South Mariposa Drive also su bmitted a Temporary
Construction Easement across the City's City Ditch right-o f-way during this co nstruction.
NO W, TH EREFORE, BE IT ORDAINED BY THE CITY COUNC IL OF THE
CITY OF ENGLEWOOD, COLORADO, AS FOLLOWS:
Section I. City Counci l for the City of Englewood hereby approves the License
Agreement, Exh i1 't A, and Temporary Construction Easement, Exhibit 8 , attached hereto ,
for cons truc t; 1 a wa terline at or about 4663 South Mariposa Drive across th e City Ditch
right-o f-wa y of the City of Englewood, Colorado.
Secti on 2. The Mayor and City Clerk arc authorized to sign and attest said Agreements
for and on behalf of the City of Englewood , Colorado .

herein re fe rred to as "Licensee".
\VTTNE SSETH: The City wi&.o ut any warranty of its title or inte rest whatsoever, hereby
autho rizes Licensee. its suc cess or, assigns, to install ,1 water line over the City 's rights-of-way for
the City Ditch , described as a parcel of land sinmted in the No nheas t Quane r of Sectio n 9,
To wn ship j South, Ran ge 68 West of the Sixth P.M., Co un ty of Arapahoe, State of Co lo rado
dep ict ed upon the Exhibit attached hereto and made a pan hereof
I. Any con struction contemplated or perform ed un der this License shall co mpl y with and
conform to stand ards formulated by the Director of Utilities of the City and such
con struction shall be perfo rmed and co mpl eted according to the plans approved by th e
City .
2. T11e Licensee shall notify the City 's :)irecto r of Utilities at least three (3) days prior to the
time of commencement of the co nstruction ot; or any repair,. made to , Licensee 's wate r
line so that th e City may, in its dis ,;ret ion. insp ~ct such operau ons.
3. Within thirty (30) days from the date of the co llllT!cncemen t r.;" co nstruc tion of said wat er
line. the Licensee shall complete such cons tru r.rio n. place and maintain permanent, visible
markers. of a type and at such loca ti ons as d~signa ted by the City's Dire ctor of Uti litie s,
reterrin g to the cente rline of rhe instal lat ion and shall cl ear the crossing area of all
co nstruction debris and resto re the area 10 its previo us co ndi tio n as near as may be
reasonable. In the event the placing of the ce nterline markers and .he clearing and
re storati on of the cross ing area is not co mpl eted withi n the time specifi ed. the City may
complete the ·vnrk at the so le expense of the licensee .
~-The City shall have the right to ma intain. ins tall . repair. remove or re loc ate the City Ditch
or any oth er of its facilities or installations within the City 's rights-of-way, at any time
and in suc h manner as the City dee1 .s ne cessary or co nvenient. The City re serv es the
exclus ive ri ght to control all easements and installations .
5. T11e stipulations and co ndition s of thi s Licen se shall be incorporated into co ntract
specificatio ns if the co nstructi on herei n auth orized is to be done on a contract basis .
• 6. TI1c rights und pri vile ges granted in thi s License shall be subj ec t to prior agree men ts,
licenses an d/o r gr.mts, rec orded or unre co rded. and it shall be the Licensee 's sole
respon si bility 10 determine the ex istence of sa id documents or co nflic ting uses or
installati ons.
7. The Licensee sball contact and fully coo perate witb the City 's perso nnel an d the
co nstruc1i on shall be completed without inte rfe rence with any lawful, usual or ordinary
flow of water thro uiµi the City Ditch . Licen see sh2ll lSs ume all risks incident to the
possible presence of suc h waters , or of storm waters , or of surfac e waters in the City
Ditch.
8. All tren ches c'r holes within th e City's righ ts -o l~way shall be backfilled and tamped to the
original gro und line in layers not to exceed sLx (6) incbe s ioo se meas ure to a compaction
of ninety percent (90%) Standard Proctor Ma.ximum Den sity .
9. Licensee sball indemni fy and save hannle ss the City, its officers and employees, agains t
any and all claims , damages , actions or causes of action and ex penses to whicb it or they
may be subjected by reason of sai d water line be ing within and across and under the
premi ses of the City or by reason of any work done or by omission made by Licensee , its
age nts or emplo yees. in co nn ec tion with the constructi on. replac ement, maintc;nan ce or
repair of said installation. Licensee. fo r a period of one (I) year beginnin g on

materials and will he free from defects in the insta ll ati on of th e water line into the City
Ditch right-<,f-way.
10. It is ex pre ss ly agreed that in case of '.,icensee's breach of an y of the within promi ses. the
City may, at its option. have spec 1.f,.~ fl('rfo rmance thereof, or sue for damages resulting
fro m such breach .
11 . Upo n aband onm ent of any right or privilege here :.11 granted, the right of Licensee to that
exte'1t shall terminate. but its obli gati on to indemni fy and save bamtless the City, its
oflicers and emplo yees . shall not terminate in an y event.
In gran ting the above authorization , the City reserves the ri ght to make full use of the property
involved as may be necessary 01 convenient in the operation of the water works plant and system under control of the City .

GRANT OF CONSTRUCTION EASEMENT
THIS AGREE MENT is made this ...1.1.!.!2_ day of~~ 20~.2by SC HWINN PROPERTIES LLC
("Sc hwinn"), whose rrincipal place of business is 2597 South Harlan Coun, Lakewood, Colorado 80227, nnd the
CITY OF ENGLEWOOD ("Englewood"), a Co lorado mun icipality whose prin ci pal place of business is IOOO
Englewood Parkway, Englewood, Colorado 80110 .
WHEREAS, Schw inn desires to install a water service line in llll Englewood City Ditch right-o f-w ay in the
location depicted upon the exh ibit allllched hereto and inad e a part hereof (the "Project''); nnd
THE PARTIES covenant and agree as follows:
I. Descri ption or Project. Sc hwinn will insta ll a water serv ice line in the Englewood City Ditch
righ t-of-way and cove r same with cl ean fill dirt begi nn ing in November, 2002. After the pipe is
insulted and covered, which is to be no later than February of 2003, Schwinn will do what is
rer <1m1b ly necessary to restore the prop eny to 1:1e origin al condition .
2. Right to Store M Is. Englewood agrees 10 pennit S..:hwinn, in conjunction with the
construct ion ,., I in: .1 1lati on of pipe , to store pipe, equipment and fill dirt on a site as indicnted on
the attached IT' 1p Schwinn agn-es to erect a temporary security fence around the storage site and
mainta in adequate security fo r the si re at all timL'S, Schwinn funher agrees to comply with all state
and federal statutes rnd regulations regarding the handlin g, storage, and clean up of any haznrdous
materials used by Schwinn , iL'i employees. agents and assigns in conjunction with the Project. The
location nfthe co nstructi on casemen t is depicted upon the attached Exhibit
3. Len g,.h of Agre ement Thi s Agreemen t shall exp ire on October 3 1, 2003. However, the Project
m1:1st not begin be fo re No ve mber I, 2002.
4. Access. Sc hwinn shall ha ve the temporary non-1!:-:clusi ve ti ght to enter the property for any
reasonab le purpose necessary for the consmiction of the Project subject to the following
resnicrion s: I) normal workin g hours shall be from S:00 a.m . until 4:00 p.m.; 2) the operation or
equipment and heavy trucks will be pe rmitted on the property only during normal working hours ;
3) Schwinn will comply with all City or Englewood requirements regarding emergency access to
the property .
:i . Resto ratio n. Schwi nn wi ll do what is necl!SSary to restore the property to it s original co ndition
includin g but not limited to: regrading the property under thi s agreement i111d reseeding the
property according 10 City of Englewood requirements . The restoration is to be completed by the
ex pir:irion date oflhis Gr:im.
6. Site Co nditio n. Sc hwi nn will provide security fo r the site :it all times. ln additio n. Schwinn will
endeavor to keep the site in a visuall y acce ptable manner during the lerm of this agreement., :llld
Schwi nn will maintain adeq uate dust con trol either by rcgul11rly spraying exposed soil with water
or by other acccp tat>le methods .
7. Liab ility. Schwinn agn,es to be liable and 10 hold hannless Engle wood, its employees, tenants.
gues ts and invi tt es from any and all claims, causes of action. and liability which may occur~ a
res ult of the aL-tions of Sc hwinn including lhi: cos t of de fendin g against such claims.
8. Insuran ce . Schwinn shall maint.ain in full force and effect II valid policy of insurance for the
Projo:ot in th e amoun t ofS_=~.,..... propcny coverage ands--,._., __ liability coverage.
Schwinn funher agrees that all Schwinn employees, co ntractors and sub-conlJ'Dctors wori<ing on
the Project shall be covered by adequate Workers Co mpensnrion insurance.
9. Arbitration. The panies agree to s. bmit any dispute to arbitrnrion pursuMt to Co lorado law.
