WHEREAS, City of Englewood Public Works Department provides tra c signal coordination for 7 square miles in the Denver Metro Area; and WHEREAS , DRCOG and COOT agreed with the City's recommendation that the City no n-Y2K compliant signal system needed to be replaced; and WHEREAS , since wha t the City does has regional air quality implicationa, DR COG and COOT agreed to participate toward the costa of replacing the City's traffic signal control system; and WHEREAS, pB88Sge of this Ordinance authorizing the City to enter into an mtergovemmental agreement with Colorado Department of Transportation (CDO'I) to allo the City to be reimbursed for improvements to the Englewood traffic signal control syetem from Federal Fun ds in the amount of $100,000.00 ; ~lfOW, THEREFORE , BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ENGLEWOO D, COLORADO , AS FOLLOWS : ~-The City Coun.cil of the City of Englewood, Colorado hereby a uthorizes the Intergovernmental Agreeme nt entitled "Contract" between the Colorado Department of Transportation (CDon and the City of Englewood , a copy of which is marked as "Exhibit A" and attached hereto . ~-The Mayor and the City Cle rk are hereby authorized to I gn and nttest said Intergovernmental Agreement on behalf of the City of Englewood . WHEREAS, authority exists in the law and funds have been budgeted. appropriated and otherwise made available and a su.fficient unencwnbcred balance thereof remains available for payment in Fund 400, Organization Number 9991, Appropriation Code: 010 , Program 2000, Functivn 330 I, Object 2312 IP, Project Code 13222 , Subproject [00), and Phase C, (Contract encumbrance amount S l 00,000 .00); and WHEREAS , required approval, clearance and coordination bas been accomplished from and with appropriate agencies; and WHEREAS , the parties had reviewed bu t had not executed a draft contrdct for wor k under COOT project AQC M395-006 for traffic signal improvements to upgrade the Local Agency's traffic signal equipment system to prevent potential signal failure on January I, 2000 (Y:!K); and WHEREAS, through inadvertence and miscommunication, the draft contract was not executed by the parties and, due to the urgent nature of the work, the Local Agency proceed with and completed the signal upgrade work ; and \VHEREAS , because the project (AQC M39S-006) is completed and th e purpose oft.his contract is to provide funds to pay for work already perform-:d by the Local Agenc y; and WHEREAS , the work that was done was necessary and benefited the State, the Federal Highway Administration (FHW A), and the traveling public; and WHEREAS , the work for wb.ich the Local Agency is requesting co mpensation was within the scope of work of the draft contract was done in good faith on the part of both parties; • and -1- • ,. .. I • + A WHEREAS, COOT has apprised the FHWA of the situation and the FHWA has agreed • to maintain 100% F edcral participation in the proj ect worlc; the work shall be Ill no cost to lhe State ; and WHEREAS , s cien t monies were avai lable in the project budget for AQC M395-006 to provide for the requested payment and these monies are still av aila ble; and OW, THEREFORE, it is here by ARTICLE I SECTION I. SCOPE OF WORK The work UDder this contract consisted of traffic signal improvements to upgrade the Local Agency's traffic signal equi pment system to prevent potential signal failure on January I, 2000 (Y2K) un der project ACQ M 395 -006, as is more specifically described in Exhib it A (CDOT fonn 463 or "Scope of Work '), which is anacbed hereto an d made a part hereof. ARTICLE II COMPENSATION FOR THE WORK SEC ON 1. This contract shall be effective retroactively to September 17, 1999, nunc pro tune, and l actions of the panics which shall have taken place prior to the date of execution of this contract which are in accord wilh the terms and conditions hereof are hereby ratified and co nfi rmed. The State's determination that it is in the public interest to assume the financial ob ligation to pay for the Local Agenc y's previously I,Crfonned services is found in Exhi bit C, which is anached hereto and made a pan hereof. SE CTIO 2. LUMP SUM Subject to the terms of this contract for the s:i.tisfactory performance of the work the State agrees to pay the Local Agenc y, and the Local Agency agrees to accept, as follows : A lump sum amount for the Local Agency's project charges as identified in Exhibit B (Cost Proposal), which is attached hereto and incorporated herein. in the total amoont of: One • Hundred Thousand Dollars Exac tly, (Sl0 0,000.0 0). All such funds are Federal-aid funds and • -2- • • • the FHW A• s determination and approval of the project costs for I 00% Federal aid funding is found in Exhibit D, which is attached hereto and made a part hereof. SECTIO 2. COST OF CONTRACT The total cost oftbis contract shall not eicttd a maximum ofSJ00,000.00. All work performed or coSt incurred by the Local Agency shall be deemed to be covered by the compensation set forth herein and further detailed in Exhibit B. ARTICLE III GENERAL PROVISIO S SECTIO I. NOTICES All notices and communications in writing requucd or permitted hereunder shall be deemed to have been given when delivered personally to the respective representatives of State and Local Agency, set forth below, or when deposited in the United States Mail, properly addressed and with first ciass poStage fully prepaid. If, through any cause, the Local Agency shall fail to fulfill, in a timely and proper manner, its obligations under this contract. or if the Local Agency shall violate any of the covenants, agreements, or Stipu!ations of this contraet, the State shall thereupon have the right to terminate this contract for cause by giving \\'Tineo notice to the Local Agency of its intent to terminate and at least ten (10) days opportunity to cure the default or show -3- cause why termination is otherwise not appropriate. In the event of termination, all finished or • unfin.ished documents, data, studies, surveys, dzawings, maps, models, photographs, and reports or other material prepared by the Local Agency under this contract shall, at the option of the Stale, become its property, and the Local Agency shall be entitled to received just and equitable compensation for any services and supplies delivered and accepted. The Local Agency shall be obligated to return any paym ent advanced under the provisions of this contract Not\\-ithstanding above , the Local Agency shall not be relieved of liabi lity to the State for any damages sustained by the State by virtue of any breach of the contract by the Local Agency . If after such 1ermination it is determined, for any reason, that the Local Agency was not in default, or that the Local Agenc y's action/'maction was excusable, su ch termination shall be treated as a termination for convenience, and the rights and obligations of the parties shall be the same as if the contract had been terminated for convenience as described herein. (b) Termination for Convenience. Toe State may terminate this contract at any time the State determines that the purposes of the distribution of funds under the contract woul d no longer be served by completion of the projecL The State shall effect such termination by giving written notice of tennioation to th ,~ Local Agency and specifying the effecti ve date thereof, at least twenty (20) days before the effective date of such termination. (c) Termination Due to Loss ofFunding. The panics hereto expressly recognize that the Local Agency is to be paid, re imbursed. or othernise co mpensated with federal and/or State funds which are available to the State for the purposes of contracting for the project provided for herein, and ther L • re. the Local Agency expressly understands and agrees that all its rights, demands and claims to compensation arising under this contract are contingent upon availability of such funds to the State . ln the event that such funds or any part thereof are not available to the State, the State may immediat ely terminate or amend this contraet. D. otwithstaoding anything herein to the contrary, the parties understand and agree that all tenns and conditions of this contract and anachments hereto which may require continued perfonnance or compiiance be yo nd the termination date of the contract shall survive such termination date and shall be enforceable by the State as provided herein in the event of such failure to perfonn or comply by the Local Agen cy. E. This contract is subject to such modifications as may be required by changes in -4- • • • federal or State law, or their implementing reg\tlations. Any such required modification shall • utomaticall y be incorporated into and be part ,,f this contract on the effective date of such change as if fully set forth herein. Except as specifically provided otherv.ise herein, no modification of this contract shall be effec tive unless agreed to in writing by both parties in an amendme nt 'O this contract that is properly executed and approved in accordance with applicable law. F. To the extent that this contract may be executed and perfonnance of the obligations of the p3Ities may be accomplished within the intent of the contract, the terms of this contract are severable , and should any tenn or provision hereof be dec lared invalid or become inoperative for any reason, such invalidity or failure s.hall not affect the validity of any other teno or provision hereof. The waiver of any breach of a term hereof shall not be construed as a waiver of any other term, or the same term upon subsequent breach . G. lbis contract is intended as the complete integration of all understandings between the parties. No prior or contemporaneous addition. deletion, or other amendment hereto shall have any force or effect whatsoever, unless embodied herein by writing. No subsequent novation. renewal , addition. deletion. or oth er amendment hereto shall have any force or effect unless embodied in a written contract executed and approved pursuant to the State Fiscal Rules . H. Except ~ h in OthCT\l,ise provided, this contract shall inure to the benefit of and be bind ing upon lhe panic:. hereto and their respective successors and assigns . I. The Local Agency represents and warrants that it currently has no interest, and shall not acquire MY mw' di rect or indirect, that would conflict in any manner or degree with the performance of the Lueai Agency's obligations under this contracL The Local Agency 's further covenants that, in lhe performanc e of this co ntract, it will not employ any person or firm having an y such kn own interests . J. Th.is contract shall become "effective " only upon the date it is executed by the State Controller, or des ignee. The term of this contract shall begin on the date first written above and shall co ntinue through the completion and final acceptance of this project by the State and Local Age ncy. K. If a conflict occurs between the provisions of this contract proper and the attachments • hereto , the priority lo be used lo resolve such a conflict shall be as follows: I . [t is expressly understood and agreed that the enforcement of the terms and conditio s of this contract, and all rights of action relating to such r forcemem, shall be strictly reserved to the parties hereto, and nothing contained in this contract shall give or allow any such claim or right of action by any other or third person on such contract It is the express intention of the parties that any person or entity other than the parties receiving services or benefits under this contract be deem be an incidental beneficiary only. Work was completed in December, l 999 . The need for the improvements was not known until late in the year . The City believed they bad a verbal agreement to proceed but apparently no contract was developed between COOT and the Cil)·. ClcJr ly, substantial turnover has contributed to the fact that the roject was allowed to be comp leted \\ithout ever executing a contract. Futhermore, COOT did st contact FHWA until July, 2000 requesting Federal-Aid participation retroactively based on th ~ requirements of 23CFR 1.9 . 1-~s requested by COOT, we have reviewed the October 27", 2000 letter describing Jic justification for Federal-Aid funding to partic ipate in this project. Based on the following facts this project is de ermined to be eligible for Federal-Aid participation : • there has been no willful violation offcdcral requirements . • substantial compliance with Federal requirements were assured fol owing a COOT final inspectio n on this construction project. • the co st was not affected. • the quality of wo rk has not been impaired. • this approval will not adversely affect the public . Proper signal progression can greau •aduce the amount o time automobiles si t idling at major intersections and, there • reduce the ,mount of pollution discharged into our atmosphere. DRCOG and COOT agreed wi th the Ci ·s recommendation that our non-Y2K complian t signal svstem need~ to be replaced.
