AN ORDINANCE UTHORIZING A "LICENSE AGREEMEN'l"' FOR TELEPHONE,
WATER AND ELECTRIC ACROSS THE CITY DITCH TO POAG AND McEWEN
LlFESTYi.E CENTERS-LITTLETON L.L.C.
WHEREAS, the POAG & McEwen/Aspen Grove Lifestyle Center Propertiea
requested a Lice nae Agreement for the purpose of constructing te lephone, water and
electric across the City Ditch in the new development "Aspen Grove·; and
WHEREAS, Crossing No . 1, is for a utility conduit trench for powar and telephone
conduits; a nd
WHEREAS, Crossing No . 2, ill for a water main to service the area; and
WHEREAS, power, teluphone and water are all located in South Santa Fe Drive
and these lines must cross Englewood·e City Ditch to serve the "Aspen Grove"
development; and
WHEREAS, both Crossings are an approved di.stance beneath Englewood's existing
City Ditch pipe ; Alld
WHEREAS , prior to constru ction, Aspen Grove replaced the existing open City Ditch
line with a 60" enclosed reinforced concrete pipe to prevent seepage into the future
develop ment: and
WHEREAS. cond uits were laid prior to the City Ditch pipe installation to prevent
disturbing t he City Ditch after the pipe was installed; r.nd
WHEREAS. the Englewood Vater a nd Sewer Board recommended Council approval
of the "License Agreement fort e City Ditch to POAG and McEwen i..ifeatyle Centers-
Littleton at its January 9, 200 1 meeting;
NOW, THEREFORE, BE IT ORDAl.NED BY THE CITY COUNCIL OF THE CITY OF
ENGLEWOOD , COLORADO, FOLLOWS:
~-The "License Agreement" to the POAG and McEwen Lifestyle Centers•
Littleton for the purpose of constructing telephone, water and electric lines a.cross t he
City Ditch, a.s described m Exhibit • A", is hereby accepted and approved by the City
Council of the City of Englewood, Colorado.
~-The Direct.or of Utilities is authorized to execute the "License
Agreem ent" for and on ~half of the City of Englewood, Colorado .
Introduced, read in full, and pa88ed on first readlng on the 2nd day of Apnl, 2001.

ackn owledged. it is agreed !IS follows:
I. License Granted . The City. \\i th out any warr:i r11 y or its t"tle or inte rest whatsoe ver.
hereb y authorizes Licensee. its successors . ass igns. contract ors . and sub-contractors. to install.
construct. enlarg e. repai r, replace. remove. and mainta in un ucrground utility lines and conduit
trenches . incl udi ng but not limj1ed 10 gas. water. electricity and telephone lines . and all
appurtenances related thereto (t be ·'Licensed Uses"·], with in. throug h. over . under and across the:
Englewood Ci ty Ditch Right-of-Way in those loc ations dcpic1d on Exh ibit B attached here to and
mad e a part hereof [the "'Lice n ed Areas ·}
2. (if\' . ..i.pp rov3] of Use . Any co nstruct ion or use 1:0111cmplated or perfonned under this
License shall com ply with and conform to standards formula1cd by the Direc tor of Uti li ties of the
City of Engl ewood and uniformly ap pli ed to suc h crossing licen ses. and such construction and use
shall be performed and completed ac cordi ng to plans approved hy the City, hich approval shall not
be unre as onably withheld . conditione d or delayed .
3. Cit\· ~otice. The Lic en see shall not if)· the City"s Director of Util ities at least three
(3) days prio r to the time of com mencement of the co nstruc tio n of, or an y repairs made 1..i. the
Lic ensed Uses so th at the City ma y, in its di scretion, inspect such ope rations.
4. Re siomion . \\"ithin thirty ('0) da) s followi ng th e date of commenc ement of
construction of th e Licensed L'ses. the Licensee shall comp let e such construction. place and mai ntain
permanent , visib le markers , of a ty pe and at such locations as designated by the City" s Directo r of
Util ities . and shall lear the Lice nsed Areas of all construction debris and restore the area to its
previous condi tio n as near as ma y be reasonable. In the event the placing of the markers and the
clearing and re storatio n of the Licensed Areas is not completed within 1he time specified. the City

may compl ete the work at the sole l'xpense of the L·c ensee. All trenches or holes within the City's •
rights-of-way shall be backfilled and tamped 10 the origin:il ground line in l:iyers not to exceed six
(6) inches loose melSure 10 a ompaction of ninery percent (90%) Standard Proctor Ma.ximum
De nsity .
5. Citv·s Rights . The City sha ll have the righ t to ma int ain. install. repait re mo ve or
reloca te the Ciry Ditch or any other ofils facilities or instal:ations within the Engl ewood City Ditch
Righi-of-Way, at ::my time and in such manner as the City deem s necessary or con enient. The City
reserves the exclusive: rig ht 10 co ntrol all easements and installations over tho: Englewood City Ditch
Rig.h t-of-Way.
6. Repair or Repla cemen t. Any rep air or re placi:m en1 of any Ci ry installation made
necessary. in the reasonable opinion of the Ci1y ·s Director of tilities . bec;iuse of the construc tio n
of the Licensed Us es or other app urte nant installation thereof. shall be mad..: at the sole expense of
the Licensee.
7. Incorporation into ConrracL The stipul.ni on and conditi ons of this Lic ense shall be
incorporated into contract specifications if the use herein authorized is to be done on :i co ntract bas is.
8. Licens e Subject 10 Prior Aereements . Th e righ ts an d pri\·ileges granted in this
Licens e shal l t-e subject to prior agreemen ts . licen ses an d/o r gr:ints . recorded or unrecorded . and it
shall be the Licensee · s sole respo nsi bility to detennine the existe nc e of said documents or conflicting •
uses or install at ions .
9. No In te rference of Public Ser\'ices . Licensee shall co nta c1 and fu lly co operate wi th
the Cicy·s pe rso nnel and the construction of the Licensed Uses shall be completed without
interfere nce y Lic ensee wi th any la \\f ul. usual or ord in ary flow of wa ter through City D1 : 11.

from Cit_, Di tch leaking through the Ditch l)anks or pipeline at the point or points where Li censee
perform s wo rk in co nnect io n with the crossing license pr ovid ed hereby . Licensee assumes al l
responsibility fo r mainte nan ce of the installation of the Lice nse d ses.
11 . Ind emn ification . Subj ect to C.R.S. 24-10-10 I. et. seq .. Li ensee shall indemnify and
save hannle ss th e Ci ty. its officers and emp loye es against any and all claims. damages , actio ns or
causes of action and expenses to which it or they may be su bjec ted by reaso n of sa id Licensed Uses
bei ng within and across the Eng le wood City Ditch Ri ght-of-Way or by reason of any work done or
omission made b) Licensee, its .. gents or employees . in connec tion with the co nstruction .
replacement. mainte nance or rep air of said Licensed Uses.
12. Remedies . It is expressly agreed that in case of Licensee· s mat erial breach of any of •
the "-'ithin prom ises. City ma y, at its op tion have specific performance th ere of. or sue for damage s
resulting from sue h breach .

13 . Tennination. Upon abandonment of :my right or pri\'ilege herein gnmted, the right
of Licensee to that extent shall terminate. but its obli!;:nion to indemnify and save harmless the City,
its officers. employees and agents , su bject to C.JtS . '.!4-10-101 . shall not tenninate in any event.
14. A,ssjgnmepJ . Li censee may assign :ill of its rights :ind obligations purs uant to this
License to any entity wh ich acquires titl e to the AGLCP Pror,:~: The foregoi ng notwithstanding,
this License is assig nable onl y with the writt en pennission or the City.\ -hich permission will not be
unreasonabl withh Id. conditi oned or dela yed .
In granting the above authorization. th e Cicy reserY.:s the right to make full use of the
Englewood City Ditch Right-llf-Way as may be ne cessary or cnrwcni:nt in the operation of th e water
works system under the contro l of the City.

A Grant o· -onstruction Easeme nt, License Agreement and an Exchange of Rea l Estate Agreement for the
Englewo o City Ditch 10 Aspen Grove for the Poag & McEwen Lifestyle Centers was passed by Council on
October , 6, 2000.

The Englewood Wate r and Sewer Board recommended Council approval of the License Agree me nt for
utility crossing fo r As p en Grove Lifesty le Cen ter Properties at their January 9, 2001 meeting.
BACKGROUND , ANALYSIS , ANO ALTERNATIVES IOE TIF IED
The Aspen Grove Life style Center Properties is requesting a License Agreement for the purpose of
constructing te lepho ne, water and electric lines across the City Ditch p ipe in the new developmen t to be
catied Aspen Grove. This will be a retail developmen t that will be part of the Poag & McEwen chain . The
development will be located at approximately 7100 5. Santa Fe Drive on the west side .
Easement 1 is for J utility cond uit trench for power and telephone condu its. Easemen t 2 is fo r a water main
to service the area. Bo th are an approved di stan ce benea th the Englewood's exis ting Oty Ditch pipe .
Powe r, telephone and water are ail located in S. Santa Fe Dr. and these lines must cross Eng lewood's City
Ditch to serve the Aspen Grove development
