SUBGRANTEE AGREEME T FOR 2001ARAPAHOECOUNTY COMl\tlliNITY DEVELOPMENT BLOCK GRANT FUNDS SUBGRAt."llTEE : CITY OF ENGLEWOOD PROJECT , AME: SKERRJTI' HOUSE FOUNDATIO PROJECT NUMBER: 01 E PF 123 This Agreement is mllde by and between the Board of County Commi ss ionm of the County of Arapahoe, State of Colorado for the Community Development Block Grant Program in th e Community Services Dcpamnem (hereinafter referred to as the County) and the City of Englewood (hereinafter referred to as the SubGrantec f.·r the conduct ofa Community Development Block Grant (CDBG) Project fo r Program Year 2001. I . PURPOS E The primary objective ofTitle I of the Housing an Community Dev elopment Act of 1974, as amended, and of the Community Devel opment Bl ock Gran t (CDBG) Program under this Titl e is the develo pmen t of viable urban co mmunities, by providing decent housing, a suitable living environment an d expanding economic opportunities, pnncipaJJy for low and moderate inco me person• The proJect by the City of Englewood known as the Skerritt House Foundation Project (Project) has been categorized ~s Public Facilities project and the SubGrantee will main tain documen ra rion wi th the national objective of Area Benefit acti vities . The SubGrarnee may proceed to inc ur costS for the Projec upon receipt of an offic ial • otice to Proceed" from the County. ll. WORK TO BE COMPLETED DV THE SUBGRANTEE The follo,ving provisi o .t me the scope of the work to be COn'.p leted : The SubGrantee will utilize CDBG funding to renovate the "J omas Skerritt House, which bas been 1dentiiied '1S a locall y signjfic:mt historic site . The overall purpose of the renovation is to prevent further deterioration of the house , as well as to preserve th e historic qualities of the home fo r the enjoyment of funm: generations . It is the ubGramee's intention to e · nrually seek state anc /or national historic design tion of the site . Payment It is express ly agreed and widerstood that the otal amount 10 be paid by the County under this contrael sh:ill noi exceed ~0,0 00 .1}(). Drawdowns for the paym,:nt of eligible expenses shall be made ag :ii nst th e line item. budgets Si'eciiied in Exhibit A and n accordance with perfomiancc cnteria establ ished m Section Il -C. The i:-anies expressly rccogn. ze that the SubGramee is to be paid with CDBG funds received from the federal government, and that the obligation of the County to make paymenl to SubGrantee is contingent upon receipt of such funds . In the event that said funds, or :iny part thereof; are, or become. unavailable, then the County may immediately terminate • or amend this agreement. To the eittent C.R.S. § 29·1·110 is applicable, any financial obligation of the County to the SubGrantee beyond the current fiscal ye::i.r is also contingent upon adequate f mds being appropriated, budgeted an .d otherwise available. B. Timeline All Project activities will be completed by May 31 2002 unless this Agreement is modified by murual agreement of the County and SubGrantec. Performance Criteri:i In accordance with the funding application ,ubmined by the SubGrantee for the Project, the criteria listed below are lo be met during the xecutio n of the Project. I. Qwlntifiable Goals: The SubGranlec will perfolID repairs and improvements to the foundation of the Tholll3S Skerrin House (l ocated at 2560 South Bannock Street, Englewood). All improvements are to be completed in compliance with any locally applicable codes and standards, and in a manner which retains !he historic integrity of the building . Folbwing completion of the Project, the SubGr.mtee is to commence other necessary • building and site renov:mons within one calendar year. Such renovations n.ay include (but not necessarily be limited to}: roof and chimney repair, siding and doors, trim, painting, and fascia. After all building and site ~novarions have been completed (including those not funded under this Agreement), the SubGrantee shall uu lize the building as the focus point for a historic educational park. This usage is to continue for a period of no less than five calendar ye:in from the date on which 11 building and site renovations arc completed. Sh ,u ld the SubGrantee discontinue the in tended usage at any time during the five year usage period, tnc SubGrantcc shall rcrum CDBG funds to the County at the rate of 58,000 .00 per year for c:ich complete or partial year remaining in the usage period. 2. C . Expenditure Restricdons All CD BG funds that are ap proved by HUD fo r expendi ture un der th e County's grant agreement, including thos e that are iden tified for the SubGrantee's Projects and :i.ctivities, shall be allocated co th e specific projects and activities described and listed in the grant agreements. The allocated funds shall be used and exix;nded only for the projects and activities for whic h the funds are identified. D. Ag reement Changes No projects or activities, nor the :imount allocated therefor, may be changed without approval by the County and acceptance of the revised Final Statement and/or Consolidated Plan by HUD, if required. Changes ccust be requested in writing and may not begin unti l a modification to this Agreement is fully executed. E. Di rect Project Supe rvisio n :ind Administn tio n The SubGramee shall be responsible for the direct supr.rnsi on and administration of its res;,ectivc projects or activities. This task shall be accomplished through the use of the SubGran tee's sta . agency and emp loyees . Th e SubGrantee shall be R:Sponsible for any injw-y to persons or damage 10 proj)erty resulting fro m e negligent acts or errors and omissions of its staff, agents and employees. Because the SubGrantee is responsibl e for the direct supervision and administratio n of its projects or activities , the County shall not be liable or responsible for cost overruns by the SubGrantee on any projects or activities. The County shall have no dury or obligation to provide any additional funding to the SubGrantee if its projects or ctivities cannot be co mp leted with the funds allocated by the County to the SubGrantee. Any cost overruns sh 11 be the sole responsibility of the SubGrantee . l. Certificate of Insurance : The Contractor shall not commence work under any contraet funded pursuant to this Agreement until he has submitted to th.e SubGrantee, received app roval thcreo( certificates of insurance showing that he has complied with tht: foregoing insurance requirements . Timeliaes 7 The SubGrontee has submi tted to the County, along with its proposal, a description of the work to • be perfonncd, a budget, and a timetabl e delineating th .e length of time n.eeded for each Project phase , if applicable, through the completion of the projects. The SubGrantec shall comply with timetable for co mpleti on of the projects . The SubGrantec und m tands that failure to comply with the timetable may lead to a cancellation of the Project and a loss of all unexpended funds, unl ess the County detennines that there arc extenuating circumstances be yond the SubGrantee's control and that the projects will be completed within a reasonable length of time. The timetable's implementation shall oegin when the County provides written notification to the SubGrantce to proceed. K. Reimbursement for Expenses The SubGrantee agree s that before the Coun ty can distribute any CDBG funds to it, the SubGrantee must submit to the County's Housing and Community Development Services Divis ion documeniation in the fo nn required by that Div ision which prop erly and fully identifies the amount which the SubGrant ee is requesting at that time . The County shall have ten (1 0) worldng days to review the request.. Upon approval of the request , the County wi ll distribute the requested funds to the SubGrantee as so on as possible . L. Prog ram I ncome All program i.ricome directly derived from the Arapahoe County Community Deve lop meut Bloc k Grant Pro gram recei ved by the SubGrantee will be retained by the SubGrantee and will be • dispe rse d for its appro ved CDBG Project activities before additional CDB G funds are requested from the Cou.rity . Following compl etion of the SubGrantee's Arapaho e County CDBG Projects, all program income directly gen erat ed from the use ofCDBG funds will be remitted to the County. M. Asset )fanagemeot Any single parcel of real property under the SubGrantee 's con trol that was acquired or improved in whole or in part with CDBG funds in exces s ofS25,000 will either: 1. Be used for an e ligib le CDBG activity, as determined by the County, for a minimum of five (5) ye:irs following co mp letio n o f the SubGramee's projects; QR 2. Be disp osed of in a manner that result s in the County 's being reim bursed in the amount of the current fair mark e value of the property less any portion of the value attributable m expendicures ofnon-CDBG funds for acquisition of, or improvements 10, the property . Reimburseme nt is not required afte r five (5) years followi ng comp letion of the SubGran tee 's projects . Environment:i l Revie The SubGrantee agrees that no CDBG funds will be legally obligated to any Project activity before the County has completed federal NEPA environmental review procedures, as required by 24 CFR Part 58. P. Su ootr:lcts If subcontracts are used on the Projec t, the SubGrantee agrees that the provisioas of this Agreement shall apply to any subcontract. Q. Suspensi on or Termio ali oo This Agreement ma y be suspel"ded or tenn.inated by the Couoty if the SubGrantee ma terially fails to comply with any term of this Agreement. This Agreement may also be tenninated for co nvenience by murual agreement of the Co unty and the SubGrantee. R. In th e event that the Unit of General Local Governmen t sho uld with w from the County's "Urban County" designation, thi s Agreement shall terminate as of the •~nninarion date of the County's CDBG grant Agreement with HL1). RESP sraILITIES OF THE COUNTY A. Administr:itive Control The Parties recognize and understand that the CoWl!y will be the governmental entity required to execute all grant agreements received from HUD pursuant to the County's requests for CDBG funds . Accordingly , the SubGrantee agrees that as to its projects or activities perfonned or conducted under an y CDBG agreement, the County shall have the necessary administrative control required to mee t HUD requirements . 8. Performance and Compliance Monitoring Th e County 's administr:1ri ve ob lig ati ons to the SubGrantee pursuant to paragraph A ab ove shall be limite d to the performance of th e administrative tas ks neces sary to make CDBG funds available to the SubGrantee and to provide a Monitoring Sp ecialist whose job it will be to monitor the various projects funded with CDBG monies to monitor complian ce with ap pli cable Federal laws and regulari 15 . C. Reporting to HUD The County will be respons ible fo r see ing that all necessary repo11s and information required of the County are filed with HUD and other applicable Federal agenc ies in a time ly fash i,m. V. EXTENT OF THE AGREDIE:"IT This agreement, including any ocumentS anached as exhibits which arc hereby incorporated herein by reference, representS the entire and integrated agreement berween the County and SubGramec and supercedes all prior negotiations , representations or agrecmentS , either wrinen or oral . The o jective ol the Program is achieved thro ugh projects de veloped by the local go ernment th at are designe d to give p riority to th ose activities that bene 11 low-and moderate-im.ome families. Fu n ds are allocated by statutory formula to each entitlement area. Arapahoe County is an ap prove d entitlement area. The rant funds are distributed on a fo miula basis to particip ating ci ties w ithin A rap aho e County. For FY~001 . 40,000 is approved to support the Tho mas Skerritt House Reno ation Pro ject.
