WHEREAS. in 1994 the Englewood Depot recei ve d status ae II historic 3tructure on
the State Register of Historic Propert 'es; a nd
WHEREAS, in 1996 the Englewood Hi tori .. S nctety was awarded a •100,000
grant from the Colorado State ffjstor.cal Society for renovatior, of the roof and building
exterior; and
WHEREAS, in 1998 the City of Englewood p urchased the n... •• ·,· t ·! ~ix lots at
West Dartmo.,th and South Galapago from t · tu11 1ewood '·l l'usu ;( '.u>~ority; and
WHEREAS . the City then sold the Depot building to the F-:>gh,wocd Historical
Society for $76,000 pursuant to an inatal!ment contract; and
WHEREAS . the Englewood City Council authorized, through a :?COO Capital Fund
appropriation, $250,000 toward complet:on of the rehabili ~io n of t:he Depot; and

ENGLEWOOD, COLORADO, AS FOLLOWS:

the transfer of owners hip of the Englewood Depot building from the Englewood
Historical Society to the City of Englewood in exchange for the City's for,:iving of the
Englewood llistorical Sodety's indebte dness o f S76.000.

In 1998 the Cit acquired the depot and six !ots at West Dartmouth and South Galapago for $286,000
from the Englewood Housing Authority. At the same time, the City sold b ack the Depot structure to t'"ie
Englewood Historical Society for $76,000 sec ured by a prom1sory note.
QECOMMENDED ACTION
Staff recommends Counc,I ap proval of a Bill for an Ordinance ~o accept the transfer of ownersh1;> of the
Depot from th e Englewood Historical Society in exchange for forgiving the prom issory note und being
allowed some conti nuing presence in the depot Staff recommends that the requested continuing
presenc e be limited to his torical photo3raphi c displays and/or periodic rotating his tor.ca l exhibits, which
w n uld be su b ject tr p rio r City app roval .
BACKGROUND
In 1994, th e Englewood Historical Society acquired the Englewood Depo t from a priva te owner in o rder to
prevent the demolition of this important historical stru c ture . The Depot was moved to its current 'location
through a S300.000 promissory note wi th the Englewood Housing Au thority in payment for the si te. Also
in 1994. the depot received status as a historic structure on the State Register of Historic Propetties. In
1995, the Englewood Historical Society wa.s awarded a $100,000 grant from the Colorado Stale t-hstorical
Society for renovation of the roof a .1d the building ex teri or.
In 1998 ~; r;ty ii ;tuired th e depot and six lots a t West Dart mouth and Sou th Galapago for $286,000
from the En .Jewood Housing Authority. At the same time, the City sold back the Depot structure ,o th e
Englewooc' istorical Society for S76,000 secured by a promisory note th a t was to be repai d in Installments
with no in t~rest. However, th e amo unt ol the ins tallments and payment due dates were no t specified . To
date, no pavments have bee n made on the promissory note.
City Counci l au thorized, through a 2000 Capital fund appropriation, $250,000 toward completion of th e
rehabill 1,1ion of the Depot. Staff was instructed to work with the Eng lewood Historic 5ociety to a•:h1 eve
the rehab1hta tion However, during planning for rehabilita tion with the Society, the proposed use of the
Depot as a City m·, eum was lnvesti ea ted m o re thoro ugh! . The Society determined that thei r
or~ nizati o n did not have the financial o r hurr:iln resources to opente a museum and It was also
o •,te rm lned that the Depot was not a sui table building to se"~ as a rnuseu m , Council had approved us e of
d portion o f the appropri a tion for organizational assistance w ith rhe Historical Society and for limi ted work
on th e building and site. The c urrent balance of the fund is app ro imately $230.000.
On August 21 , 2000, through Gty C;:,uncil resolu.ron, th e D epot was granted City Historical Property designation.
Earlier this year, the City, in cooperation with the Englewood Historical Society applied for ,,nd received a
$10,000 •mii.1•ij rant" from the Slate Hi ~torical Society 10 c onduct Historical S1ructures A!Sessment, which
will be complett-:l by the end of December. The Histork:al Structure s Assessment is a current prerequisite
prior to application for {urure State Historical fundirig.
On O cto b e r 5, 2001, Rosemary laPorta, President o f th e Englewood Historical Soc!ety, forwarded a lener
to City Council requesting, on behalf of the Board of the Soci ety, th'l t the City accept the transfer of
ownership of the En glewood Depot in o rd er to reliev e the Society of it s indebtednees 10 the City.
FINANCIAL IMPACT
Acceptance of the Depot will canc el the $76,000 promissory note owed to the City. In addition, the City
will assume responsibility for on-gom ~nd future expenses related to the Depot, including insurance and
futu re improvements.
